We carried out an eva luation required by the Secur ities Exchange Act of 1934 (the “1934 Ac t”), under the supervision and with the participation of our principal executive o fficer and principal financial officer, o f the effectiveness of the design and operation of our dis closure controls and procedur es, as defined in Rule 13a-15(e) of the 1934 Act, as of the end of the period covered by this report. Based on this evalua tion, our principal execut ive officer and princip al financial officer concluded tha t our disclosure controls and pro cedures were effectiv e to provide reasonable assur ance that information required to be disclosed by us in the reports that we file or sub mit under the 1934 Act is record ed, processed, summarized, and reported within the time p eriods specified in the SEC’s rul es and forms and to provide reasonable assurance that such information is accumulated and communicated to our management, including our principal executive officer and principal financial officer, as appropriate to allow timely decisions regarding required disclosure. During the most recent fiscal quarter, there has not occurred any change in our internal control over financial reporting that has materially affected, or is reasonably likely to materially affect, our internal control over financial reporting. Our disclosure controls and proc edures are designed to provide reasonable assurance of a chieving their objectiv es as specified above. Manage ment does not expect, however, that our disc losure controls and procedures wi ll prevent or detect a ll error and fraud. Any control sys tem, no matter how well designed and operated, is based upon cert ain assumptions and can provide only reasonable, not absolute, assur ance that its objectiv es will be met. Further, no evalu ation of controls can provide absolut e assurance that missta tements due to error or f raud will not occur or that a ll control issues and instanc es of fraud, if any, within the Company have been detected.
