GENERAL CONDITIONS OF SALE
The following has been agreed upon by the purchaser, hereinafter the Client, and the PETZL DISTRIBUTION company, hereinafter the Company: 1 - PREAMBLE: The general conditions of sale (hereinafter GCS) apply to the PETZL
DISTRIBUTION company's products presented in PETZL catalogs, hereinafter products. 2 - CONTRACT FORMATION: Any order for products distributed by our Company, no matter what their origin, constitutes acceptance without reserve of the present GCS. These GCS cancel any conflicting clauses, particularly those which may be contained in the Client's general terms and conditions of purchase. In the event that a specific order appears subject to exemptions to our GCS, our Company reserves the right to make its acceptance subject to special conditions suitable to the situation, as indicated hereinafter. This includes any order of an unusual nature, and in particular any order which represents excessive financial risk, or emanates from a Client that has not complied with obligations stemming from previous commercial dealings, that has exhibited dishonest behavior or non-compliance with commercial practices. In particular, financial risk inherent to the Client may result from bankruptcy, from business references considered inadequate by our Company, or from the fact that the Client is new or occasional. In such cases, we reserve the right to ask for guarantees such as a guarantee from the official receiver and/or for specific payment terms (payment before transport of the products, payment at time of delivery, etc.). 3 - ORDER ACCEPTANCE: No order shall be deemed to be accepted by our Company unless and until written confirmation is issued by our Company. Or, in the absence of such confirmation, until 10 days have passed since receipt of the order. Any modification of an accepted order will not be binding on our Company unless and until we expressly accept such a modification. Our acceptance is subject, until delivery of the products to the Client’s warehouse, to financial risk or to any other factors that may call such acceptance into question. Nevertheless, all orders remain firm and final for the Client. 4 - PRICES: 4.1. Prices: For standard products, prices are set forth in the price list in force on the day the products leave the factory (Crolles-France) or FCA (Crolles-France) Incoterms 2010 for export sales. Because product prices are set according to current economic conditions, our Company reserves the right to modify such prices at any time and without prior notice in the event of fluctuations in economic conditions. As such, prices or characteristics that appear in price lists, catalogs, or any other document are for information only and shall in no way be considered a firm commitment to enter into an agreement. Unless otherwise agreed upon, the prices given are net prices, and do not include tax, for products from our warehouses. For products delivered outside French territory, all taxes, duties, charges, or other services relating to foreign regulations and laws are the Client's sole responsibility. 4.2. Products: Our Company reserves the right to change, at its sole discretion, the specifications of products on offer and those requested by the Client, without prior notice or award of damages. 5 - INTEGRITY OF THE PRODUCTS AND CONSUMER INFORMATION: The Client is not authorized to modify or alter or modify the products sold, particularly their contours, colors, shape, texture, or materials. The characteristics in question may be those of the product itself or of its ornementation/accessories. Thus, product packaging, in its broadest sense, may not be modified, including any documents (manuals, technical documents, certifications, etc.) that are included with the products. These documents are inseparable from the products sold. This requirement is first and foremost to ensure the safety of our end users. Our Company accepts no liability or warranty obligations in relation to said modified/altered products and will undertake all necessary action against any Client that undermines the integrity of the products. It is the responsibility of the Client to inform consumers of the importance of maintaining and periodically inspecting products, as indicated on the safety warnings attached to products or contained in the instructions included with them, as well as of product characteristics and their conditions of use. 6 - CONDITIONS OF PAYMENT - NON-PAYMENT: 6.1. Unless otherwise stipulated, invoices are to be paid to our Company's registered office 30 days from date of invoice at the latest. For Clients without an open account in our Company, invoices must be paid in full when ordering. To open an account, business and banking references must be provided. 6.2. Pursuant to Article L 441-6 of the Commercial Code, any late payment will bring about, from the first day following the payment date on the invoice: 1) A late penalty, calculated using the total amount due, equal to 3 times the legal interest rate in force on the agreed date of payment. 2) A lump sum of 40 euros to cover recovery costs. When recovery costs exceed the amount of the lump sum, the supplier is entitled to ask for additional justified compensation. 6.3. Payment default will bring about: 1) immediate payment of any other invoices in the event a deferred payment has already been granted; 2) loss of any discount granted to and/or acquired by the Client; 3) payment before delivery for any previously accepted order; 4) payment of a liquidated damages indemnity equal to 15 % of the amount due, but no lower than 800 euros excluding tax.
7 - RESERVE OF TITLE: The products covered by this contract shall remain the inalienable and unseizable property of the Company until full payment is made by the Client. Until such time, the Client commits to not disposing of, renting out, or transforming the products without first obtaining the Company's permission, nor to using them as collateral for the Client's creditors. If the product is seized by a third party, the Client shall immediately inform the bailiff about the reserve of title granted to the Company and shall immediately inform the Company. If the Client defaults on payment, or if the Client goes bankrupt, our Company reserves the right to retrieve the product at the Client’s expense. To that end, our Company and our carrier are authorized to enter the Client’s premises, during regular business hours, to retrieve said products. All sums already paid by the Client shall be kept by our Company and considered as damages.
8 - TRANSFER OF RISKS: Notwithstanding the reserve of title above, the responsibility for all risk passes to the Client upon the FCA Crolles-France (Incoterms 2010) delivery of the product, unless otherwise stipulated in the acknowledgment of receipt of the order. If the Client has not paid for the product in full before any accident which causes the loss, alteration, or destruction of the product, the Client shall not be released from its obligation to pay for the product in full. The Client is required to have taken out insurance that covers the risk of loss or deterioration of the product until full payment is made. Our Company may decide to collect the insurance claim in the name of a Client that agrees to have it do so. In which case the Client will pay our Company the difference between the claim amount and the damages suffered by our Company. 9 - DELIVERY: 9.1. Delivery deadlines: The delivery deadlines specified in the order are purely for information purposes only. Under no circumstance will our Company be held responsible for any delivery delays. The delivery period begins the moment our Company confirms the order and receives payment for the purchase order. In the case of export sales, the authorizations needed (import license, currency transfer authorization) must be obtained beforehand. Any modification occurring during order fulfillment, even if such modification is accepted by our Company, will lead to an extension of delivery deadlines according to the terms communicated to the Client by our Company. 9.2. In the event that the Client refuses delivery or does not undertake removal of the products from our warehouse by the delivery deadline, our Company is entitled to store the products in warehouses at the Client's expense and to ask for the reimbursement of any shipping costs. In
the event that the removal delay exceeds two weeks from the date that the products are made available to the Client, or that the Client refuses to accept delivery, our Company is entitled to terminate the contract and resell the products. 10 - COMPLAINTS - RETURNS: Any claim relating to a visible defect or to product nonconformity with the order is to be stated in writing within 5 days of the products being made available by the Company. Failing that, the product shall be deemed accepted and the Client shall not be entitled to any claim regarding such defects or non-conformity. Products may only be returned when our Company has given permission beforehand. They must be returned free of any defect and in their original packaging. Our Company reserves the right to refuse the exchange of any product. For the exchange of a product that is not sent back in mint condition, 5 % will be deducted from the credit note for repackaging costs. 11 - ADVERTISING MATERIALS: Any advertising materials made available to the Client free of charge shall remain the property of the Company. Therefore, it is agreed between the parties that the Company reserves the right to move those materials inside the Client’s stores or to remove them. The Client shall keep any unused advertising materials at the Company's disposal. Such advertising materials cannot be destroyed without the Company’s authorization. 12 - INTERNET RESALE: The Client is authorized to sell the products on its own website, hereinafter “the Website”, if the following terms and conditions are met: The Website must be hosted by a service provider with recognized expertise, on a quality server, with sufficient bandwidth to handle average customer demand without degrading the speed and/or reliability of the Website, particularly for payment procedures. Website operational availability must be in line with current business practices. The Website host must be equipped with standard cryptography technology or must, at a minimum, allow secure online payment. The Client must ensure that laws and regulations applicable at the local, national, and international level are obeyed, and that current industry practices are followed. The Client must provide Website users with all the information required by law, particularly regarding the identity of the publication director and the processing of private user data. The brand image, the reputation of our Company, and the technical nature of the products all justify the quality standard requirements that must be met by the Client. To this end, the following qualitative criteria must be included: - A complete presentation of product specifications as well as their functional and technological characteristics. - Brands that are clearly displayed and identifiable. - A simple and attractive environment showcasing the products on a monochrome background, in accordance with the requirements of the graphic design guidelines. - Professional photography allowing quality product display. - Easy navigation. - No banners, pop-ups or any other form of advertising on the product pages. - No messages, images, audio links or any other element that might tarnish the image of the products. - A link to the Company's website. 13 - INTELLECTUAL PROPERTY: The Client acknowledges that it has no rights on or to the Company's intellectual property rights, such as trademarks, patents, designs, and generally any other intellectual property rights which may be owned by the Company or by any of its affiliates. 14 - WARRANTY: The Client acknowledges having been informed of the general warranty conditions applicable to the products. lt is stipulated that the contractual warranty for the products cannot exceed three years and is limited to parts and labor only, in case of manufacturing defects. The warranty shall not apply to wear and tear, inappropriate use, damage due to accidents, negligence, or non-compliance with proper use.
15 - LIABILITY LIMITATIONS: Unless stipulated in law and order regulations, our Company shall not be responsible or liable to the Client for any kind of damage resulting directly or indirectly from the use of or inability to use the product, and in particular: - Our Company shall not be responsible or liable for any indirect, special, punitive, incidental or consequential damages such as but not limited to low production, lack or loss of profit, even if the Company has been informed of the possibility of such damages or losses. - Our Company shall not be responsible or liable in case of injury, accident, loss or destruction of any property, damage or expenditure directly or indirectly arising out of or in connection with the Client's use, misuse, or inability to use the product, whether independently or in combination with another product, or in case of business loss of any kind, and under no circumstances shall the Company be made to provide replacement products. In no event shall our Company's responsibility or liability, as enforceable under the terms of this agreement, exceed the amount of sums paid by the Client to our Company for the purchase of the product from which said liability arose. 16 - FORCE MAJEURE: Our Company shall not be held responsible for failure or delay to fulfill all or part of its obligations under this contract, directly or indirectly, owing to acts of god, lock-outs, strikes, epidemics, embargoes, accidents, including those involving machine tools, machinery breakages, interruptions or delays in transport, supply difficulties, defectiveness of raw materials, or any other cause or circumstance beyond its control and leading to lay-offs or partial lay-offs in the Company, our supplier or subcontractor companies. 17 - JURISDICTION - APPLICABLE LAW: 17.1. It is agreed that all disputes arising from the interpretation or application of these CGS shall be settled by the Commercial Court of Grenoble, France, whatever the place of delivery or the means of payment stipulated and even in the event of multiple defendants. 17.2. All sales are subject to French law in its entirety. In the event of litigation or disagreement over the application or interpretation of this document, the French version shall apply and be binding upon all parties. APPLICABLE AS OF 01-01-2017.
