ISSUES PT Energi Sinar Sentosa.Tbk (“Energi”) is a public limited liability company (listed in Indonesian Stock Exchange) which 40% of its shares are owned by PT Surya Mentari Gemilang (“Surya”), 20% owned by PT Banteng Ketaton, 15% owned by Mr.Dajal Al Majenun (Indonesian Citizen), 5% owned by Mr.Fuk Yao Milus (Indonesian Citizen) and the remaining 20% are owned by the public. Surya is 75% owned by Million Fortune Limited, a company established under the laws of British Virgin Islands, 15% owned by PT Sabuk Inten and 10% owned by PT Cahaya Nogososro.

Energi is planning to acquire PT Semesta Power Resources, a company engaged in electricity power plant business, which is 60% owned by Kalila Investment Pte.Ltd (Singapore Legal Entity) and 40% owned by PT Inti Tenaga Abadi. The proposed value of the acquisition is US$ 250 million. 1. Please identify what laws and regulations that are relevant for the above transaction. 2. Energi wants to appoint you as its legal counsel, and firstly wants you to identify the issues and concerns that the Energi should take into account before entering into the transaction. Please prepare a mapping of the issues you consider relevant in this transaction or which you think should be highlighted for the Energi’s attention. Please also prepare proposed solutions to effectively address each of the issues. 3. As a public company, Energi is subject to Otoritas Jasa Keuangan (previously Badan Pengawas Pasar Modal) regulations. Please explain any specific OJK/Bapepam regulation(s) that Energi should adhere to in this transaction. If Energi should follow certain procedures under OJK/Bapepam regulation(s), please also explain what kind of documentation that the Energi should prepare. 4. Please explain the reason why a legal due diligence (legal audit) is necessary for this transaction. Please also explain whether a legal opinion is required, and if yes, what do you think should be covered in that legal opinion. 5. After receiving your preliminary legal advice, Energi has confirmed you appointment, will you accept such appointment..? If yes, please explain why, and if not, please also explain your reasons. Energi also said that the transaction is not a conflict of interest transaction. If you were to accept the appointment and Energi would then be your client, how would you determine whether the transaction is a conflict or not, and also, what documents would you require in order to help you to make that kind of determination….? 6. 1st ISSUES 1. A famous member of House of Representative who had indicated as suspect of state finance abusing requested your legal services for him in an investigation process conducted by Corruption Eradication Commission / Komisi Pemberantasan Korupsi (“KPK”).

2. As part of its investigation, KPK will require the suspect’s presence in series of questions and answer session. Therefore, the suspect would like to have your legal assistance during this process. This would be profitable engagement for your law firm. Will you accept such appointment..? 2nd ISSUES 1. As a Senior Manager Corporate Legal in one of well-established foreign investment company in Indonesia, you have been working closely with Capital Investment Coordination Board / Badan Koordinasi Penanaman Modal (“BKPM”) related to your company’s large Investment in Indonesia. 2. A BKPM officer, whom you have been usually liaising with, comes up with a proposal to attend a seminar in Hongkong. He’s invited to the seminar by a private organization based in Hongkong and the theme of the seminar is foreign direct investment in ASEAN countries in connection with the implementation of ASEAN Free Trade Area. Chapter IV Breaking legal issues

After months of searching for a weekend job, Danté, who is Black, finally got an interview with the owner of a busy car wash and gas station. The owner seemed reluctant to hire him, but Danté managed to win him over. The owner gave him the job, saying that he would be working on a weekend shift with seven other young men, all students from the local area. The shift manager would train him on the car wash equipment. On Danté's first day, the shift manager gave him only a few minutes of instruction on the equipment. Danté watched what the other men were doing, but when he asked questions, they were not very helpful. Over the next few weekends, Danté concentrated on his work but because of certain events, he increasingly began to stay by himself. A few co-workers invited him to join their little group for lunch or breaks, but others consistently cracked ethnic and racial jokes, often within hearing of the shift manager. One day Danté overheard the manager say that Black people were responsible for increased violence in the community. This statement encouraged some co-workers, who had previously eaten lunch with Danté, to tell a couple of jokes about Black people. When they glanced at him as they told their jokes, he got up and walked away. One busy Saturday afternoon, a whole section of the car wash equipment broke down because someone had allowed the system to become overheated. Danté had worked on that section until his break, when a co-worker took over. The system had broken down at some point after that. The shift manager was furious and accused Danté of negligence. Danté replied that he believed the system was fine when he left for his break. Although Danté insisted that the equipment failure was not his fault, the shift manager fired him. Dante believed he was discriminated against because he is Black, while his co-workers and managers are White.
