The American Chamber of Commerce in Belgium (AmCham Belgium) is a dynamic non-profit organization dedicated to improving business and investment opportunities for the US-Belgian business community. With approximately 900 US groups in Belgium, AmCham Belgium plays a pivotal role in an evolving business environment by focusing on three key areas: policy shaping, knowledge-sharing and networking. Introduction

March 2015 I am pleased to present our 2014 Annual Report. The following pages are an attempt to encapsulate a transformative year for AmCham Belgium, and I would like to start by thanking our members, our Strategic Sponsors, our Committee members and the Secretariat staff for their precious contributions. The May 2014 Belgian federal and regional elections provided the impetus to take our advocacy efforts to the next level. Led by our Government Relations Forum, the Chamber deepened and widened our political contacts, reaching out directly to political parties and parliamentarians for the first time. We advocate on behalf of our members and the wider international business community, and they clearly appreciate our growing interaction with the political world. We are encouraged by the new government’s initial statements and actions, and we look forward to working with them – we’ve already had the opportunity to meet with a number of ministers and other political leaders in the New Year. Of course, this wouldn’t be possible without the support of our Committees. Our Committee members generously share not only their time and expertise but also their contacts, helping the Chamber to develop our positions, hone our messages and reach the right people. My sincere thanks once again to each of our Committee members for the dedication they show to the Chamber.

It is important for the Chamber to expand our activities outside of Brussels, and in this regard, our Antwerp Chapter has been increasingly successful in engaging the local community in that region. In the second half of last year, we transitioned to modern cloud-based ICT systems which will enable us to better serve our members, expand our activities and more easily adapt to future changes in technology. The most visible change is our new website, launched in September, but the upgrade also extends to our membership database (CRM), email platform and accounting software. We welcome feedback from our members as to how we can continually improve our processes and our services. Looking forward to the year ahead, we have a full calendar of events and a number of exciting new projects underway on the policy front. We are confident that, with the continuing support of our members, we can increase even more the value of membership through our advocacy, networking and knowledge-sharing activities.

2014: Year in Review Total membership grew for the fourth consecutive year, reaching a total of 535 companies in 2014. These figures confirm that the Chamber offers value-added services across our range of activities, tailored to our different segments.

Advocacy The May 2014 federal and regional elections dominated our advocacy agenda in the first half of the year. Delegations composed of experts from our Government Relations Forum (GRF), Human Resources Committee and Legal & Taxation Committee met with eight political parties before the elections, starting with PS in December 2013. The months leading up to the elections were punctuated by a series of policy publications, including the new Business Barometer in January, our 2014 Priorities for a Prosperous Belgium in March and The Importance of US Companies in Belgium (US Top 50) in April. Our positions were further elaborated in long-form articles on our website. During the governments’ formations, the Chamber was in regular contact with the negotiating parties to reiterate our key messages. The Chamber achieved a notable lobbying success with the Michel government’s commitment to address the high cost of labor in Belgium, among others, by lowering employer social security charges. We established contact with the new governments once they were installed via the GRF, which invited representatives to present the governments’ programs in the GRF. Separately, small delegations are meeting with key ministers in the new governments. While our previous advocacy efforts focused primarily on the governments and administrations, the Breakfast with Members of the Federal Parliament in October was our first broad attempt to introduce the Chamber and our priorities to parliamentarians. Targeted federal and regional MPs were invited to subsequent events, such as the Thanksgiving Dinner, which also marked the release of The Importance of US Companies in Belgium: R&D and Innovation. The Chamber issued three position papers in 2014 and kept our members informed of the latest policy developments with our weekly email update.

Networking All of the Chamber’s events have a networking component to help build and strengthen connections within the US-Belgium business community. The Chamber continues to attract prominent guest speakers, who in 2014 included Koen Geens, Minister of Finance; Alexander De Croo, Deputy Prime Minister & Minister of Pensions; Karel De Gucht, EU Trade Commissioner; and, of course, US Ambassador to Belgium Denise Campbell Bauer. The Antwerp Chapter has become well-established in that region with a growing schedule of events, and the Chamber is organizing more and more events in other areas, such as Leuven and Liège, in order to reach members in all parts of Belgium. Online networking increasingly complements face-to-face networking, and the Chamber is pleased with the growing interaction on our social media channels. As part of larger changes to our ICT systems, the Chamber launched a new website in September 2014. Our blog has been given more prominence in this new iteration, and it has begun to attract lively discussion in the comments section.

Knowledge-Sharing In addition to networking, the Chamber also offers learning opportunities. Members are invited to share their knowledge and best practices with their peers through our Committees, at our events or by contributing to AmCham Connect, the Chamber’s monthly newsletter. Our ‘Doing Business in the USA’ series of roundtables was inaugurated in February 2014 by the new Belgian Ambassador to the US, Johan C. Verbeke. This series is intended to give Belgian companies with US activities a forum to share experiences and best practices. The EU Briefing series was retired in 2014, considering the wealth of EU information resources which is now available. This will be replaced by new event formats in 2015, such as Business@Breakfast, which will offer an informal setting for companies to discuss issues of common concern across sectors.

Antwerp Chapter Steering Group The Antwerp Chapter’s aim is to improve business and investment opportunities for the large US-Belgian business community in the Antwerp region and develop an active program of local/regional activities in this region. The Antwerp Chapter Steering Group was set up in June 2012 in order to increase the Chamber’s reach among the 400+ US and many other international businesses in the Antwerp area. We want to provide these companies with a regular and varied program of networking and information-sharing opportunities. Chaired by Joost Van Roost, the President of ExxonMobil Benelux, it is composed of senior business leaders from the region and supported by the AmCham Belgium Secretariat. During 2014, the Antwerp Chapter organized four

successful events in the Antwerp region. In March, we visited Mondelēz International’s cutting edge baking factory in Herentals. In June, ExxonMobil’s world class and energy efficient refinery was the venue for our next company visit. This was followed by an artinfused luncheon with US Ambassador Denise Campbell Bauer at the exquisite Rockox House. Finally, in October, we visited Axalta Coating Systems in Mechelen, where General Manager Luc Van den Hemel informed us about the

company’s history and its role on the international and national markets. We also supported the American day at the Longines Global Jumping Tour in Antwerp in April. Events in the pipeline for 2015 include company visits to Genzyme and Kellogg’s/Pringle, a lunch with Flemish MinisterPresident Geert Bourgeois and possible events on manufacturing activities, mobility, tax, TTIP and networking dinner with a leading politician.


Communications Committee The Communications Committee aims to position AmCham Belgium as the authoritative voice of US businesses in Belgium. 2014 was a significant year in the evolution of the Chamber’s digital communications. The Communications Committee advised on the design and functionality of a new website, which was launched in September. At the same time, the Chamber switched to a more powerful online marketing platform. And social media continued to grow in importance as a communication channel, not only for the dissemination of key messages, but also, and more importantly, for engagement with our community.

the Communications Committee also oversaw a major revamp of the Annual Directory, which received a more userfriendly format, a fresh design and new content. The Chamber issued four press releases in 2014 and received a total of 73 mentions in the print and audiovisual media. As part of a partnership agreement with Brussels Airlines, the Chamber published its first print advertisement in the in-flight magazine b.there.

Investment Partnership (TTIP) progress, the Chamber is working to secure support for the deal in Belgium. At the initiative of the Communications Committee, the Chamber undertook a stakeholder mapping exercise around TTIP, led by CS&A International Risk & Crisis Management, in October, which will serve as the basis for future outreach efforts.

The Government Relations Forum (GRF) had an active and productive 2014, its first full year of operation. In view of the May 2014 federal and regional elections, the GRF devised and implemented a threephase lobbying strategy: 1. Meet all of the main political parties, via their study centers, before the elections to introduce the Chamber and its main policy recommendations; 2. Reiterate our key messages during the coalition negotiations; and 3. Engage with the newly elected leaders after the government formations. This strategy produced excellent results. The

Chamber established good political contacts, having met eight parties in total before the elections, and some of the Chamber’s recommendations were taken over in the parties’ election manifestos and in the final government agreements. After the elections, the GRF expanded its outreach efforts to include, for the first time, parliamentarians at the regional and federal levels, starting with a very successful breakfast for federal MPs in October. While supporting the other Committees through joint activities, the GRF also focused on new areas of concern for the Chamber, such as the sixth State Reform, energy and TTIP.

Through a taskforce, the GRF drafted a position paper on plain packaging. In addition, the GRF helped serve the interest of the broader membership, for example, by preparing matrices comparing the PPB recommendations with the election manifestos and the government agreements. Originally established under the auspices of the Communications Committee, the GRF was granted independent Committee status by the Board of Directors in September 2014. Human Resources Committee The Human Resources Committee’s role is to promote a human resources environment in Belgium which attracts and develops American business and its employees and contributes to their success. Labor market-related priorities remained the main concern of our member companies in 2014. The Human Resources Committee assisted in preparing and updating the Chamber’s policy positions for the 2014 Priorities for a Prosperous Belgium, focusing in particular on labor costs, the harmonization of the status of blue and white collar workers and the talent gap. The Chamber achieved a major lobbying success when the new federal government agreed to reduce employer social security contributions, in line with our recommendation. The impact of the automatic wage indexation has also been reduced significantly by adapting the calculation formulae, and the proposed ‘index

jump’ will lead to minimal indexation in the near future. Given the social climate after the government formation, it was fortuitous that the Committee planned a debate on labor relations in Wallonia with representatives of the local business community in October. One area of growing importance is the talent gap in Belgium, and in June, the Committee co-organized the ‘How to reach the top in tomorrow’s labor market’ event with the Young Professionals Committee. Besides these public events, best practice sharing within the HR Committee is also important. Specialized HR professionals were invited at regular intervals to the Committee’s monthly

meetings to speak on topics such as diversity on the work floor, the HR aspects of restructurings and retention of young potentials, among many others. The HR Committee concluded the year with an informal networking dinner, joined by a member of the Cabinet of Kris Peeters, Minister for Employment, Economy and Consumers. This informative discussion reviewed the major plans of the new government and provided members of the Committee with the opportunity to interact directly with a Cabinet member.

Legal & Taxation Committee The Legal and Taxation Committee is responsible for monitoring significant tax and legal developments in Belgium (and, subsidiarily, in the EU) and attempting to influence, in a constructive fashion, legislative and administrative decisions in such fashion as to promote the best interests of the American and international business community in Belgium. 2014 was another busy year for the Committee and its Task Forces and Subcommittees. Key highlights include: The R&D and Innovation Taskforce drafted a position paper on “Improving R&D Tax Incentives to Spur Innovation”, which was released in January. Throughout the year, the Task Force worked closely with the Corporate Tax Subcommittee and Government Relations Forum to raise members’ concerns about the manner in which tax authorities are auditing companies that make use of the partial withholding tax exemption for researchers. The Fairness Tax Taskforce is closely monitoring the legal case against the Fairness Tax which is currently pending before the Constitutional Court of

Belgium. Initial indications are that the Fairness Tax violates the EU ParentSubsidiary Tax Directive. While awaiting a final decision in that regard, the Taskforce is planning meetings with the new Federal Government to seek further clarity on this tax. In April, the United States and Belgium signed an Intergovernmental Agreement (IGA) regarding the implementation of FATCA, the Foreign Account Tax Compliance Act. The Committee organized a seminar in June on tax issues for US expats in Belgium to explain the changes brought by FATCA, which was one of the Chamber’s most successful events of the year. In addition to monitoring the IGA, the Tax Treaty Taskforce continues to liaise with officials in the US Treasury Department to lobby in favor of an

eventual US-Belgium Estate Tax Treaty. In the light of the sixth State Reform which transferred competence for personal income tax to the regions, an Expatriate Tax Regime Taskforce was established in March 2014 with the goal of limiting the impact of these changes on labor costs. The new Federal Government will retain the Notional Interest Deduction (NID) for now, but the NID Taskforce continues to monitor the situation closely. The Committee continues with its monthly schedule of meetings, including speakers covering a wide range of topics such as the future of corporate taxation and EU tax measures, as well as non-tax, purely legal subjects, keeping its members abreast of recent developments in various fields.

In 2014, AmCham Belgium attracted 37 new members, reaching a total of 535 members. This lower number of entries was compensated by nine upgrades, among which six to Patron and Group Patron level. This illustrates the Committee’s effort to improve the added value of the different membership categories. The Government Relations Forum continues to increase

its interaction between Patron members and Belgium’s governments and administrations as well as broadening our network of business & political contacts and has significantly increased the Patron membership’s attractiveness. With the establishment of the Antwerp Chapter, the Chamber has increased its activity level in the wider Antwerp area, and in a continuous attempt to expand member reach

outside of Brussels, events were also organized in Leuven and Liège. The Chamber is also pursuing initiatives that will bring extra value to smaller member companies. An important development for membership this year were the new tools put in place, including the brand new website and CRM-system. While improving the membership experience from a user perspective, they have also helped increase the quality of interactions between the Chamber and existing as well as potential members.

This Committee is constituted every year by the Board of Directors when it meets after the Annual General Meeting which takes place in March. It is normally composed of five members. Chaired by Ludo Deklerck in 2014, the members were Olivier Chapelle (Recticel), Ingrid Gonnissen (Xerox), Tom Hawkins (St. John’s) and Joost Maes (Egon Zehnder). As of January 2015, Joost Maes is chairing the Committee. It is responsible for presenting candidates to join the Board of Directors for election by the membership at the Annual General Meeting. It also proposes the officers for election by the Board. The Articles of Association state that the majority of members of the Board of Directors shall comprise

US citizens and/or persons representing US-controlled companies. It follows that the Nominations Committee will, among others, propose US citizens heading businesses active in Belgium to ensure credibility of its advocacy initiatives. It also aims for high quality top executives who have skills or competencies that can benefit the Chamber and does not recommend re-election of members who have not contributed during their term. The Committee also takes into account the need for diversity among the Board members. During the year, candidates put forward by the Nominations Committee can be approved to join the Board as Advisors. Such Advisors may be invited to attend any Board meeting but will

not have the right to vote until their election to the Board is voted on by the membership at the Annual General Meeting. Four Advisors were appointed during 2014. At the Annual General Meeting in March 2014, the Board composition was approved with the resignation of two Board members during term, the election of six new members and the reelection of four members, each for a term of two years starting on March 14, 2014. During 2014, the Board of Directors comprised 22 Directors and four Advisors. Thank you to Ludo Deklerck who made a major contribution to the Chamber during his term.

Young Professionals Committee The Committee’s role is to stimulate and optimize the dialogue between the younger professionals (~18-35) and the American/Belgian business community in Belgium. The Young Professionals Committee has been organizing numerous creative and impactful events notably its famous ‘blockbusters’: •

The Young Professionals@Noon took place five times with the heads of influential companies at The Bank of New York Mellon, Microsoft, ExxonMobil, Solvay and UPS Europe. More than 120 young professionals took part in these intimate (and overbooked) gatherings to network and benefit from the experience of today’s top leaders. The annual ‘Leaders of Today and Tomorrow Speed Networking Event’ took place at Management Centre Europe. 20 CEOs spoke one-on-one with 20 young professionals in

five-minute rounds in a highly energetic and fun evening. •

The second YP Networking Night – jointly organized with BECI, Jong Voka, the BelgianChinese Chamber of Commerce and the Belgium-Japan Association Chamber of Commerce – took place and gathered 147 participants. The event affirmed its position as a ‘don’t miss’ event on the calendar each year. The third VIP Reception took place at the offices of AXA Belgium with EU Trade Commissioner Karel De Gucht as guest speaker.

Striving to inspire and help young professionals develop their career, the Committee monitored the second wave of its

Mentorship Program, which matched nine CEOs and nine mentees for a year. The Committee also co-organized ‘How to reach the top in tomorrow labor market’ event with the HR Committee, which gathered 6 experts to share their best tips for our young professionals’ future on the job market.

Criteria for the preparation of the summary of annual accounts

The summary annual accounts are derived from the audited annual accounts for the year ended December 31, 2014 and are prepared for the information of the members of the American Chamber of Commerce in Belgium ASBL (the “Association”). They do not include all the disclosures required by the financial reporting framework applicable in Belgium. The statutory annual accounts prepared in accordance the financial reporting framework applicable in Belgium are available at the Association’s office and will be filed and available with the National Bank of Belgium. Reading the summary annual accounts is not a substitute for reading the full set of annual accounts. The summary annual accounts follows the lay out of the full set of annual accounts and provides additional information about revenue and expenses. Furthermore, the summary annual accounts is based on the significant accounting policies of which a summary can be found in note 2 to the summary annual accounts. 2

Summary of significant accounting policies

The operations are financed primarily through membership fees, event income, sponsorship income, and subscription income from its magazines and publications. Income and expenses of the Association are accounted for in the period in which such income is earned and expenses are incurred (accrual basis of accounting). The Association classifies as cash equivalents all highly liquid investments with maturities of three months or less. These marketable securities are accounted for at the lower of their cost or their market value. The Association capitalizes its furniture, fixtures and equipment at cost and depreciates them over the estimated useful lives of the assets, using the straight-line method. The cost and related accumulated depreciation applicable to assets retired are removed from the accounts and the related gain or loss on disposition is recognized in the profit and loss statement. The Association expenses costs has capitalized costs related to the development of the new CRM system as it will generate future economic benefits. These intangible assets are amortized over the estimated period in which the future economic benefits will flow to the Association.

The American Chamber of Commerce in Belgium ASBL was formed as a not-for-profit organization (referred to as an ASBL) to promote the harmonious development of Belgo-American relations in the economic and business field, aiding the growth of trade and investment between the two countries.

Operating leases and commitments

The Association is committed under an operating lease arrangement for office space. A new lease agreement was entered into in 2012, for a period of nine years. The lease agreement for the office space provides for a base annual rent of 54.030 EUR, subject to an annual indexation adjustment. The Association has off balance sheet commitments for 27.015 EUR.
