SUSTAINABLE DEVELOPMENT The elusive goal of sustainable development, or 'sustainability' as it is also called, is to make decisions and carry out programs and projects in a manner that maximises benefits to the natural environment and humans and their cultures and communities, while maintaining or enhancing financial viability. Its basic principles include the following: Concern for the well-being of future generations. Awareness of the multi-dimensional impacts of any decision (broadly categorised as economic, environmental, social). The need for balance among the different dimensions across sectors (e.g. mining, manufacturing, transportation), themes (climate change, community cohesion, natural resource management) and scale (local, regional, national, international). In short, sustainability is related to the quality of life in a community - whether the economic, social and environmental systems that make up the community are providing a healthy, productive, meaningful life for all community residents, present and future. Thus, the "Triple Bottom Line" concept. Corporate Sustainability is a business approach that creates long-term shareholder value by embracing opportunities and managing risks derived from economic, environmental and social developments. The Economic Element - This essentially takes into account the financial part of the corporate entity. The Social Element - A socially responsible approach to business would involve sensitivity to social, environmental and ethical issues by corporate entities. The Environmental Element - This entails whether the operations of the corporate entities are impacting positively or negatively on the environment and resources (bio-diversity, human and ecological health, global warming, resource endowments etc.).

Environmental Bottom Line: In order to determine the impact of our products, services, and operations the company gets an annual "Environmental Impact Assessment Study" conducted by a recognised agency. The recommendations indicated in the report are implemented in totality. The impact of products / operations on society is considered at the project feasibility stage itself for new projects so that correct technology is chosen to address the issues of safety, effluent treatment, etc. We have our Health & Safety Policy, put in place in the year 2001, which is as follows:

"Tata Steel Processing And Distribution Limited is committed to a caring and prevention based approach towards health, safety and well-being of all its employees." TSPDL has implemented OHSAS 18001:2007 in its plant locations like Jamshedpur, Pune & Faridabad. The Occupational Health and Safety Assessment Series (OHSAS) standards specifies requirements for an occupational health and safety (OH&H) management system, to enable TSPDL to control its OH&S risks and improve its OH&S performance.

Corporate Citizenship: "TSPDL shall identify the key communities in which it operates and shall strive to undertake practices as a responsible corporate citizen to support and strengthen such groups in order to bring about harmony between people and industry". Site Inspection of the Lonavala Project With Mr. Rob Muir, Ryerson Inc. TSPDL people with Jim Carter (I guess these are photo taglines…can we change/add some photos in this part?) Standing tall to the call of the society, TSPDL has extended its hand to the societal causes. It has joined hands with other Tata companies to promote primary education in the country through the Tata Council for Community Initiatives (TCCI). The company offers its sustained efforts to ‘Udbhas’, a social welfare organisation wholly dedicated to support health & educational upliftment of underprivileged children, by providing warm clothes & educational tools, encouraging them to attain better livelihood through vocational training, support during their annual sports, competitive and cultural programmes, etc. TSPDL also provides continued support to ‘Nabadisha’, a Kolkata police initiative supported by TCCI and Vikramshila, a leading NGO. It imparts basic education (through 25+ schools) to over 1000 street children in Kolkata. The aim is to get the children off the streets and then mainstream them into regular schools.

Such activities have also been conducted in Jamshedpur and Pune. Blood donation camps are regularly conducted in these units, as also afforestation drives to ensure a healthy workplace environment. At Jamshedpur, regular support is provided to a school for underprivileged children and youth of Bagun Hatu Basti, which is adjacent to the Bara unit. Vocational training is imparted in various spheres like masonry,

carpentry, TV and computer repair, stitching, etc. to make them employable or start their own setup as entrepreneurs. TSPDL considers fulfillment of its Corporate Sustainability as an opportunity to serve society and for going well beyond the compliance of regulatory and legal norms. It has partnered with DISHA, LIFELINE, TISWOMEN, SINGHBHUM MAHILA VIKAS MANCH, and BAL GYAN PEETH etc. TSPDL provides constant support and assistance to these organisations.

STEEL SERVICE CENTRE INDUSTRY A Steel Service centre(SSC) acts as an intermediary between steel producers and the end users providing processing, inventory management and distribution services; thereby making it the most vital link in the steel supply chain. It supplies steel in the exact quantity and the exact customised form at the exact time that customers require, often processing or adding value to the material. A Steel service centre procures steel products in large quantities from producing mills, holds the material in inventory and either process it or simply trades it in smaller units, to the customers. SSCs usually offer varying degrees of material ‘pre-processing’ techniques which involve Slitting, Shearing, Cutting to Length, Pickling & Oiling, Plate Burning, Roll Forming, Bending etc. thus making the steel readily usable by the customer and greatly reducing the customer's time. The type, quantity, and sophistication of pre-processing services offered by a particular Service centre are determined by the Service centre's product and customer mix. Service centres handle millions of items each year and are the domestic steel industry's largest customer group. They serve as the industry's working reservoir of materials and services. Approximately 300,000 firms buy a large portion of their metal requirements from service centres. In fact, every single metal user in the country and worldwide deals with service centres at one time or other. However the presence of Steel Service Centres (SSC’s) in the supply chain in India started only in late 90’s.and in time occupied a dominant position in the industrial framework.

IT SYSTEM A company's business processes are largely supported by information technology (IT). Thereby, the more mature these IT systems are, the greater their impact on how people perform. Tata Steel Processing and Distribution Limited is one of the very few companies who had realized this early in their journey towards excellence. SAP, the world’s leading Enterprise Resource Planning(ERP) platform, was implemented at Tata Steel Processing and Distribution Limited keeping this fact in mind and to leverage upon the reliability, manageability and scalability offered by the software. The platform links mill-rolling schedules through the value chain to the production schedules of its clientele; thereby offering full visibility and real time information on processing, delivery and inventory status. Initiated with two locations and three modules, SAP now runs mostly at all plant locations and major distribution locations covering six seamlessly integrated modules. The Wide Area Network (WAN) was commissioned at such a time when VSAT was the only mode of reliable and cost effective data communication. Presently, the network is a hybrid of latest secure and fastest state-of-the-art technologies such as MPLS VPN, point-to-point leased circuits and ISDN. Tata Steel Processing and Distribution Limited was one of the first companies in India to implement SAP in 1997. Being an External Processing Agency (EPA) of Tata Steel, it has taken the Supply Chain Management (SCM) benefits of the SAP software and is connected to the Tata Steel SAP system for SAP data exchange. The company again created history of being the one of the first few companies that upgraded SAP to Enterprise Version 4.7 and the first Tata Group Company to do so. Some of the latest achievements are implementing Video-

Conferencing solutions across plant locations in India connecting to corporate office and to provide SAP over internet, which can be accessible from anywhere in the world provided with strong security mechanism. All our officers and executives are equipped with the latest mobile computer technology (laptops) and all employees communicate through web-based e-mail supported by one of the leading portals. Information Management at Tata Steel Processing And Distribution is also committed to comply with all statutory, legal and contractual obligations including Intellectual Property Rights acquired or developed. The Information Management Department of the organization ensures protection of the Confidentiality, Integrity and Availability of the IT assets in-line with the guidelines of the best International Information Security Management Standards through enforcement of detailed policies & procedures, adopting tested technology and imparting proper training & awareness to all relevant employees and stake holders. All of the aforesaid are achieved by a very thin and highly efficient IT team with support from service providers and partners. The entire infrastructure is maintained by some of the best IT support providers in the country and around the globe who extend their services round the clock.

PROJECT, ENGINEERING & TECHNOLOGY To continue to be the leader in the market TSPDL needs to continuously upgrade and maintain agility in the face of dynamism. This demands setting up of new facilities, rapid expansion of the existing plants and identification and adapting new technologies. The fast changing world encourages us to innovate in ways to excel. PET provides that capability by its able team of qualified engineers to stand up and face this challenge for TSPDL. At TSPDL PET leads the ideal and immediate opportunity to dovetail with the expansion project of Tata Steel (for about 10 Mn TPA) in TSCR and KPO and set up all the necessary downstream facilities to add value to products, ensure higher contribution, customize sales, reach better to end users and most important of all, provide a much higher customer satisfaction and engagement. PRODUCTS AND SERVICES INDUSTRY OVERVIEW AUTOMOBILE The automobile industry has undergone substantial metamorphosis over the past 3 decades. The grip that the North American and (to a lesser extent) European manufacturers had, has eroded by strong competition from their Asian counterparts. Given the cost advantages India offers, more and more global automobile and component players are scaling up their presence in this country. A few major findings such as the per head disposable income in India is growing at CAGR of 12.11%, cars per 1000 population; and is expected to increase at a CAGR of 9.14% and new passenger car registration is expected to grow at a CAGR of 11.41% thereby being clearly reflective of India becoming the next Auto hub. The steady approach of major OEMs in this country by virtue of its population growth, low labour rate and the escalating economy does not pose much of a challenge; rather, this country’s capability to add value to their supply chain is a major concern. In this respect, questions such as, “Can good quality raw materials be provided?”, “Can they provide them the quantity they demand and yet practise Just in Time (JIT)?” arise. This calls for the need of a Steel Service Centre. TSPDL sources the steel from the Steel Mills, stocks them in their state-of-the-art inventory houses, processes them with their world class machineries and finally packs them and dispatches them off. This whole process adds enormous value in the auto value-chain, which is actually reflected in their balance sheet. TSPDL can provide its customers the competitive edge in integrating the production process through cost-effective solutions. We make sure that excellent quality products and precisely processed materials are available at the customer’s doorsteps Just in Time. This has positioned TSPDL as a preferred business partner in the automobile space in India. Customers Speak "..Tata Ryerson Limited* has pioneered the steel processing activity in the organised sector in the country and have shown the path in meeting steel users' needs" Ravi Kant (MD), Tata Motors Ltd * Now Tata Steel Processing And Distribution Limited; by breaking conventional barriers of business, you have gone beyond being a trading bridge between Tata Steel and the small Sheet Metal (SM) vendors, by aspiring to provide value added services in the steel supply chain R. Seshasayee (MD), Ashok Leyland "...we are aiming at a massive growth in coming years & would require your co-operation in achieving the same" Sunil Pahilajani (MD & CEO) CAPARO "...we expect you to service our requirements on day-to-day basis" Nagaraju Srirama (CEO) ASAL

GENERAL ENGINEERING The demand for the earthmoving equipment in India is driven directly by the huge emphasis on the infrastructure sector by the government and corporates. India's inadequate and crippling infrastructure in its major cities, not to mention rural areas, requires a much needed lift and hence there is a huge latent potential. The demand stems from

all segments of the infrastructure sector namely, real estate, power and transport. The demand for both residential and commercial infrastructure is still exceedingly high. The present marketing scenario merely awaits the stabilization of prices to some extent which is expected in the near future. The backhoe loader, (also called a loader backhoe, digger, or colloquially shortened to backhoe) is seen plying on the streets quite often. Sales of back hoes have been rising consistently in the past few years thanks to the construction boom in the country. The market is huge and competition is intense as only organised players operate within the market. The Indian back hoe market is comprised of products from domestic as well as international players. Inspite of the existing tough competition, new players are entering the market with increased acceleration as there is space for everyone in the booming Indian infrastructure segment. Here the increased machine size has provided an opportunity for increased production. In the case of mining equipment, the technology depends on the mining operations prevailing in the country. In India, open cast mining is much more popular than underground mining. Hence for the equipment required for open cast mining like dumpers, dozers, shovels, draglines and excavators, the level of technology of the equipment manufactured is at par with international standards except with respect to usage of electronic controls, hydraulic systems and engines adhering to the latest emission norms.

The Construction sector is the second largest player in the overall Indian Industrial framework after agriculture. The sector is witnessing sharp growth as a result of large investments being made in roads, power, airports and other infrastructure projects. The real estate sector, especially the commercial, residential and retail is growing by leaps and bounds. To help the construction industry to cope up to this galloping growth and shortage in skilled manpower, Tata Steel Processing and Distribution Limited has set up India's first offsite Rebar processing centre at Faridabad thereby catering to the needs of the construction sector in the National Capital Region. The reinforcing bars are procured from the customer approved mills and are cut and bent to complex shapes as per the requirement of the customers. The rebar processing machines sourced from world class manufacturers are capable of cutting and bending reinforcement bars of diameters ranging from 6 mm to 60 mm(references can be made to the ‘Product and Services’ section for a vivid understanding of the products offered and its benefits.) APPLIANCES Virtually every large multinational today - including Blue Star, Samsung, LG, Philips, Electrolux, Whirlpool, among others - have set up production facilities in India to manufacture appliances. The overall trend towards higher foreign participation in this sector has also translated into government reducing levies and duties. For instance, duties on air conditioners have come down to 16 per cent from the all time high of 40 per cent. Besides consumers have benefited hugely as they now have products that are globally standardised as well as offer more consumer-friendly features. (Such as energy efficiency) A combination of changing lifestyles, higher disposable income, greater product awareness and affordable pricing has been instrumental in changing the pattern of consumer expenditure. The consumer durables industry, which includes white goods and electronic goods such as televisions, VCD and DVD players, and audio systems, has been one of the segments to experience increased demand. Staying in compliance with the aforementioned data, TSPDL is gearing itself to meet up to their needs. In this competitive environment the appliances OEM ask for quality products, excellent processing, quality handling and JIT delivery. This is the conjunction wherein TSPDL can chip in with its state-of-the-art machinery, excellent inventory management, packaging and JIT dispatch. The quality standards we follow are at par with the International standards and are acclaimed across continents.

MARKET SEGMENT

As a steel service centre, TSPDL provides both processing and distribution services. The company's business is categorised as Tolling business, based on whether only processing services are provided on materials supplied and owned by customers or as Distribution business, where the ownership of the material lies with TSPDL and it's the finished output that reaches the final consumer. Presently our competencies lie in HR and CR sheets and coils and Rebar Processing. TOLLING: In Tolling, TSPDL processes the materials provided by our customers. In this business model TSPDL doesn't take the ownership of the material but only the processing initiative, inventory and dispatch. The core competence of TSPDL lies in its state-of-the-art machinery, excellent inventory system and JIT availability at the customer's door. The critical processing requirements such as length tolerance, burr height, width tolerance, shape in roll formed section variance, pickled surface quality, etc are taken into serious consideration. The tolling (processing) activities that Tata Steel Processing and Distribution Limited facilitates are Slitting: Cutting a sheet of steel into narrower strips to match customer needs. Because steel mills have limited flexibility as to the widths of the sheet that they produce, service centres normally will cut the sheet for the customer in parlance to their specified requirements. Pickling & oiling: The Process that cleans steel coil of its rust, dirt and oil so that further work can be done to the metal. Through a continuous process, the steel is uncoiled and sent through a series of hydrochloric acid baths that remove the oxides (rust). The steel sheet is then rinsed and dried. (CTL)Cut-to-length: The Process to uncoil sections of flat-rolled steel and cut them into a desired length. Product that is cut-to-length is normally shipped flat-stacked. Roll-forming: It is a process of shaping steel materials using rolls. The Sheets are processed at length. Barrel corrugation: It is also a process of shaping steel sheets using corrugators. Inventory management: TSPDL has the state-of-the-art inventory system. We ensure the best packaging and stocking of the material. Dispatch: We practice Just-In-Time here at TSPDL. The materials are transported following all the norms and laws set by the Govt. of the state. Rebar processing: TMT Rebars of grades Fe 415 and Fe500 are used for infrastructure construction, buildings, dams etc. At TSPDL we shape the bars as prescribed by the customers through their Bar Bending Schedule (BBS). Plate Burning and Fabrication: We have a full line of primary plate processing capabilities includes Oxy fuel, Plasma and Laser cutting with shearing, press bending, welding of plates for ordinary carbon steel, alloy steel to very high strength and high hardness steel. Auto component Manufacturing: We are Tier 1 suppliers using Roll Forming and Stretch Bending technology to manufacture high precision automotive components for Auto majors. DISTRIBUTION: TSPDL caters to its distribution segment through the purchase, processing, inventory and dispatch of steel. This model adds a huge value to the production chain of the customers as it relieves them from the burden of identification of Steel mills, quality check, processing, inventory management and dispatch. Within Distribution, the business is categorised as OE or Retail, based on whether the customer is serviced directly, or through the Retail / Distribution network. In OE distribution, the customers specify the grade of steel that they require and Tata Steel Processing and Distribution Limited takes responsibility to supply them the same grade of steel in the agreed cut to size condition. In retail distribution, TSPDL maintains stocks of materials for feeding its retail chain and provide value for money products.

FLAT PRODUCTS PROCESSING The inception of Tata Steel Processing And Distribution Limited was done with its Flat Product Processing business. The Company has gained proficiency in Hot Rolled, Cold Rolled, Galvanised Plain and Galvanised Corrugation processing. Various processes such as Plate Burning, Roll Forming and Stretch Bending initiatives have been started at Tada & Pantnagar. TSPDL’s latest venture in Stainless Steel, branded as ‘TRYNOX’ also aims to set a benchmark in stainless steel processing and distribution.

Our adherence to strict quality standards have resulted in serving successfully our top OEMs for 14 years; yet the pinnacle of development and success beckons us. We are at present having 8 processing centers and 15 distribution/sales locations all over India that meet our growing customer demand both efficiently and effortlessly.

PLATE PROCESSING Plate Burning and processing was started at TSPDL in 2006, to primarily cater to the Earth Moving and Construction equipment industry. We are in the process of putting up our plant in TADA (Andhra Pradesh). We differentiate from competition by implementing latest technology in Multi Torch Oxy-Fuel cutting tips which is totally integrated with high sensing and internal ignition without any external probes. These torches streamline the cutting process and reduce the risk of torch damages, thereby helping to develop high quality parts with least or no defects. The machines are sourced from M/s Messer (Germany) and they have a patent for torches called ALFATM which are equipped with sensors to control operations. Our capability is to process thicknesses varying from 12 mm to 60 mm and more, maintaining the precision of Quality and Just in Time delivery to our customers.

AUTO COMPONENT MANUFACTURING Automotive Companies are increasingly eyeing for newer technology to achieve higher productivity, higher yields and thus diminishing costs in the supply chain. TSPDL is closely working with Auto companies to identify such improvement opportunities. TSPDL as a Tier 1 supplier is using Roll Forming and Stretch Bending technology to manufacture high precision automotive components for Auto majors. TSPDL also serves the requirements through just in time delivery to assembly lines.

REINFORCEMENT BAR PROCESSING The fabrication of reinforcing steels into shapes suitable for fixing into concrete formwork, is normally performed in advanced countries by specialist reinforcement fabrication centres. In these advanced countries very little reinforcement is cut and bent on-site. In India, the reinforcement bar fabrication is predominantly done at site by employing huge labour force and semi-automatic machines. Although the cutting and bending of steel reinforcement appears relatively straightforward, the steel reinforcement fabrication service centres are well equipped to do so in a consistently accurate manner. The service centres work under a defined set of quality management criteria to ensure the accuracy of cutting and bending operations in order to achieve proper fit at site, and to maintain the required technical parameters defined by the clients. For the very first time Tata Steel Processing And Distribution Limited introduced the concept of off-site rebar processing centre in India and this initiative came as a boon for the Indian construction industry in the National Capital Region. Today large construction houses engaged in building infrastructure, real estates, and railways have placed their trust on Tata Steel Processing And Distribution Limited as their most preferred supplier. The basic fabrication processes consists of cutting and bending the reinforcement steel. The actual process employed depends on the material being processed, whether bar or coil. At the TSPDL reinforcement bar processing centre, the bars are fabricated by cutting on shear lines, and thereafter bending on power bending machines. The processing ranges of these machines are from 16 mm diameter to 60 mm diameter. The

reinforcement bar obtained from the mills in Coil form in the size range of 6mm to 12mm, is bent to stirrups and most complicated shapes through the Automatic Link Bending machine. The top-of-the-line fabrication equipments have been sourced from Denmark and Korea for Tata Steel Processing and Distribution Limited to promise the delivery of dimensionally accurate stirrups and intricate shapes just in time (JIT delivery). With respect to TSPDL’s efforts in Rebar processing and distribution,The Construction Industry is increasingly seeing the benefits of:  Accurate planning of the site programme  Adequate solution to severe shortage in skill and labour  Weather-independent construction  Reduced construction time, thereby avoiding time and cost overrun  Efficient use of limited space at congested sites  Improved safety  High accuracy on specified tolerances thereby avoiding rework or dual work at site  Minimum wastage  Dependency avoidance on power availability and saving of power at site  No investment in machinery for fabricating the reinforcement  On time delivery each time.

QUALITY AND STANDARDS TSPDL has a penchant for quality precision and maintenance of international standards. Our people assimilate best practices the world over and successfully implement them in their own areas of work. Distribution centers have been setup and are equipped with:  the state-of-the-art machinery,  most contemporary technological know-how,  excellent inventory management aided with SAP R/3 and  The best in business distribution facilities. TSPDL has sourced its machinery from Equipment manufacturers like Red Bud, Hollow Block, Esmech etc and subjected itself to the strict international standards with the intention to cope up to the most complex customer demand and concentrating on the minute intricacies of the product and service delivery details. The critical processing requirements like length tolerance, burr height, width tolerance, shape in roll formed section variance, pickled surface quality, etc are certain issues that we address with additional attention and consideration. In processing, the quality of the machine spares is very critical for maintaining the quality of the product and its tolerances. The packaging requirements also assume significance for Customers and accounts for almost 30% in consumables in Hot Rolled and upto 80% in Cold Rolled processing. For on time delivery of processed steel, the transporters play an important value adding role. Since the entire operation is on SAP ERP package linked to an all India Tata Steel SAP network, it is critical to maintain the realtime data availability in the network. This calls for strong support from:  IT related service suppliers like Hughes Escorts for satellite connectivity,  BSNL for lease line maintenance, and  Tata Technologies for SAP maintenance.
