TERMS AND CONDITIONS OF CEDAR RIDGE SELECT SALE LIVE AUCTION The following Terms and Conditions of Sale, as amended by any posted notices or oral announcements by the Sale Agent or Auction Site prior to or during the auction, constitutes the entire agreement between the consignors (the Consignor), on the one hand, and the bidders on the auction, on the other hand. The Consignor has the legal right to convey good title to the Horses. Cedar Ridge Arabians, Inc. is acting solely as sale agent for this auction in the capacity of an independent contractor for the Consignor, and Cedar Ridge Arabians, Inc. makes no representations or warranties whatsoever to any bidders or to any successful buyer, and shall have no obligations or liabilities to any bidder or buyer in its capacity as Sale Agent, and without limiting the generality of the foregoing, shall bear no liability to any party as a result of any breaches of representations, warranties or legal duties or responsibilities of Consignor to anyone. WARRANTY OF TITLE AND POSSESSION: Consignor warrants that upon a horse’s sale and payment of the full purchase price, Consignor shall deliver title and possession free of any cloud whatsoever. WARRANTY OF PEDIGREE: Consignor warrants the horse’s pedigree as represented. WARRANTY OF REGISTRATION: Consignor warrants the horse’s registration as represented. REGISTRATION PAPERS: Registrations papers will pass to the buyer 30 days after final sale and funds have cleared the bank. NO OTHER WARRANTY: The potential buyer has the opportunity to view digital x-rays on all sale horses and pre-purchase exams on sale horses 5 years or older. The exams and x-rays will be available to be viewed from Thursday, February 17, 2011 until Saturday, February 26, 2011.. A fee of $25.00 will be charged for each registered bidder requesting x-rays or pre-purchase exams. There will be no private vet exams done on sale horses. To view readings please contact Leah Beth Boyd at 515-520-7604. This right given to a potential buyer is given in lieu of any warranty of quality, condition or otherwise. CONSIGNOR MAKES NO WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, INCLUDING FERTILITY AND/OR BREEDABILITY OR OTHER WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, EXCEPT OF TITLE, REGISTRATION AND PEDIGREE, EACH HORSE IS SOLD “AS IS” AND WITH ALL EXISTING CONDITIONS AND FAULTS, Neither the Consignor, Cedar Ridge Arabians, Inc. nor any other person is authorized to make representations or warranties about any horse. No oral or written statement constitutes a warranty, and all such oral or written statements, other than those contained herein, shall not be relied upon by any bidder or buyer, and are not part of any contract of sale. TITLE AND DELIVERY: Title passes to the buyer at the close of auction and is subject to payment of the purchase price. All risk of injury to the horse becomes the buyer’s risk upon close of auction. The horse will be held for the buyer by the Consignor until the buyer makes full payment as provided below. The buyer will arrange to make full payment within (I) business day after the auction. All Payments must be made to: CEDAR RIDGE ARABIANS, Inc. The right of a successful bidder to purchase, as determined by the auction site, is not impaired in the event that an Acknowledgement of Purchase is signed by another bidder. Upon settlement by the buyer, the horse shall be released to the buyer with a Stable Release provided by the Consignor. The buyer shall present the Stable Release to Cedar Ridge Arabians, Inc. to remove the horse from the sales premises after taking possession, but in any case taking possession of the horse by the buyer shall constitute delivery thereof. If the buyer fails to cause any horse to be removed promptly, will result in board charges from Cedar Ridge Arabian, Inc at a rate of $20.00 per day, this will be at the buyer’s risk and expense. LIMITATION OF LIABILITY: The buyer’s exclusive remedy for any breach shall be limited to the return of the horse (as described in the following paragraph) and repayment of the purchase price received by the Consignor, less commissions and costs of sale. The liability of the Consignor or the Consignor’s agents with respect to any sale or anything done in connection therewith, whether arising out of contract, negligence, strict liability warranty or otherwise, shall not exceed the total purchase price, less commissions and cost of sale, of the horse upon which liability is based and which has been received by the Consignor, Except to the extent set forth in this and the following paragraph, the buyer shall not under any circumstances be entitled to, nor be able to, recover any damages, including but not limited to consequential damages, incidental damages, special or general damages or loss of other property, or loss resulting from any general or particular requirements and needs of the buyer. RIGHT OF RETURN: Any horse sold in this sale that does not conform to the representations and warranties set forth herein, shall be subject to return to the Consignor in exchange for a refund of the total purchase price, less commissions and costs of the sale, and reimbursement for reasonable expenses for keep, maintenance and transportation of the horse from the close of auction PROVIDED THAT WITHIN FORTY-EIGHT (48) HOURS AFTER THE CLOSE OF AUCTION AND PRIOR TO REMOVAL FROM THE SALES PREMISES, THE CONSIGNOR RECEIVED WRITTEN NOTICE FROM THE BUYER THAT SUCH A NON-CONFORMING CONDITION EXISTS, AND THAT THE SAME EXISTED AT THE TIME OF SALE. TIME IS OF THE ESSENCE IN RETURNING A HORSE ALL WARRANTIES TERMINATE FORTY-EIGHT (48) HOURS AFTER THE CLOSE OF AUCTION, AFTER WHICH THE BUYER SHALL HAVE NO RIGHT OF RETURN UNDER THIS PARAGRAPH. The right of the buyer to return the horse as provided herein to the Consignor shall be the sole and exclusive remedy against the Consignor with respect to the warranties, and the Consignor shall not be liable for any further actual or consequential damages. ASSUMES NO RESPONSIBILITY FOR THE CORRECTNESS OF ANY CATALOG OR OTHER DESCRIPTION OF A HORSE, OR ANY OTHER INFORMATION WITH RESPECT TO ANY HORSE, WHETHER CONTAINED IN THIS CATALOG OR OTHERWISE CEDAR RIDGE ARABIANS, INC MAKES NO GUARANTEE, REPRESENTATIONS OR WARRANTY WHATSOEVER, EXPRESS OR IMPLIED, OF TITLE, PEDIGREE, REGISTRATION, FITNESS FOR A PARTICULAR PURPOSE, INCLUDING FERTILITY AND/OR BREEDABILITY, MERCHANTABILITY OR OTHER-WISE, WITHRESPECT TO ANY HORSE, AND IN NO EVENT SHALL CEDAR RIDGE ARABIANS, INC. ASSUME OR HAVE ANY RESPONSIBILITY, LIABILITY OR OBLIGATION WHATSOEVER TO ANY BIDDER OR ANY PARTY (WHETHER OR NOT SUCCESSFUL) RELATED TO THE AUCTION OR THE SALE OF THE HORSE. WEB-PAGES: Every effort has been made to assure the correctness of the catalog, but the Consignor and Cedar Ridge Arabians, Inc. are not responsible for errors or omissions. BIDDING: The highest bidder recognized by the auction shall be the buyer, Bids tendered after the fall of the close of auction are not valid grounds for the dispute. If any dispute arises between two or more bidders, or in the event of doubt on the part of the auction as to the validity of any bid, the auctioneer will have the final discretion either to determine the successful bidder, or to reoffer and resell the horse in dispute. The auction’s sale record is conclusive and is not subject to challenge. The auctioneer reserves the right to reject any bid. DELIVERY TO BUYER: No horse shall be delivered to the buyer until payment in full has been received in full by one or more of the means set forth below. BUYER’S PAYMENT: The buyer shall pay for the horse within one (I) business day of the conclusion of the sale, and shall pay CEDAR RIDGE ARABIAN, INC the total purchase price (or as described in terms) by one or more of the following means: U.S. currency, cashier’s check, traveler’s check, personal check, CREDIT CARDS WILL NOT BE ACCEPTED TERMS: Cash Purchase - Buyer shall pay purchase price in full as described in buyer’s payment. DEFAULT OF PURCHASE: If any person shall purchase a lot and fail to pay for it in the manner described above, the Consignor shall have, in addition to all other legal rights, the right to resell the lot, or at his option, bring an action for specific performance, in which event the defaulting buyer agrees to pay all costs of such suit, together with all reasonable attorney’s fees and cost. In the event of a resale the defaulting buyer agrees to pay all cost of resale, plus any deficiency between the original total purchase price and the total purchase price upon resale. TRANSPORTATION: The buyer, at his own expense, shall transport the horse from the sale premises. LAW AND TAXES: These Terms and Conditions of Sale shall be construed and governed by the laws of the State of Arizona in effect as of the date of the sale, and any dispute shall be resolved pursuant to the laws of the State of Arizona. Jurisdiction and venue shall be in Maricopa County, Arizona. Each buyer agrees to pay any city, county or state sales, transaction, privilege, or use tax which may be claimed because of the buyer’s failure to qualify for an exemption. Applicable Arizona State sales tax rulings and state statutes may apply. WITHDRAWAL RIGHTS: The consignor and Cedar Ridge Arabians, Inc. reserve the right to withdraw any horse from the sale without liability to anyone. INSURANCE: Immediately full mortality insurance coverage is effective upon the close of auction for the amount of the total purchase price. The insurance, arranged by the Sale Management with C. TERMS AND CONDITIONS OF CEDAR RIDGE SELECT INTERNET AUCTION The following Terms and Conditions of Sale, as amended by any posted notices or oral announcements by the Sale Agent or Auction Site prior to or during the auction, constitutes the entire agreement between the consignor (the Consignor), on the one hand, and the bidders on the auction, on the other hand. The Consignor has the legal right to convey good title to the Horses. Cedar Ridge Arabians, Inc. is acting solely as sale agent for this auction in the capacity of an independent contractor for the Consignor, and Cedar Ridge Arabians, Inc. makes no representations or warranties whatsoever to any bidders or to any successful buyer, and shall have no obligations or liabilities to any bidder or buyer in its capacity as Sale Agent, and without limiting the generality of the foregoing, shall bear no liability to any party as a result of any breaches of representations, warranties or legal duties or responsibilities of Consignor to anyone. WARRANTY OF TITLE AND POSSESSION: Consignor warrants that upon a horse’s sale and payment of the full purchase price, Consignor shall deliver title and possession free of any cloud whatsoever. WARRANTY OF PEDIGREE: Consignor warrants the horse’s pedigree as represented. WARRANTY OF REGISTRATION: Consignor warrants the horse’s registration as represented. REGISTRATION PAPERS: Registrations papers will pass to the buyer 30 days after final sale or other arrangements have been made. NO OTHER WARRANTY: CONSIGNOR MAKES NO WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, INCLUDING FERTILITY AND/OR BREEDABILITY OR OTHER WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, EXCEPT OF TITLE, REGISTRATION AND PEDIGREE, EACH HORSE IS SOLD “AS IS” AND WITH ALL EXISTING CONDITIONS AND FAULTS, Neither the Consignor, Cedar Ridge Arabians, Inc. nor any other person is authorized to make representations or warranties about any horse. No oral or written statement constitutes a warranty, and all such oral or written statements, other than those contained herein, shall not be relied upon by any bidder or buyer, and are not part of any contract of sale. TITLE AND DELIVERY: Title passes to the buyer at the close of auction and is subject to payment of all or such part of the purchase price. All risk of injury to the horse becomes the buyer’s risk upon close of auction. The horse will be held for the buyer by the Consignor until the buyer makes full payment as provided below. The buyer will arrange to make full payment within (I) business day after the auction. All Payments must be made to: CEDAR RIDGE ARABIANS, Inc. The right of a successful bidder to purchase, as determined by the auction site, is not impaired in the event that an Acknowledgement of Purchase is signed by another bidder. Upon settlement by the buyer, the horse shall be released to the buyer with a Stable Release provided by the Consignor. The buyer shall present the Stable Release to Cedar Ridge Arabians, Inc. to remove the horse from the sales premises after taking possession, but in any case taking possession of the horse by the buyer shall constitute delivery thereof. If the buyer fails to cause any horse to be removed promptly, will result in board charges from Cedar Ridge Arabian, Inc at a rate of $20.00 per day, this will be at the buyer’s risk and expense. LIMITATION OF LIABILITY: The buyer’s exclusive remedy for any breach shall be limited to the return of the horse (as described in the following paragraph) and repayment of the purchase price received by the Consignor, less commissions and costs of sale. The liability of the Consignor or the Consignor’s agents with respect to any sale or anything done in connection therewith, whether arising out of contract, negligence, strict liability warranty or otherwise, shall not exceed the total purchase price, less commissions and cost of sale, of the horse upon which liability is based and which has been received by the Consignor, Except to the extent set forth in this and the following paragraph, the buyer shall not under any circumstances be entitled to, nor be able to, recover any damages, including but not limited to consequential damages, incidental damages, special or general damages or loss of other property, or loss resulting from any general or particular requirements and needs of the buyer. RIGHT OF RETURN: Any horse sold in this sale that does not conform to the representations and warranties set forth herein, shall be subject to return to the Consignor in exchange for a refund of the total purchase price, less commissions and costs of the sale, and reimbursement for reasonable expenses for keep, maintenance and transportation of the horse from the close of auction PROVIDED THAT WITHIN FORTY-EIGHT (48) HOURS AFTER THE CLOSE OF AUCTION AND PRIOR TO REMOVAL FROM THE SALES PREMISES, THE CONSIGNOR RECEIVED WRITTEN NOTICE FROM THE BUYER THAT SUCH A NON-CONFORMING CONDITION EXISTS, AND THAT THE SAME EXISTED AT THE TIME OF SALE. TIME IS OF THE ESSENCE IN RETURNING A HORSE ALL WARRANTIES TERMINATE FORTY-EIGHT (48) HOURS AFTER THE CLOSE OF AUCTION, AFTER WHICH THE BUYER SHALL HAVE NO RIGHT OF RETURN UNDER THIS PARAGRAPH. The right of the buyer to return the horse as provided herein to the Consignor shall be the sole and exclusive remedy against the Consignor with respect to the warranties, and the Consignor shall not be liable for any further actual or consequential damages. TERMS: Cash Purchase - Buyer shall pay purchase price in full as described in buyer’s payment. DEFAULT OF PURCHASE: If any person shall purchase a lot and fail to pay for it in the manner described above, the Consignor shall have, in addition to all other legal rights, the right to resell the lot, or at his option, bring an action for specific performance, in which event the defaulting buyer agrees to pay all costs of such suit, together with all reasonable attorney’s fees and cost. In the event of a resale the defaulting buyer agrees to pay all cost of resale, plus any deficiency between the original total purchase price and the total purchase price upon resale. TRANSPORTATION: The buyer, at his own expense, shall transport the horse from the sale premises. LAW AND TAXES: These Terms and Conditions of Sale shall be construed and governed by the laws of the State of Arizona in effect as of the date of the sale, and any dispute shall be resolved pursuant to the laws of the State of Arizona. Jurisdiction and venue shall be in Maricopa County, Arizona. Each buyer agrees to pay any city, county or state sales, transaction, privilege, or use tax which may be claimed because of the buyer’s failure to qualify for an exemption. Applicable Arizona State sales tax rulings and state statutes may apply. WITHDRAWAL RIGHTS: The consignor and Cedar Ridge Arabians, Inc. reserve the right to withdraw any horse from the sale without liability to anyone. INSURANCE: Immediately full mortality insurance coverage is effective upon the close of auction for the amount of the total purchase price.
