MANAGEMENT’S REPORT

The joint-stock company UPB and its subsidiaries together form an industrial group whose business is based on the design and construction of complex buildings / technological facilities, including consultations during the early stages of the project, design, manufacture and assembly of building structures and facades. The UPB group consists of glass facade, steel and reinforced concrete structure production units, a cogeneration module production unit, a mechanical engineering production unit, 11 ready-mix concrete production units throughout Latvia, complex engineering and construction companies in Latvia, as well as an IT solution company. UPB group ensures its operations with companies and their representative offices in nine countries — Latvia, Sweden, Norway, Denmark, Lithuania, Belarus, Great Britain, Switzerland and Azerbaijan — employing more than 1,800 people in total. In 2019, UPB group’s consolidated net turnover reached 213 million euros. Throughout the reporting year, the main focus in the development of the group was on the creation of novel and innovative products, construction of increasingly larger and more complex projects, including the implementation of combined design and construction projects, as well as constant digitalisation and automation of the engineering, manufacturing and construction processes. The proportion of volumes sold in Latvia and export markets is 36% vs. 64%. Last year, UPB group companies in total paid more than 25 million euros in taxes. UPB is working on increasingly intricate and more complex projects, offering products and solutions with greater added value. There have been more projects carried out with highly processed wall elements included already, such as production unit-installed windows, brick treatments, tile finish, terracotta finish, pigmented concrete, curved surfaces, glass fiber reinforced concrete (GRC) solutions etc. In 2019, several significant Design & Build projects were launched and implemented — the largest of which are the shopping and entertainment centre ‘SĀGA’ in Stopiņi, Latvia, and the Boeing 747-8 hangar at Baku Airport, Azerbaijan. Several of UPB’s 3C projects combining glass, steel and concrete structures, various facade and frame

projects have also been completed, and work has been performed on several impressive high-rise projects, including the 37-storey office building ‘Citygate’ in Sweden, where UPB designs, manufactures, supplies and assembles steel and reinforced concrete structures. The largest projects in Latvia in 2019 were the newly erected building of the tennis hall of the Liepāja Olympic Centre, the construction of the LIDL store in Liepāja and construction of the Jensen Metal production unit in the territory of Karosta Industrial Park in Liepāja, as well as several projects for the needs of the Ministry of Defence. In 2020, construction works will continue at the largest project of UPB in Latvia — the shopping and entertainment centre ‘SĀGA’. The total area of the object is 57,000 m2, and designing for this project has been fully performed with BIM (Building information modelling). Last year, UPB also completed the design of a multifunctional building complex in Ķīpsala, Latvia and signed a contract for its construction. Also the development concept of Liepāja Airport was created. Among the major projects abroad are the multifunctional building ‘Stora Frosunda’ in Sweden with a total area of 66,900 m2 where UPB provides the design, manufacture, supply and assembly of steel and reinforced concrete structures, the head office building of the brewer ‘Carlsberg’ in Denmark where UPB designed, manufactured, supplied and installed a facade with pure copper and copper composite cladding, as well as the 13-storey office building ‘Princeton’ in Sweden and the 16-storey office building ‘Parallell’ in Norway. The Fargskrappan community building was an impressive 3C project in Sweden. The building has 15 floors, and its frame was built using 760 tonnes of steel and 4090 cubic metres of concrete, while the facade consists of glass structures of 12 colours (a single element may have up to six different colour shades). An element façade project, Bloom Clerkenwell, is currently in development in the UK and being built on the new underground line building. In order to facilitate further development of the UPB group, we invested in nearly all of our business structures. A major digitisation programme has been implemented in our pre-fab reinforced concrete component production units, and the expansion and upgrade project for the

Liepāja reinforced concrete production unit has entered its design stage. A new ready-mix concrete production unit was set up in Liepāja, and we continue to invest in modernising our readymix concrete infrastructure and expanding the vehicle fleet. A new accredited concrete research laboratory has been created in Daugavpils, and we are preparing for setting up new premises for the lab in Riga. At the same time, we conducted various projects for developing new concrete products: we developed a new solution for glass-fibre reinforced concrete (GRC) lining, and worked out complex concrete formulas for high-strength and self-sealing concrete. The manufacturing spaces of the aluminium-glass production unit have grown by 50%, investments have also been made towards the development of technologies, such as the new insulated glass unit production line, a laminated glass cutting rig and a glass edge grinding machine etc.

in Basel, Switzerland, meeting its strict requirements for sound insulation. We set up a 50 kW cogeneration plant at the production unit of ‘Užavas alus’, to provide it with the electric power it consumes. Last year, we signed a few contracts for building innovative production systems, such as the construction of a main heating line to connect the heating systems of Baloži and Titurga, and the construction of a heat battery system for the production unit CHPP-2 of JSC (AS) Latvenergo. Alto 4.0, a company of the UPB group, has developed an enterprise resource planning system — Alto ERP — which provides centralised and full optimisation of the business process cycle. After the end of the financial year, on 11 March 2020, the World Health Organization declared the outbreak of a new coronavirus ‘Covid-19’ as a global pandemic, and on 12 March 2020, the Government of the Republic of Latvia declared a state of emergency in Latvia which was in force from 12 March to 9 June 2020.

The amount of mechanical engineering structures we produced went up by 26% in comparison with 2018. The investments include buying various hardware and software that improves production efficiency.

Taking into account the existing portfolio of orders, in 2020, we forecast that the consolidated turnover will exceed the threshold of 200 million euros.

NOTE TO THE FINANCIAL STATEMENTS The summary consolidated financial statements comprise the consolidated balance sheet as at 31 December 2019 and the consolidated statements of profit and loss, cash flow and changes in equity for the year then ended derived from the audited consolidated financial statements of AS UPB and its subsidiaries in accordance with the “Annual Reports and Consolidated Annual Report Law” of the Republic of Latvia. The full audited consolidated financial statements of AS UPB its subsidiaries and companies under Group agreement and the Auditors’ Report thereon are available at Dzintaru 17, Liepaja, Latvia. Management believes that the content of the summary consolidated financial statements is consistent with the objective of the summary consolidated financial statements.

Opinion The accompanying summary consolidated financial statements on pages 18 to 23, which comprise the summary consolidated balance sheet as at 31 December 2019 and the summary consolidated statements of profit and loss, cash flow and changes in equity for the year then ended, and related note to the summary consolidated financial statements, are derived from the audited consolidated financial statements of AS UPB and its subsidiaries for the year ended 31 December 2019. In our opinion, the summary consolidated financial statements derived from the audited consolidated financial statements of AS UPB and its subsidiaries for the year ended 31 December 2019 are consistent, in all material respects, with the audited consolidated financial statements on the basis described in the Note to the summary consolidated financial statements. Summary Consolidated Financial Statements The summary consolidated financial statements do not contain all the disclosures required by the ‘Law on the Annual Reports and Consolidated Annual Reports’ of the Republic of Latvia.
