ABOUT JAZZ MATTERS Jazz Matters, Inc., is a 501(c)(3) non-profit organization that celebrates and promotes the art of jazz by highlighting the diversity and cultural roots of jazz music and musical genres influenced by it. We believe jazz matters, because jazz is America's only original art form and this national treasure was created by African Americans. It is our mission to preserve a musical culture, tradition and art form ... keeping jazz alive! In this proposal, you'll discover sponsorship opportunities for our upcoming 7th Annual Jazz Matters At The Wren's Nest summer concert to be held Friday, August 19, 2022. EVENT DESCRIPTION Jazz Matters At The Wren’s Nest concert series, presented by Jazz Matters Inc., will take place on the grounds of The Wren’s Nest, home of author Joel Chandler Harris. The Wren's Nest sits on 2-1/2 acres of magnolia and oak trees in the city of Atlanta's historic West End. It is the oldest house museum in the City. Our audience will relax, relate, and release to a wonderful evening of music under the stars in Atlanta's Historic West End on Friday, August 19, 2022. The concert will feature performances by resident Atlanta artists, as well as regional and national artists. The audience will experience musical performances highlighting the diversity and cultural roots of jazz music and musical genres influenced by it.

Jazz Matters Inc. Terms & Conditions GENERAL TERMS - The Sponsor hereby agrees to Sponsor “Jazz Matters At The Wren’s Nest” concert series described in the Sponsorship Proposal, a copy of which is attached hereto as Exhibit A and is incorporated herein by this reference. The Sponsor agrees to provide Jazz Matters, Inc., services and/or pay the following fees indicated on the Sponsorship application. In consideration, therefore, Jazz Matters, Inc., shall provide Sponsor with the benefits described in the Proposal. Jazz Matters, Inc., may adjust such benefits, substitute benefits or provide other benefits with the approval of the Sponsor.
PAYMENTS - All payments are due on or before July 15, 2022. ALL PAYMENTS ARE NON-REFUNDABLE - In-kind services shall be scheduled in writing by representatives of Jazz Matters, Inc., and Sponsor. Please note: all monetary donations will be received via, Credit Card, Money Order, Cashiers Check. All are acceptable forms of payment. No personal checks will be accepted. LIMITATION OF SPONSORSHIP - Unless otherwise provided, the cash or services and the Sponsor benefits described in the agreement are related solely to “Jazz Matters At the Wren’s Nest” concert series. LICENSE AND USAGE - Sponsor hereby grants Jazz Matters, Inc., a limited, non-exclusive license to use Sponsor’s trade names, trademarks, service marks and other Proprietary Information owned by the Sponsor. Jazz Matters, Inc., agrees that the Proprietary Information will be used only in connection with appropriate advertising via print, media and/or social media to provide the benefits set forth in the proposal and such other benefits as Sponsor and Jazz Matters, Inc., may agree. Jazz Matters, Inc., use of the Proprietary

TERMINATION - Jazz Matters, Inc., may terminate this contract on 30 days written notice. In the event of termination for any reason other than failure to provide contracted fees or services, Jazz Matters, Inc., may substitute an event with equivalent benefits with the approval of the Sponsor. AMENDMENTS - This agreement may be amended only by a written instrument executed by both parties.
MISCELLANEOUS - This agreement is governed by Georgia law and is binding upon all of the parties’ successors and assigns. VENDORS - Each vendor will be solely responsible for any consequential or other loss, injury, or damage done to or occasioned by or arising from any articles exhibited or for sale by him, and shall hold harmless to Jazz Matters, Inc., and its affiliates. Jazz Matters, Inc. and its affiliates will take responsible precautions to ensure the safety of all parties involved. Sponsor's property of every description entered for display or any other purpose while anywhere on the grounds shall be subject to the control of Jazz Matters, Inc., but the Sponsor(s) themselves must take the risk of exhibiting. In no case shall Jazz Matters, Inc., be responsible in any way for any loss, damage, or injury of any charter, property, article, or person while same is on the grounds or at any other time or place, nor be liable or make any payment for damage loss or injury. Vendor agrees to maintain the area of his exhibit or materials in an orderly manner.

As a sponsor I understand the applicable sponsorship opportunities described in this proposal and agree to provide digital artwork for all promotional advertising. I further understand that these opportunities will not be valid until the Sponsorship Agreement and Sponsorship Application is signed and my payment received by Jazz Matters, Inc. on or before July 15, 2022.
