EnviroStar completes acquisitions of AAdvantage Laundry Systems, Sky-Rent

MIAMI — EnviroStar Inc. has completed the acquisitions of Zuf Acquisitions I LLC, dba AAdvantage Laundry Systems, a Dallas-based distributor of commercial laundry products and a provider of installation and maintenance services, and Sky-Rent LP, a Dallas-based provider of commercial laundry rental solutions, the company reports.

“AAdvantage represents EVI’s first investment in the southcentral region of the United States,” says Henry M. Nahmad, EnviroStar’s chairman and CEO.

“This investment is consistent with our plan to build North America’s largest commercial laundry distributor delivering a comprehensive product offering, world-class installation and maintenance services, and advanced technologies that deliver on our pursuit of growth.”

EnviroStar is a distributor of commercial, industrial and vended laundry products and industrial boilers, including related parts and supplies. ALN

Tax reform and the laundry/linen industry

analyst at The Tax Institute at H&R Block, to offer a first look at what TCJA will mean for laundry and linen service businesses.

CHICAGO — At the end of 2017, the U.S. Congress passed, and President Donald Trump signed into law, the Tax Cuts and Jobs Act (TCJA).

The Act cuts taxes on individuals and businesses in hopes this will stimulate the economy and create jobs. It’s the first major overhaul of the tax system in more than 30 years, which means everybody will experience changes in taxes starting this year.

American Laundry News was able to get a few minutes at the start of the busy tax season with Mike Slack, lead tax research

Slack: The reduction in the tax rate for C corporations, the elimination of the corporate AMT (alternative minimum tax), and the new 20% deduction from business income for pass-through businesses are likely the most impactful TCJA provisions for business.

One of the more significant new law provisions cuts the tax rate for C corporations to a flat 21%. Before the TCJA, the tax rates for C corporations were graduated, starting at

15% for taxable income up to $50,000, with rates at 25% for income between $50,001 and $75,000, 34% for income between $75,001 and $10 million, and 35% for income above $10 million.

The TCJA also eliminated the AMT for corporations starting in 2018. That being said, businesses with AMT credit carryforwards may continue to partially use those through 2021.

For businesses that are not operated as C corporations (i.e., sole proprietors, partnerships and S corporations), the TCJA establishes a 20% deduction of their net income. This deduction is essentially a 20% “haircut” off the top of a business’ otherwise taxable profit, as it requires no additional capital outlay on the business to be eligible.

The deduction becomes limited once income levels exceed $157,500 ($315,000 for joint return filers).

Countering sexual harassment in the workplace

These accusations are coming to light because of a movement known as #metoo. The public movement is exposing disturbing activity and is making its presence felt in the workplace.

Laundry and linen service providers need to take action now to protect employees and the company from this type of activity. Sexual harassment claims are costly, timeconsuming and embarrassing.

nated personal exemptions, this will require many employees to update their Form W-4 withholding allowances. The IRS released the new tables in February, and employers must adjust the withholding from their employees’ checks to account for the removal of those personal exemptions.

The new law makes no changes to applicable large-employer mandate with regards to rules for employer-provided health insurance.

Slack: Businesses operating as C corporations are likely to see a more favorable tax bill overall due to a flat tax rate of 21%. At the same time, they will also have new or expanded tax benefits that will mean they should re-evaluate their tax planning and strategies to make sure they’re getting the best outcome.

Slack: Going forward, the only real permanent business provision of the TCJA is the lowered tax rate for C corporations. While most of the provisions will remain in one form or the other, most will eventually “sunset” back to the preTCJA rules, typically after 2025.

QWhat parts of the Act are in favor of larger laundry and linen services? What will have negative impact and how?

Slack: The TCJA greatly expands bonus depreciation. Under the new law, a 100% first-year deduction is allowed for qualified new and used property acquired and placed in service after Sept. 27, 2017, and before 2023. The prior law only provided for a 50% allowance, to be phased down for property placed in service after 2017. However, under the new law, the 100% allowance is phased down starting after 2023.

The law also increases the maximum §179 deduction from $500,000 to $1 million for qualifying property. The phase-out for the deduction was also increased.

Slack: There are many variables in the law that will impact each business differently. The new tax rate for C corporations, the elimination of the corporate AMT, the new 20% deduction for passthroughs, and expanded capital expensing options will have a positive impact.

On the other hand, reductions in the ability to claim net operating losses and repeal of meal and entertainment expense deductions could have a negative impact.

General contractor selected for Clean 2019

ATLANTA — Shepard Exposition Services will be the general contractor for the Clean Show at the Ernest N. Morial Convention

Center in New Orleans June 20-23, 2019.

The announcement was made by Joseph Ricci, Clean

2019 chairman of the Clean Executive Committee and president of TRSA, the association for linen, uniform and facility services.

Shepard, an Atlanta-based nationwide exhibition service provider, served as general contractor for the Clean Show in 2001, 2005, 2007, 2011 and 2015.

“After reviewing proposals from three qualified contractors, we felt that Shepard was the best fit for the Clean Show in New Orleans,” says Ricci. “Its experience with previous Clean Shows, and its unique concierge program that gives individual attention to the needs of each exhibitor, are definitely a plus.”

Exhibit booth sales for Clean 2019 will open in late spring 2018, according to the show’s management company, Riddle &

Associates.

The Clean Show, officially titled the World Educational Congress for Laundering and Drycleaning, is staged every two years. Riddle says it is the world’s premier exhibition for equipment, products, supplies and services for all segments of the textile care industry, and is one of the country’s top 200 trade shows.

The top executive of each of the five Clean Show sponsoring associations comprise the Clean Executive Committee, which sets policy for the show. In addition to TRSA, sponsors are Association for Linen Management (ALM), Coin Laundry Association (CLA), Drycleaning and Laundry Institute (DLI), and Textile Care Allied Trades Association (TCATA). HLAC names three new board members

The Healthcare Laundry Accreditation Council (HLAC) has elected three new members to its board of directors for the 2018-2020 term, HLAC reports. The new board members are Mark J. Hoenemeyer, chief executive officer of Bay Linen Inc., Clearwater, Fla.; Paul Jewison, president and chief executive officer of Textile Care Services Inc., Rochester, Minn.; and Rocco Romeo, chief executive officer of HLS Linen Services, Ottawa, Ontario.

“Mark Hoenemeyer, Paul Jewison and Rocco Romeo are among the best and brightest in our industry,” says Bradley J. Bushman, HLAC board president. “They are tremendous advocates of HLAC accreditation, and they share the organization’s goal of promoting

HLAC as the foremost accreditation organization in the textile services industry.”

HLAC is the nonprofit organization that inspects and accredits laundries processing textiles for hospitals, nursing homes and other healthcare facilities.

HLAC’s voluntary board of directors comprises a cross-section of objective experts with experience in infection prevention, environmental services, laundry operations and government inspection.

Learn laundry basics

I enjoy feedback from the readers of my column. I have been in the laundry industry since 1972 and writing monthly columns for about 25 years. I recently received a question from a very small healthcare laundry in a Western state.

It is easy to forget in this age of large centralized laundries that there still are many small laundries that serve our rural hospitals and clinics. Often, we concentrate our efforts on dealing with the challenges faced by large, complex laundries and forget about the very real needs of the small laundries.

This manager had a few basic questions and needed some guidance on how to eliminate hair on OR towels. It reminded me of my first few months in the industry and how inadequate I felt. Fortunately, I was given some good advice in my early days that convinced me to stay in the industry. My two immediate bosses, Henry Palmer and Bill Hendrix, were sold on the industry and let me know the wonderful opportunities that were available in the industry. I still find their advice relevant today.

As an industry, there is great opportunity for growth and advancement for anyone who is willing to learn the management side of the industry. There is a lack of qualified managers to meet the demands of the industry. When I entered the industry back in 1972, a college education was a rare commodity. Today, it is required in top-level management positions. But education alone will not make you a good manager.

I strongly suggest that anyone wanting to make the laundry industry their career be willing to spend time in each production area of the laundry, learning on a hands-on basis how each job is done. This hands-on experience is essential if you are going to understand how the various stages of the operation are interrelated.

It is also essential that a good manager learn about washroom chemistry. We often overly rely on the expertise of our chemical vendors. The smaller the laundry, the more likely the chemical vendor isn’t as knowledgable. Chemical companies recruit and train chemical representatives on an ongoing basis. The training is standardized and designed to give them the basics that they will need to succeed, but the information is not always learned appropriately.

I can remember a new chemical representative sitting in my office and telling me that I needed a pH of 26 to get my clothes clean. I asked him if he meant PPM or pH. He insisted that he was taught that he needed a pH of 26. I tried to explain to him that the pH scale ran from 0 to 14 only. When he told me I did not know what I was talking about, I politely asked him to leave and to not return until he knew what he was talking about.

The basics of washroom chemistry deals with a known load size, based on the rated size of the washer less a certain percentage. Each manufacturer uses a different standard to determine capacity. The ideal way to determine capacity is based on average type of soil and how much product can be placed in the washer and still receive good mechanical action.

Many small operations stuff textile products into the washers until they think they are full. Chemicals are then injected based on what the chemical representative thinks the load size would be. Carefully working with the chemical representative and giving him/ her a consistent load size will improve quality and costs.

The four principles of good washroom chemistry are chemicals, temperature, time and mechanical action. If you change one factor, then you must make adjustments in the other three. Learning about how these four factors work together will help any manager make wise decisions.

The purpose of a good wash program is to extend the life of the textile product and increase the productivity of the laundry staff by limiting the amount of rewash. Many managers attempt to save money on laundry chemicals while having to pay more for energy costs, linen replacement and labor.

Learning the basics of washroom chemistry from articles, industry magazines, books or industry seminars is the first step in becoming a good laundry manager.

“If your company hasn’t brushed off its no-harassment, no-discrimination policy in a number of years, it’s time to do so,” he says. “It may be that you brush it off and find that you don’t need to make any changes, but if you have a policy that hasn’t been looked at and revised in a couple of years, you’re going to find something.”

One of the more recent policy elements Shelton highlights is zero tolerance. That doesn’t mean firing everybody who is accused of harassment. Rather, it means having zero tolerance when there is evidence to support the claim of harassment.

“We’re getting to the point now, if you have proof that somebody is engaged in inappropriate behavior, you have to ask yourself, are they going to get a second chance?” says Shelton. “Of course, you always have to come back to the question (of) does the punishment fit the crime? There’s still some subjectivity there. Zero tolerance is what we’re seeing as a modern standard when defining terms of professional conduct.”

Another key policy element, he says, is to encourage the reporting of any incidents.

“You want to have several avenues for complaints, and explicitly guarantee no retaliation [from the company],” Shelton adds.

DISSEMINATION OF THE POLICIES

Once a laundry and linen service’s sexual harassment policies are up-to-date, Shelton says those policies must be disseminated in a thoughtful manner.

He says the person conducting newhire orientation should spend time talking about the company’s no-harassment policy. Provide examples, talk about what to do, and make it real as part of the orientation process.

“I would venture to say we all have a handbook or some sort of written policy that prohibits harassment,” observes Shelton. “Disseminating that upon hire is hopefully what everybody does. You certainly need to be doing that, but really, that’s just the start.”

Next in conducting thoughtful dissemination is the policy should always be available—and easily accessible. He says the policy should be available online, and the company should periodically provide “stand-alone” copies to all employees.

“I’ve worked with a number of companies over the years that do that in a variety of different ways,” says Shelton. “One of the ways I’ve seen—and I personally like it—is an annual letter, usually from the highestranking person in the company. A letter with some meaning and feeling. Get that distributed annually, and don’t just distribute it; receive and retain acknowledgment.”

Shelton stresses that any time a company disseminates its sexual harassment policy, including periodic reminders, the company should keep a record that it has done so.

TRAINING FOR MANAGERS

When training managers, Shelton says a company should start with the proposition that people in supervisory positions cannot engage in this type of behavior. There should be zero tolerance of this from managers.

Managers shouldn’t ignore conduct they think is welcomed or voluntary.

“I’ve seen countless situations where a

manager is accused of some inappropriate comment or behavior, and their response is, ‘Wait a minute, they’re good with that, we joke like that all the time, they prompt it,’ that kind of thing. Your managers need to know that’s not going to be their get-out-ofjail-free card,” Shelton says.

Also, he says that a company should never allow leeway to certain employees.

“One of the things we’re seeing in a lot of these public figure stories that are coming out, people did this: ‘That’s just Harvey being Harvey.’ That’s a literal quote for Harvey Weinstein,” notes Shelton. “That was the refrain bantered around in Hollywood when you referred to Harvey. You knew he did what he did.

“Making this more real for the industry, ‘He loves to give hugs, but he’s harmless.’ I’ve had plenty where that’s what I hear from the company when I’m talking to them about the accused harasser. You can’t allow certain employees (to) get away with certain things like that.”

And a company certainly should not allow its “star” employees to get away with something just because of their standing.

“In terms of training your managers, it’s important that they understand that their misconduct will be treated in a very severe manner, and that they won’t be given a second bite at the apple,” says Shelton.

Key to training managers is educating them on what to do when they hear of or see an issue or potential issue. He stresses that a manager shouldn’t wait for an official complaint; the company has to have its managers trained to let human resources (H.R.) know what was seen or heard to allow H.R. to act on it.

“When I talk about this concept, I remind folks of the iceberg theory,” illustrates Shelton. “The vast majority of an iceberg is under water. You have no idea the size of an iceberg just looking at the tip. My experience tells me that harassment issues are much like the iceberg. In other words, you’re catching just a glimpse of what might be going on. If you dig down, you find the real nitty-gritty of what’s going on.”

Finally, Shelton says it’s important to know that if the actual misconduct is engaged in by the manager, that could mean automatic liability.

“It’s absolutely something that the plaintiff’s attorneys will grab hold of, and you won’t enjoy the deposition that you have and the squirming that you’ll feel when the plaintiff’s attorney is grilling you for not jumping on it immediately.”

When it comes to acting on issues raised and conducting an investigation, Shelton says H.R. representatives should take the lead. The company needs to have someone take the lead who really knows what they’re doing, understanding what the process is related to sexual harassment and is sensitive to the various issues.

However, he cautions that there isn’t an investigation template that can be used in every situation.

“This is an area where you’re going to have to really be in tune to what you’re hearing and seeing and taking the investigation wherever it leads and do a variety of things based on what you’re hearing and seeing,” advises Shelton.

Shelton then says a company should obtain all the evidence possible before concluding the investigation.

“In today’s world, there are so many places where you could find potential evidence,” he observes. “E-mails, texts, any kind of documents. Of course, ask the person complaining if there is any documentation that could be relevant. Even if they say there isn’t, and you know that the person complaining e-mails with the person that they’re accusing, you still want to look at those e-mails. You never know what you might find.”

Shelton says that during this process, the company has to take reasonable steps to separate the accused and the victim.

“You need to be mindful that you are not putting the victim in a position where they have to work with the person they accused,” he says. “Sometimes that’s difficult, sometimes that’s easy. That gets back to the urgency of jumping on these things. Sometimes when you’re separating them, it does create a problem for your business, but that will further motivate you to act promptly in all this.”

Finally, Shelton says don’t ignore older complaints that arise. Look into complaints about activity that took place previously, even years ago.

“I’ve said that if a company has an up-todate policy, disseminates the information, they could possibly insulate themselves from liability from something that has occurred,” he says. “When the misconduct is done by a manager, those defenses could fall away.”

PROMPT INVESTIGATION OF COMPLAINTS

If and when a sexual harassment complaint is raised, Shelton says that the company needs to promptly investigate it—take immediate action.

“I know you’re busy, pulling your hair out, putting out fires, but the reality is these types of complaints, you just can’t afford to

There are, however, some “best practices” that can be helpful in conducting an investigation. First, try to obtain a written statement from the victim. If the person complaining does not want to write a statement, he says to take notes and have the complainant initial those notes.

“There are a couple reasons to want a written report,” explains Shelton. “Getting it in writing helps you in where you need to go with your investigation. The lawyer wants that written report because if this turns into a lawsuit, experience tells me that somebody’s original complaint gets warped by the time we have litigation when it’s not in writing.”

Throughout the investigative process, he says, the person investigating should take detailed notes—and be prepared for them to be an exhibit one day in a lawsuit.

“That may scare you, but I can assure you that your notes are going to be a positive when we have to defend that lawsuit,” says Shelton. “Please do not, if you’re like me and can barely read your own handwriting, if you ever convert your notes or type them up, never ditch or throw away your original notes. Still keep them; it’s important.”

Next, he says to interview all relevant witnesses. However, if the person says there weren’t any witnesses to the behavior about which they are complaining, Shelton recommends inquiring further into the situation. Did they tell anybody, go to anybody, a coworker? If so, go talk to that person.

“Even if they say there were no witnesses, you still should consider who you might talk to,” he says. “For example, if a female employee complains about her supervisor saying or doing inappropriate things, of course you’re going to talk to the accused, but you might consider, if there are other females in the department, talking to them, seeing if they’ve experienced anything, even ask if they’ve seen anything, even if the person complaining didn’t think there were any witnesses.”

“In the #metoo movement, these are new complaints about old, inappropriate behavior,” he says. “‘You mean, if someone waited five years to complain about it, I’ve still got to look into it?’ Yes, if that person, the accused, is still at your workplace. I would say to you, if somebody complains to you about something, even if it happened years ago, and you find evidence that it occurred and it was serious enough to cost them their job at the time if it came to your attention, to me, it should still cost them their job now. In my mind, they don’t get off scot-free just because the person didn’t come forward.

“We know there are countless reasons why people don’t come forward.”

ENFORCEMENT

The last step of Shelton’s five-step plan to avoid harassment claims is for a laundry and linen service to consistently enforce its policies. Also, take action that’s sufficient to ensure the offending behavior is not reasonably likely to occur again.

These disciplinary actions can include a verbal warning, a written warning, professionalism training and a performance plan, up to suspension, demotion and termination.

“I made this point earlier, but don’t go easy on high-performing or high-ranking employees just because they’re so important to your organization,” Shelton stresses.

The #metoo movement isn’t going away, he says, nor should it. Lives and businesses have been ruined by sexual harassment. Taking action now will help protect employees and the company.

“Professionalism leads to higher productivity,” Shelton points out. “There has been study after study that professional work environments that don’t have these shenanigans going on are higher productive work environments.” ALN

R.W. Martin Co. breaks ground for new remanufacturing facility

KENT, Ohio — R.W. Martin Co., a provider of pre-owned and rebuilt industrial equipment for the textile care industry, officially broke ground for its new remanufacturing facility Jan. 25, the company reports.

Situated on five acres in the Carmen Industrial Park located in Tallmadge, Ohio, in Portage County, R.W. Martin Co. says the new 34,000-square-foot building will include expanded workspace for machinery cleaning, all levels of machine repair and quality control inspection. The facility will also feature state-of-the-art assembly and refinishing areas.

When completed, a 4,800-square-foot upper mezzanine and overhead crane will enable optimum storage and safe handling of equipment inventory awaiting shipment.

“After several years of searching for the optimal space, new construction was determined to be the best way to address our operations’ unique requirements,” explains President Chip Ottman. “The facility design will improve workflow and process efficiency by utilizing work cells for each operation, minimizing equipment handling. The result will be improved processes and a better finished product for our customers.”

The facility was designed by David Pelligra & Architects Inc., located in Cuyahoga Falls, Ohio. Construction is being handled by Campbell Construction Inc. of Wooster, Ohio.

R.W. Martin Co. says it will continue to maintain its corporate offices in Kent. The new location will open in May 2018 to serve as the company’s shop and warehouse operations facility.

TRSA donates $80,000 toward hurricane relief from canceled conference proceeds

ALEXANDRIA, Va. — TRSA, the association for the linen, uniform and facility services industry, reports it has donated approximately $80,000 to Anayat House, Children of Restaurant Employees (CORE) and ConPRmetidos—organizations assisting those impacted by 2017 hurricanes in Florida, Texas and Puerto Rico.

The donations are the result of TRSA’s 105th Annual Conference, which had been scheduled for September 2017 in Miami, but was canceled due to Hurricane Irma. While offering to refund all registration and sponsorship fees, TRSA asked members to donate all or a portion of those fees to support local charities.

“We’re very proud of the TRSA community, which was able to create some positive outcomes in an overwhelmingly tragic circumstance,” says Joseph Ricci, CEO of TRSA.

SYRACUSE, N.Y. — For the first time in its 72-year history as a manufacturer of commercial textile laundering equipment, effective immediately, G.A. Braun will provide U.S.-based customers with a variety of financing options on new and certified remanufactured Braun equipment, the company reports.

Terms of finance can extend from 24 to 72 months, with options that range from a minimum project cost of $10,000 and for up to 100% of purchase price, including product cost, sales tax, freight and installation, according to the company.
