Ecolab drops lawsuit against Gurtler Industries

SOUTH HOLLAND, Ill. — Gurtler Industries reports that Ecolab Inc. has dismissed an infringement lawsuit the company had filed against Gurtler.

The lawsuit, filed by Ecolab’s Textile Care Division in 2014, claimed Gurtler had infringed on its Patent No. 6,262,013: “Sanitizing Laundry Sour” issued on July 21, 2001.

In response to the suit, Gurtler contended that the patent was invalid and asked the U.S. Patent & Trademark Office (USPTO) to open a re-examination of the patent claims. After the re-examination and appeals process, on Aug. 29, 2018, Gurtler says USPTO determined that the Ecolab patent was invalid.

“The Patent Office rejected Ecolab’s position four times, so it appears they agreed with Gurtler that the patent was invalid and ultimately that we did nothing wrong,” says Greg Gurtler, president.

American Laundry News contacted Ecolab about the dismissal, and the company had no comment. ALN

Metro Laundry Service has focused on providing hotels the best service since the beginning

CAPITOL HEIGHTS, Md. — In October 2018, Metro Laundry Service celebrated the grand opening of its second plant, a 53,000-square-foot facility in Elkridge, Md.

The celebration included many local business leaders and Maryland Lt. Gov. Boyd K. Rutherford—and it was a well-earned celebration for this company that services hotels in the Washington, D.C., area.

While the company now has two plants, the Metro Laundry Service story starts with a 1,500-square-foot location, the size of a small, in-house laundry, providing quality linen service.

Actually, the story starts with a young man growing up in a family bent on business success.

FAMILY OF ENTREPRENEURS

Bernard Young, president and CEO, started Metro Laundry Service back in 2002, but Steven Young, senior account executive/ COO (and nephew to Bernard) says the drive for his uncle to have his own busi-

ness started back with his previous employment—in other family businesses.

“His father, my grandfather, was a successful farmer in Virginia, one of the original forms of self-employment,”

he shares. “He learned a lot from that. Bernard and his two other brothers were all entrepreneurs.”

‘How much is my business worth?’

ALEXANDRIA, Va. — “How much is my business worth?”

That’s the question Jim Gutheim, president of James Gutheim & Associates Inc., hears all the time. The company, which started in 1993, helps laundry and linen service operations through the process of valuation and selling the business.

“I try to explain to everyone who asks, including the clients we’ve tried to help sell their companies, there’s no magical number,” he says. “There are a wide variety of numbers and factors that go into calculating how much your rental laundry is worth.

In the end, it’s just an estimate. They tend to respond with, ‘Yeah, I know, but seriously, how much is my business worth?’”

Most managers heading to New Orleans for Clean

CHICAGO — The Clean Show is set to take place June 20-23 at the Ernest M. Morial Convention Center in New Orleans.

Since that’s not too far off, American Laundry News decided to ask readers about a variety of elements related to the show in its latest Your Views survey to gauge the industry’s anticipation for Clean ’19.

Nearly 66% of those who took the survey will be attending Clean in New Orleans. Just over 20% aren’t sure if they’ll be attending, while only 13.6% say they won’t be there.

Of those who won’t be attending, around 35% say the cost is prohibitive.

“I understand a fee for attending, but going from $99 to $149 is a pretty steep increase,” writes one respondent. “That will affect future attendance.”

Almost 30% have “made other plans,” while close to 18% say they “can’t spare the time.” Another 18% say they have other reasons for not attending.

“New Orleans is not my destination of choice,” one survey taker writes.

When asked, “Whether or not you’re planning to attend Clean, what is the biggest factor in favor of visiting New Orleans for the show?,” more than 30% of respondents indicate that the exhibits, including equipment and supplies, is the favorable factor.

“Networking and socializing,” “Combining business and pleasure,” and “Educational sessions” came in at 9%, 4% and 2%, respectively.

Of course, most laundry operators who took the survey (54%) say it’s all of those reasons combined.

Of the four days the Clean Show will be running in June, most respondents (41%) indicate that they’ll be attending three of those days. Almost 33% say they’ll be attending two days, and just 11% will only be there one day.

Just over 16% of survey takers say they’ll be at the show all four days.

For those attendees heading to New Orleans interested in educational opportunities, organizers have planned nearly 30 sessions. The topic most respondents are interested in? Business solutions (33%). Other topics survey takers are interested in include healthcare processing (24%), customer service (14%) and labor relations (5%).

When asked to offer other topics of interest, writers indicate equipment repair and maintenance, laundry equipment use/utilization tips, RFID inventory tracking, and regulatory changes.

However, not all survey takers are keen on the educational sessions.

“I don’t attend the educational sessions,” writes a respondent. “They keep patrons away from the booths that sponsor Clean.”

Probably one topic of conversation on the floor this year will be Messe Frankfurt’s recent purchase of the Clean Show, but maybe not that much since most survey takers (57%) indicate they are “indifferent” to the show changing hands. Almost 31% are “okay” with the change. Only

2% say they don’t care for it.

“I think time will tell,” one operator writes. “There will probably be minimal to no changes seen this year, but we’ll see what happens in the coming years.”

When asked what they would like to see changed about the Clean Show, survey takers offered suggestions ranging from “no changes” to location recommendations, show duration and entertainment options, such as:

• Go to Vegas more often. Best place to hold such a show.

• Spin off the dry-cleaning part.

• Be more like the European show with more food and adult beverages at the booths.

• More interactive and remote access.

• There is a need to introduce a scholarship scheme in order to encourage participation from developing countries in other parts of the world.

• Move to large metropolitan cities like Chicago or New York.

• Have it in either the spring or fall season. Summer in New Orleans, Vegas, etc., is too hot.

Several respondents suggest making Clean a three-day show, while others say lower the fees or have discounted rates for additional employees.

“Keep making the show interesting and educational,” adds a survey taker. “Offer additional membership opportunities either directly or through support organizations.”

While the Your Views survey presents a snapshot of readers’ viewpoints at a particular moment, it should not be considered scientific. Due to rounding, percentages may not add up to 100%.

Creating buyer awareness

Caveat emptor is a Latin phrase that many recognize in English as “let the buyer beware.”

I’d like to change that a bit for this issue of American Laundry News to “let the buyer be aware” (no idea how to translate that into Latin).

UniFirst employee celebrates 50-year work anniversary

DOTHAN, Ala.—UniFirst Corp. honored its longest serving full-time employee team, Mittie Barber, who recently celebrated her 50th anniversary with the company, with a surprise celebration at the plant here, where Barber works as a uniform and garment mender.

UniFirst President and CEO Steven Sintros, Executive Vice President Cynthia Croatti and other executives from the company’s corporate headquarters in Wilmington, Mass., made a surprise appearance at the celebration, where they commended Barber’s dedication to UniFirst and thanked her.

“We’re excited to celebrate Mittie reaching the 50th-anniversary milestone,” says Sintros. “Mittie embodies the traits that help make UniFirst a leader in our industry: hard work, commitment and treating others the way you want to be treated. She is a great role model for future generations of UniFirst team partners, and we’d like to personally thank her for her daily contributions to our company.”

Barber started her career in 1969 as a shirt presser when the UniFirst Dothan facility was a local drycleaning business.

“Time has flown by and I feel like I have been

blessed because the Lord has allowed me to get up and come to a job every day, whereas some people don’t have a job to go to,” says Barber, who reveals that she is not slowing down and plans on continuing to work to help pay for her grandson’s college education at Auburn University.

Ideas to train non-English speaking employees

T raining non-English speaking employees can be a challenge, but it is not impossible.

For years I was a Boy Scout leader and learned that the most effective training is demonstrating and then letting the new scout try the skill. In their attempt to duplicate the demonstration they often needed correction, so I, or my youth leader, would step in and demonstrate again. After several attempts, the new scout would acquire the skill they needed to know.

It was clearly demonstrated to us in basic leader training that the difference between telling someone how to do a job and showing them netted dramatically different results.

Clearly the most effective way of teaching a skill or training an employee is through hands-on demonstration and supervised trial and error. In fact, I recommend that all production employees be trained in this manner regardless of their language skills. This type of training will lead to better production and happier employees.

I also recommend another lesson I learned from the Boy Scouts. Boys have many opportunities to fill their time each day, so it is important they develop a relationship with the troop. The first several troop meetings when they are new and really do not know very many of the boys can be intimidating. So, good scout troops will assign a friend to each new scout to help them integrate into their patrol. Having a special friend who is there to greet them and introduce them to the other boys makes them feel wanted and gives them a desire to stay.

The same lesson can be applied to any new employee, but especially to the new, non-English speaking employee. Having both a trainer and an assigned friend to greet the employee each day and help them get integrated into the workforce helps to reduce turnover. A positive work environment is more important than any other factor in workplace retention.

Supervisors and lead workers should make the effort to learn a few simple words in the employee’s native language. The ability to say “hello” or “nice to see you” in their native language (even if not pronounced properly) will make the new non-English speaking employee feel appreciated and wanted. But even a smile and a daily “good morning” from the boss can go a very long way to develop loyalty and longevity in this type of employee.

There will be times when you will need to hire an official interpreter to translate company policies and benefits. This is not a frequent occurrence, but it will happen on occasion.

UniFirst purchased the Dothan drycleaning business in 1986 and transitioned it into a UniFirst industrial laundry business, and Barber was promoted to her new garment-mending position—a role in which she continues to excel in today.

I recognized early on that if I wanted to maximize my ability to recruit this stable and highly productive work group, I would need to do something very special for them. Their children were being effectively taught English in the public schools in a class the school called English Language Learners, but the resources for adult education was limited and often forced them out of their comfort zones.

So, we established an on-site English Language Learners Program for the employees that they could voluntarily attend during breaks, lunch or after work. My organization paid for the training and, gradually, more and more attended. As their English improved, so did their feeling of self-worth. As the news of the program spread in the community, so did the number of people who showed up looking for work.

Another key to attracting and keeping this group of employees is treating them fairly and consistently. As my refugee workforce grew, so did the number of Muslim employees. The workforce eventually became 35% Muslim, and this presented a special challenge during Ramadan. Practicing Muslims, who can do so, will not eat or drink from sunrise to sunset. During this monthlong period of time, job rotation became very important.

We opened one of our classrooms for them to use as a breakroom, so they did not have to watch the other employees eat. On the afternoon shift, we adjusted the evening lunch break from 7 p.m. to after sunset. They were small adjustments, but they meant the world to this group of employees. By making

Bernard also worked for his brother who had a chemical company that sold cleaning supplies and chemicals to different businesses throughout the D.C. metropolitan area, and hotels were some of their most important clientele.

“Bernard developed relationships with different hotels, and the hospitality business as a whole, during his employment with his brother as one of the lead sales reps,” Steven relates. “As time went along, he wanted to venture out and do his own thing, so through his connections he decided to start this business in laundry.”

At the time, Steven says Bernard only planned on laundry being a “side gig,” some secondary income.

“He was going to process food and beverage linen for local catering companies that he already had relationships with, but it was one of those situations where one thing led to another,” Steven says.

Bernard was approached by a general manager he knew well in downtown D.C. who asked if he could service his hotel. Steven says his uncle was up front about things and told him no. He wasn’t prepared or set up for it.

“But Bernard told the hotel GM to give him three to four months, and he’ll make the necessary investments and get the right equipment in so he can handle it,” shares Steven. “That’s how we got started with our first hotel, and I first came on board around that time. We had to start an overnight shift just to do that one hotel, and that hotel, to this day, is our customer.”

He adds that he’s proud Metro has maintained that first 300room property as customer.

“Bernard founded the company with one client being the driving force,” shares Richard Burney, a consultant for Metro. “He started out with a focus on restaurants but matriculated to hotels only, with the exception of restaurants in hotels—100% hotels and their dining facilities. No medical at all.”

In fact, he says the company has absolutely no desire to process healthcare linens. However, Metro did have a “brief date” with a medical business to help someone out.

“That lasted barely a week, if that,” Steven says with a chuckle. “It was a hospital in D.C., and Bernard knew the laundry manager there, and they had some significant equipment that went down so they needed our help. They asked us to help them out for about two weeks.”

He says that after just a few days, they realized healthcare linen is very different from hospitality, especially when it comes to the

soil side.

“It got to the point where our team members were practically wearing hazmat suits handling the stuff,” he shares. “Our tenured employees, our leads, the people we lean on, came to us and said look we can’t do this. They pretty much said we’re going to quit if we have to keep handling this stuff.”

Metro went back to the hospital and said it could process for a few days more and helped it find an alternative laundry.

“That’s when we realized we will never do that again,” Steven says.

BIGGER AND BETTER

Steven says the original Metro Laundry Service location was in a small shop of about 1500-squarefeet.

“We just had a couple washers and dryers and a small gaspowered ironer,” he says. “It was basically the size of a typical in-house laundry at a hotel.”

After being in that location for a few years, the laundry moved to a sub-lease building that was split into sections. Metro occupied one of the 4,000-square-foot spaces, adding more equipment and making upgrades.

“As we grew and gained more clientele, our reputation grew a little bit, we needed more space,” says Steven. “So, we leased out the section next to where we were at, which was another 4,000 square feet, and we just cut a hole in the wall so we could travel back and forth.”

A couple years after that, the company had continued to grow and again needed to expand. Fortunately, Steven shares, once again the company that was next door had moved out, so Metro added another 4,000 square feet, again cutting a hole in the wall for access.

“At that particular time, that was all the space we could occupy there, so we were at 12,000 square feet for at least a three-to-four-year span, and we grew quite a bit during that time,” he says.

“Once again, we got into the position where we maxed out the space we were in there, and we decided we’re going to go after another location and took a year or two to find a proper location, and that’s when we found the building here in Capitol Heights, which was 24,000 square feet.”

Metro acquired its first tunnel washer when it moved into the Capitol Heights location. Shortly before, Steven says the company hired a plant manager who had a lot of experience with tunnel washers and laundries as whole— experience he admits Metro didn’t have.

“His expertise was very helpful with making that move in transferring to a tunnel system,” he points out.

“Capitol Heights, Md., really was the facility that allowed the company to reach higher heights,” says Burney. “That facility is located right off the Beltway.”

But Metro wasn’t done growing, and after about three years, Steven says the company realized it was going to outgrow the new location sooner than anticipated.

“Once again, we were in a position where we either cut it off here or we grow some more,” he says. “We decided to continue to grow and started a search for another facility. This time around we knew we weren’t going to move everything into another facility, we were going to have two facilities.”

After an extensive search, Metro found the Elkridge plant, which had been previously occupied by another laundry.

“The infrastructure that we needed was already there, which was helpful,” Steven relates. “It took a while to things up and running and in place, but we did our grand opening in October.

“We finally settled into a rhythm with some of the accounts we’re pushing into now. We’re in a good place and ready to expand. I’m in the position where I’m very aggressive with getting new clientele.”

“The new facility has a rail system very early in its lifespan and is more mechanized,” adds Burney. “The equipment there is more mechanized in addition to the rail system.”

Steven and Burney estimate that Metro has more than 100 employees working between both plants. However, as accounts grow, Elkridge is expected to reach about 100 employees on its own in the future.

CHALLENGE, SUCCESS

Steven says that because Metro deals exclusively with hospitality laundry, it’s a seasonal business with ups and downs. Volume picks up significantly in spring and summer and dips down in the winter months.

“And at Capitol Heights, and even previous plants, as we’ve got closer to being maxed out from a capacity and volume standpoint, we had to figure out how do we deal with these huge volume days,” he says.

“There have been a lot of long nights to get it all done so we could keep our clientele serviced. Just meeting the demands of having 24/7 clientele is a challenge in itself. Hotels are a 24/7 operation, so your operation has to mirror that almost.”

Outside of the seasonal challenges, Steven points to Metro’s growing pains as another challenge they’ve overcome.

“As we grew and took the next step, every next step was uncharted territory for us,” he shares. “We learned from a few things, made some mistakes and got better from it.”

According to Burney, another challenge is that because Metro has gained its reputation on quality, it’s difficult to find capable and qualified people who are committed.

“Even though we offer

employees the opportunity to obtain TRSA training, which is a big part of our growth strategy moving forward, it has been a challenge to actually get employees to accept the challenge and the opportunity,” he says.

Steven agrees and points to the limited talent pool for more significant positions, such as plant managers and mechanics and engineers.

“It’s really hard to find good personnel to fit those high-level positions,” he says. “Laundry is not a glamorous career or profession or one that anybody really thinks of who goes to college saying I want to be in laundry. It’s usually something people fall into like I did myself, but it’s definitely a career path that can be lucrative and beneficial.

“We’ve had the mindset of trying to promote that through the people who we connect with and talk to and the organizations that we belong to.”

Burney agrees that Metro makes use of its professional trade association relationships to mitigate the

shortfall of talent. These include TRSA, the Hotel Association of Washington, and the Maryland Hotel Lodging Association.

With a reputation based on quality, Metro Laundry Service also has to overcome pricing objections. Steven says they have relationships with executive housekeepers, room directors and general managers who want to provide quality and a high level of service.

“The unfortunate part of it a lot of the time is they aren’t getting that from the vendor that they’re with for various reasons, and the reason for that is you get what you pay for,” he relates.

“It comes to money, dollars and cents, and hotels run at a very low profit margin because of the massive operational expenses that come with operating a hotel, so they pinch pennies anywhere they can and a lot of time they try to do it with the laundry service that they get.”

approach Metro to “come on board,” but the effort gets put to a halt by corporate offices. The laundry has been working over the past few years to establish and build relationships with hotel management and corporate companies to try and get them to understand the value in the service that it provides.

“If you go with pricing that’s too low, you’re going to suffer on the back end,” he says. “You may save money by having this low perpound price, but you’re going to end up spending more money in the long run because you’re going to have to keep re-purchasing linen and comping rooms because the service you’re receiving is not adequate.”

Last summer, Metro’s original hotel client switched ownership, so they tried to go with a lower priced vendor, shares Steven.

“Within two weeks they called us and said this isn’t working out; we want you guys back,” he says. “They realized the grass wasn’t greener on the other side. We took them back with open arms.”

“But because Metro was growing so rapidly, we couldn’t take them back right away,” Burney adds. “It was less than two months, though.”

Steven says from early on, Metro decided it would stick to quality of service and not go the route of low

bids and cutting corners.

“We’ll put in the time, effort and money to maintain a high level of service, and if we lose accounts because we’re not the lowest bid, then so be it,” he shares. “Typically, if we ever lost an account, it was always due to pricing and never due to service.”

Burney adds that every Metro laundry client has the phone number and cell phone number of Steven and Bernard.

“They don’t hide,” he says. “They run into problems, and they do everything they can to fix them. With as many hands as are involved in commercial laundry, there’s going to be problems. Sometimes it’s on the part of Metro. They always fix them.”

That dedication to quality and connection has led to Metro taking on some major clients.

“My most satisfying success, which has been very challenging, was obtaining the contract at MGM National Harbor,” shares Burney. “That is a very exacting client with multiple businesses within a business. They know what they want, and each department, even each restaurant in the hotel, has specific requirements. It’s been very challenging to work with them, to figure out what was feasible and what was not, and to come up with a solution for each of their operating entities.

“If you want to play at the highest level, that is the kind of client that you must obtain and satisfy, long-term.”

Steven adds that it took a long time to gain the MGM National

Harbor account. He attended meetings before the property even broke ground, even when company was pitching it to the county and state to get approval.

“I found out the size of the property, how many rooms it was going to have, did some networking, got some contact information for some people within MGM, and that’s how the process got started,” he relates. “That was something we put a lot of work in and were pursuing for quite some time. It was very satisfying to land that account.”

MOVING FORWARD

In its pursuit of quality, Metro doesn’t rest on its laurels, challenging itself by working with new hotel brands that have new ideas.

“With these new brands, they brought on new concepts, new fabrics, new textures to address and deal with, new business travelers, especially millennials,” Burney says. “At the same time, we’ve tried to maintain the quality and service level that older business travelers and leisure travelers, including luxury leisure, deal with.

“We’ve had to make sure that we did not forget what made us successful initially while still addressing emerging opportunities.”

He says the new brands have a different room presentation approach, and Metro plays a role in all of that.

“We’ve gone to the point where we have offered the brands oppor-

tunities to run their new fabrics by us for us to test them,” shares Burney. “That is not commonly done.

“The designers choose these new styles and they frequently go untested in a commercial laundry environment, and some of these new fabrics just don’t hold up. So, we’ve offered the brands the ability to have us run them through the rigors to see if they hold up. That’s something that we do that is unique.”

New hotel brands aren’t the only ones trying new things. Steven says Metro is always looking to be innovative and grow the company and grow within the industry. One of the next significant steps for Metro is radio-frequency identification (RFID) technology.

Another technology component besides RFID tracking, says Burney, is the company’s linen management software, which makes it easier for the rooms department and the accounting department to track billing and inventory.

According to Gutheim, the “jumping off point” for business valuations is earnings, or EBITDA—earnings before interest, taxes, depreciation, amortization.

What else determines a company’s value? Gutheim says the list is long, but the four important areas are contracts, pricing, profitability and product mix.

Contracts and pricing tend to go hand-in-

But what if a laundry and linen service’s contract renewal rate is high?

“The argument is even if we have a short contract length, there is a high probability that the customer will renew the contract,” says Guthiem. “This may be true, but from the buyer’s point of view, it’s an increased risk and therefore leading to a lower price.”

When it comes to the profitability of a service and its impact on valuation, Gutheim points out that a buyer will operate a business using its own P&L (profit and loss) figures, to a certain extent discounting the service’s P&L statement.

“For example, they can purchase merchandise cheaper than you and therefore will use their percentage for merchandise expense,” he shares as an example.

“However, the more profitable you are, the higher the price will be for your business. The plant with a 10% profit, all things being equal, is worth more than a plant with a 5% loss.”

“That’s not to say that you can’t sell a business without contracts, but the price will be discounted,” Gutheim points out. “No company we’ve ever been involved with has contracts with 100% of their customers. There’s always the exceptional customer; however, as long as there are only a few customers like this, buyers understand.”

Of course, there can be elements in a laundry and linen service contract that will affect the valuation of the business. Gutheim shares two key ones: agreements

“You may have a contract, but not all contracts are created equal,” he says. “Agreements come in a wide variety of shapes, sizes and clauses. Most clauses are not necessarily going to affect the potential sale. However, there are two clauses that do

The first is the assignment clause. This clause states that if the customer or the owner sell their business, the contract is still in effect. Gutheim says this is critical, because if there is no assignment clause, it cannot be legally enforced by a buyer.

“In the real world, 95% of customers are not aware of this clause and would not realize that their contract is not legal,” he says. “However, from a buyer’s point of view, this causes uncertainty, which translates into a lower price.”

The second type of clause that can impact valuation is contract restrictions. These are provisions restricting price increases, loss and abuse charges, delivery restrictions, etc.

“Any of these restrictions can be viewed by the buyer as a potential problem and therefore a reduction in value,” Gutheim cautions. “You need to look at your contracts from a buyer’s perspective and how these restrictions could become a problem, and make the appropriate changes.”

When it comes to the length of a contract, he says the best situation for business valuation is having agreements with a significant amount of time remaining.

“The buyer’s arithmetic is simple,” Gutheim points out. “A $100-a-week contract with five years remaining is $26,000, that’s what they’re buying. If the same contract only has two years remaining, that’s $10,400.”

“Everything is dependent on your particular situation,” says Gutheim. “However, as a general guideline, industrial accounts are valued the highest, followed by linen supply and then hospital/healthcare. Retail healthcare would be valued between industrial and linen supply.”

OTHER VALUATION FACTORS

Beyond basic business factors, Gutheim points out that there are other elements that affect a business’ price, including if it’s a stock or asset sale, whether real estate is involved, if the purchase is a financial or strategic one for the buyer, industry consolidation, and tax reform.

A stock sale does not mean the seller will receive stock in the company in purchasing it, rather, it means the purchaser is buying the stock of the seller, he says.

“What this really means is they are buying your entire business, including all of your assets and liabilities,” he says. “All things being equal, stock sale price is lower than asset sale.”

An asset sale, which Gutheim says makes up the vast majority of his company’s sales, means the purchaser is buying a portion of the company. This often means the purchaser is buying customer contracts and possibly a few other items from the business.

“That is, the rental revenue and nothing else,” he says. “This is a much simpler transaction, and the tax implications are less.”

Guthiem points out that the availability of a plant in addition to the business revenues could be both a benefit and a liability in terms of valuation.

“If a buyer doesn’t have a plant in your area to process the business, or the current plant is filled to capacity, this is a must,” he shares. “It could very well be a deal breaker if there is no plant available. If the buyer has the capacity in their own plant to process the additional business, it will probably have no need for your plant.”

According to Gutheim, this can work both ways. Not purchasing the plant would reduce the price. However, if the buyer has a plant that has additional capacity and could

integrate the seller’s customers into their plant, this would be extremely profitable to the buyer. The buyer would only be increasing variable or direct costs routes, merchandise, increased utilities, etc. The fixed costs would remain the same.

“On this basis, profitability on the incremental business, business purchased from the seller, could be as high as 30 to 35% of sales,” he says. “This increased profitability percentage would be a factor for an increased price.”

Gutheim says there are basically two fundamental concepts for buyers regarding purchase, which can impact valuation. The first is a financial purchase, where the buyer evaluates the worth of the business on the basis of the P&L balance sheet and other financial aspects.

The second, a strategic purchase, takes into account the financial factor but also includes strategic elements.

“These would include elements such as eliminating a competitor, entering a new area and additional plant capacity,” he offers as examples. “Strategic purchase has synergy. That is, there is something beneficial to purchasing the business in addition to the normal parameters.”

Besides business considerations and buyer strategies, other “outside” factors can influence a laundry and linen service valuation. The first Gutheim points out is industry consolidation.

“The purchase of G&K by Cintas and AmeriPride by Aramark has reduced the number of major potential buyers by two,” he says. “This is not a positive sign for selling your business. Obviously, the less the potential buyers in the marketplace, the less pressure on upward pricing.”

However, Gutheim does point out that things are not quite that simple.

“While less buyers overall is not a good thing, individual plants do not always conform to the norm,” he says. “The point being, by having desirable characteristics such as location, ability to be integrated into a potential buyer’s system and other factors can always result in a good price.”

The overall conclusion Gutheim makes is that although there are fewer buyers, a specific situation can still result in a competitive bidding process. In addition, he points out that there are many regional and independent potential buyers. Also, there is an increased interest in laundry and linen services from equity groups around the country.

Finally, 2017’s Tax Cuts and Jobs Act has elements that will impact valuation, according to Gutheim. The major change is the corporate tax reduction from 35% to 21%.

“This means that for every $1 million of profit, a buyer will now get to keep $790,000

instead of $650,000,” he says. “The buyer will get to keep $140,000, or 21% more profit. Does that mean the price will go up 21%? Not necessarily but given the right considerations, it could. As usual, this only one part of the puzzle, but it certainly gives the seller justification for increasing the purchase price.”

BUYER SELECTION, NEGOTIATIONS AND THE FINAL PURCHASE PRICE

Beyond the factors mentioned that affect a laundry and linen service’s valuation, Gutheim adds that the purchase price can also be influenced by buyer selection and the negotiation process.

“This is where subjectivity comes into play,” he points out. “Your business is only worth what someone is actually going to pay you for it. You could be doing a fantastic job, have positives in all areas and be worthy of a good price, but that doesn’t mean that’s what a buyer’s actually going to give you.”

Gutheim says it’s important to consider a broad range of potential buyers, not just the obvious ones. As stated earlier, he says that sometimes the most interested buyers may come from less obvious regional companies, or even independents, so equity companies should be considered.

“Also, it’s not just about knowing who the potential buyers might be, it’s also knowing who is most likely to give you the best price,” he shares. “There might be some who aren’t actually buying at the moment, some whose CEO instructed them to make a big push in acquisitions, some who are trying to go to an adjacent area, some who value a certain product mix or geographical area, etc.”

When it comes to negotiations, Gutheim strongly suggest laundry and linen services use a broker. Why? Most owners are selling a business for the first time.

“They’ve not gone through the process and therefore have no idea about the pitfalls to look out for,” he cautions. “Normally the buyers have gone through the negotiation process numerous times, and therefore have a distinct advantage. There are dozens of factors that come up during negotiations that could turn a good price into a not so good price.”

Gutheim again cautions that this is only a partial list of factors that influence how much a business is worth. Many elements are involved in a laundry valuation. ALN

Emerald Textiles hires Bott to join management as CEO

LOS ANGELES — Richard Bott has joined the executive management team of Emerald Textiles as CEO, the company reports. Emerald is a portfolio company of Los Angeles-based private investment firms Pacific Avenue Capital Partners LLC and Highland Avenue Funds LLC.

Bott’s appointment follows Emerald’s recent announcement of its expansion into Los Angeles and the San Diego market, as well as its greenfield expansion in Northern California.

“We are excited to have a leader of Rich’s caliber joining the Emerald team,” says Chris Sznewajs, chairman of the board of directors of Emerald Textiles and managing partner and founder of Pacific Avenue Capital Partners. “Rich has a proven track record of success, high integrity and brings over 25 years of experience in the healthcare service industry.

“We believe Rich’s deep experience in the healthcare linen and service industry, as well as his strong business sense and collaborative approach, make him the ideal candidate to lead Emerald through its next stage of growth.”

Greg Anderson will transition to executive chairman and will continue to support the business in a daily role, overseeing the integration of the recent acquisitions of the San Diego and Los Angeles facilities, while also providing oversight for the greenfield facility that is underway in Livingston, Calif., the company says. Anderson will

remain a member of the board of directors and will lead several other key strategic initiatives for Emerald.

Prior to Emerald, Bott served as the director of Intermountain Healthcare’s supply chain services, which includes Central Laundry, Design and Print Services, Corporate Travel, Supply Chain Guidance Council, Fleet Management and Sign Center.

Before Intermountain, he served as a medic and LPN in the 328th General Hospital unit of the 96th ARCOM where he began his nursing education at the Academy of Health Sciences. He then was trained clinically at Brooke Army Medical Center at Fort Sam Houston in San Antonio and then at Fitzsimons Medical Center in Aurora, Colo.

Richard also serves as president-elect of the Association for Linen Management (ALM) and serves on the board of the International Association for Healthcare Textile Management (IAHTM).

He holds an associate of nursing degree from The Academy of Health Sciences, a bachelor’s degree in Business Management and Health Services Administration from Weber State University and a master’s in Business Administration from the University of Phoenix.

Bott is a native of Utah and currently resides in Mountain Green, with his wife Darcie and their four children.

Tyler retires from Encompass Group

MCDONOUGH, Ga. — Ken Tyler, vice president of government operations, retired from Encompass Group LLC Dec. 31 after 16 years of service with the reusable textiles, professional apparel, and disposable and single-use medical products company.

Tyler initially joined Encompass in 2003 as a consultant and assisted the company in

creating a go-to business model for government sales. The company estimates that under his leadership, its government sales increased tenfold.

Succeeding Tyler is Dan Guzzo, who was recently promoted to vice president, healthcare government sales.

“Ken’s tenure with Encompass has resulted in a larger and stronger relationship with our VA and DOD customers,” says John Wood, Encompass Group CEO. “His knowledge and leadership in this area will be missed. After decades of honorable service to his country, Ken brought that same dedication to his role with us.

“We’re proud that he was able to continue his long history of service to the DOD, VA and our nation’s military veterans through his work with Encompass.”

A recipient of more than 25 military decorations and a veteran with 14 years of active duty service—including two tours in Vietnam—Tyler became Director of Marine Corps and Navy Laundry Operations and a member of the Command Inspector General Team.

He has a total of 35 years of federal service, including 28 years in the military. He began working for the Veteran’s Administration in 1977 and managed the VA laundry program until his retirement in 2000.

Tyler retired from the Marine Corps Reserve in 1993 as the 4th Marine Division’s Logistics Officer. His VA service earned him and his coworkers many awards, including the government’s

O’Neill joined LHLS in 1988. During his 30-year tenure, he has held several positions, the most recent being general manager.

O’Neill takes over from John Sealey, who retired from LHLS effective Jan. 31 after 40 years of service. He lead several plant expansions and equipment upgrades, guided many product and service introductions, and approached customer service as a top priority, the corporation says.

PROVIDENCE, R.I. — Hydrofinity (formerly known as Xeros), has signed a series of regional full-service sales and distribution service agreements across the United States for its sustainable, near-waterless commercial laundry systems.

The company says the partnerships follow on the agreements it signed with Eastern Laundry System (ELS) covering New England, New York and New Jersey, and with Your Laundry Source in Georgia, which is covering its home state, as well as Alabama and South Carolina.

Hydrofinity’s new regional sales and service partners include:

• Viking Services, SAESPY and ECW, covering California.

• Clean Source, covering Texas, Oklahoma and Arizona.

• RJ Kool, covering the Midwest.

• Industrial Laundry Systems, covering Florida.

• Consolidated Laundries, covering Virginia, North Carolina and South Carolina.

• Tippett, covering Maryland and Delaware.

• Mill Creek, covering Pennsylvania.

These regional distributors will now service all existing and future Hydrofinity customers in the United States, ensuring local support and service is of the highest standard and provided in a timely manner, according to the company. The distributors will continue to stock and sell Hydrofinity commercial washing machines, featuring Xeros Technologies.

“These agreements in the U.S. follow similar agreements recently signed covering China, Dubai and South Africa,” says Mark Nichols, chief executive of Xeros. “They will enable our Hydrofinity business to increase revenues from a lower cost base while continuing to provide customers with excellent service.”

EVI Industries buys fellow distributor PAC Industries, seventh in past year

MIAMI — Commercial laundry and drycleaning equipment distributor EVI Industries (formerly EnviroStar Inc.) has acquired fellow distributor PAC Industries at a cost of $12.85 million.

EVI acquired all of the outstanding shares of PAC’s common stock as part of the agreement. Of the purchase price, $6.4 million was paid in cash, $6.25 million in EVI common stock, and $0.2 million in an assumed subordinated note.

Based in Harrisburg, Pa., PAC is a prominent distributor of commercial, industrial, and vended laundry products and a provider of related installation and maintenance services to the new and replacement markets of the laundry industry.

For the 12 months ended Dec. 31, 2018, PAC generated approximately $22.0 million in revenue from the sale of equipment, parts, supplies, and related installation and maintenance services, EVI reports.

PAC will operate as an EVI subsidiary from its present locations, under its existing leadership, and conduct business as it has historically, in line with EVI’s operating philosophy.

“On behalf of all of the employees and owners of PAC, we are thrilled to join the EVI family and are anxious to begin working towards accomplishing our collective longterm goals,” says Frank Costabile, president of PAC.

Since Jan. 1, 2018, EVI has completed seven acquisitions in the commercial laundry industry. The acquisition of PAC is EVI’s first in the Northeast, where the company expects to aggressively continue executing its buy-andbuild growth strategy.

EVI also owns Washington Automated, Skyline Equipment, Worldwide Laundry, Industrial Laundry Services, Scott Equipment, Aadvantage Laundry Systems, Tri-State Technical Services, Martin-Ray Laundry Systems and Western State Design, all distributor acquisitions made since fall 2016.

Alliance Laundry Systems to acquire Southeast regional distributor CLEC

RIPON, Wis. — Commercial laundry equipment manufacturer Alliance Laundry Systems reports it has reached an agreement to purchase distributor Commercial & Coin Laundry Equipment Co. (CLEC). The deal is expected to be finalized for closing in early March.

Terms of the deal were not disclosed.

Headquartered in Gulf Breeze, Fla., CLEC recently expanded into the Texas market and stands as one of the largest commercial laundry equipment distributors in the Southeast region, Alliance says.

“We are delighted to partner with a best-in-class operator, whose energy, passion and leadership are natural complements to Alliance Laundry Systems,” says Mike Schoeb, Alliance CEO. “Furthermore, the laundry industry is undergoing a period of change and having a more direct presence makes sense in today’s market.”

CLEC has been serving the needs of commercial laundry customers since 1982. The company’s coverage area includes the Florida panhandle, Mississippi Gulf Coast, and parts of Alabama, Georgia, and Louisiana.

VEGA Systems Group restructures U.S. operations, announces leaders

CINCINNATI — VEGA Systems USA, previously a joint partnership, is now solely owned and operated by its parent company, VEGA Systems B.V., reports the VEGA Systems Group of Oss, the Netherlands.
