ho would have thought we would have had an AFL Grand Final tie? Many of those who attended the AustCham AFL function on the first weekend fronted up for a second week in a row to watch the same two teams battle it out. Congratulations to the Pies and commiserations to the Saints. Attacking flair held the day over the low-scoring and defensive-minded Saints. The wonderful AustCham team responded rapidly and were able to put on another quality event for the second game in only six days. As president of AustCham, I receive regular feedback from our members and get a clear picture of the vast number of ways that AustCham helps people. Among the most frequent appreciations of the Chamber are three areas, firstly networking opportunities and useful connections. The second is lobbying on members’ behalf to the government and authorities. The third is an increase in trading opportunities and access to better suppliers.
AustCham’s networking is certainly better than most. Our Bangkok Sundowners events are known by many as ‘THE networking event for expatriates’. For those who haven’t tried to expand their business and connections outside of Bangkok, I strongly recommend taking the time to get to one of the Phuket, Eastern Seaboard or Chiang Mai events – AustCham’s network is growing steadily in these provinces. You never know what opportunities you may find. Our advocacy efforts through the Joint Foreign Chambers of Commerce of Thailand have had some positive results on our members’ behalf. Recently the draft of new Customs laws has been reworded in favour of importers who make honest mistakes when bringing products into Thailand, as well as some lowering of penalties and a cap on rewards paid to Customs officers. AustCham and the JFCCT do not support the payment of rewards; the new wording, however, is a big improvement on the current system. We also managed to have the foreign dominance issue removed from the 3G discussions, which would have been a danger to the wider business arena had they been approved. Unfortunately on 3G, the government has taken a step backwards and it is not likely we will see a competitively run and priced 3G net-
work in Thailand any time soon. We are trying to get updates about our JFCCT activities on our web site as soon as these are available, so please check the website for more information. Clearly for all members, increasing sales or finding better suppliers is a key issue. Our website will soon be seeing some changes; coupled with our new membership card, there is now an opportunity for members to advertise their goods and services to other members. Our aim is to have any members who want to offer a discount or special deal to other members and are able to list the details on AustCham website. Without getting into competition with some of our own members, this is about as direct as we can get in helping our members sell, sell, sell. If you have an idea for an offer, speak to any of the directors, or staff,and we will see how we can help. At this time of year we are setting the budgets and events calendar for next year. Now is the time for members who want to sponsor events to raise their hand and yell “Me! Me! Pick Me!”, there are many event opportunities available in Bangkok and other areas – surely enough to find something for all our members. Contact the office as soon as possible to make sure you do not miss out. I should also quickly let you know that there are three trade delegations from Australia scheduled over the next couple of months. One is in the IT services for the Health Industry; the others are Automotive focussed. This is another positive sign for the Thai economy. We are now in the run in to Christmas and the end of the year, which means festivities and holidays are not far away. The new Australian Ambassador H.E. James Wise and his wife Theresa have extended their hospitality and invited the AustCham members to their Residence for our Christmas Sundowners.We are extremely grateful for this and look forward to another fantastic event. Balancing The Ethics Formula: A Tool For Guiding Our Choices By: Abdullah Telmesani, PhD
A
chieving higher levels of ethical conduct, as is the case of achieving all optimal positions, is a balancing act. For corporations, ethical attitude and sustainable success are achieved by striking a balance between the bottom-line on one side, and the interest of the employees and the community at large on the other. Employees’ ethical behaviour and success, on the other hand, are achieved by balancing their personal interest with their companies’ interest.
The formula above seems, according to Deloitte 2010 Ethics and Workplace survey, to be partially compromised. In their struggle to survive the recession, some companies seem to have had to take drastic decisions that are not typical to their corporate cultural norms. These corporate actions and decisions naturally lead to employees’ uncertainty about corporate decisions and intentions. This feeling of uncertainty and lack of clarity shaped the responses of 46% of the employees surveyed, when they indicated that a lack of transparent leadership communication would drive them to seek new employment opportunities. Furthermore, 48% of employed Americans who plan to look for a new job when the economy is more stable cite a loss of trust in their employer as a result of how business and operational decisions were handled over the last two years as a reason for leaving their companies. While the ethical formula outlined above is partially compromised, the good news is that it did not collapse. The Deloitte 2010 Ethics and Workplace survey indicates that, in spite of the feelings of uncertainty about their companies’ decisions and actions, 72% of them still believe that their employers are responsive to their work/life balance needs. In essence, the employees, according to the survey, believe that their employers

are still honouring the fundamentals of the ethics formula. Employers are, at least, attempting to balance the companies’ interests with their employees’ interest. The Deloitte 2010 Ethics and Workplace survey does not go into the second part of the formula, which is related to companies’ attitude towards the interest of their communities at large. As in the case of employers, employees’ ethical formula can also get partially compromised under pressure and times of uncertainty. This is indicated by the Deloitte 2007 survey, when 91% of employees surveyed indicated that they are more likely to behave ethically at work when they have good career-life fits. This statement does indicate that employees’ ethics formula of balancing their interest with their companies’ interest can also be compromised under pressure. The balance of the ethics formula, in light of the above, could be compromised under pressure for both the employers and the employees, especially in times of difficulty and uncertainty. In attempting to minimise compromising the ethics formula between the employer and the employees, companies have elaborate codes of ethics to guide employees and employers’ choices. From my experience and from teaching professional ethics to architecture students in the 1990s, it became evident to me that balancing the ethics formula comes from inside us, not from codes of ethics. Making choices between ethical and nontechnical actions are among the most personal decisions, which we don’t usually like to discuss with others. This makes it important to simplify this formula and make it readily available to employees and employers, whenever needed, and with total privacy. In an attempt to simplify the ethical formula and improve its applicability for employees and employers, there is a practical tool, which I called the Ethical-Tool-Kit. This tool kit consists of
two levels. The following case study describes these two steps and indicates their applicability to professional practice and while evaluating tenders from various suppliers, John noticed how close the bids were in terms of prices and quality. During this period of evaluation, John met a friend who informed him indirectly that one of the suppliers was willing to pay for a personal trip for him and his family if he overlooked one of the conditions that this supplier did not satisfy. John faced a dilemma in making a decision to award the contract to the supplier related to his friend. Overlooking the condition of this supplier would not affect his company negatively, and no one would even notice it. In trying to arrive at a decision, John followed the two-level-EthicalToolkit-test as follows: 1. The Internal Test: In this test, John checked his gut feeling about awarding the contract to this company. Doing that, he realised that he felt uncomfortable about it; however, knowing that awarding the contract to this company would not affect his company negatively, made him feel more comfortable about awarding the contract to that specific supplier. In order to arrive at the right decision, John followed the second step of the test. 2. The Disclosure Test: In applying this step of the test, John looked at whether he would feel good about letting his colleagues, his family, and others know about the basis for awarding the contract to this supplier. Thinking about that made it very clear to him that awarding the contract to this supplier would not be ethical, since he would not be comfortable with letting others know about the real basis for awarding this contract to this supplier. The above Tool-Kit can be used by employees and employers at all levels. It can also be a useful guide, or exercise, for board members and executive committees in clarifying the ethical bases for executive choices.

What Australian and New Zealand Visitors to Thailand Should Know By Barry Petersen
C
itizens of Australia and New Zealand are among those of several countries who are permitted visafree entry into Thailand for a period of 30 days, a period which can be extended by seven days at an Immigration office anywhere in Thailand. That entry permit is erroneously referred to as a Transit Visa when, in fact, it is not a visa at all. Those travelling to Thailand for business should also be sure to follow correct procedures regarding visas and permits. Included in this article is some basic information to ensure you travel on the right side of immigration laws. As is the case for any country, Thai visas can only be obtained from Royal Thai Embassies, Thai Consulates-General or Honorary Thai Consulates-General in countries other than Thailand. Tourists Unfortunately, many tourists during their visit decide that they would like to stay in Thailand longer than 37 days and incur an additional expense by having to leave the country and re-enter to stay another 37 days. This may be avoided by obtaining a Thai Tourist Visa at any Thai embassy or consulate abroad for a fee less than the cost of having to leave Thailand and re-enter in order to extend their holiday in Thailand. A Tourist Visa is valid for 60 days and it can be extended by another 30 days at an Immigration office anywhere in Thailand thereby permitting the holder to stay a total of 90 days. If the holder of a Tourist visa wishes to pay visits to any neighbouring countries using Thailand as their base, they can obtain, from an Immigration office, a Single or Multiple Re-Entry Permit which allows them to return to Thailand during the remaining period of validity of the visa. 8

Short-Stay Business Visitors Thailand’s Working of Aliens Act B.E. 2551 (2008) defines even attending a meeting as work and a permit is required by a shortstay business visitor to work otherwise they, and their hosts, risk a fine and/or imprisonment. It is rare for a short-stay business visitor who doesn’t have a permit to work to be arrested and it generally occurs when a disgruntled Thai or foreigner, perhaps a competitor of the business visitor’s host, makes an anonymous telephone call to the Thai Immigration Police. This results in the arrest of the business visitor, an overnight stay in the Immigration Detention Centre, an appearance before a magistrate the following morning (only if it’s a work day), a fine of Baht 1,000, deportation and the possibility of being blacklisted and unable to enter Thailand again. The work permit available to a short-stay business visitor is a Form 11 (Tor Tor 11) which can be obtained on arrival from the Department of Employment in the Labour Ministry. It is an application form which is completed in duplicate by the applicant who affixes their passport-size photograph to each copy and, after it is approved on the spot, becomes a valid permit to work for a period of not longer than 15 days. No fee is payable and, by providing a signed Power of Attorney, an applicant can use an agent to obtain an approved Form 11 on their behalf after arriving in Thailand. A photocopy of the applicant’s passport and the page bearing the Immigration entry stamp must be attached to the Form 11. Many business visitors erroneously believe that a Thai Non-Immigrant Visa category ‘B’, which is valid for 90 days, is a permit to work. The normal NonImmigrant Visa category ‘B’ is simply a prerequisite to obtain a Thai Work Permit (the booklet called a WP. 4) by employees of entities in Thailand. The visa itself is NOT a permit to work in Thailand.
However, most foreigners are unaware that there is another non-immigrant visa category ‘B’ called a Three-Year Non-Immigrant Visa category ‘B’ (Business Only) which must be obtained at a cost equivalent to Baht 10,000 from any Thai embassy or consulate-general abroad. However, honorary Thai consuls-general are NOT authorised to issue this little-known visa.For details, visit http://www.mfa.go.th/web/2637.php The Thai Three-Year Non-Immigrant Visa category ‘B’ (Business Only) is valid for three years and permits the holder to pay short-stay business visits to Thailand for periods of not longer than 90 days each visit. It permits the holder to carry out business but does NOT permit the holder to gain employment or to receive remuneration in Thailand for any business activity they might carry out in the country. The APEC Business Travel Card (ABTC) The conditions for use of the APEC Business Travel Card (ABTC) in Thailand are identical to those permitted to the holder of the Thai Three-Year Non-Immigrant Visa category ‘B’ (Business Only). The ABTC has the additional advantage of allowing the holder to pay business visits to the 20 economies currently participating in the ABTC scheme without the need for a visa for periods varying from 59 to 90 days per visit depending on the participating economy. Do You Need to Lodge an Australian Tax Return? By Stephen Caswell
I
f you are an Australian working overseas and you are deemed to be an Australian resident for income tax purposes then you need to pay tax in Australia on all of your income whether it is sourced in Australia or elsewhere. If you are not a resident for tax purposes of Australia you only pay tax on income that is sourced in Australia. Being a resident of Australia for income tax purposes is not the same as your immigration status or your status for social security purposes. Whether a person is a resident of Australia for income tax purposes is a question of fact and depends on your individual circumstances. Only one of the four tests has to be passed for you to be deemed to be a resident, what are the residency tests? • • • •
Ordinary meaning test Domicile test 183 day test Superannuation membership test
There is no fixed rule about how long a person has to intend to be in a foreign country for the ordinary meaning test to stop applying. It depends what the person does when they are there. The more their behaviour resembles permanent living, the shorter the time can be; the more their behaviour resembles just visiting, the longer it needs to be. For example buying a house in the US, enrolling your children in a school there and you and your spouse getting jobs there; this means that you are no longer residing in Australia for the purposes of the ordinary meaning test and that Australia is no longer your home. The problem for the Tax Office is that it cannot directly know what is in a person’s mind, they either have to believe what the person says or they have to look at all the circumstantial evidence and infer what the person’s intention is.

An investor with an Australian domicile has to do more than just create a temporary home in another country; they have to have an intention of staying there for a significant period of time.
The Government stated that these changes were made to ensure that Australian workers who earn income overseas did not have an unfair advantage over workers who earn income and pay tax in Australia.
The 183 day test can catch the unusual case of a person who has not yet moved their home to Australia but intends to do so in the future and during the particular financial year happen to have visited Australia for more than half the days in the year. The 183 day test brings forward their residency of Australia to that financial year.
It is important to note that the changes do not impact all Australians living and working outside Australia. They only impact those who remain a tax resident of Australia while they are working overseas.
Where an individual resides in Australia within the ordinary meaning of the term for less than one-half of the year of income, that person would be treated as a resident of Australia only during the actual time he or she is present in Australia. This means the person would not be assessable to ordinary Australian tax on foreign source income derived during the period he/she was not actually in Australia. Where, however, the individual has been present in Australia for more than half of any income year and is constructively a resident of Australia within the 183 day test, the position is not clear. There is evidence to suggest that they should be treated as a resident for whole year. However the case of 85 ATC 225 held that they should only be treated as resident for the actual time. The Superannuation membership test states that a contributing member of the Commonwealth Public Sector Superannuation Scheme is considered an Australian resident regardless of where they live. Important changes to the taxation of Australian employees working overseas from 1 July 2009 The Australian Federal Budget handed down on May 12, 2009 introduced important changes to the taxation of Australian tax residents living abroad from 1 July 2009.
What are the changes? Generally, before 1 July 2009, S.23AG(1) of the Income Tax Assessment Act 1936 provided an exemption from Australian income tax for foreign earnings of an Australian resident individual engaged in foreign service for a continuous period of 91 days or more. This meant employment income derived by resident individuals working overseas (e.g., as part of an overseas posting or from short-term work while on holidays) was exempt under S.23AG (1), provided certain conditions were met. This was an exception to the general rule that Australian residents are taxable on their worldwide income. From 1 July 2009 S.23AG has been amended to effectively remove the exemption, except for some minor exceptions. This means that most Australian employees who work overseas and remain a resident for tax purposes will now be taxable on their foreign employment income except for income earned as an aid or charitable worker or by certain government employees. Previously, the exemption was not limited to specific employment activities. What are the tax implications? The removal of this tax exemption does not mean that employees will be subject to double taxation. Australians working overseas will be able to claim a foreign income tax offset for the foreign income tax paid on those amounts now included in their assessable income.

The Government has indicated that those taxpayers will not be required to lodge a foreign tax return to demonstrate and claim amounts of foreign tax paid. They will be required to keep their normal pay slips, assuming they identify amounts withheld, and under the self-assessment regime such payslips will need only be provided if the Australian Taxation Office undertakes an audit. Broadly, assignees to a country with lower tax rates would have to pay a top up tax in to the Australian Taxation Office in order to account for the difference in tax rates. Conversely, expatriates to a higher taxed jurisdiction should expect that all of the Australian tax in respect of foreign wages would be offset by the tax paid to the other country. A foreign income tax offset is not refundable. Foreign income tax offsets claimed against Australian tax should be referable to income derived in the Australian income year. Where the financial year of a country differs from Australia’s, such as a calendar year, taxpayers should apportion their foreign income and foreign income tax offsets. An employee who derives foreign employment income that is not exempt under S.23AG will be eligible to claim expenses incurred in deriving the foreign income (to the extent that the expenses are not capital or private in nature) in the same way a resident employee of Australia is eligible to claim work-related expenses.
Australian income tax return Australian tax residents who are in receipt of foreign employment income (except for some minor exceptions) will be required to include such income in their income tax return for the 2010 financial year. This may mean that some taxpayers who previously have not lodged an income tax return will now be required to do so. Total Market Capitalisation of Asian REITs Surges 25% During the First Half of 2010
S
ix new REITs were launched during the first six months of the year in what was a dynamic period for REIT IPOs in Asia, followed by two additional REIT listings in July. Total market capitalisation of Asian REITs surged by 24.7% year-on-year to US$69.0 billion during the first six months of 2010, according to CB Richard Ellis’ REITs Around Asia half yearly report. “Despite increased listing activity, the fortunes of Asian REITs still remained mixed. During the first half of the year some markets have seen strong growth in IPO and acquisition activity and others have witnessed delisting applications, mergers and consolidations. REITs in Japan, Taiwan, Korea and Hong Kong outperformed their respective stock markets, all of which suffered downward adjustments in the second quarter amid concerns over the pace of the global economic recovery,” said Andrew Ness, Executive Director, CBRE Research Asia. Two new REITs were launched in Korea during the first half with the KOCREF 15 REIT and Golden Narae Real Estate Development REIT raising KRW 25 billion (US$20.5 million) and KRW 145 billion (US$118.6 million) respectively. Singapore-listed Fortune REIT became the first Asian REIT to obtain a dual listing, following a listing in Hong Kong. Fortune REIT has a portfolio of suburban retail malls and other properties in Hong Kong. Cache Logistic Trust, which has a portfolio of six logistic properties valued at US$730 million, was also successfully launched onto the Singapore REIT market in April. Thailand saw the listing of one new property fund, the Thai Commercial Investment Fund, during the first half. Malaysia also witnessed

Elsewhere, a number of Asian REITs opted to delist during the first half, with the RREEF CCT REIT in Hong Kong and the KR2 REIT both filing for termination. After a series of REIT delistings and liquidation rumors investors may demand stronger stock performance along with rising asset prices. In other developments the Philippine Stock Exchange approved the country’s REIT listing rules. A number of major local real estate developers have already indicated their interest in launching REITs in the Philippines and listings are expected to begin later this year. “Although the weighted average dividend yield for Asian REITs contracted from 8.06% in the first half of 2009 to 6.86% in of the first half of 2010, REITs generally still provide comparatively high dividends when compared with government bonds. During the next six months Asian REITs should recapitalise with ease and will continue to acquire new assets and raise new funds. In light of rising concerns over the pace of the global economic recovery Asian REITs are expected to perform steadily over the remainder of the year, in contrast to the rapid gains during the first half,” said Andrew Ness. The AFL Grand Final on Saturday, 25 September 2010 at Royal Orchid Sheraton On Saturday, 25 September, spectators gathered to see the result of 22 weeks of blood sweat and tears, injuries, suspensions, scandals, elbowing and stomping. Thanks go to V Australia and Shangri La for supporting the Grand Final of the Pies versus last years unlucky losers St Kilda. The day was well enjoyed with a huge spread of food, celebrities, prizes, entertainment, and of course a great deal of suspense from the match. The day was undeniably spectacular, however as the points grew ever closer, the cheering and yelling gave way to a rather sobering realisation. For the first time since 1977, we witnessed an AFL Grand Final Tie! Following the AFL rulebook, Collingwood and St.Kilda’s equal score of 68 points when the final sirens went off, meant a Grand Grand Final was to be held on the following Saturday (see next page for details).

The Grand Grand Final - Collingwood Vs St Kilda (again) on 2 October 2010 at Royal Orchid Sheraton The great news about a tied game was that we could get excited all over again and look forward to another day of Grand Final thrills, great food, and Aussie camaraderie. V Australia once again sponsored the event in conjunction with The Coffee Club, who must both be thanked for their prompt action and work with the office to create an extra special day. Fortunately the second time round was more successful than the first‌ well for Collingwood anyhow, who brought home a victory of 56 points. Final scores 52 to 108.

Convoy for Kids Cheque Donation – 29 September 2010 Following the success of the eighth Convoy for Kids Golf Day in June earlier this year, the committee met with representatives from The Foundation for the Welfare for The Crippled in Thailand to present a cheque to the Foundation for Baht 600,000. Convoy for Kids is run in cooperation with AustCham and has been supporting this worthy cause for many years now, assisting with the funding of a laundry, library, and hydro therapy pool. The school has recently been damaged by termites and needs Baht 29m to rebuild it. The government is contributing Baht10m, which leaves 19m outstanding. Jaye and John discussed the role of engineers in the construction industry and the opportunities for young people who choose engineering as a career. This year on Sunday the 28th November we will hold the 11th Convoy for Kids Day in Thailand. We asked the children to decide where they would like to go this year and they chose to go to Safari World. This has always been a popular venue with the children and it will be nice to meet up again with our friends there who have always helped organise a great day for us. We will be taking a total of about 300 handicapped children from The Foundation School in Tiwanon Road and children from the Klongtoey and Bang Seu slum areas.
Since the start of Convoy for Kids in 2000 we have raised over 11 million Baht thanks to the generous donations received from supporters. The monies we raise this year will be put towards the repair and refurbishing of the The Foundation School which needs a total budget of almost 19 million baht. The school and has helped countless handicapped children improve their mobility and gain self confidence, helping them to cope with life outside of the school. The financial strain on most companies over the last few years has been substantial, but it has been even tougher on charitable organisations. This is why this year we would like to ask you to think of others less fortunate than you and give generously for this worthwhile cause.
