The more risk averse entrepreneurs may see franchises as a great option, with some safety in a known brand, training, systems and processes, infrastructure and support; the best of both worlds (in theory). But, with the horror stories of franchising splashed across the media, it’s natural to question the promise against the reality. Is it better to just start a business on your own, save the extra fees and invest that into your own business? There is no simple answer, as every situation is as different as every new business owner. Let’s look at the pros and cons of each.
Buying a franchise There are lots of franchises out there, varying in size from just a few, to national icons with thousands of franchisees. Even though the sector is highly regulated, the way that each business is run varies a lot. In franchises, the franchisee mostly follows the business formula of the company, doing things the standard way that fit in with the company brand. That can be as varied as making muffins, mowing lawns or running fitness classes. The upside of being part of the franchise is that you get to benefit from the brand identity, the business that comes with that, marketing systems and support. The idea of immediate cash flow is tantalising for a new business and can be quite appealing. The reality of how much support you get, how good the brand is and how much business you actually get varies a lot from franchise to franchise - sometimes good, sometimes not. One crucial factor for being in a franchise is that you can have less control over many aspects of the business. Ideally you should believe in the product and the company, which can be a challenge for some headstrong entrepreneurs. If you like doing things your own way, you may feel constrained by being in a franchise. Another factor is the location and how many other franchisees there are (and will be). Franchisors that want to grow sometimes do so at the expense of the franchisees. In my own experiences, I bought into a network being told there would be 18 in the state, which changed to 30 within 6 months. Some previous franchise clients of ours had their business cannibalised by a neighbouring franchise. Of course you pay the support, brand, marketing and systems, which means fees and charges up front and ongoing.
Starting your own business Starting a business on your own is a lot less restricted than a franchise, so everything you will need to do yourself. There’s no built in support, processes and policies to follow, no brand, not traffic already looking for you. Because of that, you have an opportunity to do things completely your own way, to build completely your own empire, your own brand. With less restriction, you can control the set up costs more, but it will be up to you to build up the business. But that has its own risks. As with franchises, there are stories of success and failure. Without doubt, you will totally believe in the company since it’s yours.

OR GO IT ALONE? How to decide For any potential investment, especially a business, due diligence is crucial. Build your team of experts and consider all of the opinions in your decision making. In the most successful franchises that I have worked with, the franchisor has the best interest of the franchisees at heart, and doesn’t kill the relationship through punishing conditions or profit-at-all-costs attitude; they are there to support when times are harder. Know the conditions of your agreement inside out and get great legal advice. As there are so many franchises out there, do your homework and talk to some existing franchisees. Really ask yourself if you
want to do that activity in the company way, every day? For the start-ups, take the time to build a solid business plan with external expertise to know what you are getting into. The ultimate decision rests a lot on the right opportunity but also on who you are as a person. Even though both are forms of business ownership, the experiences can be quite different. Knowing what is important to you as a business owner will act as a framework to make your decision. Take your time and look at lots of options; for the right choice, an exciting and rewarding experience lies ahead.

HOW TO DEFINE WHICH BUSINESS IS RIGHT FOR YOU Humanity and our environment are going through historically important changes, which we need to navigate more carefully. Technology can leave you vulnerable, but it is not the only challenge we face in business today. I grew up prior to computers and the internet, we had no mobile phones. What we had, was a much simpler version of now. It offered us certain benefits – TRUE, quality leisure time was one of those. We never had to check emails or text messages; things just had to wait for us to get back to work. Today, our leisure time is not comparable to pre internet and mobile phones. Your brain does not get the same opportunity to go into rest mode. Gadgets constantly require our input and attention. Technology has spread itself across our existence like a huge fishing net – and it can be highly irritating. Fake news, cyber crime, hacking, clickbots etc, are all new challenges that business until recent years had never heard about. These new area problems can ruin businesses that have become a target. Anti Virus software will not be a match to the latest hacking tools. There is a need for diversification in the offering of small business, to align with the changes to our lifestyle over the last 10 years. Pioneers and Innovators are needed in small business today, not just in the corporate sector. We have an increasingly unwell society and an increasingly unwell planet. Todays’ children do not get the physical exercise we once did. Yet, physical exercise is mandatory for a healthy brain development. The brain develops with exercise, as exercise stimulates the cerebellum in the brain. A business focusing on the shortcomings we experience today, would make an ideal ethical choice. How will it perform financially? Always run a feasibility study when you put your finances at stake. The quality of our supermarket food products has deteriorated. Preservatives and traces of many poisonous chemicals are found in the majority of what we put into our mouth each and every day.
What has all that got to do with your urge to buy a business? Everything! You have to adapt to current needs and market factors. What was an appropriate indicator for a good business 5 years ago, may no longer be of any relevance today. I always remind people of the Kodak collapse. One of the worlds best known brands until the mid to late 1980’s. Yet, new technology wiped it out almost overnight. Looking for a business opportunity, evaluate the lifestyle impact of your decision. Will you have weekends to yourself, or does the business require a weekend roster? How do you feel about the product or service you will be dealing in? Does it meet your ethical standard? What is the industry growth forecast? Can I add services or products to the business to suit my location? Does my purchase contract prevent me from certain add on idea’s? Is the lease secure and fair value? What about the financial investment that you are about to commit? Have you allowed for all costs, including some initial operating cashflow to cover the first six months? Worked out all wages, taxes, utilities and other trade associated costs? The business that you are most likely to succeed in, is the business that you actually have a passion for. It may not be the style of the business, but the opportunity to grow a small business into a bigger business with a new idea. Most business buyers assume they can do things better than the current owners. This often rings true, as the current owners may just have had enough and have shown little love for the business of late. know something that may impact the business in future. Do your due diligence prior to the purchase and make it all inclusive. Leave no stone unturned. Finding a flaw with a business is not a bad thing. It may be the best buying opportunity. As long as you are confident that you can work around the existing flaw, you may pick up a bargain. In many fields, workplace security has dramatically declined and wage growth has been non existent since 2009. Being successfully self-employed can offer you, more job satisfaction, more job security and leaves you less vulnerable to loss of income. Many small businesses fail in their first year. Should that worry you? NO! This fact simply should alert you to the potential pitfalls and help you avoid mistakes made by some of the failed businesses. Owning a business can bring a certain feeling of freedom with it. It is your chance to find your calling and grow to financial success. It can also be the mistake that took away the family home. Don’t over commit yourself. Don’t be afraid of the new skills you may need to learn, just make sure they are skills that you are not afraid to learn. Create a business buying strategy, similar to planning your life. Don’t treat your business purchase as a separate entity, see if
it can enrich your dreams and compliment your life goals. Use the internet to research your potential business purchase. Search the actual business and see if there are “independent” news articles or reviews, these may provide a clearer picture than the one you may be presented with by the seller. Once you found the right business, having done your research, just try and run it the best way anyone could run such a business. Put your shine on it, its not just an income producing vehicle – the business now is simply relying on you. Enjoy the ride and live your dream. GUIDE TO BUYING A BUSINESS You’ve weighed the pros and cons, and now you’ve made the decision to buy a business. But what’s the next step? Buying a business is a complex and timeconsuming process. It requires thorough investigation of the business you plan to buy, and research of the market for its products or services to ensure it’s viable. This guide provides an overview of buying a business, but for such a major financial and emotional investment, it is vital that you always seek professional legal and financial advice before signing any documents.
Preparing to buy a business Once you have decided you're ready to buy a business and have checked advertisements of businesses for sale, you will have a shortlist of potential businesses to suit your budget, interests and goals. The next step is to prepare thoroughly by seeking professional advice, getting your finances in order and starting to research the businesses in more detail.
Organising your business advisers Getting sound professional is a vital part of the due diligence process. At a minimum, you will need the services of an accountant (to investigate the financial data and operations) and a solicitor (to investigate any regulatory issues, check licences and registrations and draft a purchase agreement).
Checking your finances Buying a business is a significant investment, so you need to sort out your finances early and be well prepared and professional when applying for a bank loan or approaching potential investors. This will give them confidence to back your business and convince the seller you are serious.
When checking your finances, consider: • the purchase price of the business • transfer (stamp) duty, usually payable by the purchaser • the working capital requirements for your business (your cash flow projections will show that figure) • professional fees and charges related to the purchase • any loan repayments and servicing costs, if applicable
All commercial lenders use the following criteria to assess loan applications: • your ability to service loans (interest and periodic repayments)
• security (most banks require a 1st mortgage on real estate security and may lend up to 65% of the real estate asset being offered as security) • the management and business skills of the borrower • the trading history of the business (at least 3 years prior to purchase) • the profit and loss and cash flow forecasts for 3 years (forecasts need to be supported by realistic assumptions about future trading). It is important that you are able to supply the necessary information to the lender assessing your request. Remember, every funding proposal will have its own unique features. Therefore, you should seek professional advice from your accountant or business adviser about the best way to organise funding.
Starting your research Early research of potential businesses could include: • scouting the location • researching your competition (what do they offer that is different) • checking the business's website and marketing materials • trying the business's products or services • checking demographics • finding out why the business is for sale • talking to the business's suppliers • talking to the business's customers • researching customer reviews about the business online • performing a credit and historical search on the business's legal structure and/or its owners/directors • researching industry and market trends.

Conducting due diligence When buying an established business it is vital that you, the prospective business owner, examine the business in detail. This process is known as due diligence. Due diligence is generally conducted after the buyer and seller have agreed in principle to a deal, but before a binding contract is signed. Conducting due diligence is the best way for you to assess the value of a business and the risks associated with buying it. Due diligence gives you access to important and confidential information about a business, often within a time period specified in a letter of intent. With this information you can assess the business's financial position and identify risks and ongoing potential. It is your chance to answer any questions you might have about the
business. The due diligence process ensures that you get good value for a business. Done correctly, it can be the difference between buying a business that makes you money and buying a business that costs you money. You should always perform due diligence with the help of your lawyer, accountant or business adviser.
Investigating a business To conduct due diligence you'll need to carefully review: • income statements

• records of accounts receivable and payable • balance sheets and tax returns including business activity statements (last 3-5 years) • profit and loss records (last 2-3 years) • cash deposit and payment records, as reconciled with the accounts • utility accounts • bank loans and lines or letters of credit • minutes of directors' meetings/management meetings • audit work paper files (if available) • the seller's claims about their business (e.g. their reasons for selling, the business's reputation) • privacy details (e.g. of employees, trading partners, customers) • stock
• details about plant, equipment, fixtures, vehicles (are they in good working order and licensed?) • intellectual assets of the business (e.g. intellectual property, trademarks, patents) • existing contracts with clients/staff • partnership agreements • lease arrangements • details of the business's automated financial systems • details of credit and historical searches related to the business. You also need to value the business to check whether the asking price is fair.

Warning signs for the buyer You should be wary of sellers who: • do not disclose important information (e.g. their reasons for selling, financial statements, licences and permits, staff contracts) • won't agree to a trial period or enough time to conduct due diligence (you will need at least 30 days) • won't introduce you to their suppliers, landlord or estate agent • are involved in legal proceedings • are keen to close the deal quickly • have a questionable credit record and history.
Making an offer After you've conducted due diligence and valued the business, it's time to begin negotiations - usually with professional support and business advice. Negotiating the purchase of a business involves making an offer, which is usually followed by the seller's counter offer and bargaining to reach an agreement.
Negotiation tips • Know your limit (the highest price you're prepared to pay for the business) and stick to it. • Never agree to the first price quoted. Remember that the seller's first price is a starting point. It's probably useful only because it gives you an idea of whether the business is within your price range. • Open negotiation at the lowest price possible (but make sure it's reasonable and you're able to substantiate it). If you offer half the asking price, the seller may not think you're a serious buyer. • Always take your time during negotiation. You're buying a business that may well be your principal activity for many years. An extra few days or weeks are worth investing to ensure you purchase the right business for you. • Make your own list of items for negotiation, placing them in separate categories based on what you can compromise on (nice to have) and what you can't (must have). • Challenge the seller by asking 'what if' questions. What if a major client goes bankrupt? What if a key group of employees leaves with the changeover? • Do not reveal your own reasons for buying or how badly you want the business. If you really want it, you'll probably end up making more concessions to get it or paying more for it anyway. • Avoid being overly critical and confrontational. Keep the conversation focused on facts. • Practise the negotiation with a friend or relative beforehand (role play). • Make sure you're satisfied with the outcome. The product of successful negotiation is both parties satisfied with the end result. But if only one party is satisfied, make sure that party is you.
• Be prepared to strike a deal if you're comfortable with the price. Be prepared to walk away if you're not. • Above all, keep emotions away from negotiations. If you can't do that, ask your professional adviser to negotiate on your behalf.
Bargaining Buyers and sellers often enter into negotiations from what's sometimes called a 'positional bargaining' standpoint. Since both parties want to achieve the best outcome for themselves, the seller's interests will be different from your interests. • The seller's interests will include wanting to make as much money as possible on the sale of the business, attending to the sale transaction in the way that's most tax advantageous for them, severing liability ties and avoiding any contract conditions they can't meet. Most of all, the seller wants a profit. • Your interests will include wanting to pay the least amount possible for the business, with the inclusion of as many tangible and intangible assets as possible in the purchase price, favourable payment terms and warranty protection against false claims from the seller. Most of all, you want a bargain. A shrewd bargainer would be able to convince the other party that the other party is getting more than they're paying for or, alternatively, that they are paying less than what the business is worth.
Business legal structure If you're satisfied with the due diligence report, have the necessary finance available and are ready to sign the contract, you must consider how to structure the purchase. The most common structures include: • • • •

The structure you choose must be defined by key considerations, including: • • • • •
financial risk of the business personal financial exposure requirements from outside partners or investors expansion plans federal and state tax efficiency.
It is very important that you decide on the correct legal structure for your business before you sign the contract. Asset transfers attract taxes, such as stamp duties and capital gains. Make sure you don’t need to re-structure your business soon after you have signed the contract, as this will attract unwanted taxes and additional professional fees. Drafting a purchase contract After you and the seller have agreed on a price for the business and what the price covers, you'll usually draw up a contract to give legal force to your agreement. A written contract ensures that both parties clearly understand what each is agreeing to provide, for what cost and for what method of payment. You should consult a legal adviser and accountant for advice on the tax and legal implications the transaction has for you.

Before deciding whether to buy shares or assets consider the following: • When you buy assets, it is relatively easy to establish whether the assets are unencumbered and that you are not inheriting any potential liabilities that may be associated with the sellers past history (e.g. pending legal action, tax disputes, overdue creditors) • When you buy shares in an existing company, you are exposed to all outstanding claims against the company in which you will own equity. Even if the seller agrees to provide legal indemnities, you may be exposed to unexpected claims. Make sure you seek professional advice before you sign the contract.
What to include in the purchase contract Price This will usually be a break-up of the purchase price, allocating specific amounts to goodwill, plant, equipment, stock, etc. You should seek accounting advice regarding allocations of assets, as this has serious taxation implications. You should determine exactly what aspects of the business you're interested in buying. For example, the business manufactures an item and sells it in a store. You'd need to determine if you want to buy both parts of the business.

Restraint of trade covenant This protects you from loss of business through the seller's opening of a competing business within a reasonable proximity.
Any other conditions This might include the things you and the seller each agree to do before settlement, and arrangements for current employees. In addition to the basics of price and purchase, contracts should address contingencies such as: • whether the purchase is subject to finance approval by a bank or other financial institution • your defaulting on instalment payments • the seller providing inaccurate or false financial information • the seller having more liabilities than were known at the time of purchase • the seller not owning some of the claimed assets • material changes in the business occurring before the transaction is closed • the seller opening a competing business in a location too close to the business they've just sold you. Most of these provisions work to protect you, the buyer, since the seller knows what they're selling and the amount to be received. You'll want to limit your risks as much as the seller is prepared to allow.

Keep it handy at home or in the office. Every time you see or hear something that irritates you, assume that it irritates the heck out of most everybody else and jot it down. To remedy this problem or its equivalent in your industry can lift your business head and shoulders above your competitors.
When you see a business that truly stands out, ask yourself – What distinguishes that firm’s performance from its competitors? Once you find an answer, record it, and then employ that same technique in your business.
• What salesman/woman has impressed me? - How a nd why? • How can I adapt that positive impression to my marketing? • What turnoffs have I been subjected to by salespeople? • How could that negative be converted to positive? • How could I adapt that positive? Prepare worksheets for radio, T.V., newspapers, the Internet and direct mail and then force yourself to review it regularly. Frequently and systematically review this data, to identify marketing elements that can be incorporated into your business operation.

Take the necessary actions to test the effectiveness of these elements in enhancing your marketing programs. While doing all this, remember your Unique Selling Proposition (U.S.P.) the reason or reasons why customers should chose to do business with you over your competition? If asked to recite in a tight, concise, compelling 60 words or less, the Unique Selling Proposition their firm offers that goes above and beyond all their competitors, most business owners would go blank.

You have to balance handling all the administrative matters correctly with preparing for life away from your business. As a result, it is really easy to overlook certain parts of the process, which unfortunately can create headaches down the track. This is particularly relevant to the legal aspect of selling your business. Terms of Sale When presenting your business for sale to prospective buyers, it’s important to be very clear and specific about what exactly you want to sell. The goodwill of your business can be spread throughout your tangible and intangible assets. This can range from land and equipment to your business name and customer data. You will want to establish the elements of your business that you wish to sell or retain, prior to entering into a Business Sale Agreement.
Business Name Transfer If you do agree for the new owners to take on your business name as part of the sale, you will be responsible for the transfer process. During the process of a business sale, there are essentially two outcomes that can occur with regards to your employees. The new owners may want to keep your existing employees when they take over the business. In this instance, it is wise to provide as much information to the new owners in order to avoid any confusion or complication. As a starting point, you should transfer your employee’s most recent records over to their new employers. In addition, you will want to make them aware of any existing obligations you have with your employees. These could include contractual, financial, legal or leave related agreements. Despite the fact that your employees will still have work, you will need to provide notice of their employment ending. Inform them that they will have to enter into a new contract with the new owners, which comes into effect when the business is officially sold. Alternatively, if the new owners have no intention of employing your staff then you should notify them as early as possible. This can be a delicate situation to deal with, and as a result, honesty and transparency during this process is vital. Being clear with your employees about their future will not only benefit you as the employer but will also give them the best opportunity to find other employment. It’s best practice to refer to and follow the requirements of the Fair Work Act 2009.
Leases and Licenses During the negotiation process with a potential new owner, it’s vital to identify any existing leases, licenses or permits that concern the operation of your business. An existing lease may require a transfer to be arranged with the vendor to the buyer. With regards to licences, councils tend to be the authority that will manage the transfer process when a business is sold. Liquor and food licences are examples of this. Failing to disclose any of these factors, can lead to legal consequences, especially if they are noticed after a sale has been completed.

I spoke with a business owner recently who is passionately invested into the goal of building his very successful creative design business into a cookie cutter franchise model. He says he plans to duplicate that model across multiple stores to create a saleable asset. He’s in the early stages of his journey, and on this day he was lamenting the frustrations of recruiting his first hire. “They come into the interview and ask what I will offer them! As if I owe them something!” The stats around employee motivation and expectation act as a challenging mandate for business owners. A 2018 study by Axonify showed that over 85% of employees not only want training to advance their own career, but they want it to be fun, personalised, easy to understand, delivered on paid time, at a time they choose. As real human beings with feelings and pride, employees also want acknowledgement, recognition and reward. Octanner tells us that 79% of employees who quit their jobs cite a lack of appreciation as a key reason for leaving. 69% of the participants in that particular study reported not having been recognised even once that year. No wonder 85% of employees are disengaged at work! In a 2016 Reventure study on the Australian Workplace, half of workers admitted that “some days of work don’t really get my maximum effort.” Guthrie Jensen tells us that 74% of employees feel they aren’t reaching their potential at work. This is an expensive problem. 40% of workers say they will leave their employer in the first twelve months if they do not receive adequate training to do their work, which costs Australian
businesses $33 billion annually. Workplace disengagement across the board costs over $500 billion each year. The last thing you want if you are working a plan to sell your business is to have unpredictable, disengaged staff manning the fort. Long-time business mentor and exit strategist Denise Hall, affectionately known as “The Entrepreneurial Mother”, says most business owners leave their run too late when it comes to adequately preparing for the sale of their business. “The actual sale process should take anywhere between 3-9 months. But you’ve got work to do first to get the asking price up. From a salability perspective, your staff need to have the expertise to transition the business from your ownership to the next party. They need to be able to replace you entirely.” Business owners who break the statistical mould prepare their business for sale well in advance on the strength of their staff training and development programs. This is about more than boasting the competence and productivity of your current workers. Building a saleable asset relies on the creation of robust staffing processes. Effective systems for training, management and promotion attract high quality candidates, empower them to perform well when they’re hired, and make them reluctant to leave. Furthermore, a business asset is only truly ready for sale if it can be demonstrated that even in the face of staff departure, it is guaranteed that the business show can and will go on. Benjamin Franklin once said “an investment in knowledge pays the best interest” yet gaping holes in workplace training abound. Axonify’s study shows that one third of employees receive zero training, and 43% of those who are trained say that training was ineffective. A recent study by CareerBuilder.com shows that a whopping 58 percent of managers said they didn’t receive any management training at all. To be fair, the vast majority of businesses do offer staff training in one form or another, but effectiveness is the key to building Australian Business For Sale ®
a saleable business. A 2017 ReportLinker study revealed 83% of employees with opportunities to take on new challenges say they’re more likely to stay with the organisation. Companies that offer comprehensive training programs have 218% higher income per employee than companies without formalized training. But it doesn’t stop there. These companies also enjoy a 24% higher profit margin than those who spend less on training. You might like to think of your business asset like your car. Your employees are the engine, and training them provides the fine-tuning and maintenance they need to ensure optimum performance. If you’re looking to sell that car, the potential buyer will be impressed if it hums like a dream. If you can show long term service records, they will be confident the vehicle has been prepared to perform well into the future. If you’re selling your business, your potential buyers need to see staff working like a well-oiled machine as a result of their performance being maintained by systems that are recorded, tried and tested. When you as the seller can show that the work of your staff is consistently excellent because you have developed well-refined management systems, you are a very attractive candidate indeed.

DEAL WITH A LICENSED AGENT Throughout Australia those parties acting as agents for vendors or purchasers of existing businesses must be Licensed Agents. In fact, in NSW this has been the case since 1935, when the government enacted legislation designed to protect the public from unscrupulous operators.
All funds paid to an agent, including any pre-paid advertising expenses, must be deposited in the agent’s trust account, and accounted for to his Principal. If the agent misappropriate funds, he can be prosecuted under the Property, Stock and Business Agents Act, and the aggrieved party can get restitution by claiming upon a compensation fund. However, the fund is ONLY available to you if you have used the services of a Licensed Agent. Most agents are genuine, but bogus agents have been known to defraud customers vendors in particular) of thousands of dollars, which they have claimed for marketing and advertising expenses.
Should you be approached by someone representing themselves as an agent, who wants you to list a business for sale, and who asks for pre-paid advertising and marketing expenses, ask for their License Number. Then call the Department of Fair Trading to check if the number is genuine. To be absolutely certain, deal only with a member of the Real Estate Institute Business Agents’ Chapter. All members of the Institute are Licensed Agents, and are bound by a code of ethics. Call the Real Estate Institute in your state.
