Design and Build Contracts, Advantages and Disadvantages Anyone who has spent time working in the UK construction industry is likely to have strong opinions about Design and Build contracts. In the immediate future, it’s likely that activity within the sector is going to increase, and whilst the exact political çDYRXU RI WKH &RQVHUYDWLYH JRYHUQPHQW KDV \HW WR EH FRQĂŚUPHG WKH\ KDYH DW least promised to invest heavily in house building. With that in mind, the following points highlight some of the thorny issues associated with design and build contracts. The 2013 Canadian Internet Registration Authority Fact Book reports that nearly eight in ten Canadians are online and Canadians spend more time online than any other country; and almost double the global average. EPP requires less time, eliminates material costs, and is more secure and private than cheques. Q WHEN DO I NEED AN APPRAISAL FOR MY LENDER FINANCED FRANCHISE PURCHASE? GOLD: A LAWRENCE The Guidelines state that a lender must obtain an appraisal when there is a non-arms length transactions, purchase of “all or substantially all” of the assets of a going concern; and purchases, from the lender or its representative, of assets financed.

Q WHEN DO I ORDER THE APPRAISAL ? ... BEFORE OR AFTER LENDER APPROVAL OF MY FINANCING REQUEST? GOLD: A LAWRENCE This totally depends upon the lender’s lending policies. Some banks require the appraisal to be submitted as part of the loan approval process, and some banks will pre-approve a loan subject to obtaining the appraisal.

Q IF THE APPRAISED AMOUNT IS GREATER THAN MY PURCHASE PRICE, CAN I BORROW MORE MONEY? GOLD: A LAWRENCE The short answer is “no”.... the financeable amount is the “lesser of” the cost of purchase of the asset(s) and the appraised value.

Q WHAT VALUE TYPE WOULD THE APPRAISER USE ? GOLD: A LAWRENCE The appraisal would be based upon what is referred to as “fair market value -in place”. This means that the appraiser would include both the determined fair market value pricing of the asset, plus certain “eligible expenditures” which could include expenses such as the cost of transportation, installation, calibration, set up and testing.

Q HOW DOES THE BUSINESS ASSET APPRAISER DETERMINE THE FAIR MARKET VALUE OF THE APPRAISED ASSETS ? GOLD: A LAWRENCE The appraiser considers the use of three different approaches to value, being the sales comparison approach, the cost approach and the income approach. The most common approach utilized is the sales comparison approach, however, a cost approach is also used, particularly when the assets are unique or customized, or for example, in the case of the appraisal of leasehold improvements. THERE ANYTHING THAT A FRANCHISOR (VENDOR) CAN DO IN ORDER TO ASSIST THE APPRAISER IN TERMS OF Q ISSTREAMLINING OR EXPEDITING THE APPRAISAL PROCESS? GOLD: A LAWRENCE Often times, the assets may include equipment and other items that are either customized or proprietary to the franchisor or the vendor. These cost values may not be easily accessible to the appraiser. Franchisor would also have detailed information relating to construction costs, including infrastructure items that may not be immediately apparent via a visual inspection of the site, after construction is completed. To the extent possible, the franchisor should consider providing the appraiser with original equipment and construction costing information. The provision of this information would expedite the appraisal due diligence process, and would go a long way to maximize the potential supportable asset values. This cost information should be kept strictly confidential, and should remain in the appraiser’s work file.

Q CAN GOODWILL OR FRANCHISE FEES BE FINANCED UNDER CSBFA ? GOLD: A LAWRENCE The short answer is “no”. Goodwill, which is an intangible asset, is not an eligible asset. HAPPENS IF THE ALLOCATION BETWEEN GOODWILL AND THE OTHER ASSETS (I.E. EQUIPMENT AND Q WHAT LEASEHOLD IMPROVEMENTS) IS DIFFERENT FROM THE ALLOCATION SET OUT IN MY OFFER TO PURCHASE ? GOLD: A LAWRENCE The agreement of purchase and sale can be easily amended in order for the allocation to jive with the asset values submitted to the lender. When and if this situation arises, raise the issue with your lawyer and your real estate agent. THE APPRAISED AMOUNT A GUARANTEE OF VALUE OR A GUARANTEE OF THE MECHANICAL STATUS, Q FINALLY…IS OR FITNESS FOR PURPOSE OF THE PURCHASED EQUIPMENT? GOLD: A LAWRENCE The short answer is no…definitely not. The appraisal is prepared strictly for lender loan underwriting purposes and not for purchaser due diligence or reliance purposes. In the event of the proposed purchase of used equipment, the purchaser would be well advised to engage the services of persons with mechanical expertise in the specific equipment. This is particularly important in the area of reviewing refrigeration equipment. Remember… the appraiser assesses value based upon the readily apparent condition of the equipment, and not based upon its actual mechanical status or fitness for purpose. The purchaser should also pay attention to whether the vendor has diligently maintained proper ongoing equipment maintenance protocols, in accordance with the manufacturer’s recommendations. This FAQ/article is intended for general information purposes only. The Canada Small Business Financing Act, and the Regulations, should be consulted and reviewed in their entirety. All situations are case specific. If you have specific question, consult with your financing specialist and your selected business asset appraiser.
