PRESIDENT’S REPORt
I
t gives me tremendous pleasure to report to members on the performance of your club over the past twelve months. The trading profit for the year ended 31 October 2012 was $15.2 million, an excellent result and an improvement of nearly $3 million over 2011. When I joined the Board in 2003, Canterbury had just completed a large renovation program, one of the most ambitious ever undertaken by a registered club. Whilst this work has stood us in good stead over the years, it came with the burden of $36 million of debt. At that time the new Board made an undertaking to consolidate the financial position of the Club and take a more conservative approach to future developments. I am pleased to advise that through prudent financial management, in 2012 Canterbury paid off the last of this debt. This places your Club in a wonderful financial position for the future and will allow us to prepare the Club for its next phase with a greater level of security. That we have been able to achieve this during the most challenging period for registered clubs is even more notable.
Since 2002 we have had to contend with significantly increased taxation, the introduction of indoor smoking bans and more recently the threat of mandatory pre-commitment. Despite these challenges we have not only been able to pay down our debt, but we have also been able to continually improve the Club for our members, continue to support the Bulldogs and continue to support the local community. We have been able to deliver projects including Flame Restaurant, Trumps Gaming Lounge, The Paragon Room, the expansion of C-Life Health Club, The Terrace Bar and in December we opened the Galaxy Play Area and improved our outdoor gaming facilities. We have also been able to take advantage of amalgamation opportunities as they have presented themselves including The Bay Sports Club, Earlwood Ex-Servicemen’s Club, Belfield RSL and Lakemba Soldiers. The rationale of amalgamating with a second club in Lakemba was always to merge the activities of the ex-services organisations served by the two Lakemba
clubs, which were located only a short distance from each other. I am pleased to report that our plans for Lakemba are well advanced. In April this year we will settle on the sale of the former site of the Soldiers Club and in December 2012 a Development Application was submitted to Canterbury Council for a $2.3 million renovation of the Lakemba Services Club. It is worth noting that this amount is in excess of what is required to be spent under the Deed of Amalgamation, a reflection of the confidence we have in the future of Lakemba. We continue to play a highly active role in the local community. In 2012 Canterbury provided donations of more than $1.6 million to 138 different community and sporting groups (other than the Bulldogs). Some of the groups supported include Canterbury Hospital, Youth off The Streets, The Salvation Army and Canterbury Bankstown Junior League. On the sporting field we were treated to a resurgent Bulldogs winning the Minor Premiership before falling agonisingly short in the NRL Grand Final. This was a fantastic achievement for such a young

football team being coached by Des Hasler for the first time. On behalf of everyone at Canterbury I congratulate the team on a marvellous year and Des on a wonderful first year at the helm. With powerful back rower Tony Williams joining an already fearsome forward pack, anticipation is high for a boom 2013 campaign. With the large number of changes at the Bulldogs in 2012, the League Club’s grant to the Football Club was higher than usual but based upon these excellent results it was well and truly justified. At the 2012 AGM and throughout the year we have shared with members a number of plans for potential future renovations. Through this process it became apparent to the Board that a more comprehensive long-term strategy was required and as such the plans which we have previously shared with you have been put on hold while the Board and Management prepare a more detailed master plan for Canterbury’s future. I look forward to sharing this master plan with you when it is completed. In the meantime we will continue to progress
individual projects on their merit, such as the extension to The Terrace Bar, which has increased the capacity of this function space by 50%. On the legislative front this past year was one that commenced with significant uncertainty for registered clubs. In particular, the threat posed by proposed mandatory pre-commitment. Canterbury is a strong proponent of harm
minimisation and as an original partner in the Betsafe program has invested hundreds of thousands of dollars into support programs and counselling for problem gamblers. What we do not support is an untried and untested proposal that in the view of many experts would simply not work to assist problem gamblers, but would have seriously hurt clubs. Thankfully common sense prevailed and far more
industry and one that the current Board strongly supports, having participated in similar programs on a voluntary basis for some time now. Since 2003 the Board have completed no fewer than five separate corporate governance programs, ensuring that at all times we have a thorough understanding of the rules governing registered clubs and our obligations as directors. As mentioned in our December Journal, in November David McIntyre resigned from his position as Chief Executive Officer of Canterbury. After an extensive search the Board recently appointed Dave Brace to the position of Chief Executive Officer, commencing this March. Dave is a qualified accountant and a highly experienced Chief Executive, most recently leading Wentworthville Leagues Club through a large and complex development program. We are excited to welcome Dave to the team. I would also like to thank Jonathan Brain for the excellent job that he has done in leading Canterbury in the period since David McIntyre’s departure. Unfortunately 2012 was also a year
tinged with sadness as Canterbury lost two great supporters and Life Members in Martin Puckeridge and Ken Charlton. These two men were instrumental in laying the foundations for what Canterbury is today and while they may be gone they will never be forgotten. In conclusion I would like to thank my fellow Directors, Management and Staff for your continued professionalism and diligence in what has been an excellent year for Canterbury. To our wonderful members, on behalf of the entire Board I offer my thanks and gratitude for your continued patronage and support.

sensible harm minimisation legislation was introduced. We are definitely not out of the woods, however, and significant threats to our future viability still remain. In 2014 restrictions on ATMs in Clubs will be introduced, limiting the amount of your money that you will be permitted to withdraw from ATMs located in registered clubs to $250. The trial of pre-commitment technology on gaming machines is set to commence in 2014 and we are required to have all of our gaming machines upgraded for pre-commitment by 2018. In 2015 a ban on smoking in outdoor commercial dining areas is set to commence. You can rest assured that your Board is planning for all possible outcomes and we will continue to meet with and lobby all levels of government where appropriate to ensure that we can continue to support members and the community well into the future. In 2013 the government is introducing compulsory corporate governance training requirements for all directors of registered clubs. This is a welcome initiative for our

DR. PEPONIS HONOURED WITH ORDER OF AUSTRALIA MEDAL
C
ongratulations to Canterbury Chairman, Dr. George Peponis on receiving a Medal of the Order of Australia (OAM) for his service to rugby league football and to the community. Dr. Peponis was named in the prestigious Australia Day Honours list. The OAM is an order of chivalry established on 14 February 1975 by Queen Elizabeth II, “for the purpose of according recognition to Australian citizens and other persons for achievement or for meritorious service”. “It’s an honour to receive an award like this. I was fortunate enough to captain Australia in rugby league, and this is right up there with it” said Dr. Peponis.
Vale Ken Charlton
C
anterbury was saddened by the news of the passing of Ken Charlton. who passed away in November, aged 89. Ken played First Grade for the Bulldogs from 1946 until he retired in 1954. He captained the side in his final 3 years and played mainly in the forwards. Ken also served as Football
Club Secretary from 1954-58 and Canterbury League Club Foundation Secretary from 1956 to 1965. He was also a Director of the Club from 1956 to 1969. From 1962 to 1973, Ken was Vice President of the N.S.W Rugby League Football Club. A Life Member of the League Club and the Football
Club, Ken was regarded by many as being the man most responsible for the formation of the League Club. Ken was farewelled at South Chapel Crematorium, Rookwood by a large gathering of family and friends. Our sincere condolences are extended to the Charlton family.

he Canterbury Group’s more than 500 employees were recognised for their efforts at the annual Staff Christmas Party on Tuesday 4 December. On the night, along with the Christmas festivities, staff were honoured for their contributions to service excellence throughout the year. ongratulations to C-Life members Dory Kanaan and Melissa Zakhem on their wedding in February. C-Life is a big part of Dory and Melissa’s life. We spoke to Dory before the big day as they filmed part of their wedding video at C-Life. Why C-Life? The range of equipment and the faclities are great. Not only that, the team that work at C-Life are a great bunch that clearly demonstrate the difference between a normal gym and a great Health Club. They have always warmly welcomed our family and friends, as i’ve seen them do with others that walk through their doors. What made you want to film a part of your wedding video at C-life?
Fitness is and has always been a huge part of my family and since 2007, it has centralised around C-Life Health Club. 1. MINUTES OF PREVIOUS ANNUAL GENERAL MEETING To approve the Minutes of the Annual General Meeting held on 21 March, 2012. 2. REPORTS To receive and consider the following reports of the League Club for the financial year ended 31 October 2012: (a) Financial Report; (b) Directors’ Report; (c) Auditor’s Report. If members have questions on the Financial Report they are respectfully requested to submit them to the Acting Chief Executive Officer at least seven (7) days before the Annual General Meeting so that if necessary the matter can be appropriately researched before the Annual General Meeting. 3. ORDINARY RESOLUTIONS

(b) acknowledge that the benefits referred to in (a) above are not available to Members generally, but only for those who are Directors of the League Club.” SECOND ORDINARY RESOLUTION “That pursuant to section 10(6A) and also for the purposes of section 10(6)(d) of the Registered Clubs Act 1976 the members hereby: (a) approve the reasonable expenditure by the League Club in respect of the Directors with regard to the following matters in the period to the next Annual General Meeting: (i)
a club blazer, tie, shirts and other official clothing to be provided to a Director for the purposes of representing the League Club;
(ii) a specified security parking space in the League Club carpark;
(iii) meals, drinks, accommodation, entertainment, transport, admission and other reasonable expenditure, including where required or appropriate for Directors’ partners/ spouses to attend functions when the Directors are attending as representatives of the League Club; (iv) donations by way of payment for raffle tickets, purchase of memorabilia and the like at fund raising events when a Director attends as a representative of the League Club; (v) reasonable costs incurred attending meetings of the Board and sub-committees; (vi) reasonable costs incurred entertaining sponsors, business associates, patrons, councillors, members of State and Federal Parliament, and other dignitaries and guests in the Board Room of the League Club and in the Directors’ Box at playing venues of the Bulldogs rugby league team; (vii) reasonable costs incurred attending meetings and functions, including community, charity, rugby league and other meetings or functions approved by the Board at the League Club or elsewhere, as an official delegate or representative of the League Club, including the attendance of spouses where required or appropriate for Directors’ partners/spouses to attend; (viii)
reasonable costs incurred attending rugby league matches of the Bulldogs in the NRL premiership competition, and any representative match conducted by the NRL, ARL or NSWRL, in Australia or overseas;
(ix) reasonable costs incurred attending

(b) acknowledge that the benefits referred to in (a) above are not available to Members generally, but only for those who are Directors of the League Club.” THIRD ORDINARY RESOLUTION “That pursuant to section 10(6A) and section 10(6)(d) of the Registered Clubs Act 1976 the members hereby: (a) approve expenditure by the League Club of a sum not exceeding $105,000 in aggregate over the period to the next Annual General Meeting, for the reasonable expenditure for Directors on meals, drinks, accommodation, entertainment, transport, admission charges and other incidental expenses in attending League Club conferences (two per year), gaming conferences, conventions, seminars, lectures, trade displays, educational, fact finding, study and information tours at venues anywhere in Australia or overseas in order to obtain knowledge of the gaming and entertainment facilities or to plan future club extensions and to improve the quality of amenities and services to the Members of the League Club, including where required or appropriate reasonable expenses for Directors’ partners/spouses to attend. (b) acknowledge that the benefits referred to in (a) above are not available to Members generally, but only for those who are Directors of the League Club.” FOURTH ORDINARY RESOLUTION “That pursuant to section 10(6A) of the Registered Clubs Act 1976 the members hereby: (a) approve: (i)
the reasonable expenditure by the Board of Directors with regard to the period to the next Annual General Meeting of funds not exceeding $105,000 to sponsor and support the sub-clubs which operate within the League Club.
(ii) the reasonable expenditure by the
Board of Directors with regard to the period to the next Annual General Meeting of total funds not exceeding $20,000 to make grants to individual members of the League Club deemed worthy of support in terms of sporting or arts sponsorship, or hardship, or any other reason deemed appropriate by the Board of Directors. (iii) the Club paying the reasonable costs of Directors or senior management attending functions of commercial partners or others or conventions or other activities where attendance is considered to be a benefit to the League Club and in the normal conduct of its commercial business. (iv) the reasonable expenditure by Directors and/or senior management of a sum not exceeding $6000 for the purpose of purchasing food and beverages to entertain invited members at functions within the League Club as deemed appropriate in the normal course of membership relations, such as Directors’ Xmas drinks and New Members’ night drinks. (b) acknowledge that the benefits referred to in (a), (b), (c) and (d) above are not available to Members generally, but only for those who are Directors, senior management and members of the League Club referred to in the resolution.” FIFTH ORDINARY RESOLUTION “That pursuant to section 10(6A) and section 10(6)(d) of the Registered Clubs Act 1976 the members hereby: (a) approve expenditure by the League Club of a sum not exceeding $20,000 in aggregate over the period to the next Annual General Meeting, for the conduct of mandatory training requirements for Directors pursuant to Regulations under the Registered Clubs Act. (b) acknowledge that the benefits referred to in (a) above are not available to Members generally, but only for those who are Directors of the League Club.”
SIXTH ORDINARY RESOLUTION “That pursuant to section 10(6A) of the Registered Clubs Act 1976 the members hereby: (a) approve Life Members of the League Club receiving a badge, a blazer, a Christmas hamper to the value of $500, and corporate level entertainment at all Bulldogs home football matches, including car parking facilities where possible. (b) acknowledge that the benefits referred to in (a) above are not available to Members generally, but only for those who are Life Members of the League Club.” Notes to Members on the Six Ordinary Resolutions These notes are to be read in conjunction with the proposed Ordinary Resolutions set out above. 1.
The Registered Clubs Act in effect generally prohibits a profit, benefit or advantage being offered to a member of the League Club, whether or not he or she is a member of the Board of Directors, or of any committee of the League Club unless the profit, benefit or advantage is offered equally to every full member of the League Club. However, there are exceptions to this general prohibition.
2.
Section 10(6)(b) of the Registered Clubs Act in effect provides that the League Club can pay an honorarium to a Director provided the honorarium is approved by a resolution of those members who are entitled to vote in the election of the Board.
3.
Section 10(6)(d) of the Registered Clubs Act in effect allows Directors to be paid out of pocket expenses reasonably incurred by them in the course of carrying out their duties provided the expenditure is approved by a current resolution of the Board. The purpose of the Second Ordinary Resolution is to disclose the nature of such expenditure and to seek members’ approval for it.
4.
Section 10(6A) of the Registered Clubs Act in effect provides that the League Club can provide different benefits for different classes of members provided

as an official representative of the League Club any official pre-season, end of season or other tour with Bulldogs rugby league team.

the benefit is not in the form of money or a cheque or promissory note and the benefit is approved by a general meeting of the members prior to the benefit being provided.
5. The First Ordinary Resolution is to approve honorariums for the Board. 6. The Second Ordinary Resolution is to approve out-of-pocket expenses for directors. 7. The Third and Fourth Ordinary Resolutions are to approve other forms of expenditure by directors. 8.
The Fifth Ordinary Resolution is to approve expenditure by the Club for mandatory training for directors under the Registered Clubs Regulations expected to commence soon.
9. The Sixth Ordinary Resolution is to approve expenditure on benefits for Life members.

RESOLUTIONS IN RELATION TO LIFE MEMBERSHIP FIRST RESOLUTION “That Mr. Stephen Charles Mortimer be elected as a Life Member of the League Club in recognition of his exceptional and distinguished service to the League Club.” SECOND RESOLUTION “That Dr. George Peponis be elected as a Life Member of the League Club in recognition of his exceptional and distinguished service to the League Club.” Notes to members in relation to the Resolutions for Life membership 1.
The Board has resolved to recommend Mr Stephen Charles Mortimer and Dr. George Peponis for election to Life membership of the League Club under Rule 25 of the League Club’s Constitution in recognition of their exceptional and distinguished service to the League Club.
11. To be passed each Ordinary Resolution requires votes from a simple majority (50% + 1) of those members who being eligible to do so vote in person on the Resolution at the meeting.
2. Under Rule 25 of the League Club’s Constitution a person may be elected as a Life Member at the Annual General Meeting by a resolution passed by not less than a three quarters majority of the members present and voting at the meeting.
12. Proxy voting is prohibited by the Registered Clubs Act.
SPECIAL RESOLUTION
“That the Constitution of the League Club be amended as follows:
Inserting a new sub-paragraph (iv) in Rule 18(e) as follows: “(iv) Belfield RSL Members”” Notes to Members on the Special Resolution 1. The Special Resolution is necessary to amend Rule 18 of the Constitution that was inadvertently overlooked when the amalgamation with Belfield RSL was approved at the 2012 Annual General Meeting. 2.
To be passed, the Special Resolution requires votes from not less than three quarters of those members, who being eligible to do so, are present and vote on the Special Resolution at the Annual General Meeting.

Dress Regulations Canterbury provides a comfortable environment where patrons are able to enjoy their surroundings and use of club facilities without disruption from others that are inappropriately dressed or behave in an unacceptable manner. To ensure patron compliance with these principles, standards have been set for dress and behaviour. Acceptable Attire: • Neat, clean and tidy casual wear (no large tears or holes) • Tracksuits (top and/or bottom) • Overalls and work boots (must be clean) up to 9pm. • Football shorts/stubbies of modest length and appearance up to 9pm • Dress sandals, boat shoes and scuffs - up to 9pm • Casual and sports shoes to be worn with socks • Dress shirts without collars (includes ‘T’ shirts) • Clean and tidy Football jerseys - with the exception that no opposition jerseys or merchandise are to be worn on Bulldogs match days (home and away games). • Health Club members must comply with normal club dress entry requirements whilst entering and leaving the foyer Unacceptable Attire (not permitted at anytime): • Bare feet or rubber thongs • Untidy and/or dirty clothing or footwear • Singlets or sleeveless shirts (excludes ladies apparel) • Offensive motifs or imagery on clothing • Gang patches or other insignia on clothing • Swimwear or revealing clothing • Helmets, hats, caps, beanies and bandanas other than for medical or religious reasons (facial features must be visible). • Offensive personal hygiene
General Regulations • Interpretation of the dress rules is at the discretion of club Management. • Persons under 18 years are permitted in certain areas (restaurants) of the club but must be in the company of a “responsible adult” at all times. • Proof of age and residential qualification are required for temporary members and member’s guests. • Club members are required to produce their membership card upon entry and/or when requested to do so by club management. • Management reserves the right to refuse entry to any person not conforming with licensing or club regulations. • Patrons who are intoxicated, abusive, violent or quarrelsome will be requested to leave and maybe subject to disciplinary action. • Patrons requested to leave the club by Duty Management must leave the premises immediately and not return within a 24-hour period or if deemed necessary may be suspended and subject to disciplinary action. Photographs The privacy of members and visitors is important. To protect it the use of video recorders, cameras and mobile phone cameras is not permitted in the club without the express permission of a relevant supervisor or Duty Manager Lost membership cards Members who misplace their membership cards should report their loss to the membership desk at their earliest opportunity.
