Keyboardist Brian Haas has spentmuchofthe past 31 years crisscrossing the country in a van, performing experimental, oftenimprovised music. So when Jewish Community Center CEO Michael Rawl suggested he apply for the newly cre-

ated position of JCC music director— whichwould enable himto tour alittle less —Haas jumped at the opportunity. “I’m 50 years old,” he said. “Last year,Idid 150 shows, and alot of thatwas (traveling) in the van.” The JCC job “enables me to keepdoingthe onlyrealthing I knowhow to do, which is make new art, and be more grounded in New Orleans. To build more communityhere and not have to be in the vansomuch.”

The most ambitious initiative of Haas’ tenure at the JCC so far is theComposer in Residence Con-

cert Series. He’llspend aweek with aguest composer writing and rehearsing 75 minutes of newmusic, then performitatthe JCC. Theseries’ first composer in residence is trumpeter andarranger StevenBernstein, atitan of theNew York avant-jazz scene. Howdid it happen? It was acouple behind-thescenes things. Trombone Shorty got the opportunity to singand play“America the Beautiful.” And he said, “I’d love to play it, butIhave someone else in mind to sing it. Iwould really loveitif Laurensang on this.” He had avision, so he invited me. Iwas shocked. Isaid,“Do you understand the opportunity you gave me? Do you know what your generosity has given me?”

That just goes to show the beauty of the music sceneinNew Orleans. What Ilove so much is that it’ssocommunal.People are looking out for each other.

Troy was in my musicvideo for “These Are the Days.” He came up to me afterward, wrapped his arms around my shoulder and said, “You know Iconsideryou a sister now.You’vegot abrother in me.”

People say that,but it’sdifferent when they say that and then actually follow that up withaction.

Troy has been such afriend to me in this industry.I’m originally from Lafayette. Itold him, “To come into this (New Orleans) community withsuch deep ties, it can be intimidating. Buttofeel such an incredible warmwelcome, it means more thanyou would ever know.”

Over and over again, hehas shown me that. Ilook up to so many people in New Orleans. I feel like I’m stillthe little girl who’s learning, wide-eyed Youappeared on Shorty’s“Lifted”album andhejoinedyou onstage during the 2022 New Orleans Jazz &HeritageFestival.You’ve developed afruitful artistic collaboration with him.

It’ssuper-harmonious. It’s organic. It doesn’tfeel forced or likeabusiness move. It just feels like, “I love that guy.” When we rehearsed “America theBeautiful,” we workedonthe songmaybe 15 or 20 minutes, but we talked for over two hours, just hanging out in his studio. That’s a goodsign. That’swhat you want to pour into aperformance like (the SuperBowl).You wantthe love andgrit to be expressed on a stage of this caliber Yousang the national anthem in the Superdome when LSUbeat Clemsoninthe 2020college footballchampionshipgame

Doesthat help you prepare for theSuper Bowl?

Absolutely.When you sing in the middle of the Superdome, the soundisspinning around you.A lot of acoustical landscape gets taken up. The acoustics are definitely something you have to pay attention to, butfor whatever reason, it didn’t trip me up last time. Fingers crossed.

Which song is trickier to sing —the national anthem or “America the Beautiful”?

Iwould say thenational anthem. Youhavetoreally payattention to thewords, because there’sa repeated phrase that, melodically, can bring you into adifferent section.

Oh my gosh. Somebody said, “You better hope that the Chiefs get to the Super Bowl, because you’re going to meet Taylor Swift.” Ifeel like her security team has her situation on lock. But it would be asweet thing if I did get to meet her

Acouple years ago, Taylor or her team sent me this really kind package. It was like this Taylor Swift experience with this VIP plexiglass golden ticket, if you will, to come and meet her and hang. Iwas on tour so Ididn’tget to go, but it was really sweet. If Idoget to meet her,I’ll give her abear hug and say,“Girl, how IN THE WORLD do you do it?”

In December,you performed two Christmas shows at the Saenger Theatre. On the first night, the audience wasn’tgiving you much energyback.

The first night was the tough night. The second night, Isaid, “Where did these fans come from?” They were the total opposite.

We did ve (Christmas)shows. We ended in New Orleans on such ahigh, because that (second) crowd was so much fun.

But that first crowd, Iwas like, “Y’all are making us work tonight.”

Iremember opening for someone and having aconversation with myself about “you cannot

Ihave been that person at a show in complete awe, where my facial expression shows nothing, because I’mtruly absorbing it.

I’ve also been to concerts where Iamrunning around screaming at the top of my lungs because somebody did something so musically inspiring.

So I’ve told myself, “When you perform, don’tput the expectation on the audience. Put the expectation on yourself to love the performance, to have agreat time, to perform as best as you can.”

What that lack of expectation (from the audience) does is, when they do show up, it brings the show from 10 to 100. It’s aspecial thing. Youdefinitely feed off of the energy Ihave a12-piece band. I’m the 13th and the audience is the 14th. Acrowd can feed into how aset sounds. Iwill change the way Ising, the band will change things theyplay,different licks and tones. We also change the set based on the crowd: “What are they trying to tell us tonight? Where do they want us to guide them?”

There’sabeautiful, unique relationship with an audience. But going into that relationship, it’s like ahealthy marriage —don’t expect something from the other side. So when you get something, it’sreally beautiful.

Looking ahead, you have afew concerts in 2025, including two in South Africa. That’salong waytogofor just two shows. I’m going to do some other things while I’m there. Iworked with an organization called ChildFund on my first world tour to sponsor kids in Africa. So I’d like to go to that village and be able to

see them. During your first Christmas show at the Saenger,your charitable Price Fund gave $25,000 to the Roots of Music, the afterschool marching band program. I’ve watched that program in action. These are men and women that care forthe next generation. They see the need, they meet the need. They encourage these kids with confidence, they give them purpose, they give them a skill. They increase their learning capabilities because they not only teach music but they do their homework with them, they give them asnack and ameal.

That’show we’ll see positive change. Real change comes in those interpersonal relationships. To be able to champion the people that are making adifference is an honor

It’sbeen ayearand half since you released your self-titled album on Atlantic Records.What’snext?

Iwent to the crafts store recently.I told my mom Ineeded to get 10 posters. Ihave to start dreamboarding what the next year looks like, what the next five years looks like. Ineed to map it all out. Ineed to do achart or graph. It’s all in my mind and Ineed to get it out on paper

I’ve been on tour with Jon Batiste and he is sleep, drink, eat, breathe music at all times. Jon is the opposite of me. He can be on the road and writing records at the same time.

That’satechnique I’m going to learn. But in the meantime, we finished touring and I’mtaking abreak. What naturally comes when Ijust rest is Ifind myself at the piano starting to write again. The second atour winds down, it’s rocket fuel (for songwriting).

I’ve started writing new songs. I can definitely see having another record out in the next couple years.

Ilook forward to building the Price Fund. Iwas having a conversation with the attorney general and she was telling me, “Lauren, Ican see the passions you have. Youshould go to law school.” Before Igot into music, Iwas planning on going to law school. So there are these other dreams that I’d love to take time to expand upon.

Rewriting legislation for children, being avoice for kids in foster care or kids that have experienced domestic violence. to actually have time to work on some of those things would be really special. Music will never leave me. That is just anatural part of who Iam. But Ialso want to see what the next season of lifelooks like. For both Haas and Bernstein, composingnew works iscentral to their creative lives.

Haas made his bones on the road with the Jacob Fred Jazz Odyssey, the genre-blending avant-jazz/ funk ensemble that formed in his native Tulsa, Oklahoma, in 1994. The prolific Jazz Odyssey’stwo dozenplus albums included “The Race Riot Suite,” based on the deadly Tulsa race riot of 1921.

In recent years, Haas has shared stages more frequently with his own Nolatet ensemble, the Punkadelick projectwithpercussionist/vibraphonist Mike Dillon and drummer Nikki Glaspie, and with bassist James Singleton’sband.

Rawl, who moved to New Orleans to become the JCC’s CEO ayear ago, has followed Haas’ career for decades.

During the2024New Orleans Jazz &Heritage Festival, Rawl acted as avolunteer,suit-wearing roadie for Haas, helping move his keyboards.

He was also assessing Haas’ suitability to fillthe newly created positionof JCC music director Jewish community centers “have an immense opportunitytobereflective of the strengths of their local community,” Rawl said. “My vision was to hire amusic director who was actively immersed in creating new music, as opposed to atraditional curator or administrator

“Brian is aworld-class pianist and composer,atthe top of his game. His prolific body of work speaks for itself,demonstratingthe

complexity of his talent, as well as his consistent desire to move music forward. Since his hire, we have been moving full-steam ahead.”

Haas loves that creating new music, and promoting theJCC as alivemusic venue is amajor focus of the job.

“The way it was explained tomewas, ‘There is no office here for you. We’re looking for somebody to be aculture builder and bringer,’ ”Haas said. “I’m avery social person, and all Iknowhow to doisplay music. They’retreating the creation of new works and new compositionsasjob No. 1.”

He also works with pre-K students at the JCC, improvising music outdoors.

“There is no ‘teaching,’ ” Haas said. “I’mdoing freeimprov stride piano and the kids are playing withme. It’scompleteSun Ra Arkestra, Art Ensemble of Chicago magic. It’s an absolute dream job.”

Creating fora living

He and Bernstein created their ownkind of magicthis week. Bernsteinhas worked

with LouReed, Marianne Faithful, Laurie Anderson, Levon Helm, John Zorn and many others while also fronting his own experimental musicensembles, chief among them Sexmob. He andthe late NewOrleans pianist Henry Butler teamed up as the ButlerBernstein Hot 9.

Producer Hal Willner recruitedBernstein to arrange thesoundtrack for the Robert Altman film “Kansas City,” which led to work on other Willner projects.He’salso written arrangements for everyone from EltonJohntoElvis Costello to U2.

In essence, Bernstein says, he “gets paid alot of money to make famous people sound great. I’ve played with every major musician in the world. Everyone’sheroes hiremetosound good.” That then enables him to pursue hisown more experimental, less commercial projects, including the Composer In Residence initiative.

Launching the JCC series withBernstein, Rawl said, is “an intentional statement —wevalue new art, and we are setting the bar high.”

Guided by the choppy curves of the hand-drawn staff paper,the music they wrote illustrated the arc of Erwin’slifeand career.After the first day,they’d already sketched out six new pieces. They “hit the ground super-inspired,” Haas said. Bernstein’sold friend John Zorn recently advised him to “stick with your community and do niche music.” Working with Haas is “a really good example of sticking with your community,”Bernstein said. “When your community calls, that’s when you come. These are the people who care “And if we’re going to keep making newcreations, it’sabout people who believe in what you do and say, ‘Come do it.’”

COOPERATIVE ENDEAVORAGREEMENTBYAND BETWEEN THE CITYOFNEW ORLEANSAND GBGC,LLC D/B/A GULF COAST GUNBUSTERS

THIS COOPERATIVE ENDEAVORAGREEMENT (the “Agreement”) is entered into by and between the City of New Orleans, represented by LaToya Cantrell, Mayor (the “City”), and GBGC, LLC d/b/a Gulf Coast Gunbusters, represented by Tim Heinzen, Owner (the Contractor”or Gunbusters”). The City and the Contractor may sometimes each be referred to as a“Party,” and collectively,asthe Parties.” The Agreement is effective as of January 13, 2025 (the Effective Date”). RECITALS

WHEREAS,the City is apolitical subdivision of the StateofLouisiana; and WHEREAS,the Contractor is alimited liabilitycompany,whose mailing address is P.O. Box 250, Carencro, Louisiana, 70520; and WHEREAS,pursuant to Article (7), Section (14)(C) of the Louisiana Constitution of 1974, and related statutes, and Section 9-314 of the Home Rule Charter of the City of New Orleans, the City may enter into cooperative endeavors with the State of Louisiana, its political subdivisions and corporations, the United States and its agencies, and any public or private corporation, association, or individual with regard to cooperative financing and other economic development activities, the procurement and development of immovable property,joint planning and implementation of public works, the joint use of facilities, joint research and program implementation activities,joint funding initiatives, and other similar activities in support of publiceducation, community development, housing rehabilitation,economicgrowth, and other public purposes; and WHEREAS,the New Orleans Police Department (“NOPD”) confiscates, collects, seizes, and maintains weapons for various legitimate law enforcement purposes and houses said weapons in its Central Evidence and Property Section (“CE&P”); and WHEREAS,NOPD has legal authority,pursuant to Louisiana State Law and by New Orleans Police Department Operations Manual, Chapter: 84.1 (“ExhibitA”), to request that weapons being maintained and stored in CE&P be disposed of, once various procedures and safeguards have been met; and WHEREAS,the Contractor,inaccordance with the provisions of Title (1) of the Gun Control Act of 1968 and the regulations thereunder (27 CFR, Part 478), is licensed as aDealer in Firearms Other than Destructive Devices, within the limitationsofChapter 44: Title (18) of the United States Code and the regulations issued under the U.S. Department of Justice and the Bureau of Alcohol, Tobacco, Firearms, and Explosives (“Exhibit B”); and WHEREAS,the Contractor’s “01-Dealer In Firearms Other Than Destructive Devices License”isactive with acurrent expiration date of August 1, 2025; and WHEREAS,the Contractor offers a firearms pulverizer system for law enforcement agencies with an intent on safely and efficiently destroying seized and surrendered firearms; and WHEREAS,the City and the Contractor desiretoaccomplish the valuable public purpose of protecting the Citizens of Orleans Parish by safely and efficiently destroying seized and surrendered firearms to the New Orleans Police Department, as well as any firearms owned but no longer needed by NOPD; and NOW THEREFORE,the Cityand the Contractor,each having the authority to do so, agree as follows: ARTICLE I-THE CONTRACTOR’S OBLIGATIONS

A.The Contractor will:

1. Destroy confiscated firearms, surrendered firearms, and firearms owned but no longer needed by NOPD by pulverization withthe understanding that the Contractor will sell salvaged parts and scrap metals for the Contractor’s benefit.

2. Arrange for current or retired Law Enforcement Officers to pick up and securely transport firearms to the Contractor’s destruction center,located in Lafayette, Louisiana, provide an inventory receipt( Exhibit C”) to Law Enforcement Officers, and assume full responsibility for the firearms.

3. Within thirty (30) to sixty (60) days of pick up from NOPD, the Contractor will destroy firearms by pulverization per the Bureau of Alcohol, Tobacco, Firearms and Explosives (“ATF”) guidelines and provide NOPD with asigned affidavit of the Contractor’sdestruction recordand aDVD, documenting the video destruction of each individual frame or receiver Inthe case of obliterated or non-serialized firearms (pre1968 rifles and shotguns), the recordwill document NOPD’s evidence or file number,along with the Contractor’s record number assigned to each firearm. The Contractor will destroy all defaced serials within seven (7) days of pick up or upon verification of defaced serials, whichever is later,per ATV Variance requirements.

4. Abide by all provisions described in the Bureau of Alcohol, Tobacco, Firearm and Explosives’ letter,dated January 17, 2018.

ARTICLE II -THE CITY’S OBLIGATIONS

A Administration.The City will:

1. Administer this Agreement through the New Orleans Police Department (“NOPD” or the “Department”).

2. Providethe Contractor with any documents deemed necessary for the Contractor’s performance of any work required under this Agreement.

3. Provideaccess to Department personnel to discuss the required services during normal working hours, as requested bythe Contractor

4. In accordance with Section (43) of NOPD’sChapter 84.1, the Department shall provide asupervisor,not assigned to CE&P chosen by the Superintendent of Police, who will review the disposal process with the Contractor,toensureintegrity and compliance with laws and Departmental regulations.

5. The Departmentshall appoint adesignee(s) to receive and storeall inventory receipts provided by the Contractor

6. The Departmentshall abide by all laws and Departmental regulations regarding the intake, storage, recording, transfer and disposal of all firearms.

ARTICLE III –FUNDING There is no funding or compensation required under the terms of this Agreement. TheContractor will sell salvaged parts and scrap metals for the Contractor’sbenefit. ARTICLE IV -DURATION AND TERMINATION

A Term.The term of this Agreement shall commence on the Effective Date and expireonJanuary 12, 2027.

B Extension.This Agreement may be extended at the option of the City,provided that funds arelocated by the City Council, and the extension of the Agreement facilitates the continuity of services provided herein. This Agreement may be extended by the City for four (4) additional one-year terms and shall be evidenced in the form of an amendment hereto.

C Termination for Convenience.The Parties may terminate this Agreement at

notice will be required.

ARTICLE V-INDEMNITY

A In General.Tothe fullest extent permitted by law,the Contractor will indemnify,defend, and hold harmless the City,its agents, employees, officials, insurers, self-insurance funds, and assigns (collectively,the Indemnified Parties”) from and againstany and all claims, demands, suits, and judgments of sums of money accruing againstthe Indemnified Parties:for loss of life or injury or damagetopersons or property arising from or relating to any act or omissionorthe operationofthe Contractor, its agents or employees, while engaged in or in connection with the discharge or performance of any services under this Agreement; and for any and all claims and/or liens for labor,services, or materials furnished to the Contractorinconnection with the performance of workunder this Agreement.

B Limitation.The Contractor’sindemnity does not extend to any lossarising from the negligence, gross negligence, nor willful misconduct of any of the Indemnified Parties, provided that neither the Contractornor any of its agents nor employees contributed to such negligence, gross negligence, or willful misconduct.

C Independent Duty.The Contractorhas an immediate and independentobligationto, at the City’soption: (1)defend the City from or (2) reimburse the City for its costs incurred in the defense of any claim that actually or potentially falls within this indemnity,even if: (i) theallegations areormay be groundless, false, or fraudulent; or (ii) the Contractoris ultimately absolved from liability

D Expenses.Notwithstanding any provisiontothe contrary,the Contractorshall bear the expenses including, but notlimited to, the City’s reasonable attorney fees and expenses, incurred by the City in enforcing this indemnity

ARTICLE VI –INSURANCE

A.Except as otherwise noted, at all times during this Agreement or the performance of workrequired by this Agreement, the Contractor willmaintain the following insurance in full forceand effect for the duration of the work under thisAgreement. Evidence of coverage shall beprovided prior to the start of any activities /work,inconjunctionwith the Contractor’sscope of work under the Agreement. If the Contractor maintains broader coverage and/or higher limits than the minimum limits shown below, the City shall be entitled to the broader coverage and/or thehigher limits maintained by the Contractor.Any available insurance proceeds in excess of the specified minimum limits of insurance and coverageshall be available to the City 1.

1. OtherInsuranceProvisions.The insurance policies areto contain, or be endorsed to contain, the following provisions: i. Additional Insured Status.The Contractorand all subcontractors, whereapplicable, will provide, and maintain current, aCertificate of Insurance, naming theCity of New Orleans, its departments, political subdivisions, officers, officials, employees, and volunteers as “AdditionalInsureds,” covered on the CGL policy,with respect to liability arising out of the performance of this Agreement. General liability insurance coveragecan be provided in the form of an endorsement to the Contractor’s insurance (at least as broad as ISO Form CG 20 10 11 85 orboth CG 20 10 and CG 20 37 forms if later revisions are used)

ii. TheContractorshall requireand verify that all subcontractors maintain insurance and coveragelimits meeting all the requirements stated herein. TheCertificate of Insurance, as evidence of all required coverage, should name the City of New Orleans Risk Manager as Certificate Holderand be delivered via U.S. Mail to 1300 Perdido Street, 9E06 –City Hall, New Orleans, LA,70112. The Additional Insured Box shall be marked “Y” forCommercial General Liability coverage. The Subrogation Waiver Box mustbemarked “Y” for Workers’Compensation/ Employers’ Liability and Propertycoverage.

C Primary Coverage.For any claims related to this Agreement, the Contractor’sinsurance shall provide primary insurance coverage with respect to the City,its departments, political subdivisions,officers, officials, employees, and volunteers. Anyinsurance or self- insurance maintained by the City shall be non-contributing to the Contractor’s coverage.

D Claims Made Policies.Ifapplicable, the retroactive date must be shown and must be beforethe date of the Agreement or the beginning of work.Ifthe coverage is canceled or non- renewed, and not replaced with another claims-made policy,the Contractormust purchase “extended reporting”coveragefor aminimum of three (3)years after the termination of this Agreement.

E WaiverofSubrogation.The Contractorand its insurers agreeto waive any right of subrogation which anyinsurer may acquireagainst the Citybyvirtue of the payment of any loss under the insurance policies required by this Agreement.

F Notice of Cancellation.Each insurance policy required above shallprovide that coverageshall notbecanceled, allowed to expire, nor altered except without prior notice to the City of no less than thirty (30) days.

G Acceptability of Insurers.Insurance is to be placed with insurers, licensed, and authorized to do business in theState of Louisiana, with a current A.M. Best’srating of no less than A: VII, unless otherwise acceptable to the City

H Notice.The Contractor will provide the City’sRisk Manager with the following documents upon the City’srequest:

1. Within ten days of the City’s request, copies of all policies of insurance, including all policies, forms, and endorsements.

2. Substitute insurance coverage acceptable to the City within thirty (30) calendar days, if any insurance company,providing any insurance with respect to this Agreementisdeclared bankrupt, becomes insolvent, loses theright to do business in Louisiana, or ceases to meet the requirements of this Agreement.

3. The documentationshould be forwarded to: City of New Orleans, Attn: Risk Manager,1300 Perdido Street, Suite 9E06, New Orleans, LA 70112 -Ref. Gunbusters CEA I SpecialRisks or Circumstances.The City of New Orleans shall reserve the right to modify these requirements, including limits, based on the natureofthe risk, prior experience, insurer coverage, or other circumstances.

ARTICLE VII –LIVING WAGES

A Definitions.Unless otherwise expressly provided in this Agreement, capitalized terms used but not defined herein, shall have the definitionattributed to them in Article VIII, Section70-802 of the City Code. B Compliance.Tothe fullest extent permitted by law,the Contractor agrees to abide by City Code Sections 70-801,

sex, gender,age, physical or mental disability,national origin, sexualorientation, creed, culture, or ancestry, and (2) whereapplicable, will take affirmative action to ensurethat the Contractor’semployees aretreatedduring employment without regardto their race, color,religion, sex, gender,age, physical or mental disability national origin, sexualorientation, creed, culture, or ancestry.This requirement shall apply to, but not be limited to the following: employment, upgrading, demotion or transfer, recruitment or recruitment advertising, layoffortermination, ratesofpay or other forms of compensation, and selection for training, including apprenticeship. All solicitations or advertisements for employees shall state that all qualified applicants will receive consideration for employment without regardtorace, color religion, sex, gender, age, physical or mental disability,national origin, sexual orientation, creed, culture, or ancestry

B Non-Discrimination.Inthe performance of this Agreement the Contractor will not discriminate on the basis, whether in fact or perception, of aperson’srace, color,creed, religion, national origin, ancestry,age, sex, gender, sexual orientation, gender identity,domestic partner status, maritalstatus, physical or mental disability,orAIDSor HIV-status against (1) any employeeofthe City working with the Contractor in any of the Contractor’soperations within Orleans Parish or (2) any person seeking accommodations, advantages, facilities, privileges, services, or membership in all business, social, or other establishments or organizations operatedbythe Contractor.The Contractor agrees to comply with and abide by allapplicable Federal,State, and local laws relating to non-discrimination, including, without limitation, Title VII of the Civil Rights Act of 1964, Section Vofthe Rehabilitation Act of 1973, and the Americans with DisabilitiesAct of 1990.

C Incorporation into Subcontracts.The Contractor will incorporate the terms and conditions of this Article into all subcontracts, by reference or otherwise, and will requireall subcontractors to comply with those provisions.

D Termination for Breach.The City may terminate this Agreement for cause if the Contractorfails to comply with any obligation in this Article, which failureisa material breach of this Agreement.

ARTICLE IX -INDEPENDENT CONTRACTOR

A Independent Contractor Status.The Contractor is an independent contractorand shall not be deemed an employee, servant, agent, partner,nor joint ventureofthe City and will not hold itself nor any of its employees, subcontractors, or agents to be an employee, partner,or agent of the City

B Exclusion of Worker’sCompensationCoverage

foreseeable by the City at the execution of this Agreement,which will include,but not be limited to, abnormally severe andunusual weatherconditions or other acts of God (including tropical weather events, tornados, hurricanes, and flooding); declarations of emergency; shortages of labor or materials (not caused by the City); riots; terrorism; acts of public enemy; war; sabotage; cyber-attacks, threats, or incidents; epidemics or pandemics; court or governmental order; or anyother cause whatsoever beyond the reasonable control of the City provided such event wasnot caused by the negligence nor misconductof the City,bythe failureofthe City to complywith applicable laws, nor by the breach of this Agreement.

B Notice.Toseek the benefitofthis Article,the City must provide notice in writing to the Contractorstating: (1) an event triggering this Article hasoccurred; (2) the anticipated effect of the Force Majeure event on performance; and (3) the expected duration of the delay, if the Agreement is being suspended.

C Effect 1. Upon the occurrenceofaForce Majeure event, for which the City has provided required notice, the City may, at its sole discretion: i. Suspend this Agreementfor aduration to be set by the City,not to exceedninety (90) days. During such time of suspension, the Parties will not be liable nor responsible for performance of their respective obligations under this Agreement, and there willbeexcluded, from the computation of suchperiod of time, any delays directly due to the occurrenceofthe Force Majeureevent. During any such period of suspension, the Contractor must take all commercially reasonable actions to mitigate against the effects of the Force Majeureevent and to ensurethe prompt resumption of performancewhen so instructed by the City; or ii. Terminate this Agreement, either immediately or after one or moreperiods of suspension, effective on notice to the Contractor and without anyfurthercompensation due. 2. Notwithstanding Section (C)(1) above, the obligations relating to making payments whendue for services or

received, except any notice that is not received due to the intendedrecipient’s refusal or avoidance of delivery.Ifthe intended recipient refuses or avoids delivery then the date of the first attempteddeliverywill be deemed the date of receipt.

C Notification of Change.Each Party is responsible for notifying the other,inwriting, of any changes in its address(es) set forth above. ARTICLE XIII -ADDITIONALPROVISIONS

A Amendment.Noamendmentoformodificationtothis Agreement shall be valid unless and until executed in writing by the dulyauthorized representatives of both Parties to this Agreement.

B Assignment.This Agreementand any partofthe Contractor’s interest in it arenot assignablenor transferable without the City’sprior written consent.

C Audit and Other Oversight.The Contractor will abidebyall provisionsofCity Code §2-1120, including without limitation City Code § 2-1120(12), which requires the Contractor to provide the Office of Inspector General with documents and information as requested. Failure to comply with such requests is amaterial breach of the Agreement. In signing this Agreement, the Contractor agrees that it is subject to the jurisdiction of the Orleans Parish Civil District Courtfor purposes of challenging asubpoena.

D Choice of Law This Agreement will be construed and enforced in accordance with the laws of the StateofLouisiana without regardtoits conflict of laws provisions.

E ConflictingEmployment.Toensurethat the Contractor’s efforts do not conflict with the City’sinterests, and in recognition of the Contractor’sobligations to the City,the Contractor will decline any offer of otheremployment if its performance of this Agreement is likely to be adverselyaffected by the acceptanceofthe other employment. The Contractor will promptly notify the City in writing of its intention to accept the other employment and will disclose all possibleeffects of the other employment on the Contractor’s performance ofthis Agreement. The City will make the final determination whether the Contractor may accept the other employment.

F Construction of Agreement.Neither Party will be deemed to have drafted this Agreement. This Agreement has been reviewed by the Parties and shallbeconstrued and interpretedaccording to the ordinary meaning of the words used so as to fairly accomplish the purposes and intentions ofthe Parties.Noterm of this Agreementshall be construed or resolved in favor of or against the City or the Contractor on the basis of which Party drafted the uncertain or ambiguous language.The headings and captions of this Agreement areprovided for convenience only and arenot intended to have effect in the construction or interpretation of this Agreement. Whereappropriate, the singular includes the plural and neutral words and words of any gender shall includethe neutral and other gender

G Convicted Felon Statement.The Contractor complies with City Code §2-8(c) and no principal, member,nor officer of the Contractor has, within the preceding five (5) years, been convicted of, or pledguiltyto, a felony under State or Federal statutes for embezzlement, theft of public funds,bribery,orfalsification or destruction of public records.

H Cost Recovery.Inaccordance with Section 2-8.1ofthe Municipal Code, entitled,“Costrecovery in contracts, cooperative endeavor agreements, and grants,” to the maximum extent permitted by law,the Contractor shall reimburse the City or disgorge anything of value or economicbenefitreceived from the City if the Contractor fails to meet its contractual obligations.

I Employee Verification. The Contractor swearsthat (1)itis registered and participates in astatusverification system to verifythat allemployees in the State of Louisianaare legal citizens of the United

The Contractor further acknowledges and agrees that it shall be liablefor any additional costs incurred by the City occasioned by theterminationofthis Agreement or thelossofany license or permit to do business in theState of Louisianaresulting from aviolationofthisprovision.The Contractor will provide to the City asworn affidavit attesting to theabove provisions if requested by the City.The City may terminate this Agreement for cause if theContractor fails to provide such requested affidavit or violates any provision of this paragraph.

J EntireAgreement.This Agreement, including all incorporated documents, constitutes the final and complete agreementand understanding between the Parties. All prior and contemporaneous agreements and understandings, whether oral or written, aresuperseded by this Agreement and arewithout effect to varyoralter any terms or conditions of this Agreement.

K Exhibits.The following exhibits,attached separately,willbe and areincorporated into this Agreement: Exhibit “A” -New Orleans Police DepartmentOperations Manual, Chapter: 84.1;Exhibit “B”U.S. Department of Justice, Bureau of Alcohol, Tobacco, Firearmsand Explosives’ Federal FirearmsLicense; and Exhibit “C” -Gulf Coast Gunbusters FirearmsReceipt.

L Jurisdiction.The Contractorconsents and yields to thejurisdiction of theState Civil Courts of theParishofOrleansand formallywaives any pleas or exceptions of jurisdictiononaccount of theresidence of the Contractor.

O No Third-PartyBeneficiaries.This Agreement is entered into for theexclusive benefitofthe Parties, and theParties expresslydisclaim any intent to benefitanyone not aparty to this Agreement.

P. Non-Exclusivity.This Agreement is non-exclusive,and the Contractormay provide services to other clients, subject to the City’s approval of any potential conflicts with theperformance of this Agreement. TheCity may engagethe services of others forthe provision of some or all the work to be performed under this Agreement.

Q Non-Solicitation Statement.The Contractorhas notemployed nor retained any company or person, other than abona fide employee working solely forit, to solicit or secure this Agreement. TheContractor has notpaid noragreed to pay any person, other than abona fide employee working forit, any fee, commission, percentage, gift,orany other consideration contingent uponorresulting from this Agreement.

R Non-Waiver ThefailureofeitherParty to insistuponstrict compliance with any provision of this Agreement, to enforce any right ortoseek anyremedy upondiscoveryofany default or breach of the other Party at such time as theinitial discoveryofthe existence of such noncompliance,right, default, or breach shall notaffect norconstitute a waiver of eitherParty’s right to insistuponsuch compliance, exercisesuch right or seek such remedy withrespecttothatdefault or breach or any prior,contemporaneous or subsequentdefault or breach.

S Ownership of Records.UponterminationofthisAgreement,all data collected and all productsofwork prepared, created or modified by theContractorinthe performance of this Agreement,including without limitationany and all notes, tables, graphs, reports, files,computer programs, source code, documents, records,disks, original drawings,or other such material, regardlessofform and whether finishedorunfinished (collectively,“Work Product”),but excluding theContractor’spersonnel and administrative records and any tools, systems, and informationused by theContractor to perform theservices under this Agreement, including computer software( objectcode”and sourcecode”), know-how, methodologies,equipment, and processes and any related intellectual property,willbethe exclusive property of theCity,and theCity willhave all rights, title, and interests in any Work Product,including without limitation theright to secure and maintain any copyright, trademark, or patent of Work Product in theCity’sname. No Work Product may be reproduced in any form without theCity’sexpress written consent. TheCity may useand distribute any Work Product for any purposethe City deems appropriate without theContractor’sconsent and for no additional considerationtothe Contractor.

T Prohibition of Financial Interest in Agreement No elected official or employee of theCity shall havea financial interest, direct or indirect, in this Agreement. Forpurposesofthisprovision,a financial interest held by the spouse,child, or parent of any elected official or employee of theCity shall be deemed to be a financial interest of such elected official or employee of theCity.Any willful violationofthis provision, with the expressed or implied knowledge of theContractor, shall render this Agreement voidable by the City and shall entitle theCity to

X SurvivalofCertain Provisions.All representations andwarranties andall obligations concerning record retention, inspections, audits, ownership, insurance, indemnification,payment, remedies, jurisdiction, andchoiceoflaw shall survive the expiration, suspension, or termination of this Agreement andcontinue in fullforce andeffect.

Y. TermsBinding.The termsand conditionsofthisAgreement are binding on anyheirs, successors, transferees, andassigns.

ARTICLE XIV-COUNTERPARTS

TheAgreement maybeexecutedinone or more counterparts, each of whichshall be deemedtobeanoriginalcopyofthe Agreement, but allof which, whentaken together,shall constitute oneand the same agreement.

ARTICLE XV -ELECTRONIC SIGNATURE ANDDELIVERY

ThePartiesagree that asigned copy of this Agreement andany otherdocument(s) attachedtothisAgreement deliveredbyemail shallbe deemedtohave the same legaleffectasdelivery of an originally signed copy of this Agreement. No legallybinding obligationshall be createdwith respecttoaParty untilsuchParty hasdeliveredorcausedtobedelivered asigned copy of this Agreement.

NOW THEREFORE, in consideration of the mutual covenants herein contained, the parties hereto agree as follows:

SCOPE OF SERVICES

In an effort to provide moreeffectiveand efficient services to more citizens, the Department of Children and Family Services will enter into agreements with partners whom aremade up of Federal, State, and local political subdivisions, privatenon-profitorganizations, and for-profit businesses who will assist in the applicationfor services by participants in areas morereadilyavailable to them.

Anypartner that works with members of the low-incomepopulation can make amajor contribution to the success of DCFS and federal eligibility and social service programs by increasing awareness of program availability and rules. The Community Partner is aDCFS point-of-access for applicants of public assistance benefits.

The 5 aforementioned Community Partner sites hereby agree to furnish thefollowing services to internal clients and the general public by appointment only:

Week 1: Friday 10:00am to 12:00pm at AP Sanchez.

Week 2: Monday 10:00am to 12:00pm at City Hall; Thursday 10:00am to 12:00pm at Allie Mae.

Week 3: Tuesday 10:00am to 12:00pm at Edna Pilsbury.

Week 4: Wednesday 1pm to 3pm at New Orleans East WIC Clinic.

Gold Level -Partner makes informational material available to the public, offers acomputer forapplicants to complete the online application, and provides applicants with aplace that affordssufficient privacy to enter their own information into the online application without compromising confidential information. Additionally,the Partner offers apaper application for the applicants who would like to complete apaper applicationand has staffavailable to enter application information on behalf of the applicant if requested. DCFS staffwill subsequently interview the applicant and determine eligibility for services/benefits.

STANDARDS FOR PARTICIPATION

Standards for participation arethe guidelines, agreements, and required training procedures establishedbythe Department of Children and Family Services (DCFS) to assurecompliance with Federal and State regulations governing the application assistance efforts of facilities, agencies and organizations interested in serving as Community Partners forDCFS. In order to participate as aDCFS Community Partner,the provider must not have been suspended or excluded fromparticipating in any DCFS administered program.

The Community Partner certifies that their facility qualifiesasthe type of facility listed below

B. The Community Partner agrees to adheretothe published policies and regulations of the Department of Children and Family Services, and all State and Federal laws governing the services provided herein.

C. The Community Partner understands/agrees that participation in the community partnership does not givea CommunityPartner the authority to determine eligibility for DCFSprogram benefits. DCFS will continue to assume itsauthority and responsibilitytoprocess all applications completed at acommunity partner site, determine eligibility for benefits and notify applicants of the eligibility decision.

D. The Community Partner understands that,asacondition of participation,itisresponsiblefor assuring and monitoring that staff persons entering application information is prohibited under the following rules of confidentiality from sharing any information with, but not limited to, any other unit of the provider entity about the applicant/recipient received during the application process:

1. The Community Partner shall abide by the Federal and State laws and regulations concerning confidentiality which safeguard information in the participant’sconfidentiality (42 U.S.C. 602, 7CFR

273.l(c), and La R.S. 46:56). In safeguarding applicantinformation, you must complywith the following:

i. Do not discuss applicant information withunauthorized personnel ii. Do not sell or release information to thirdparties.

iii. Do not allow unauthorized personnel to review applicant information.

iv.Do provide applicants aplace that affords sufficient privacy to completethe application without compromising confidential information.

v. Do communicate community partner questions or concerns to the DCFS contact person.

2. The Community Partner shall abide by all Federal and State laws and regulations as they relate to data sharing of pertinent information for performance accountabilityand program evaluation purposes.

3. The Community Partner understands that all applicant information, active, denied, or inactive, is confidential and is not subject to the Freedom of Information Act.

4. The Community Partner agrees to restrict the use or disclosureof confidential information to activities related to the performance of the services provided through the agreement.

5. Community Partner agrees to notify the DCFS contact person within 48 hours of averbal or written request for information concerning an applicant in accordance withLouisiana’sPublic Records Act, Chapter 119, and Louisiana Statues (4). La. R.S. 44:1. La. Const. Art. XII, §3.

6. The Community Partner understands that all staffmembers whoassist applicants in completing DCFS applications or otherwise handleconfidential information for DCFS processing must read, agree to, sign and date the Community Partner StaffConfidentiality Agreement.

E. The Community Partner agrees to periodicmonitoring by State officials or their designees and will allow access to the premises to evaluate work being performed. The DCFS Community Partner understands that decertification may result if,according to the determination of theState or Federal agency,they do not conform to policies. The department reserves the right to institute a30-day period of corrective action in coordination with the Community Partner

F. An electronic copy of the DCFS Community Partner Manual will be provided to the Community Partner by the designated Community Outreach Consultant upon approval of the Cooperative Endeavor Agreement (CEA) and/or upon request of the manual by the Authorized Representative or partner staff.

G. The Community Partner agrees to complywiththe policies, regulations, andprovisions stated in the Community Partner Manual and made apart of thisagreement. The Community Partner willberesponsible forreading, understanding, and adhering tothe partner manual,aswell as maintaining an updated copy of the manual as the Department issues revisions and ensures all staffare notified of such revisions.

H. The Community Partner understands that participation is required in initial orientation and periodic trainings provided by DCFS or its designee.

1. The CommunityOutreach Unit, DCFS Training Section, and/or state/federal partners willprovide training as necessary

2. Community partner staffwho will assist applicants in completing DCFS applications must receive training within 30 days of the effective date ofthe Cooperative Endeavor Agreement.

3.The Community Partner will train new staffbeforethey assist applicants in completing DCFS applications in the Community Partner Program. The Department will review requests for further training and meet the need when possible.

4. Certification of Completion certificates willbeprovided to Community Partner staffupon completion of training.

I. The Community Partner shall not keep copies of application forms or any other documents that containapplicant information obtained during theprocess of assisting applicants.

J. If assistingincompletion of applications or providing interpretation services, the Community Partner shall abide by the restrictionsand requirements in regards to:

1. Confidentiality requirements as stated in this agreement.

2. Fraud prevention and reporting as stated in the DCFS Community Partner Manual

3. Prohibitions against coaching applicants to make themselves eligiblefor benefits.

K. The Community Partner agrees/understands that DCFS cannot advocate for any particular clientele or cause and that this relationship with DCFS is only to provide greater access to the public who wish to apply for DCFS services. DCFS is apublicentity

L. The Community Partner agrees/understands that the Department will provide aCommunity Partner Identification Number (CPIN) and that this number must appear on all documents, transmissions, and notifications associated withservices provided in thisagreement.

Department’sResponsibilities

A. The Department will provide the Community Partner withone (1) copy of the DCFS Community Partner Manual along withinitial orientation within 30 days of the effective date of the Cooperative Endeavor Agreement. The Department will also provide ongoing training as determined necessary and will notify the partner of any revisions to the manual as well as furnish updated copies.

B. The Department will provide the Community Partner withawelcome packet that may include, but is not limited to, applications, program brochures and flyers, required posters, and window clings.

C. The Department will provide the Community Partnerwithhardcopies ofthe Application for Assistance (OFS 4APP)

D. The Department will provide the Community Partner withselfaddressed, prepaid Document Processing Center (DPC) envelopes.

E. The Department will provide asingle point of contact for ongoing communication and issue resolution.

Indemnification

Community Partner agrees to protect,defend, indemnify,save and hold harmless the State of Louisiana, all State Departments, Agencies, Boards and Commissions, itsofficers, agents, servantsand employees, including volunteers, from and against any and allclaims, demands, expense and liability arising out of injury or death to any person or the damage, loss or destruction of any property,which may occur or in any way grow out of any act or omission of the Community Partner,its agents, servants, and employees or any and all costs, expenses and/or attorney fees incurred by the Community Partner as aresult of any claim, demands, and/or causes of actionexcept for those claims, demands, and/or causes of action arising out of the negligence of the State of Louisiana, all State Departments, Agencies, Boards, Commissions, itsagents, representatives, and/or employees. Community Partner agrees to investigate, handle, respond to, provide defense for,defend any such claims, demand, or suit at its sole expenses, and agrees to bear all other costs and expenses related thereto, even if it (claims, etc.) is groundless, false or fraudulent. Payment Terms No consideration willbeexchanged for the services provided. This agreement is aCooperative Endeavor that it is voluntarily entered into between the State of Louisiana, Department of Children and Family Services and

Terms of Agreement

This agreement shall commence on 1/01/2025 and shall terminate on 12/31/2030.Thisagreement shall not exceed aterm of five (5)years. Civil Rights Compliance Title VI of the Civil RightAct of 1964 prohibits discrimination basedon race, color and national origin in federally funded programs. This applies to intentional discrimination and policies and practice or procedures that have adisparate impact on any portion of thepopulation.Individuals will not be discri!1}inated against on any basis whenrequestingorreceiving services from DCFS.
