David Drake David Drake is the founder and Chairman of LDJ Capital, a Private Equity firm in New York City, and of its subsidiary The Soho Loft Capital Creation Event Series (“TSL”), a global events and media company covering education and creation of financial innovation programs for the Private Company Marketplace. His investment in The Soho Loft Capital Creation Events educates start-ups and Small & Mediumsized Enterprises in the areas of capital formation, capital access, crowdfunding, angel capital including, but not limited to expertise on eb5 green card programs, microfinance, venture capital and private equity. His proclivity towards impact investments interleaves directly with the Private Company Marketplace and his TMT investment strategies and family office clients at his holding company LDJ Capital. bying Senators and Congressmen for the JOBS Act which President Obama signed into law April 5, 2012. The Securities and Exchange Commission and FINRA work with Mr. Drake through CFIRA to identify best practices in the Crowd funding industry. He was a member of the U.S. Commerce Department’s delegation to Brussels and Rome where he met with European Ministers and national legislators at the Transatlantic Economic Council forum last July 2012. As a thought leader on the JOBS Act (Jumpstart Our Business Start-Ups Act) including Reg A+, Reg D 506, Crowd Funding Capital and Onramp IPO, he speaks and writes extensively on these topics all over the USA and globally.

He presented on the JOBS Act and Dodd-Frank Act at the Thomas Reuters Buyout Conference in Dallas (alongside KKR, Carlyle, Texas Retirement Fund, Deutsche Bank), at the World Entrepreneurship Forum in Lyon, France, and at the Puerto Rico Venture Forum including other 150+ events globally in the last 18 months. For charity, Mr. Drake hosted the Harvard Club and Boston Symphony performances at his home and sat on the advisory board of Best Buddies Charity for autistic kids. Mr. Drake has been behind raising money for charities through his participation in producing the Carnegie Hall concert series.

Summer 2011 saw the launching of The Soho Loft (TSL) event series for capital creation. Mr. Drake’s 7-bedroom Soho loft in NYC was chosen because he naively thought he could recreate the spirit of the hundreds of dinner parties he had hosted and the marvelous networking that existed nightly at the loft.

David Drake realized after the first event for the newly launched TSL that none of that would come to fruition, nor would the family offices or fund LPs continue to come. In addition, the current CEO of TSL had no such experience with family offices or LPs.

Mr. Drake speaks six languages and holds Bachelor’s Degrees in both Chemistry and Marketing from the American University in Washington, D.C. He has an MBA in Finance and an MA in International Law and Economics from George Washington University where he was awarded the Wallenberg Scholarship for academic merit.

So, how did the transformation happen? In the early months it was clear that the strategic investment in TSL was working excellently as it ran education events which covered the Private Company Marketplace. However, that focus was due to the CEO’s particular passion. David Drake was attending all the events and had his team pull every participant’s bio for his study the night before. Mr Drake would then

David Drake identified that crowd funding was being ignored by the CEO and started to realize he had to own the space to bring participants a consistent platform through which to meet. An argument ensued with the CEO and Mr Drake prevailed with the promise “You have to do it all and nothing can go wrong”. It certainly did not go wrong. In fact, it exploded and the CEO eventually became the largest supporter of the whole movement.

the underlying Self-regulatory Organization it sought. Within two weeks the group built the organization into 25 founding participants who met at Mintz Levin NY Law Offices. By this time, David Drake had spoken to everyone one-by-one to explain that the group members had never run a trade association nor did they know how a self-regulatory organization (SRO) was run - consequently he argued that they had to split the two up in order to not to confuse the focus of either. At the meeting, the group nominated Vince Molinari of Gate Technologies and Candace Klein of SoMolend as Co-Chairs. For a brief time, David Drake was

The self-regulatory organization CFIRA consequently split to form a second group, the Crowd Funding Professional Association (CFPA). By the second meeting of CFIRA, our first meeting was set up with SEC in DC. SEC was adamant that there was only one Self-Regulatory Organization. Subsequently, we changed CFIRA’s name to the CrowdFund Intermediary Regulatory Advocates. Same letters, different word, less grief.

Lo and behold, the group of thought leaders had created history. Today, CFIRA continues to speak to SEC daily to advise and suggest protocols which would action

the intentions of the JOBS Act for crowd funding for equity. Concurrently, CFPA has grown to become the largest organization in the world for crowd funding, with 600 plus members.

Moderates Secondary Market Exchange discussions at the Thomson Reuters 2013 Conference In late 2012, David Drake resigned from the executive committee of CFPA to allow other passionate crowd funders to grow the organization. In the last year, his focus has been on growing TSL into a global media company (it now handles 200+ events per year), write about global financial innovation and SME policy, speak at international events such as the Thomson Reuters Private Equity conferences (alongside KKR, Carlyle and Blackrock), as a keynote at the 13th Puerto Rico Venture Forum, as a think-tank speaker at the 5th World Entrepreneurship Forum in Lyon and serve as a delegate of the US Commerce Department at the Transatlantic Economic Council in Brussels and Rome on SME policy towards the 28 million EU SMEs and 25 million US SMEs. & DG Enterprise in Brussels, the European Crowd Funding Network and the European Business Angel network to bring the JOBS Act to reality in Europe. TSL is also working with the Puerto Rican Venture Forum and the tax incentives (zero passive income tax for US citizens in Puerto Rico or only a 4% federal/state tax on exports for business there) to bring angel and venture capital networks to Puerto Rico via financial innovation.

TSL is now also writing prolifically on financial innovation globally and recently started lobbying again on Regulation A+ for JOBS Act 2.0 as well as the comprehensive bills to enact Startup Visa programs which are backed by Senator John Kerry. The latter proposal means the US would retain more foreign PhD graduates and create multiple additional jobs for the US. Bloomberg is one of the strongest advocates of this proposal.
