At the Wednesday, March 8, 2023 meeting of the Riverbay Board of Directors, the 2023 Election Rules and Schedule were approved by the Board, setting the date of the Annual Meeting of Shareholders on Monday, May 1, 2023.

On Tuesday, March 14, the 2023 Election Committee, chaired by Board Director Lynette Wright, held a virtual candidates’ Information Session via Zoom to explain the responsibilities of board directors to prospective candidates and to give an overview of eligibility and the Riverbay election application process.

As reported last week, Director Wright said the information session was held because “many shareholders have passionate ideas about changes they believe would

At Tuesday’s meeting, Director Wright gave an overview of the Riverbay Board application process. She also reviewed the 2023 Riverbay Election schedule, highlighting important dates and deadlines prospective candidates should be cognizant of.

Among directors’ responsibilities, the 2023 Election Committee chair pointed out that board directors:

• Provide oversight of Riverbay’s functioning

• Establish policy throughout the corporation

• Ensure that established policy is implemented and obeyed

On the other hand, board directors are not allowed to, or should not, get individual staff.

Director Wright quoted from Riverbay Corporation’s Board Manual which states: “The Board is charged with oversight of Riverbay’s mission, preserving Riverbay’s institutional autonomy, setting policy and supporting and promoting the organization.”

Board directors are expected to have an awareness and understanding of Article 2 of the NYS Private Housing Finance Law (PHFL), Business Corporation Law, NYS Housing & Community Renewal’s (HCR’s) statutory authority to administer PHFL for Mitchell-Lama developments, Mitchell-Lama regulations, HCR’s Rules and Policies, state and local laws and codes, and the housing corporation’s by-laws

In her presentation, Director Wright emphasized that board directors’ guiding principles are: organization; must participate in the governing of the organization; and must use “degree of diligence of care” and act in “good faith.”

• Duty of Loyalty – Must act in the best interest of the corporation; must disclose

• Duty of Obedience – Must comply with all applicable laws and regulations, as well as internal documents and policies.

• Duty to the Organization – Simply put, don’t be a liability.

• Duty to the Cooperators – Minimize cost burden on shareholders and ensure

• Duty to the Public – Riverbay Board Directors are tasked with the responsibility of developing public policy that will impact 15,372 moderate-income families in state-aided housing.

Director Wright also explained that among board directors’ additional responsibilities are attending Open Board meetings, executive session meetings, committee meeting and public meetings. She followed this information with a brief summary of board committees and their respective functions.

The Bronx Entrepreneurship Scholarship Foundation awards college≠bound high school seniors based on demonstrated academic achievement, financial need, and an expressed interest in entrepreneurship and/or business.

The students eligible for assistance must be Bronx residents and must be graduating high school seniors who have been accepted into an accredited four≠year college or university with a 3.0 or higher grade≠point average. Consideration will be given to academic achievement, financial need, the studentís community service record, and recommendations from teachers, guidance counselors, and/or principals.

Students receiving the scholarships have met all academic criteria and submitted an essay explaining ìWhy Entrepreneurship is Important to You.î

During this Lenten Season, we are exploring how Jesus was walking toward Jerusalem and his eventual death and resurrection. Along the journey, we will be able to see in detail that the struggle for our salvation began before the entrance to Jerusalem. However, the walk of Jesus toward Jerusalem also reveals the determination of Jesus to rely on the calling of God the Father to give him the strength to overcome the temptation to use the power of God to save himself. Instead, Jesus used the power of God to assume our sins upon the cross and redeem them.

This goes along with the topic of the year that we are promoting through every sermon: the Greek word “dynamos,” which means power of God. This is in reference to the First Letter to the Corinthians (1 Cor 1: 23-25) where the apostle Paul says the following: “23 but we preach Christ cruciboth Jews and Greeks, Christ the power of God and the wisdom of God. 25 For the foolishness of God is wiser than human wisdom, and the weakness of God is stronger than human strength.” Paul is reminding us that, contrary to custom, in Jesus we are strong when we acknowledge our weaknesses and limitations. to take Christians out of the work of the Kingdom. Depression can affect our view of God and sap our joy. It is impossible to live a Spirit-guided life without joy (Galatians 5:22; Philippians 4:4). Sometimes, depression may be caused by direct demonic activity (1 Samuel 16:14), but not always. How we handle depression is a highly spiritual matter. The Bible says to cast all our cares on God who saves. “Why are you cast down, O my soul, and why are you in turmoil within me? Hope in God; for I shall again praise him, my salvation and my God.” (Psalm 42:11) Depression can affect our physical bodies in several ways. Treatment may require an attack on several fronts—temporary medication to relax the body and relieve the mind, adjustments to the diet, confession of sin and spiritual counsel.

Depression is a complicated and multifaceted condition. Being depressed is not inherently sinful, and depression is not always caused by sin, nor does it indicate a lack of faith. When depression strikes, the victim needs to make discovering the cause and treatment of the depression a priority. Bouts of depression can serve to bring us closer to Him through our struggles (Romans 5:3-5; heart and my portion forever.” (Psalm 73:26). For prayer, call 718-790-9120.
