Speakers Steve Ridout Wildflower Alpacas and Quarantine Services Steve and his wife Sue have been breeding Huacaya alpacas since 1998 and established Wildflower Alpacas in 2002 in the rich farming areas of Western Victoria, Australia, famous for its fine Merino wool. Steve has been an accredited Australian alpaca judge since 2005 and at the highest level in Australia since 2011. He has judged throughout Australia, New Zealand, Europe, and has conducted many seminars across the world, assisting new breeders and associations in establishing their industries. Steve and Sue were the founders of LaViande, the first company in Australia to farm and process alpaca for meat commercially. LaViande was established as branding for alpaca meat in Australia in 2006. Steve, until recently, sat as the Chair of the Australian Alpaca Association Export and Trade Development Group. Steve’s 35 years of international logistics experience helped establish Wildflower Alpacas Export and Quarantine Services, now trading as International Alpaca Exports. They are a licensed Australian government exporter with regular alpaca shipments to New Zealand and Europe each year. They have negotiated protocols with Taiwan, Japan, South Korea and China to establish trade development for the Australian alpaca industry, including over 1,500 alpacas exported to China, with more contracts under negotiation. Beyond alpacas, Steve’s experience includes his airfreight shipping of lions, tigers, giraffe and rhinos to zoos worldwide as an accredited handler of endangered species.

Amanda VandenBosch Amanda VandenBosch is a Senior AOA Halter and Fleece Judge and an Alpaca Judge Trainer and Instructor in the United States. Amanda qualified as an International Alpaca Judge trained in Peru at the International Alpaca Judging School in 2000. She has judged shows in the United States, Canada, United Kingdom, New Zealand, Australia, Germany, Austria, Switzerland, Sweden and Peru gaining an international perspective and true love for the art and science of alpaca judging. She travels worldwide judging alpacas, instructing, presenting seminars and workshops to breeders and judges; her “hands on” approach is greatly sought after. Amanda worked with the British Alpaca Society (BAS) for 7 years to help develop the Judge Training Program, and with the New Zealand Judges for continuous training. Amanda has spent many hours volunteering over the years and is honored to be the Chairman and work alongside the dedicated team at Quechua Benefit, a nonprofit helping women and children in the Highlands of Peru. As a native of the United Kingdom, Amanda has extensive experience with thoroughbred horses across the globe. She finally settled in the USA, where she has lived for the last 25 years. In 2015, she acquired Stanford Livestock International, an import/export/quarantine logistics company from the U.K., which carries out the detailed work of moving livestock worldwide. Amanda is a co-author of the book, The Art & Science of Alpaca Judging, published by AOBA and used as a training tool worldwide. With her husband, Vince, and two sons, Cody and Hunter and Xeina from Peru, they operate Flying Dutchman Alpacas, LLC in Bend Oregon, successfully raising both huacayas and suris. Along with raising high quality breeding stock, they also own a partnership in Spring Harvest Mill, completing the circle, taking fleece from raw to processed to end use.

Snow Diamond Magnifico Snow Diamond Alpacas The first thing you notice about Magnifico’s fleece is its extreme fineness, and next, its consistency of micron. It is so fine, in fact, that one judge said it starts to disappear on her sleeve. She also noted that the primaries and secondaries are very close in micron. Put it all together, and you have super brightness and softness of hand. Magnifico’s fleece architecture is highly organized, and it exhibits a beautiful high-frequency crimp style. Terms and Conditions TERMS AND CONDITIONS OF SALE The following Terms and Conditions, as amended by any posted notices or announcements by the Auctioneer during the auction, constitute the entire agreement between Snow Diamond Alpacas LLC, (the “Host”) or guest consignors (the “Sellers”), and bidders and buyers (the “Buyers”) at the auction. Celebrity Sales (the “Auctioneer”) shall be the party identified by the Host, on or before the auction as the auctioneer for the respective auction event, the Snow Diamond Select. WARRANTIES A. PROVEN PRODUCERS: A proven producer is a female that has already had a cria. Proven producers will be considered to be fertile. There are no expressed or implied warranties for proven producers. B. NEWBORN CRIAS: There are no expressed or implied warranties for new born crias sold with their dams. C. BRED MAIDENS: A bred maiden is a female that has not yet had a cria and is determined to be pregnant. If the cria is not born alive or fails to survive to 24 hours, the Buyer will receive a breeding at no charge to a male owned by the Seller. Buyer must notify Seller within 48 hours of still-birth / death of cria, and Buyer must use the breeding within 6 months from the date of still-birth / death of cria. This breeding is non-transferrable to any other alpaca. Birth of a live cria which survives 24 hours from birth shall be considered fulfillment of the warranty, and at which point the warranty ends. There are no other expressed or implied warranties for bred maidens. D. MAIDEN FEMALES: Young females sold as individual lots are guaranteed to have the ability to become pregnant by the time they reach 36 months of age and to give birth to a live cria. The female must be delivered to seller’s farm for breeding before the female reaches 24 months of age. The female may NOT have been bred or been exposed to any other male prior to delivery to the Seller. Should the buyer fail to deliver the female as set forth above, or if female has been bred/exposed to a male not owned by the Seller, all warranties either implied or express are void, and no free breeding will be given. If the cria is not born alive, the buyer will receive a breeding at no charge to a male owned by the Seller. This breeding is non-transferrable to any other alpaca. Birth of a live cria which survives 24 hours from birth shall be considered fulfillment of the warranty, and at which point the warranty ends. E. PROVEN MALES: A proven male is a male that has settled a female or which has been tested fertile. Proven males will be considered to be fertile. There are no expressed or implied warranties for proven males. F. YOUNG MALES: Young males have been checked by a veterinarian and have been found to have anatomically normal reproductive organs. Young males are warranted to have the ability to impregnate a female by the time the male is 40 months of age. Warranty shall be considered fulfilled with the first confirmed impregnation of a female, at which point warranty ends. With respect to Young Females and Young Males, Seller must be notified in writing by the Buyer’s

veterinarian of any claimed abnormality within one year of sale. Seller will, at Seller’s option, either: (1) replace the alpaca with an alpaca of equal quality, (2) give the Buyer credit toward the purchase from Seller of another alpaca of the same or different sex in an amount equal to the total amount of the purchase price or (3) give a refund of the purchase price paid at the auction. All alpacas must be cared for in a manner consistent with generally accepted industry practice. Failure by the Buyer to do either of the above will void all warranties either express or implied. EXCEPT AS STATED ABOVE, SELLER MAKES NO WARRANTY OF MERCHANTABILITY AND NO WARRANTY OF FITNESS FOR ANY PARTICULAR PURPOSE, NOR DOES SELLER MAKE ANY WARRANTY EXPRESS OR IMPLIED OF ANY NATURE WHATSOEVER WITH RESPECT TO THE ANIMALS IN THIS SALE. The foregoing is the full extent of the responsibility of the Seller, and by way of illustration and not limitation, in no event shall the Seller be liable for incidental or consequential damages, or for any changes or expenses of any nature incurred without Seller’s written permission. PAYMENT CASH SALE: Terms of the sale are cash and payment in full must be made to the Cashier immediately following purchase; personal checks are to be payable to CELEBRITY SALES. Seller reserves the right to require a certified check as settlement before releasing the animal. FINANCED SALE: Sellers may elect to finance their alpacas with a 35% down payment made by the Buyer immediately following the purchase at the auction. The balance may be financed at the fixed rate of 4.5%. Finance terms are 24 months for alpacas sold for $12,000 or more, or 12 months for alpacas sold for less than $12,000. Payments are to be made monthly unless arranged otherwise with the Seller. If a Seller wishes to make available materially different financing terms, those terms may be announced from the podium during the auction of the lot. All alpacas being financed must have proof of insurance before the Buyer takes possession, naming the Seller as Loss Payee. Buyer must maintain mortality insurance on the animal in the amount of the remaining balance until paid in full with the Seller named as the loss payee. Any income generated by the animal in outside breedings or sales of offspring shall be paid in full to the Seller and applied first to interest and then toward the remaining principal balance. In the event the scheduled payment on a financed alpaca is not received by Seller within 10 days of the due date, Buyer agrees to pay a penalty payment of $250 per late payment. Additionally Buyer agrees that they will pay a $250 service charge on any NSF checks. Should any payment become 60 days or more past due, this note shall be considered to be in default, and Buyer agrees that the interest rate on this promissory note shall automatically increase to 14% per annum on any and all unpaid balances, penalties and service charges, until principal balance, services charges, penalties and interest are paid in full. In the event of any default, any remaining balance, including accrued interest and penalties shall be immediately due and payable in full.

BIDDING: The highest bidder recognized by the Auctioneer shall be the Buyer. Bids tendered after the fall of the hammer are not valid grounds for dispute. If any dispute arises between two or more bidders or in the event of doubt on the Auctioneer’s part as to the validity of any bid, the Auctioneer will have the final discretion either to determine the successful bidder, or to re-offer and resell the alpaca in question. The Auctioneer’s determination is conclusive and not subject to challenge. The Auctioneer’s determination of the successful Buyer hereunder shall be final and Buyer waives any claims whatsoever of any nature against the Auctioneer, the Host and the Seller. The Auctioneer reserves the right to reject any bid. TAPE: A video and/or audio tape recording will be made of the entire sale, which shall be used to settle any questions regarding statements made about animals while they are in the auction ring. RISK OF LOSS: All sales are final upon the fall of the hammer, and an acknowledgement of the Purchase shall be signed by each Buyer following their purchase. All risk of loss, including but not limited to death or injury, or any veterinarian costs for the alpaca becomes the Buyer’s risk upon the fall of the hammer. The Host assumes no liability for loss or injury due to theft, mysterious disappearance, sickness, improper handling or acts of God, and Buyer specifically waivers any and all claims it may have against the Host arising out of any of the above aforementioned occurrences. REGISTRATION PAPERS: All registration papers will be delivered when the alpacas are paid for in full. The Buyer is responsible for all transfer fees. DEFAULT OF PURCHASE: If any person shall purchase a lot and fail to pay for it in the manner described above, the Seller shall have, in addition to all other legal rights, the right to resell the lot, or at Seller’s option, bring an action for specific performance, in which event the defaulting Buyer agrees to pay all costs of such suit, together with all reasonable attorney’s fees and costs. In the event of a resale, the defaulting Buyer agrees to pay all costs of resale, plus any deficiency between the original total purchase price and the total purchase price upon resale. TRANSPORTATION: The Buyer, at Buyer’s own expense, shall transport the purchased alpaca from the auction. Purchased alpacas must be removed from the auction facilities by noon the day following the auction. Any arrangements or disposition of the alpaca after purchase other than immediate removal must be made directly between Buyer and Seller. CATALOG: Every effort has been made to assure correctness of the catalog. However, neither the Host nor the Auctioneer is responsible for any errors or omissions, and they assume no liability on their part for statements, either written or verbal on any alpacas sold. To the extent there are any representations or warranties regarding any animal, such representations and warranties shall be deemed to be only made by the Seller of the animal. The respective Seller is the sole warrantor of all such information. Any


corrections made at the time of the sale from the Auctioneer’s podium shall supersede the catalog and any and all claims made prior thereto. NO LIABILITY: Any person attending the sale, whether as a Buyer, Seller, observer, or the agent, employee or assign of any person, does so at their own risk and no liability, duties, obligations, and/ or responsibilities of any kind or nature shall be imposed upon Seller, Snow Diamond Alpacas LLC, the Auctioneer, Celebrity Sales, Tim Vincent and/ or Tom Simmons, or any owners, employees or assigns, for any accident, injury, mishap, theft, damage and/or other harm regardless of cause. Buyer acknowledges and agrees that in no event shall the Host, the Auctioneer or any Seller be liable for any incidental, consequential, punitive, exemplary, or special damages of any kind arising as a result of or in connection with this Agreement in any way. DISCLAIMER OF LIABILITY OF AUCTIONEER: Neither the Auctioneer, Celebrity Sales, Tim Vincent and/or Tom Simmons, nor any agents, make any representation or warranties whatsoever with respect to the sale animals. All representations contained herein are made by Seller only. Celebrity Sales makes no warranties or representations concerning the animals. Celebrity Sales makes no warranty whatsoever regarding the animals including any express warranties or implied warranties for fitness for a particular purpose or of merchantability. Neither Celebrity sales or the Auctioneer may give any warranty, express or implied as to the quality or description of the animal listed for sale. Any information or representation in a Catalog or announced by Celebrity Sales or the Auctioneer regarding the animal is information provided solely by Seller. Information in the Catalog or reported by Celebrity Sales in any advertising or announcement or other medium employed does not constitute a guarantee, warranty, or representation, from Celebrity Sales whatsoever. Seller and Buyer both acknowledge that they have not relied on any representation from Celebrity Sales regarding the animal in determining whether to enter into any sale. Buyer and Seller agree to hold CELEBRITY SALES AND/OR Snow Diamond Alpacas HARMLESS AND FREE FROM ANY LIABILITY for any problem in quality or defect in the animal sold. Arbitration. Any dispute in which Celebrity Sales is named as a party, including any claim that arises out of any agreement between Seller and Celebrity Sales and Buyer and Celebrity Sales or any agreement between Seller and Buyer whereupon Celebrity Sales is included as a party either by cross claim or third party claim including any suit or claim to the interpretation or breach of any agreement or tort concerning Celebrity Sales, or to the existence, scope, or validity of any agreement or the arbitration agreement, such dispute shall be resolved by arbitration in accordance with the then effective arbitration rules of (and by filing a claim with) Arbitration Service of Portland, Inc. (“ASP”), and judgment upon the award rendered pursuant to such arbitration may be entered in any court having jurisdiction thereof. The arbitration shall be in Corvallis, Oregon or as otherwise may be mutually agreed to by all the parties. A sole arbitrator shall be utilized. In lieu of the arbitrators available through ASP, the parties may instead elect to mutually select an arbitrator not available through ASP, including

but not limited to an arbitrator who is not an attorney and is instead a recognized professional in the industry. Regardless of which arbitrator is chosen, ASP arbitration rules shall otherwise apply. The arbitrator’s decision will be final and all matters shall be settled by Arbitration. Choice of Law. The laws of the State of Oregon shall apply to all arbitrations or any suit filed in court. Attorney Fees. If any arbitration, mediation, or other proceeding is brought in lieu of litigation, or if suit or action is instituted against Celebrity Sales the party not prevailing shall pay the prevailing party’s costs, disbursements, and attorney fees and expenses of expert witnesses. In determining reasonable attorney fees, ORCP 68 shall apply. Additionally, the Court or arbitrator shall award the prevailing party attorney fees of $2,500, which the parties agree is a reasonable attorney fee for collecting any resulting judgment.

Seller may rely on such agency representation and Buyer shall be bound by the acts of its agent. WITHDRAWAL RIGHTS: Sellers reserve the right to withdraw any alpaca from the sale prior to the fall of the hammer without liability to anyone. However, in doing so, Sellers forfeit their consignment fee. Sellers are permitted to substitute for their consigned lot.

FORCE MAJEURE: The obligations of any of the Host, the Auctioneer, the Seller, or their agents, to perform under this Agreement shall be excused during any period of delay if such delay arises from any cause or causes which are reasonably beyond their control, including, but not limited to, the following: acts of God, acts or omissions of any government, or any rules, regulations or orders of any governmental authority or any officer, department, agency or instrumentality thereof; fire, storm, flood, earthquake, insurrection, riot invasion or strikes.

INSPECTION OF ALPACAS: Buyers are urged to examine the alpacas carefully. Unless otherwise specifically agreed to in writing by the Seller, all sales shall be “As-Is,” and failure to inspect the alpacas will not be grounds for rescission of the purchase. Failure of Buyer to perform due diligence shall not be grounds for modification or rescission of purchase.

SELLERS’ RIGHTS: Unless stated to the contrary, the Seller or representative/agent of Seller shall have the right to bid on its own alpaca, or place a minimum reserve bid with the auction company. In either case, in the event of the Seller repurchasing said lot, Seller is obligated to pay the auction company a commission of no less than 10% of the reserve bid.

IMPORTANT NOTICES HEALTH REQUIREMENTS: All alpacas entering CHANGE OF VENUE: The Sellers and Buyers agree Oregon must meet state veterinary requirements to hold the Host harmless from any and all damages and must be BVDV negative. HOLD HARMLESS INDEMNIFICATION AGREEMENT: The Host is not acting as an agent or a representative of the Sellers or the Buyers. Both the Sellers and the Buyers warrant that all sales represent a contract SOLELY between the Seller and the Buyer and further agree to hold harmless and indemnify the Host against any and all claims made for any reason at the time with respect to this sale. Sellers and Buyers warrant that the Seller and the Seller alone is responsible for all warranties and representations concerning its alpaca(s) in the sale and that the Host and the Auctioneer have made no representations or warranties or any guarantees of any type whatsoever regarding the services provided for hereunder or the alpacas, including without limitation in regards to the soundness, fertility or birthing of any alpaca in the sale. Both the Sellers and Buyers agree to hold harmless and indemnify the Host and the Auctioneer from any claims made regarding the health or soundness of any alpaca in the sale. GOVERNING LAW: The sale and all transactions between the Buyer and Seller will be governed by the laws of the State of Oregon. In the event of any legal disputes regarding default of payment or any other condition of this sale, jurisdiction shall be Deschutes County, Oregon. ARI REGISTRATION & MICRO-CHIPPING: Seller shall warrant that all alpacas made available for sale at the auction shall be ARI registered and microchipped, except for crias at side. AUTHORIZED AGENTS: Persons acting as agents must be indicated as such when signing the Acknowledgement of Purchase, and the Host and

ABSENTEE BIDS: Absentee bidding is available to Buyers subject to these Terms and Conditions of Sale and is provided as a convenience for Buyers who are unable to attend the auction. Bids may be left with an auction representative who will try to purchase the lot or lots of Buyer’s choice for the lowest price possible. Although every reasonable effort will be made to execute these bids, the Host will not be responsible for error or failure to execute absentee bids. TELEPHONE BIDDING: Telephone bids are accepted subject to the Terms and Conditions of Sale. Although every reasonable effort will be made to execute these bids, neither the Host nor the Auctioneer will be responsible for any error or failure to execute bids. No Internet bidding will be offered. BREEDING/DUE DATES: Breeding dates and due dates will be announced at the sale if not included in the catalog. These dates are for information only and are not binding upon the Host, the Auctioneer or the Sellers. AGISTMENT AVAILABILITY: Buyers of alpacas at the auction who wish to agist their alpacas until transportation can be arranged may do so at Snow Diamond Alpacas for a complimentary period up to 15 days. After 15 days, an agistment fee of $3.00 per day will be charged for adult alpacas and no charge for crias at side.
