Buyer processes differ from seller scenarios and every transaction is of course unique, however, if there is a commonality, it is that in all M&A processes, issues may often arise which can stall or sabotage what seemed to be a straightforward deal. Our job is to ensure that any hurdles that come along the way will be addressed by devising solutions to resolve these issues, ensuring that your transaction gets back on track promptly. Whether you are buying or selling, we will work closely with you throughout every step of the process. We will produce marketing material, attract interested parties, co-ordinate meetings, provide briefings and debriefings for those meetings, liaise with your accountant/legal advisors and handle negotiations on your behalf to secure the most profitable outcome for you. THE PROCESS These steps detail the various stages throughout the selling process and how long each stage is likely to take. Every transaction is different and whilst we do our best to stick to the timescales outlined (which from experience are fairly accurate) all are subject to change.
Some stages will overlap, but, the general rule is that certain processes need to be completed in order to progress with completing the transaction. Our Senior Consultant will be able to discuss what’s involved in the entire process. Your appointed consultant will also utilise the Insurance M&A Ltd. marketing and telesales team throughout the process. This work is completed on a confidential basis by experienced professionals.
IMMEDIATE Appointment of Senior Consultant to lead the project and be your point of contact throughout terms signed, seller registration and invoice paid WITHIN 24 HOURS Provide you with a draft teaser document for your approval WITHIN 48 HOURS Release the approved teaser document to trade buyers WEEK 1 Collate buyer questions for you to advise on WEEKS 1–4 Present you with a list of buyers who are interested in meeting you MONTH 1–2 Agree with you a period of two weeks during which you would be available to meet with a selection of buyers MONTH 2–3 Arrange a set of second-round meetings with between three and five buyers (we should have an indication of where their bid will be by this point) MONTH 3–4 Meet and discuss buyers and bids and work on negotiating the price and terms of a deal to suit you MONTH 4–5 Select the favourite buyer and arrange LOI and contract to be sent for review MONTH 5–6 Acceptance or negotiation of terms; due diligence MONTH 6–9 Exchange of money and commencement of transfer

Additionally we utilise our extensive marketing strategies across multiple platforms in order to source more target companies. Insurance M&A Ltd. work to your specific criteria, we use thorough and diligent qualifying techniques that allow us to ensure that your company is presented only with viable targets. The Buyer Mandate Service is extremely beneficial for you because we represent you and NOT the seller; this means among other things, that you will be given first refusal and you will have a greater control over the process.
BUYER MANDATE TERMS We require an initial fee advance for this service which demonstrates to us that you are committed to the buy-in process and it is payable at the commencement of the Buyer Mandate Agreement. The initial fee covers access to hundreds of industry contacts, as well as advertising and marketing costs for promotion, creation of marketing materials including executive summary documents and information memoranda to assist with the sales process and our travel expenses. We will also provide you with an extensive marketing support including telesales, direct mail and email promotion throughout the process.
We charge a success fee at the end of the process, this is calculated as a percentage of the total consideration and which is easily covered, since we connect you with target companies that are not on the market and therefore we can normally negotiate a total valuation factoring in all the fees. Our regular contact with company owners allows us to accurately match sellers with buyers. On completion date and exchange of funds our percentage of the total consideration is paid to us directly by the buyer. Our relationship with our sellers is very important to us and it is imperative that all buyers are fully committed to making acquisitions before we progress.
