THE SWISS GARDEN, OLD WARDEN Landscape Proposals, Conservation Management Plan, Topographical Survey, Tree Survey, 10 year Management and Maintenance Plan and monitoring implementation Liz Lake Associates, Landscape Architects and Urban Designers, are delighted to lead a team to tender for the production of a Topographical Survey, Tree Survey, Landscape Proposals, a Conservation Management Plan and 10 year Maintenance and Management Plan. This may lead on to Phase 2 to monitor the implementation of the vegetation management and provide contract administration for implementation works. We are Landscape Architects whose approach is a holistic one. From the outset we come with fresh vision, take a broad view to assess the context and challenges, look for local inspiration, propose creative solutions and devise a strategic approach. At all times we are mindful of the financial and sometimes the emotional investment of the Client. Our approach to projects is to be fully inclusive, ensuring full consultation, timely approach to issues and their resolution and providing clear and comprehensive documentation that is both in text and illustrative. The Liz Lake team would consist of permanent staff members as well as sub consultants. The Liz Lake Associates team will include Liz Lake the Managing Director of the firm who has worked at the Swiss Garden in 1992 and 2005. She will provide direction for the project and ensure that continuity is provided from previous work. The sub consultants will include:
• John Phibbs of Debois Landscape Survey Group, one of the leading practitioners in the field of historic
landscape surveys who has also worked extensively on the Swiss Garden.
• The topographical survey will be provided by Randall Surveys.
• The arboricultural survey will be prepared by Hayden’s Arboricultural Consultants.
• Trinity Construction Consultancy will assist the team with cost estimating, the preparation of tender documentation and contract administration.
• RDA Architectural Services will investigate the utilities including the electrical layout.
All sub consultants are long established companies and practitioners in their specialist fields that we have worked with on a number of previous projects. Trinity Construction Consultancy is new to our network of sub consultants but they have worked extensively with another landscape practice, Wynne Williams and are very familiar with detailed landscape work. The team, both together and separately has prepared Conservation Management Plans and proposals for for historic landscapes in both the public and private sector. Recent projects include; St Osyth Priory Essex; Bentley Priory, Stanmore; Eastnor Park Herefordshire; Weald Country Park Brentwood, Lowestoft seafront esplanade and Gardens and Kingston Maurward, Dorset.

PHASE 1 14.1 Research report: The historic development. (2.8 / 04) Liz Lake Associates know the Swiss Garden well, working with John Phibbs of Debois Landscape Survey Group on his original survey in 1992, preparing detailed plans and costings in 2006 and updating the costings in 2010. Our feeling about the Swiss Garden is that it is a place of small scale intimacy with an intriguing layout that leads the visitor from one extraordinary space to the next. John Phibbs will be our sub consultant and his CV includes details of his recent work which touches on the essence of the Swiss Garden and is repeated here. ‘Since Debois was first were commissioned at the Swiss Garden in 1992 they have worked on numerous other projects that are contemporary with, and stylistically similar to it. The professional designer who comes closest to its style is the nurseryman and designer, Lewis Kennedy, and Debois are currently working on their third Kennedy garden, the American Garden at Pentillie, Cornwall (see below), designed to a masterplan by Humphry Repton in 1813. Although the Swiss Garden is now in very much better condition, Pentillie gains from having both Repton and Kennedy’s detailed notes for the garden, and it is the level of detailing in their work, the care they took over their effects, and the planting schemes, that are most relevant to the Swiss Garden, where Ruby Tiger’s brief has also distinguished between the monuments and set-pieces on the one hand, and their settings (that is the views to and from the monuments and their inter-relationships) on the other.

The Swiss Garden however, should not be presented just as a period piece, which it undoubtedly is, but as a garden that shares many of the pre-occupations of modern design. The twentieth century garden that comes closest to the Swiss Garden in spirit is Ian Hamilton Finlay’s seminal Little Sparta, where Debois are also working at present. This garden shares with the Swiss Garden a plethora of monuments, structures and features, spaces that are shaped by earth-moving, the use of inscriptions, an insistence on the importance of private, enclosed spaces (provided by the kiosk, chapel etc. at the Swiss Garden), and the same explicit distinction between each monument, with its local setting, and the place of both in the wider context of the garden’. There has been a range of further studies by others on the hard features and associated topics creating a wealth of information on the Garden. Debois would review the additional material and their own existing work in the light of experience acquired since 1992 on gardens contemporaneous with the Swiss Garden. Deliverable: Debois would update their report as a standalone document that would be an Appendix to the Conservation Management Plan (CMP). Debois would also provide advice to the project team on the development of the design proposals.
14.2 Measured survey (2.8/ 01) The first task would be the topographical survey and when this was complete the tree survey could be under taken. The landscape architects from Liz Lake Associates would use the topographical survey and the tree survey as a base for the Measured survey (‘as existing’). We would plot vegetation by eye and local measurement identifying plants as we go. This would be checked by John Phibbs who is a qualified horticulturalist. The site survey would be transferred to CAD. We would plot the surveys at 1: 500, 1:200 or 1:100/125 scale depending on the complexity of the landscape. Whilst we always try to aim for A3 we envisage that to meet the detail required, A2 and A1 size plans will be needed. We have allowed for a maximum of eight A1 size plans. • The Tree survey would be a standalone document • The Measured Survey of the existing situation would be folded drawings in a plastic pocket as an Appendix to the CMP.
14.3 Condition survey (2.8/ 02 and 03) The Measured survey plans would be used as a basis for the Condition Survey that would include the photographic survey. We would make detailed surveys on site for the planting and all landscape features and draw on existing reports and the concurrent complementary studies for the condition of the hard landscape and the historic features. The timing for completion of these concurrent studies affects the programme and needs to be scheduled in for early completion to allow time for inclusion in the landscape design process. We would review the electrical layout and collate the existing utilities information. Deliverable: The Condition Survey would be a standalone document included as an Appendix in the CMP.
14.4 Stakeholder consultation We propose early email and telephone contact with stakeholders so we may understand their issues. We propose holding a Consultation Workshop to discuss outline proposals before the first draft is issued. By the time of the workshop ideas should be available for all areas including previous work by this practice and draft planting palettes. Deliverable: A Statement of Stakeholder consultation as a standalone document included as an Appendix in the CMP.
14.5 Landscape Proposals (2.8/ 05/06) We would prepare an overall Landscape Master Plan that would outline the landscape restoration proposals in principle with likely costs. More detailed plans and schedules would then be prepared and costs refined for: • Clearance • Vegetation removal due to plant health, inappropriate species or to reopen views • Vegetation management for health and to reopen views • Hard landscape design proposals for each of the Landscape Features and Footpath Works listed in 1.4 of the brief with outline specifications • Soft landscape design proposals for each of the Landscape Features and Footpath Works listed in 1.4 of the brief with outline specifications. Planting plans would include plant numbers and schedules of plants • A Risk Assessment where appropriate in accordance with the CDM regulations. Once signed off by the client we would finalise the plans and prepare outline specifications of materials and workmanship. We would assist our quantity surveyor with current rates for landscape work. Risk Assessments would be reassessed and finalised. Deliverable: One overall Landscape Master Plan. We would key in the detailed A3 plans and have allowed for the preparation of 30 plans. This would be accompanied by a cost schedule.

14.6 Applications and permissions (2.8/07 and 08) We envisage that any new hard surfacing including the access for all proposals will require planning permission and listed building consent. We propose that we would prepare the necessary documentation for these details but that they should be part of one application for the Swiss Garden prepared by the Conservation Architect Consultant. Our reasoning is that the garden features are within the curtilage of a listed building and therefore the building comes first with the features following on. Deliverable: Written contribution to Design and Access statement prepared by others with all relevant accompanying plans, specifications and Schedules of Work.
14.7 10 year Maintenance and Management Report (2.8/12) We propose that 10 year Maintenance and Management Report is prepared in a way that it can become a standalone document; if it works easily as a reference there is more chance it will be used in the future. It would include proposals for the conservation and care of all the built, natural and landscape features. For the Grange Farm Centre Trust we have recently prepared a 25 year Maintenance and Management Report. The work was divided into 14 operations with a written specification for each activity. A plan was prepared to show where the operations were to be applied. The operations are: Operation 1: General Operations Operation 2: Establishment Maintenance for New Planting Operation 3: Operations to Mature Trees and Other Trees to be Retained Operation 4: Ongoing Hedgerow Management Operation 5: Ongoing Management of Buffer Planting, Areas of Woodland Consolidation and Developing Scrub Operation 6: Increase the Biodiversity of Grassland and the Conservation Zones Operation 7: The Newt Ponds in Field A Operation 8: Enhance the Value of the Ditches Operation 9: Maintenance of the All Weather Footpath and Access Track, Lower Car Park and Wood Chip Path Operation 10: Maintenance of Fences and Gates Operation 11: Maintenance of Crossovers, Steps, Signage and Outdoor Furniture Operation 12: Maintenance of the Balancing Pond and Swale in Field E Operation 13: Maintenance of the areas of immediately surrounding the Pavilion in Field F and G Operation 14: Maintenance of the Access Road from the M11 footbridge to the entrance to the new residential development where the road is adopted. This was a prescriptive (method) specification and some clients prefer a performance specification. A decision on the approach would be part of the discussions with the team and client. A cost estimate would be provided. We have included an example of the 25 year costed plan for the Grange Farm Centre Trust. The reference numbers for each item relate to items in the operations in the 25 year Maintenance and Management Report; we have however deleted the rates as this is commercially sensitive

information. The work is split into establishment maintenance and longer term maintenance. It would be necessary to separate out the work that will be part of a contract and the work that can be undertaken by Swiss Garden staff. Deliverable: A standalone costed 10 year Maintenance and Management Report.
14.8 Conservation Management Plan (2.8/11) The Conservation Management Plan would include the following: • Review of existing documentation • Archival research to understand the historical development of the landscape (summary in text. Debois report as an Appendix as above) • A desk study to gain background information and the planning context of the site • Accurate base plans to use for a condition survey of all aspects of the site (folded drawings in a plastic pocket as an Appendix as above) • Analysis of the value, significance and condition of the historic features, identification of any compromised areas, the relevance or appropriateness of more recent features and an understanding of the current maintenance regime (in text with Condition Survey as an Appendix as above) • Consultation with the stakeholders - authorities and interested bodies who have an interest in the site, and the people who live and take their leisure in the area (Statement of Stakeholder consultation as a standalone document in an Appendix as above) • Statement of Significance • Consultation with the client and project design team to agree on the principles of restoration including proposals for the restoration of the historic features, bearing in mind current-day use, and the need to integrate new features • Agreement with client on vulnerabilities, site wide policies and site specific proposals • Costed 10 year Maintenance and Management Report as an Appendix to the CMP.
14.9 Project Management (2.1, 2.2 and 2.8) We would provide project management for our five sub-consultants: • Randall Surveys • Hayden’s Arboricultural Consultants • Debois Landscape Survey Group • Trinity Construction Consultancy • RDA Architectural Services. We have allowed time for: • Internal team project management • Liaison with the Heritage project manager as well as other consultants and specialists • Monthly reports to the project manager • Provision of six days for Julia Weaver (£2250) to act a lead consultant if required. Seven meetings including the Inception Meeting, the Consultation Workshop, the Review of First Draft proposals, Second Review and three not programmed. As a project manager is envisaged we have not allowed for writing up notes of Review or Project Design Team meetings but would expect to record our aspects of the Consultation Workshop.
14.10 Printing and expenses On a separate sheet we have listed out the likely costs of printing the documents as required in the brief. Other expenses mainly relate to mileage.
14.11 Exclusions The project brief was very detailed and clear but we noted one area that we would be more than happy to undertake but we have not included for in our fee offer. Item 2.1/04 states that ‘should additional projects come to light during development works, proposals for these should also be provided.’ We would, of course be happy to take on additional work but have not included for it in our fee offer.
14.12 Possible revisions In our experience all clearance activities, whether it be crown lifting or reduction and the clearance or stooling (cutting back to near ground level) of shrubs, are likely to lead to revisions of the plan both to provide shortterm colour and conceal gaps in the garden canopy, and because the long-term planting design usually requires revision once cutting back has enabled us to see exactly where shrubs were first planted. One of many examples of this is the bank of rhododendrons under the Overlook – these appeared to have been planted in a row, but only once they have been cut back will it be possible to assess the truth of this observation and to decide whether it would be appropriate to plant other rows, perhaps of short-lived shrubs, in front, so as to define the view here. We suggest this is a subject for discussion as it need not lead to additional fees just a variation in the sequence of work.

PHASE 2 14.13 Tender documentation Trinity Construction Consultancy would prepare all contract documents based on information provided by the team. They would send out the contract documents and prepare a tender report with recommendations. The planting plans for the first phase will be sufficiently detailed for use as tender drawings with the addition of specification and Schedules of Works. More detailed design and specification with construction details will be needed for the hard landscape aspects. It may be prudent to phase the vegetation clearance over two seasons to reduce the impact on nature conservation so we propose a two phase contract with: • The major vegetation management and tree clearance in December 2012 and January 2013 This would concentrate on those areas where new hard landscape is proposed. Areas where only management is required could be delayed until the autumn • Some replanting in March and April with seeding and lawn improvement works in April and May • Summer pruning if appropriate • Hard landscape works in March, April and May • A break with maintenance until mid August when further seeding could begin again • Vegetation clearance and planting from October. Deliverables: A set of contract documents based on the JCLI contract sent to four agreed contractors and a tender report with recommendations.
14.14 Monitoring implementation on site It would be normal to agree the level of monitoring with the client but over the 11 month contract period we have allowed for visiting site once a week for eight months and once a month for three months. Julia Weaver, Chartered landscape Architect, would act as Contract Administrator but we propose that Nick Owen from Debois monitors the tree work and clearance. Nick was a woodman in a previous career and now brings this skill to his historic landscape work. Trinity Construction Consultancy would be responsible for cost control and valuations. Deliverable: Contract administrator (and advisors) responsible for ensuring that the work is implemented in accordance with the specification.
14.15 Monitoring maintenance We propose that the contract is arranged so that part of the site is under maintenance from the summer of 2013 but all areas are under maintenance from January 2014 over the summer and again in 2015 completing in December 2015. We propose seven half day visits – every three weeks from mid March to mid July (six visits), then one visit between mid July and late August. A further seven half days are allowed for reporting after each visit. Three days have been allowed for a dead count in September and checking that replacements have taken place by November.

Handover of areas back to the client will need to be phased. Some areas of vegetation clearance that need no replanting can be handed back quickly. Hard areas can be handed over when the one year rectification period ends after Practical Completion. Grass is usually handed over once it becomes satisfactorily established but all new plants will be handed over in December 2015 and will need to be maintained in the interim. Sequencing and arranging handover will be part of the Contract Administrator’s work. Deliverable: Contract administrator (and advisors) responsible for ensuring that the work is implemented in accordance with the specification and handed over to the client in a satisfactory condition.
14.16 Contract administration The Landscape architects would be responsible for the day to day contract administration and the quantity surveyor would monitor finances, produce cost control information and valuations. Deliverable: Contract administrator (and advisors) responsible for ensuring that the work is implemented in accordance with the specification, budget and the agreed programme.
14.17 ‘As built’ drawings Drawings are usually revised along the way but at the end of the contract ‘as built’ or ‘as planted’ plans will be prepared and finalized together with information for the Health and Safety file. Deliverables: Hard and soft landscape plans reflecting what has been built or planted on the ground.
14.18 Expenses As with Phase 1 we have listed out separately the likely costs of printing the documents as required in the brief. The main cost of Phase 2 is mileage for site visits.
Staff and Skills 15

Dr Liz Lake is the director of the company and worked extensively on the gardens in 1992 and 2005 in conjunction with John Phibbs. She has prepared many Conservation Management Plans in recent years including Bentley Priory, Stanmore, St Osyth Priory and Highclere Castle. She will be available internally to the Liz Lake Associates project team members as required. She will be the director in charge of the project and will provide direction and the top layer of quality control.
Michelle Bolger is a Senior Associate of the company and worked on the garden cost estimates in 2010. Her specialist experience is in planning and she will provide an over seeing role during the production of planning documentation. She will be available to the internal Liz Lake Associates project team members as required.

Julia Weaver would be the Project Manager and Landscape Designer for this project. Julia brings considerable skills to her landscape work from a successful career as a project manager for major projects in the infrastructure industry. She will have day to day responsibility to ensure the project runs smoothly and efficiently. She has played a large part in the co-ordination and production of a number of Conservation Management Plans in the last few years.
John Phibbs, principal of Debios Landscape Survey Group, worked on the gardens in 1992 and 2005 and knows them well. His vast experience in all kinds of historic landscapes allows him to bring an unparalleled depth of knowledge to any project. He has worked with Liz Lake Associates for over 25 years and John would act as an adviser to the design team directing inappropriate vegetation removal, replanting proposals, hard landscape details and long term management.
Nick Owen is part of the Debois Landscape Survey Group and has written over 70 reports on historic landscapes for clients including English Heritage, the Countryside Commission, Historic Scotland and the National Trust, as well as for many private clients. Nick has a BA (London) in History, English and Philosophy and considerable practical experience in the management of historic landscapes, gained during his time as Head Woodman on the 5,000 acre Swinburn Castle estate in Northumberland. Nick would be responsible for monitoring the tree works and vegetation management.
Ben Shove is the sole director of Trinity Construction Consultancy Ltd and has been a Chartered Quantity Surveyor for eighteen years. He has worked on numerous landscape projects including the Heritage Lottery Fund bid for the regeneration of Lowestoft seafront. He will be the director responsible for the project and will provide support to the project Surveyor Mike Dymond.
Mike Dymond joined Trinity Construction Consultancy Ltd in 2008 as a Surveyor and Project Manager. He has since experienced working on a variety of projects including the work for Haringey council on their parks. He has also had involvement in proposals for the refurbishment of a Grade II listed building and protection to historic structures. Mike will provide the day to day surveying consultancy service to Liz Lake Associates. Reports and cost plans will be prepared by Mike Dymond and Ben Shove jointly. Martin Vincent-Rogers of RDA would liaise with Julia Weaver in investigating and advising on the utilities as current and proposed. He would be assisted by Martin Calver of FES Electrical Engineers and Contractors. Both have significant experience of infrastructure projects, most recently for a new Stud where utility provision, both new and upgraded, was required on a site of 1200 acres involving considerable input in dealing with contractors and utility providers.

Monitoring –
We usually use JCLI contracts for implementation of works and maintenance of small soft and hard landscape works. These contracts are an industry standard and have the built in back up and experience of many years working in the profession. We have recently performed the role of Contract Administrator on two projects St Botolph’s Priory and Layer-de-la-Haye Water Treatment Works to successful conclusions. We will agree all deliverables with the Client before starting; provide monthly project progress reports against deliverables including timescale, quality and cost. Julia Weaver is a Prince 2 qualified project manager and has carried out this role for large infrastructure projects in the past. Liz Lake Associates has a quality control internal process which ensures that all documentation submitted to the Client has been produced and checked internally and is controlled by a document controller. Liz Lake Associates takes a very ‘hands on’ approach to monitoring the implementation contract on the ground and would expect to be on site at least once a week during major works and monthly during maintenance. They have carried out this role recently for the Grange Farm Centre project. On site visits would include photographs of progress and site visit notes to ensure issues are raised and dealt with in a timely manner. 17

Whilst we often prepare small contracts at Liz Lake Associates we have joined with Trinity Construction Consultancy for this project. They are a small multi-disciplinary practice providing Quantity Surveying, Building Surveying, Project Management, CDM Coordination and detailed design services. As Quantity Surveyors they have been working with Wynne Williams Associates (Chartered Landscape Architects) on Haringey Council framework projects for the past five years. They have also worked with David Allen Associates on the refurbishment of Kensington Gardens including the Café, and the regeneration of Lowestoft seafront esplanade and Gardens. The project at Lowestoft was a £4 million lottery bid involving the Local Authority and community groups which was taken through Phase 1.

Dear Mrs Watts Thank you for your invitation to tender dated 8th July 2011. Please find set out below, our offer for a professional appointment as a consultant to the Shuttleworth Trust.
Project Title: Swiss Garden, Old Warden, Bedfordshire. The Project Brief: To assist the Shuttleworth Trust in the regeneration of the Swiss Garden. Scope of Consultant’s Work: Phase1: As set out in the Landscape Brief and described in the Response to the Brief. Phase 2: As set out in the Landscape Brief and described in the Response to the Brief.

This fee offer is valid for three months. Hourly rates are periodically reviewed during the year. Invoices are payable on completion of the work and will be sent out on a monthly basis.
Additional/Omitted Work: The fee is for the work set out in this letter. As a project proceeds, unforeseen circumstances often arise e.g. protected species on site or requirements of the Planning Authority. The client will be advised of the need for additional work before costs are incurred, or the omission of part of the work and any resulting savings, by means of the attached Project Revisions sheet.
Suspension: In the unlikely event of a suspension of the project, the Client shall give the Consultant prior notice of 2 weeks in accordance with Clause 3.24 of the Landscape Institute Consultant’s Appointment (attached).
Email Policy: We shall use our best endeavours to prevent the transmission of any computer virus but cannot guarantee complete protection. You are advised not to open any non-project email received from anyone in this practice.
Data Protection Act 1998: The Practice may store and process information about you, your business and its principal(s) on our computers and in any other way. Information may be used by the Practice to prepare fee proposals, estimates, reports, planning applications or other ancillary documents related to landscape architecture, urban design and related fields, as requested by clients, sub-consultants or co-consultants of the Practice, and for carrying out the work detailed, required or related to such documents.

We may from time to time give information about clients to our trusted sub- and co-consultants and vice versa. We may also give your information to suppliers, carriers, local authorities, environmental and heritage agencies and other bodies as may be required for supply, delivery, planning application, conservation or other related purposes.
Other Charges: Any statutory fees will be charged in addition to the fee and the client may be asked to pay these direct.
Expenses: Expenses are charged in addition to the fee and are listed in the enclosed document. Any additional work would also incur expenses. Please note this includes a nominal cost for archiving, which is charged on every project. Further copies of drawings etc. can be provided after the project is complete and will be charged at rates current at the time of the request.
Payment Arrangements: Invoices are subject to VAT and, unless otherwise stated under ‘Terms of Payment’, are usually submitted monthly. They are payable within 30 days and those unpaid at 40 days are passed to a third party for collection. Work will be halted if invoices are not paid within the agreed terms. Interest may be charged on overdue accounts under the provisions of the Late Payment of Commercial Debts (Interest) Act 1998. Queries on accounts should be addressed to Mrs Wendy Cooper. Purchase Ordering and Payment: We would like to draw your attention to our terms of payment if your Company operates a Purchase Order System. We will be unable to start work until a valid Purchase Order Number is issued for services to be carried out by this Practice. LIZ LAKE ASSOCIATES LTD - CONDITIONS OF APPOINTMENT Modifications from the Landscape Consultant’s Appointment as issued by the Landscape Institute are highlighted. 3.1
This Part describes the conditions, which apply to a Landscape Consultant’s appointment. If different or additional services are required, they should be set out in the Schedule of Services, Memorandum of Agreement or letter of appointment.
3.2
Duty of care: The Landscape Consultant will use reasonable skill, care and diligence in accordance with the normal standards of the profession.
3.3
Contamination or Pollution: Unless this clause is expressly stated not to apply, nothing in the agreement shall require the Consultant to provide advice or services in connection with the presence of a risk of contamination or pollution by harmful substances. The Client shall retain sole responsibility for determining what, if any, investigations and actions shall be taken in relation to such substances, and shall commission such professional advice as he considers necessary.
3.4
Landscape Consultant’s Authority: The Landscape Consultant will act on behalf of the Client in the matters set out or implied in the Landscape Consultant’s appointment. The Landscape Consultant will obtain the authority of the Client before initiating any service or Work Stage.
3.5
Modifications: The Landscape Consultant shall not significantly alter an approved proposal without Client approval. Should changes be found to be necessary during implementation, the Client shall be informed and consent obtained without delay.
3.6
Terms for Payment: The Client shall pay the Landscape Consultant for his services in accordance with para 2 of the Memorandum of Agreement the letter of appointment, save that in the event of termination or suspension of the commission, the Consultant shall be entitled to payment of a reasonable proportion of the interim payment or at the agreed hourly rate, whichever is applicable, for all work carried out to the date of termination or suspension and not previously the subject of an invoice for interim payment.
3.7
Revisions to the Conditions of Appointment: The agreement between a Client and a Landscape Consultant is deemed to allow for revisions due to changing circumstances. In long-term commissions such changes will probably be due to unforeseen factors or matters beyond the control of the Landscape Consultant at the date of the appointment.
3.8
Project Control: The Landscape Consultant will report any significant variations in authorised expenditure or contract period.
3.9
Impartiality: The Landscape Consultant will be impartial in administering the terms of a contract between Client and Contractor.

3.10 Appointment of other Consultants: Consultants may be appointed either by the Client direct or by the Landscape Consultant subject to acceptance by each party. 3.11 Sub-contracting: The Landscape Consultant shall not sub-contract any part of the commission without notifying the Client and receiving formal agreement on the division of responsibilities that will apply. 3.12 Liability of other Consultants: Where a Consultant is appointed under Clause 3.10, the Landscape Consultant shall not be held liable for other Consultant’s work, provided that in relation to the execution of such work under a contract between Client and Contractor, nothing in this clause shall affect any responsibility of the Landscape Consultant to perform his duties under the terms of that contract. 3.13 Consultant Co-ordination: The Landscape Consultant will have the responsibility to co-ordinate and integrate into the overall design the services provided by any consultant, however employed. 3.14 Design work by Contractors/Suppliers: A specialist contractor, sub-contractor or supplier who is employed by the Client and who supplies design drawings to the Landscape Consultant for incorporation in the works may be appointed by agreement. The Landscape Consultant shall not be held liable for the execution and performance of this work. The Landscape Consultant will have the authority to integrate and co-ordinate this design information into the overall design. 3.15 Contractor Responsibility: The Client will employ a contractor under a separate agreement to undertake construction or other works not undertaken by the Landscape Consultant. The Client will hold the contractor, and not the Landscape Consultant, responsible for the contractor’s operational methods and for the proper execution of the works. 3.16 Site inspections: The Landscape Consultant will visit the site at intervals appropriate to the progress of the works. As these intervals will vary depending on the nature of the work, the Landscape Consultant will explain to the Client at the outset when inspections will be made and agree these with the Client. If more inspections/visits to the site are required by the Client, details, as an extension to the Standard Services, will be agreed in writing with the Client. 3.17 Site Staff and Resident Landscape Staff: Where frequent or constant professional inspection is agreed to be required, a resident professional shall be appointed on a full or part-time basis by the Consultant under specific terms of appointment and remuneration. 3.18 Site Staff/Clerk of Works: Where frequent or constant inspection of the works is required a Clerk of Works suitably qualified in the supervision of landscape operations shall be employed. The Clerk of Works may be employed by the Client, or the Landscape Consultant, but in either case will be under the control and direction of the Landscape Consultant.

3.19 Information from Client: The Client is required to provide the Landscape Consultant with such information and make such decisions as are necessary for the proper performance of the agreed service. The requirement and reasons for such timely action shall be explained to the Client by the Landscape Consultant so that the implications of delay are clearly understood by both parties. 3.20 Client Representative: The Client, if a firm or other body of persons, will, when requested by the Landscape Consultant, nominate a responsible representative through whom all instructions will be given. 3.21 Copyright: Copyright in all documents and drawings prepared by the Landscape Consultant shall, unless otherwise agreed, remain the property of the Consultant. Where so agreed, copyright shall be passed to the Client only after all fees due to the Landscape Consultant have been paid. 3.22 Copyright Entitlement: The Client will be entitled to use documents and drawings in executing the works for which they were prepared by the Landscape Consultant provided that:
a) All fees due to the Landscape Consultant have been submitted or paid; b) The entitlement relates only to that site or part of the site for which the design was prepared. This entitlement applies to the design, maintenance and management of the works.
3.23.1 Assignment: Neither the Client nor the Landscape Consultant shall assign the appointment in whole or part without prior written agreement as to the division of responsibilities that apply. In the event that assignment is agreed, the Landscape Consultant may make an additional charge to the Client. 3.23.2 Collateral Warranties: If a Collateral Warranty is required but was not notified to the Landscape Consultant prior to the date of this appointment, the Landscape Consultant may levy an additional charge on the Client in the event that the Landscape Consultant agrees to issue the Warranty. 3.24 Suspension: The length of notice for suspension should be agreed in writing at the outset. The Client may suspend the Landscape Consultant’s appointment in whole or in part, the notice given being in accordance with the agreed timing and in writing. 3.25 Suspension by Consultant: The Landscape Consultant will give immediate notice in writing to the Client of any situation arising from force majeure which makes it impractical to carry out any of the agreed services, and agree with the Client a suitable course of action. 3.26 Resumption of Service: Following the notice in accordance with Clause 3.24, if no instruction has been received within 6 months, the Landscape Consultant shall make a written request for instructions. If no instruction is received within 30 days, the appointment shall be treated as terminated.

3.27 Suspension of Obligations: If the Client fails to make payment in accordance with Clause 2 of the Memorandum of Agreement the letter of appointment and no effective notice to withhold payment has been given, the Landscape Consultant may, following 7 days’ notice setting out the grounds for suspension, suspend the performance of his obligations under the agreement until payment is received. 3.28 Termination: The Landscape Consultant’s appointment may be terminated by either party by following the procedure in clause 3.24, where this is permitted by the appointment. 3.29 Death or Incapacity: If death or incapacity of a sole practitioner stops the Landscape Consultant from carrying out the agreed duties under this appointment, it shall be terminated. As soon as all outstanding fees have been submitted or paid, the Client will be entitled to use all data prepared on the project subject to the provisions in respect of copyright, in accordance with Clause 3.21 and 3.22. 3.30 Adjudication: In the event of a dispute arising under the agreement, either party may give notice at any time to the other of his intention to refer the dispute to adjudication. 3.31 Appointment of Adjudicator: An adjudicator shall be appointed by agreement between the parties within 2 working days of receipt of notice under clause 3.30 or, failing agreement, within 7 days of the said notice by the President or a Vice-President of the Landscape Institute. The adjudicator shall conduct the adjudication in such manner as he considers fit, having regard to the Construction Industry Council’s Model Adjudication Procedure, and subject to the following matters :
• within 7 working days of notice under clause 3.30, the parties shall agree and provide to the adjudicator a joint statement of undisputed facts (so as to reduce the area of dispute to a minimum);
• the adjudicator shall act impartially and shall reach a decision within 28 days of referral of the dispute to him or such longer period as the parties may agree;
• the adjudicator shall be entitled to extend the period of 28 days by up to 14 days with the consent of the party giving notice under clause 3.30;
• the adjudicator shall be entitled to take the initiative in ascertaining the facts and the law;
• the parties shall accept the adjudicator’s decision as binding upon them until such time as the dispute is finally resolved in accordance with a ruling under clause 3.32, arbitration under clause 3.33, or by agreement; alternatively, the parties may agree to accept the decision of the adjudicator as finally determining the dispute;
• the adjudicator, or any employee or agent of his, shall not be liable to the parties for anything done or omitted in the discharge or purported discharge of his functions as adjudicator unless the act or omission is in bad faith.

3.32 Ruling on a Joint Statement: Any difference or dispute arising from a written appointment under this document may, by agreement, be referred to the Landscape Institute for a ruling by the President. The parties must agree:
• to prepare and submit with their submission a joint statement of undisputed facts to reduce the area of dispute to a minimum; and • to accept the ruling as final and binding.
3.33 Arbitration: Subject to the parties’ rights under clauses 3.30 and 3.32, any difference or dispute arising out of the appointment shall be referred to arbitration by a person to be agreed between the parties or, failing agreement within 21 days after either party has given to the other a written request to concur in the appointment of an arbitrator, a person to be appointed at the request of either party by the President or a Vice-President for the time being of the Chartered Institute of Arbitrators. 3.34 Alternative for Scotland: In Scotland, any difference or dispute arising out of the appointment which cannot be resolved in accordance with clause 3.32 or 3.33 shall be referred to arbitration by a person to be agreed between the parties or, failing agreement within 21days after either party has given to the other a written request to concur in the appointment of an arbiter, a person to be nominated at the request of either party by the Chairman for the time being of the Scottish Branch of the Chartered Institute of Arbitrators. 3.35 Settlement of Disputes by Agreement: Nothing herein shall prevent the parties agreeing to settle any difference or dispute arising out of the appointment without recourse to arbitration or adjudication. 3.36 Governing laws for England and Wales: The application of these conditions shall be governed by the laws of England and Wales. 3.37 CDM Regulations 2007: Where the Client is required under the CDM Regulations to appoint a CDM Co-ordinator (CDM-C), the following Additional Conditions CDM.1 – CDM.6 shall apply to this agreement. CDM1: The Landscape Consultant shall, where the Client is required by CDM Regulations to appoint a CDM-C, co-operate with and pass relevant information to the CDM-C (whether within the same firm of landscape consultants or otherwise). CDM2: The Client shall, where required by the CDM Regulations, appoint as soon as reasonably practicable, a competent CDM-C. The Client shall procure that the appointment remains filled at all times until construction is completed. CDM3: The Landscape Consultant shall, where the Client is required by the CDM Regulations to have appointed a CDM-C and where after the design information is complete the Client orders changes necessitating re-work, continue to co-operate with and pass relevant information to the CDM-C.

CDM4: The Client shall, where required by the CDM Regulations, appoint as soon as reasonably practicable a competent Principal Contractor. CDM5: The Client shall, where required by the CDM Regulations to appoint a CDM-C, and where consultants are appointed, procure the consultants’ cooperation in the exchange of information relating to health and safety aspects of their work, and shall cooperate with the CDM-C.
