AND SO IT BEGINS...

THE STORY In Frankie’s world, the only thing that brings her pure joy are her fish friends. Being the curious and scientific girl that she is, she constantly goes on adventures trying to solve the world’s environmental problems. She believes all her hard work will eventually save her best friends, Louie, Bennie Bandit, and Chip as well as all the other creatures affected by the changes in the environment. While Frankie tries to solves the world’s problems, Louie, Bennie Bandit, and Chip have adventures of their own in their fish tank home. Between Frankie and her fish friends and all their adventures they share, they learn a great deal of life lessons as well as learn a whole lot about the earth, environment, and science in general. Come along and join the adventure. You are sure to have a blast!

FRANKIE Frankie is a 6-yearold girl who loves to explore with her favorite fish tank friends. She has always been curious about the sea and so she decided to get sea creatures instead of a dog. You will find Pinky with her favorite heart shirt and pleated skirt. Her glasses are a staple of her cute, curious look!
LOUIE Louie is a fun-loving, silly, and sometimes construed as not the brightest bulb on the shelf, but he well loved and is attached to everyone (literally). He is older and mature and people often come to him for advice. Although not book smart, he has a great deal of street sense. 11
BENNIE BANDIT Bennie Bandit loves to have things to himselves almost to his detriment. He is often referred to Bennie the Bandit because he often takes things that don’t belong to him. But, he usually learns his lesson and returns what’s not his.

CHIP Chip is a cute little urchin that all you want to do is squeeze - except you can’t becuase he’s pokey and dangerous quite the opposite of his character. He is very inviting and often the innocent soul of the group.

LICENSING AGREEMENT
1. CAROLINE QVALE (the “Licensor”) hereby grants to NICKELODEON (the “Licensee”) a non-exclusive license to use the Frankie and Fish Friends Style Guide image created and owned by Licensor on children’s promotional collateral and to distribute and sell these Licensed Products in The United States for a term of 2 years commencing January, 2013, in accordance with the terms and conditions of this Agreement. 2. Licensor shall retain all copyrights in and to the Image. The Licensee shall identify the Licensor as the artist on the Licensed Products and shall reproduce thereon the following copyright notice: “© Caroline Qvale, 2013.” 3. Licensee agrees to pay Licensor a nonrefundable royalty of 10% percent of the net sales of the Licensed Products. “Net Sales’ as used herein shall mean sales to customers less prepaid freight and credits for lawful and customary volume rebates, actual returns, and allowances. Royalties shall be deemed to accrue when the Licensed Products are sold, shipped, or invoiced, whichever first occurs. 4. Licensee shall pay Licensor a nonrefundable advance in the amount of $1,000.00 upon signing of this Agreement. Licensee further agrees to pay Licensor a guaranteed nonrefundable minimum royalty of $500.00 every month. 5. Royalty payments shall be paid on the first day of each month commencing January 1, 2013, and Licensee shall furnish Licensor with monthly statements of account showing the kinds and quantities of all Licensed Products sold, the prices received therefore, and all deductions For freight, volume rebates, returns, and allowances. The first royalty statement shall be sent on January 1, 2013. 6. Licensor shall have the right to terminate this agreement upon thirty (30) days notice if Licensee fails to make any payment required of it and does not cure this default within said thirty (30) days, whereupon all rights granted herein shall revert immediately to the Licensor. 7. Licensee agrees to keep complete and accurate books and records relating to the sale of the licended products. Licensor shall have the right to inspect licensee‘s books and records concerning sales of the licensed products upon prior written notice. 8. Licensee shall give licensor free of charge 5 samples of each of the licensed products for licensor‘s personal use. Licensor shall have the right to purchase additional samples of the licensed products at the licensee‘s manufacturing cost. “Manufacturing cost” shall be $5.00 -

$95.00 per licensed product. 9. Licensor shall have the right to approve the quality of the reproduction of the Image on the Licensed Products and on any approved advertising or promotional materials and Licensor shall not unreasonably withhold approval. 10. Licensee shall use its best efforts to promote, distribute, and sell the Licensed Products and said Products shall be of the highest commercial quality. 11. All rights not specifically transferred by this Agreement are reserved to the Licensor. 12. The Licensee shall hold the Licensor harmless from and against any loss, expense, or damage occasioned by any claim, demand, suit, or recovery against the Licensor arising out of the use of the Image. 13. Nothing herein shall be construed to constitute the parties hereto joint ventures, nor shall any similar relationship be deemed to exist between them. This Agreement shall not be assigned in whole or in part without the prior written consent of the licensor. 14. This Agreement shall be construed in accordance with the laws of The United States of America; Licensee consents to jurisdiction of the courts of California. 15. All notices, demands, payments, royalty payments and statements shall be sent to the Licensor at the following address: 55 Stockton Street, San Francisco, CA, 94103; and to the Licensee at: 1234 Mickey Mouse Lane, Los Angeles, CA, 94583. 16. This Agreement constitutes the entire agreement between the parties hereto and shall not be modified, amended, or changed in any way except by written agreement signed by both parties hereto. This Agreement shall be binding upon and shall inure to the benefit of the parties, their successors and assigns. IN WITNESS WHEREOF, the parties have executed this Licensing Agreement on the 9th day of December, 2013.
