1. The Contract 1.1 In these standard terms and of conditions of sale, the contract means your pur purchase order for goods as accepted by us either orally or in writing. If the goods are to be delivered by instalments, each instalment will constitute a separate contract. 1.2 Once accepted by us, your purchase order cannot be cancelled, postponed or alter altered in any way, way without our consent. Unless otherwise agreed by us in writing, and subject to condition 3.9, we do not trade on a sale or return basis. 1.3 Unless otherwise agreed eed by us in writing, these conditions will apply to the contract contrac to the exclusion of any customary trade terms or terms or conditions of yours, and supersede any previous terms of trade between us. In the event of any conflict or inconsistency between these conditions and any other terms of the contract, these conditions will prevail. 1.4 No person acting or purporting to act on our behalf has any authority orally to add to or vary any of the terms of the contract or to waive any of our rights under it, and an no such addition, variation or waiver shall have any eff ef ect unless agreed ed by us in writing. No waiver by us of any of our rights under the contract will be conside considered to constitute a general waiver of those or any other such rights rights. 1.5 The contract will be with you the sole trader, partnership or limited company ompany as detailed in your last accepted Credit Application form. Any changes in that status must be notified to us in writing immediately immediately, and we reserve the right to discontinue dealings with you until you have completed and we have accepted a fr fresh such form. Until that has been done, you will remain liable, jointly and severally with the trading entity evidenced by the change, to pay us for goods supplied as if that change had not taken place. You Y may not assign or otherwise transfer the contract without our prior written consent, and no-one other than you and your permitted assignees will have any rights under the contract, whether under the Contracts (Rights of Third d Parties) Act 1999 or otherwise. 1.6 The contract will be governed ned by the laws of England, and you agr agree ee to the exclusive jurisdiction of the English Courts in all matters relating to it. 2. The Goods 2.1 All drawings, descriptive matter, price lists, catalogues, brochures, websites, and other promotional material of ours are approximate oximate only and intended merely mer to give a general idea of the goods, and will not form part of the contract. Since we continuously try to improve the quality of our goods, they will also be subject to changes in design, materials, components and finishes. You Y will accept the goods subject to such variations in size, colour and finish as are within normally accepted manufacturing tolerances. 2.2 Whilst the goods will comply with all applicable standards and other regulatory requirements ements in the United Kingdom, we will not be rresponsible esponsible for ensuring that they comply with any such requirements elsewhere. 2.3 You Y acknowledge that all intellectual property rights, including unregistered design right, copyright, registered designs and patents in the United Kingdom, and other similar rights elsewhere, in all goods that are proprietary to us and their drawings, designs and specifications, will belong to us absolutely,, and you will at our expense expens take such steps as we may reasonably request to establish, prosecute osecute and defend those rights. 3. Delivery and Risk 3.1 The goods will be delivered to such delivery address in the United Kingdom as you have last given to us when your purchase order is placed or such other address as we may agree. Where the delivery address is outside the United Kingdom, the goods will be delivered ex works, but we will, at your request, make arrangements on your behalf and at your expense for their carriage to such delivery point as you may designate. 3.2 Whilst we will use reasonable easonable ef efforts to do so, we will not be obliged to comply with any delivery proceduress of yours. Y You will have given authority to accept delivery on your behalf to any person who purports to accept delivery of the goods at the delivery address. You Y will accept delivery at any time during your normal business hours. 3.3 Part deliveries are e permitted. Y You will not be entitled to reject a delivery or deliveries of the goods if they are within 10% of all or any of the numbers, sizes, types or finishes ordered. 3.4 We will use our reasonable asonable ef efforts to despatch or deliver the goods within the delivery period agreed by us, but time for delivery will not be of the essence, and we will not be liable for any loss whatsoever caused by late delivery. In any event, we reserve the right to cancel all or part of your purchase order or suspend or delay delivery, without liability to you, if the supply of the goods is prevented or delayed because of any circumstances beyond our reasonable control. 3.5 We will not be liable for any shortage in the goods as delivered, unless it is notified to us in writing within 5 business days of delivery, or complete non-delivery of the goods, unless it is notified to us in writing within 5 business days of date of receipt of invoice. 3.6 We will not be liable for any damage to or deterioration of the goods as delivered, unless it is notified to us within 24 hours of delivery, delivery and you promptly return the goods concer ned to us with the retur n note number obtained from us. 3.7 The risk of loss or deterioration of or damage to the goods will be borne by you from delivery. 3.8 If you ar are e unable or unwilling to accept delivery of the goods in accor accordance dance with these conditions on arrival of our vehicle at the delivery site on the delivery date notified to you, we may retain the goods and arrange for or provide the storage and insurance of the goods concerned ned as we think appr appropriate at your expense. Where we pr provide such storage, we will be entitled to charge you at our then curr current standard rates for storage. The appropriation or despatch of any of the goods for storage in accordance with this condition will be treated as constituting their delivery to you in accordance with the contract for all the purposes of these conditions. 3.9 You may return all or any the goods, provided that we have agreed to their return in writing, they are returned to us within 5 business days of delivery in the same condition as when delivered, and subject to your paying us a re-stocking charge at the rate of 30% of our invoiced price plus any carriage incurred by us and VAT. 4. Prices and Payment 4.1 Where we have agr 4. agreed eed to supply the goods over a period of more than thr three months from om the date of the contract, the prices of the goods deliver delivered ed after the thre ree month period will be adjusted to reflect any incr increase in our standard prices as at the date of delivery or, where the goods are supplied to your specification, increased eased by the proportion of any increase ease in our costs of production production of the goods between the date of our order der acknowledgement and the date of despatch. 4.2 The he prices for the goods include carriage, except where where the total price of the goods good comprising your delivery is less than ÂŁ100 (excluding VAT) VAT) or where the delivery address is outside the United Kingdom, when, all costs of carriage will be charged extra. The prices for the goods and any other sums due to us do not include any applicable VAT VA or import duties outside the EC, which will be charged extra. Any queries on our invoices must be made within 5 business days of their receipt. 4.3 Unless otherwise agreed 4. ed in writing, the prices for the goods and any other sums due to us will be payable by the end of the month following that of the date of invoice. You are not entitled to any discount for early payment. If you fail to pay any sum to Y us on the due date, or you make a voluntary arrangement with your cr editors, have a receiver appointed, or a petition is presented for your administration, winding-up or bankruptcy bankruptcy, or you enter into liquidation or we have reason to believe and notify you in writing that you will be unable to pay your debts to us as they fall due, all sums owed by you will become immediately due and payable, and we will be entitled to requir re quire payment prior to further manufactur manufacture or delivery of the goods, or to cancel, suspend or terminate all or any further manufacture manufacture or delivery of the goods, without incurring any liability to you. 4.4 Allll sums due to us will be paid in full and without any discount, deduction or set-off set-of whatsoever. We may charge you interest on any sums not paid to us by the due date at the rate of 1% per whole or part month, and you will reimburse us for all debt collection and legal costs and expenses incurr incurred ed by us in attempting to re recover such sums. We may treat any sums received from you as being in payment first of any such costs and expenses, then interest accrued, and then all other amounts owed to us in date order, starting with the oldest, regardless of any disputes or your attribution of payment to any particular invoices. invoices 4.5 The property in the goods will not pass to you until you have paid us for them and all other sums invoiced to you, and until that time you will keep them separate fr om other goods in such a way as to indicate clearly that they remain our property and in the condition in which they were delivered by us. Until the property in the good goods has passed, you will hold them as our fiduciar fiduciary, and we will be entitled to have access to your premises at all reasonable times to inspect and remove them, but you may use and sell the goods as our agents in the or ordinary dinary course of your business, unless and until we terminate your authority to do so by written notice, or you have a petitio petition presented for or enter into liquidation, administration or administrative receivership, on any of which events such authority shall stand revoked. We may bring an action actio for the price of the goods even though the property in them may not have passed to you. 5. Warranty and Liability 5.1.1 Where the goods are proprietary oprietary to us or supplied to your specification, we will at our ou option rectify or replace place such of them as are ar shown to our reasonable satisfaction to contain defects in design, materials or workmanship, other than such as result directly or indi indire rectly ctly from your specification, when properly installed, used and maintained under normal domestic conditions, pr provided that the alleged defects and our applicable batch and delivery note details are notified in writing to us within one year from the date of delivery of the goods, that the goods are at all times following delivery kept in suitable conditions, that we are given every opportunity to inspect and test the goods concerned ned at your pr premises, and that, if we so request, you return all or any of them to our premises. If any of the goods concerned prove to our reasonable asonable satisfaction not to be defective or you give us the wr wrong ong batch or deliver deliveryy note details, we will be entitled to make a reasonable charge for our efforts ef in establishing whether or not the goods are defective. 5.1.2 Where the goods are proprietary to our suppliers, we will to the extent that we are able to do so, transfer to you the benefit of whatever warranties and other rights we have received from the suppliers. 5.2 Except as required or agreed by us, you will not in any circumstances return any of the goods to us, and where the property in any of the goods returned to us has passed to you, they will nevertheless remain your property and at your risk unless we have agreed otherwise in writing before their return. 5.3 Except as stated above, we will not be liable for any direct, consequential or other loss, damage or injury suffer suf ed or incurred by you, and you will indemnify us fully against any claims made by thir third parties, in respect of the goods or otherwise arising from the contract. Our liability will in any event be limited to the price of the goods concerned. ed. Nothing contained in the contract will, however however, be treated as excluding or restricting any liability on our part for death or personal injury resulting from our negligence. 5.4 Except as stated above, and to the fullest extent permitted by law, all conditions, warranties and representations, whether express or implied, statutory or otherwise in relation to the goods (other than such as relate to title to the goods) are excluded. 5.5 You acknowledge that our prices for the goods are based upon these conditions of sale, and accordingly that you accept the above limitations on and exclusions of liability in exchange for those prices. 6. Data Protection Act 6.1 Where you are a sole proprietor or partnership, you agree that we may from time to time seek to check your identity, and your creditworthiness and that of any other individuals found to be recorded at your address, with credit reference agencies and others, and record the information received from them. You Y understand that your personal information will only be used by us to decide whether to extend cr credit terms to you, in the credit management of your account. We may also disclose your personal information to credit reference agencies and by way of response to requests for trade references from other businesses.

SERVICE LEVEL COMMITMENT

GOLD FINISH & BRASSWARE CARE AND MAINTENANCE INSTRUCTIONS

This statement has been formulated to demonstrate the Avocet Hardware Ltd Service Level Commitment to our customers. Our aim is to provide a comprehensive range of product guarantees supported by our unique Continuity of Supply guarantee.

These instructions should be carefully read by the purchaser.

It is the stated objective of Avocet Hardware Ltd to ensure complete exstock availability of all products backed by standard or express carriage service tailored to Customer requirements.

Fitting: During ﬁtting, particularly when tightening screws, avoid overtightening or contact with the product surface bysharp objects as this could damage the protective coating, affecting the appearance and durability of the product.

The Service Level Commitment does not confer any rights other than those expressly set out above and does not cover any claims for any other direct or consequential loss or damage howsoever caused. The Service Level Commitment herein is subject to the respective Customer account(s) with Avocet Hardware Ltd being within the prescribed credit limit and agreed payment terms. MECHANICAL WARRANTY All Avocet parts are covered by 10 year conditional mechanical warranty, starting from the date of purchase from Avocet Hardware Ltd. ‘Phocas’ friction stays have a lifetime conditional mechanical warranty, starting from the date of purchase from Avocet Hardware Ltd. (Please refer to data sheets for specific details.) HARDWARE FINISHES WARRANTY Surface finishes are covered by a conditional warranty, in their installed condition. Due to variations in installed circumstances, corrosion ratings are provided on individual product data sheets. These ratings are given relative to a standard controlled, corrosive environment (Neutral Salt Spray). The ratings provided are intended to cover main surfaces for a minimum of 5 years in a normal installation. (Please refer to relevant data sheet for specific details.) *(i) The presence of additional aggressive contaminants, (e.g. industrial pollutants, cleaning chemicals etc. ), proximity to salt laden atmosphere, and/or incorrect maintenance, can significantly reduce the corrosion resistance performance of the product. In the event of a coating4 failure of the product within the 5 year warranty period, Avocet Hardware Ltd will provide a free replacement or will refund the original price paid for the product. It is a condition of this warranty that the product is correctly installed and is not subjected to adverse environmental conditions from thereon. Installations in coastal and other high risk areas are not covered by this warranty. In such areas, the stainless steel alternative should be used, for which the same 5 year corrosion warranty applies. This warranty does not confer any rights other than those expressly set out above and does not cover any claims for any other direct or consequential loss or damage, howsoever caused.

Gold Finish & solid brass door furniture should be installed and maintained in accordance with the Care and Maintenance instructions as follows:-

Maintenance: The superior polishing and coating of the product eliminates the need for regular polishing or cleaning. When cleaning do not use abrasive products or solvents such as metal polish, scouring pads, acetone etc. Use a soft duster or damp chamois leather to remove dust and surface dirt. In outdoor applications the only additional maintenance required is the application of a wax polish with a soft duster at 3 to 4 monthly intervals. CONDITIONS APPLYING TO AVOCET GUARANTEES a) The customer must supply proof of the date of purchase of the products concerned. b) The guarantee will not apply to any product which has been incorrectly ﬁtted. c) The guarantee will not apply to products which have been misused, abused or subjected to forces and stresses which are beyond those which are usual for the normal operation of the product. d) The guarantee will not apply in instances where the Avocet Hardware Ltd care and maintenance instructions have not been adhered to. e) Avocet Hardware Ltd is responsible for the replacement of defective products only. Claims for any other direct or consequential loss or damage will not be accepted, howsoever caused. f) Avocet Hardware Ltd reserves the right to refund the original price of the product or provide a free direct replacement product. g) Avocet Hardware Ltd will not accept responsibility for claimed defective parts where Avocet Hardware Ltd has not been provided with the opportunity to inspect the product concerned on site.
