The Year in Review By Westminster-Canterbury Management

This year, Westminster-Canterbury had its best sales year since we opened the West Tower in 2003! The rest of the senior housing industry may be in the doldrums, but WestminsterCanterbury bucked the downward national occupancy trend. Fifty-three new residents joined our family in 2010. The cruise ship lifestyle and beachfront location remain key draws. However, beautiful campuses are no good unless great people are living and serving within them. Our warm and friendly staff instills trust and shares a love one can feel when one enters the door. Add our 29-year reputation for excellent healthcare, value and customer service, and we have an unbeatable combination. Still, in these new times, we also found better ways to tell our story. We are letting people know about tax breaks, refundable entrance fees, and flexible pricing. We are telling the story of how those who know us best are putting their trust in us again and again. We now proudly claim 82 second-generation, legacy residents whose parents were Westminster residents before them! Eight former Trustees live here, along with one former CEO. We also made it easier for people to sell their houses and downsize. Our new Moving Home Program provides that “responsible daughter” to help with every step of the process: staging, estate sales, junk removal, and all the elements of moving coordination. We work with proven realtors to get the right price for one’s house quickly. As a result of our reputation and these new programs, cash proceeds from new entrants totaled $11.6 million compared to $9 million for the past three years. The best kept secret is that we have done all this at an exceptional price point. Our prices fit a lot of budgets. In fact, it may surprise you to know that Westminster charges on average $550 less per apartment per month than the average of 22 Continuing Care Retirement Communities in Virginia and North Carolina. We continue to work hard at being a great value. This year we took a fresh look at our expenses. The senior team conducted comprehensive operating and productivity analyses resulting in some significant expense savings, enabling us to freeze entrance fees and raise monthly fees by the lowest rate in 10 years. Our sales growth and improved operating efficiencies contributed to produce a record year in which we generated $4.8 million of cash from operations, of which $3.5 million was transferred to investments. We are generating cash from operations at a time when other communities are drawing on savings or borrowing money. Total operating revenue was $1.1 million more than the prior year. Operating expenses were $676,000 less than budget. Total assets, after inclusion of $5.7 million in depreciation, increased by $2.8 million. It was a terrific team effort.

The Yearcontinued in Review While we built our reserves, we also invested significantly in keeping our campus fresh and appealing. Our seawall was refurbished and upgraded. A new roof was added to the East Tower. External waterproofing, window refurbishments, and masonry enhancements will add years of life to our original East Tower building. On the quality front, The Hoy Center introduced a Resident Centered Care Program and converted to 12-hour nursing shifts. The new program allowed the caregivers to spend more time with the same residents and less down time from shift changes. Executive Staff Caregivers get to know each resident FRONT ROW (Left to Right) - Lorraine Mahone, VP, Human Resources; better. Many caregivers love having Ben Unkle, President & CEO; Dan Oetzel, CFO three-day weekends every other BACK ROW (Left to Right) - Bob Heely, VP, Development & Community Relations; weekend, and having predictable Dan Nimon, VP, Resident & Health Services; John Matis, Dining Services Director; weekdays off. We enjoy staffing ratios John Mock, General Services Director that are among some of the highest in the nation. Quality of care continues to push new heights. U.S. News and World Report recently named Westminster-Canterbury on Chesapeake Bay’s Hoy Center to its “Best Nursing Homes in Virginia” list. We are the only Continuing Care Retirement Community in Hampton Roads to receive this honor. Management kept its focus on resident care and well-being in other ways with customer service enhancements in the dining program. New food delivery options were introduced in the Marketplace, further increasing the popularity of our third dining venue. As always, our greatest asset is our staff. Our employees love our residents and our residents love them. Our residents showed their appreciation by voluntarily raising, by themselves, $187,940 for the Residents’ Staff Appreciation Fund. The genuine ties between the people who live and work here are stronger than ever. With God’s help, this community will continue to grow and impact even more citizens of the Hampton Roads region.

As we entered fiscal year 2010, we expected to continue to build on three long-term financial priorities:

• Improve operating revenues,

• Control the growth of expenses, and

• Improve productivity.

Our results for fiscal 2010 indicated that we made significant progress toward these goals. Total revenues, gains, and other support was $35.7 million, compared to $34.1 million in fiscal 2009. The loss from operation was ($790,000), compared to a loss of ($2.5) million in fiscal 2009. Improved financial markets resulted in over $716,000 in unrealized gains and an overall decrease in net assets of ($139,000), compared to a decrease in net assets of ($1.9) million in fiscal 2009. In spite of challenges from a weakened housing market, there were 41 new entrants during David Myers, Controller; Dan Oetzel, CFO the fiscal year. The 41 new entrants generated approximately $11.6 million in entrance fees. In spite of strong marketing activity, occupancy in the Independent Living apartments continued to be a challenge during the fiscal year. Occupancy figures remained around 91% due to significant unit turnovers as a result of deaths and level of care transfers. Our goal of controlling the growth of expenses was supported by total operating expenses being $688,000 below budget and $64,000 less than prior year. The implementation of cost savings measures first identified during a 2008 operations review was instrumental in controlling the growth of expenses. Our goal of improving our productivity was supported by improvement in our financial ratios. Key indicators such as our debt service coverage ratio and days cash on-hand showed significant improvement as compared to prior years. As a footnote, in December 2009, Westminster-Canterbury issued $6 million in Residential Facility Revenue and Refunding Bonds. The proceeds of the bonds were used to pay off the outstanding Series 2004 B adjustable rate bonds of $3.1 million, an outstanding line of credit, certain issuance costs, and to reimburse Westminster-Canterbury for amounts previously spent for capital expenditures.

Throughout history, thoughtful, caring individuals have provided bequests and other gifts in their wills to ensure the financial health and prosperity of schools, churches and communities. Here at Westminster-Canterbury on Chesapeake Bay, the names Hardy, Tuttle, Millikin, Anderson and Fell have been recognized because of bequests they have made to enrich this community. Others have made Charitable Gift Annuities which have not only benefited the community, but have provided high interest income to the donors for the rest of their lives. Those individuals who have remembered Westminster-Canterbury in their wills or who have purchased gift annuities from the Foundation proudly become members of the WestminsterCanterbury Society. This year Mrs. Nancy Hoy notified the Westminster-Canterbury Foundation that she is designating a portion of her estate in the amount of $1,000,000 to benefit the Foundation’s Fellowship Fund. The income from this endowed fund will provide fellowship funds annually and insure a very bright future for this mission of our faith-based community. In light of this gift and Nancy and her family’s previous gift to The Hoy Center to honor her late husband “Hap,” we all offer our heartfelt thanks and gratitude.
