aw in business is all about the art of the deal. At Emory Law, we understand the importance of teaching our students how to navigate successfully the world of legal contracts and business deals. That’s why we offer a Certificate Program in Transactional Law and Practice.
CHALLENGE: Gain real-world skills in deal-making from courses that combine classroom instruction with practical training from our faculty and leading attorneys in the field. Through the Certificate in Transactional Law and Practice, run through our innovative Center for Transactional Law and Practice, Emory Law students can gain experience in the various areas of deal making. Classes are taught by our faculty and leading practitioners.
CURRICULUM Our curriculum is unique. It is an integrated transactional skills curriculum—a series of courses, each building on the one before.
The final component is the capstone course. Each capstone course is a semester-long simulation in which students role-play the lawyer in a transaction. Recent capstone courses include Mergers and Acquisitions, Private Equity, Venture Capital, The General Counsel, Negotiating Acquisition and Related Agreements: Life Cycle of a Corporation and Commercial Real Estate. All capstone courses are team-taught by experienced practitioners.

Your first course is Contract Drafting. That is followed by Deal Skills, which teaches you to do the work that deal lawyers do. Through real-world simulations, you will learn how to perform due diligence, how to draft third-party opinion letters and closing documents, and how to negotiate a contract from a deal lawyer’s perspective.
