Terms & Conditions La Grande Finale

Article 1. Definitions

1. In these “General Auction Terms and Conditions ‘La Grande Finale 2023’ (the “Auction Terms and Conditions”) the following definitions apply: a. Article: an article in these Auction Conditions; b. Bidder: a person who bids as a potential Buyer during the Auction; c. VAT: sales tax; d. Consumer: a Buyer who is a natural person and who does not act in the exercise of a profession or business; e. Animal(s): the (collective) name for what is being auctioned, being embryos, heifer calves or cows; f. Embryo: an unborn calf; g. Purchase Agreement: the agreement of sale and purchase of a Lot concluded between the Seller and the Buyer during the Auction is established, in accordance with the model attached as Appendix 1; h. Purchase Price: the amount for which the Lot has been allocated by DG to the Buyer during the Auction, excluding the Auction Costs and VAT; i. Buyer: a natural person, partnership or legal entity that acts as buyer in a Purchase Agreement; j. Delivery: the moment the Animal is actually physically delivered; k. Lot(s): the offered lot, which may consist of an embryo, heifer calf or cow. l. Auction: the auction ‘Le Grande Finale 2023’ organized by DG; m. Auction Conditions: these General Auction Conditions ‘Le Grande Finale 2023’ as determined by DG; n. Secretariat: the DG secretariat with contact details info@diamond-genetics.nl; o. Allocation: the statement from DG to the Buyer, stating that the Lot, under the obligation to pay the Purchase sum and costs allocated to the Buyer; p. DG: “Diamond Genetics B.V., with offices at (8131 PK) Bremmelerstraat 8 Wijhe and registered in the trade register of \ the Chamber of Commerce under number 54387493; q. Auction Catalogue: the catalog with Lots (Animals) which is published on the website prior to the Auction www.eurogenes.com and is physically available prior to the on-site Auction; r. Auction costs: costs charged by DG to the Buyer, namely 10% of the Purchase Price, excluding VAT; s. Auction Site: the website on which the Auction will take place, with URL: www.cowbuyer.com t. Seller: the selling party JK Eder Holsteins, (4285 WJ) Oudendijk 75 Woudrichem, who acts as Seller at the Purchase agreement

2. The terms defined above in this Article 1 are given the following meaning in these Auction Conditions. These terms can be used in the singular or plural without loss of their substantive meaning.

Article 2. General

1. These Auction Conditions apply to all Purchase Agreements concluded during the Auction as well as to all agreements arising therefrom.

2. DG will ensure that potential bidders of the Auction can take note of these Auction Terms and Conditions, which can be found on the website, and will also be available on location prior to the Auction.

3. These Auction Terms and Conditions have been drawn up in the Dutch language and this text is binding. If the Auction Conditions are also drawn up in another language, in the event of a dispute about the content or purport of these Auction Terms and Conditions, only the Dutch text and its meaning in the Dutch jurisdiction are binding.

4. Each participant in the Auction hereby declares that it is familiar with these Auction Terms and Conditions and that it agrees with their content.

5. The Seller guarantees that all Animals auctioned at the time of the Auction are free of IBR, BVD, Leptospirosis, Para A certified and Salmonella Unsuspected.

6. Animals can be viewed prior to the Auction and by appointment with the Seller.

7. Consumers are excluded from participation in the Auction. There is no reflection period or right of withdrawal.

Article 3. Preparation, execution and supervision Auction

1. The preparation and execution of the Auction are exclusively determined by DG. DG determines the course of events prior to and at the time of the Auction and has the authority, without stating reasons, whether or not to admit persons to the Auction, one or more Lots not to auction or not to allocate, to change the order of the auction, not to recognize a bid and/or to declare it invalid declare, to suspend, resume, extend or cancel the Auction and to take other measures it deems necessary.

2. Bidders must register digitally at www.cowbuyer.com for online participation in the Auction. Each Bidder will receive one username and password. By registering, Bidders declare to be familiar with the Auction Conditions and to agree unconditionally with its contents.

3. Each Bidder is responsible for his or her (digital) actions and bids.

4. During the Auction, DG has the right to correct inaccuracies in (oral and written) statements made by or on behalf of it, as well as whether or not during the Auction, to correct errors made.

5. The seller guarantees for six weeks that all catalog data is correct. The certainty of parental descent by blood group determination in ET offspring occur. Any inaccuracies in the catalog will be announced in good time and if applicable corrected during the auction update.

6. Those who participate in the Auction are obliged to follow the instructions and directions given by or on behalf of DG, and accept the fact that technical malfunctions may occur at the Auction, as a result of which a bid made digitally may not be processed properly.
