TERMS & CONDITIONS OF SALE – CONSUMER 1 ACCEPTANCE OF ORDER 1.1 Before any consultation visit is performed a fee of £150 +VAT is to be paid directly to First Step Designs Ltd. If the order is placed, this is deducted from the final balance. 1.2 Before signing the order, you should check that it is accurate and that You agree with the specification it contains. Please ensure that You read these Terms carefully, and check that You understand all details in these Terms before You sign the Order. If You think that there is an error or it requires any changes, contact First Step Designs Ltd as soon as possible. 1.3 The quantity, quality, description and any specification of the Goods and Services shall be set out in the Order. If there is any inconsistency between the Order, Contract Amendment or these Terms the Order or Contact Amendment (whichever is later) will take priority. 3 SPECIFICATION 3.1 Except to the extent that drawings or designs are wholly provided by You, all copyright, design right and all other intellectual property rights in the specification are owned by us. 3.2 In order to continually improve our services, We have the right to make small changes to specifications from time to time. We may correct typographical or other errors or omissions in documents or information issued by First Step Designs. 3.3 It may be necessary for us to vary the specification of the Goods and Services in the circumstances set out in Clause 7. 4 PRICE, PAYMENT AND COMPLETION 4.1You will pay the price for the Goods and Services in two instalments (“the Instalments”). The first Instalment of 70% is payable upon submission of the Order. The remaining Instalment of 30% is payable on receipt by You of our notice that practical completion of installation of the Goods has taken place (“Job Completion Statement”). 4.2 Where You notify us of any remedial work after the date of the Job Completion Statement is complete. This work will be carried out under the terms of our Guarantee which is not valid until the full order value has been paid in full. 4.3 Payment is considered paid only when We have cleared funds. 4.4 If You fail to make payment within 7 days of an Instalment or payment becoming due, We shall be entitled to: a) cancel the Contract in accordance with Clause 12.4, and/or b) charge You interest on the amount unpaid at the rate of 3% interest; and/or c) make a claim against You for the unpaid amount. 4.5 We have the right to reclaim from You any reasonable costs incurred in collecting outstanding sums, including bank charges and legal fees. 5 DELIVERY 5.1 Delivery takes place at the Premises. You become responsible for the Goods on delivery but will only own the goods once We have received full payment of the price of the Goods. 5.2 It is an express agreed term of the Contract that Regulation 42(3) of the Consumer Contract Regulations (which states that delivery will take place within 30 calendar days) is excluded from this Contract. 5.3 It is expressly agreed between You and us that We will notify You of the proposed delivery period for delivery and installation of the Goods following the outcome of the Survey. We will endeavour to agree a delivery date or delivery period with You. 5.4 All dates are estimates and not guaranteed. 5.5 We will not be liable to You for any unforeseen loss, damage or expense You suffer which arises directly or indirectly from any reasonable delay in delivery of the Goods or installation which arises from circumstances outside of our control. 5.6 A delivery note signed by You is proof of delivery of the Goods. 5.7 If You fail to take delivery of the Goods or We cannot deliver them because You give inaccurate instructions, permission and/or access We will make attempts to agree a new date for delivery of the Goods and You will pay our reasonable costs of storage until final delivery. 6 SURVEY and / or INSTALLATION 6.1 Due to the bespoke nature and installation requirements of the Goods, our obligations under this Contract to provide and install the Goods are subject to the satisfactory outcome of the Survey. If, following the Survey, and having considered reasonable alternatives, We cannot suggest a suitable specification or amendment for design, manufacture or installation of the Goods We may cancel the Contract in accordance with Clause 12.5. 6.2 We will provide You with details of any critical measurements including, without limitation, the floor to floor level measurement. You must confirm Your agreement to the critical measurements and We will not be able to proceed with the Contract until You do so. If subsequently, for any reason, the Premises are altered by You or any third party in any way that affects the critical measurements, We reserve the right to withdraw from the installation until a method of remedy has been agreed, and if not agreed, to cancel the Contract in accordance with Clause 12.4. In these circumstances You remain responsible for the full price of the Goods and Services (whether or not We are able to install the Goods) and We will not accept responsibility for any loss or cost associated with our inability to install the Goods of any amendments to the design, manufacture or installation of the Goods as a result. 6.3 We will provide You with a customer drawing and specifcation. It is very important that You read and carefully check the details on this/these document(s) and notify us immediately if You think that the document(s) may contain a mistake or inaccuracy. 6.4 You must ensure that the Premises are ready for installation on the agreed delivery date. This may include the removal of any floor covering, visible or known position of services, cables, pipe-work or alarms that are in the vicinity of the working area. If We are required to provide labour to amend/alter such obstructions We will review with You separately and We reserve the right to withdraw from the Survey or installation until a method of remedy has been agreed by You and/or any appointed third party. Where applicable, You will pay our proper charges for the work. 6.5 You will give Us and the workmen involved, access to the Premises and free use of any necessary services at all reasonable times to complete the installation and Survey (and the where applicable, the work referred to in Clause 6.4 6.6 We recommend and request that all final decorations of Your property are done post-completion of our installation of the Goods (where applicable). 6.7 Our suggestions that any person acts as an installer are made in good faith. All installers act as independent contractors and not as our agent. 6.8 You will obtain all the consents necessary for the installation and storage of the Goods. 6.9 We will endeavour to ensure that the Goods are designed and manufactured to comply with building regulations; however it is Your responsibility to ensure that (where required) the consent/approval of Your building inspector/controller is obtained prior to placing Your Order and that you do not alter the Premises as referred to in Clause 6.2 above. Where We have informed You that the Goods may not comply with building regulations, or you make changes to the Premises and as a result the Goods no longer comply with building regulations, We will not accept responsibility for any loss or cost that You incur or amendment to the Goods or Services that You require as a result. 6.10 We will not be responsible for any damage to the Premises (except for damage caused by our negligence or breach). 6.11 We will not carry out any structural alterations, building, decorating, electrical, plumbing or heating work, to or at the Premises, whether before or after installation. 6.12 We are not responsible for the cost of repairing any pre-existing faults or damage to Your property that We discover in the course of installation and/or performance by Us. We will only be responsible for damage caused to plastering, tiling or decorations if such damage is beyond what is reasonably commensurate with the installation of the Goods and caused by our negligence. 7 VARIATION OF TERMS OF THE CONTRACT Changes to specification or price following the Survey: 7.1 Following the Survey, it may be necessary to amend the specification, or installation method of the Goods to a reasonable extent to enable us to proceed with the Order. We will endeavour to agree any amendments with You, but if the changes are significant or result in an increase in the price of the Goods or Services and You do not wish to agree to our suggested amendments, You will be able to cancel the Contract in accordance with Clause 11.2.

7.2 In the event of any unforeseen items/construction of Your property becoming apparent either at Survey or at Installation, We reserve the right to enter into negotiations for payment of any work not identified in the Order. You may cancel the Contract in accordance with Clause 11.2 and We may cancel the Contract in accordance with Clause 12.6 if agreement is not reached within 21 days. Your rights to change the specification: 7.3 You may change the specification or quantity of the Goods before the date of the Survey by giving notice to us of the changes You wish to make. We will endeavour to agree any amendments with You but if You do not wish to agree to our suggested amendments You will be able to cancel the Contract provided that You are still within Your 14 day cancellation period in accordance with Clause 11.1. 7.4 Where You wish to change the specification or quantity of the Goods after the expiry of Your 14 day cancellation period (including where the Survey has been carried out), You must notify us of the changes You wish to make and, due to the bespoke made-to-measure nature of the Goods, if We have already commenced manufacture, delivery or installation of the Goods it is likely that there will be an increase in the price of the Goods or Services. If there is an increase in the price of the Goods or Services, We will give You the option of: (a) agreeing to pay the increased price in addition to the agreed Contract price, or (b) returning to the existing agreed specification without the changes being made, or (c) cancelling the Contract in accordance with Clause 11.2. If We do not receive notice of Your decision within 21 days We may cancel the Contract in accordance with Clause 12.6. 7.5 Where You notify us that You wish to make a change and it is not possible to make the changes due to factors outside of our control, either (a) You may notify us that You wish to return to the existing agreed specification, or (b) You may cancel the Contract by giving notice in accordance with Clause 11.2. If We do not receive notice of Your decision within 21 days We may cancel the Contract in accordance with Clause 12.6. Variation of specification or price due to circumstances outside of our control: 7.6 At any time, should our suppliers make changes to any specified parts / materials, and if We deem the changes to be acceptable, of a technical or minor nature (or not likely to materially impact on overall specification or price of the Goods and Services) and compatible with previous versions of materials, We may proceed without notice to You. 7.7 If We deem the changes of specification made in accordance with Clause 7.6 to be significant or materially different from what was agreed, We will discuss the changes with You and give You the option to: (a) cancel the Contract in accordance with Clause 11.4 or (b) to agree any changes and additional costs. If We do not receive notice of Your decision within 21 days We may cancel the Contract in accordance with Clause 12.6. Requirement for variation to be agreed between the parties: QUALITY 8.1 The quality and finish of the Goods will be reasonably compliant with generally recognised standards in the trade. 8.2 The images of Goods on our website, brochures and other promotional materials are for illustrative purposes only; We have made every effort to display colours, finishes and materials accurately and We will endeavour to provide a co mmercial match. However, We cannot guarantee that the images reflect the actual colour/ finish of the Goods. 8.3 Because all of our Goods are bespoke, require installation and are made-to-measure, designs, dimensions and measurements may reasonably vary from the images on our Website and other promotional materials. 8.4 If You notify us of this within 7 days of delivery of the Goods that You are not satisfied with the quality or colour/finish of the Goods We may refer the Goods for determination by an Independent Expert. We will replace or refund any part of the Goods which are determined by the Independent Expert to not be of sufficient quality or where the colour/finish is not a commercial match. those Clauses). We will return any Instalments or Finance Deposit which You have paid to us, however We reserve the right to deduct (or to otherwise recover from You) our reasonable costs incurred in carrying out the Survey and starting to fulfil the Order. 8.5 We will, for a period of 5 years from the date of our Job Completion Statement, make good free of charge any defects in the Goods manufactured by Us which (under proper use) appear in the Goods or component parts, which are due to faulty materials, workmanship or design (our “Guarantee”). Our Guarantee is subject to the terms of the Guarantee and We will provide You with these terms before You make Your Order. The Goods are prefinished and We reserve the right to decline to carry out remedial work that has become necessary by reason of fair Wear and tear or damage caused by You or a third party, or if We agree to undertake such work We will charge You for our reasonable costs. 8.6 We have a legal duty to provide Goods that correspond with their description in the Contract. As a consumer, You have legal rights in relation to services not carried out with reasonable skill and care, or if the materials We use are faulty or not as described. Advice about Your legal rights is available from Your local Citizens’ Advice Bureau or Trading Standards office. Nothing in these Terms will affect these legal rights. 9 TITLE & RISK 9.1 Until You have paid for the Goods and Services in full You agree to: a) store the Goods separately to other property so they are readily identifiable as our property; b) not destroy or obscure any identifying mark or packaging on the Goods; and c) maintain the Goods in a satisfactory condition and insure them accordingly. In the event of loss or damage to the Goods, You shall hold the proceeds of such insurance on our behalf. 9.2 If You do not pay for the Goods and Services by the due date You agree that We may, upon giving reasonable notice, enter the Premises in order to inspect the Goods or if You are no longer entitled to possess the Goods, to recover them from the Premises. 10 OUR LIABILITY 10.1 You agree to examine the Goods after delivery and notify us of any apparent damage, defect or shortage as soon as reasonably possible. 10.2 We will not be liable for any loss, damage, costs, expenses or liability You incur arising out of any infringement of any intellectual property right of any other person or any claim of illegality resulting from our use of any specification, materials, or information supplied by You. 10.3 We will not be liable to You for any defects in the Goods brought about by Your failure to properly store the Goods in accordance with clause 9.1. 10.4 We will not be responsible for loss of or damage to the Goods arising from fair wear and tear, wilful damage caused by You or any third party, accident or negligence by You or any third party, use of the Goods other than as recommended by us, failure to follow our instructions, or alteration or repair carried out without our approval. 10.5 We only supply the Goods for domestic and private use. You agree not to use the Goods for any commercial, business or re-sale purpose, and We have no liability to You for any loss of profit, loss of business, business interruption, or loss of business opportunity. 10.6 In the event of the Goods or the installation of them being defective You have the option of: a) us replacing the Goods; b) us rectifying such defects at our own expense (provided that You give us access and other necessary facilities at all reasonable times to remedy such defects); or c) us granting You a full or partial refund or credit note for the appropriate part of the price of the Goods. This does not affect Your rights as a consumer under law. 10.7 If We fail to comply with these Terms, We are responsible for loss or damage You suffer that is a foreseeable result of our breach of the Terms or our negligence, but We are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if it was an obvious consequence of our breach or if it was contemplated by You and us at the time We entered into the Contract. 10.8 Nothing in these conditions excludes or limits our liability for: death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation; for breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982 (title and quiet possession); for breach of the terms implied by sections 3, 4 and 5 of the Supply of Goods and Services Act 1982 (description, satisfactory quality, fitness for purpose and samples); for defective products under the Consumer Protection Act 1987. 11 NOTICE OF YOUR RIGHT TO CANCEL 11.1 You may cancel the Contract within the period of 7 days starting from the date that the order is signed. You may do this by sending written notice to us at First Step Designs LTD, Prospect House, Trentham Lakes, Stoke-on-Trent, ST4 4TW or by email to info@firststepdesigns.com You can use the notice provided by us if You wish. 11.2 You may also cancel the Contract by giving written notice if: a) We do not fulfil our obligations under the Contract; or b) within 14 days of You being informed of an increase in the price of the Goods or Services or significant change to the Contract under clause 7.1. 11.3 After the 14 day period set out in clause 11.1 unfortunately, as the made-to-measure Goods are made to Your requirements, You will not be able to cancel Your Order other than in accordance with Clause 11.2 above (but this will not affect Your legal rights as a consumer in relation to made-to-measure Goods that are faulty or not as described). 11.4 If You do cancel the Contract after the time set out in clause 11.1 or other than in accordance with Clauses 11.2 – 11.4 above, You will pay Us any costs We reasonably incurred in starting to fulfil the Order including the cost of the initial consultation, Survey, any drawings provided, and these charges will be deducted from any refund that is due to You or, if no refund is due to You, invoiced to You. 12 OUR CANCELLATION RIGHTS 12.1 If You commit a serious or material breach of the Contract which is not remedied within 14 days of receiving notice from us, We may cancel the Contract immediately on written notice. 12.2 If You fail to make payment on the due date We may cancel the Contract or suspend further deliveries to You, with immediate effect. 12.3 We may cancel the Contract in relation to future deliveries if: a) You are or propose to become the subject of a bankruptcy petition or order, or You make or propose to make an arrangement or composition with Your creditors, or b) acting reasonably We have serious doubts as to Your solvency; or c) upon Your death or mental incapacity. 12.4 If We cancel the Contract under clauses 6.2, 12.1, 12.2, or 12.3, a) You will immediately pay any outstanding sums owed to us, along with any reasonable expenses incurred by us in performing all or part of the Contract b) We may cancel any other contract made by us with You and c) We have the right, on giving reasonable notice, to enter the Premises and remove any Goods and materials which belong to us for which We have not received payment. 12.5 We may cancel the Contract in accordance with Clauses 6.1 and 7.2 and We will return any Instalments. 12.6 In accordance with Clause 7.2 7.4 7.5 and 7.7 We may cancel the Contract if We do not receive notice from You that You wish to continue with the Contract/take delivery within 21 days (as relevant to those Clauses). We will return any Instalments which You have paid to us, however We reserve the right to deduct (or to otherwise recover from You) our reasonable costs incurred in carrying out the Survey and starting to fulfil the Order. 3 GENERAL 13.1 We are not liable to You for any delay or failure to perform our obligations under the Contract if it is due to an event beyond our reasonable control. 13.2 If a court finds any part of these Terms void or unenforceable, that clause or part will be deleted and the remaining provisions will continue to apply in full. 13.3 If We do not exercise one or more of our rights under these Terms, this does not prevent us from exercising any other rights in future. 13.4 The Contract is personal to You and cannot be transferred without prior written consent from our Directors, which will not be refused without good reason. 13.5 Unless We notify You otherwise, any notice to be given under the Contract should be in Writing addressed to our “Operations Director” at the address in the Glossary at Clause 15. 13.6 No party except You or us may exercise any rights in respect of this contract under the Contracts (Rights of Third Parties) Act 1999 (as may be amended or extended). 13.7 These Terms and the Contract are governed by English law and both You and We submit to the exclusive jurisdiction of the courts of England and Wales. 14 COMPLAINTS POLICY 14.1 If You have a complaint in the first instance please contact the Customer Service team using the our contact details set out in the Order or at our trading address listed in clause 15 below and We will endeavour to resolve Your complaint. 14.2 This does not affect Your legal rights and advice about Your legal rights can be obtained from Your local Citizen’s Advice Bureau or Trading Standards office.
