Le CGV, unitamente alle condizioni particolari contenute nella conferma d’ordine o nel contratto di vendita e nei documenti ad essa allegati, costituiscono la disciplina integrale del contratto tra l’Acquirente ed il Venditore e sostituiscono, abrogandoli integralmente, ogni altro termine o condizione con esse in conflitto proposto dall’Acquirente verbalmente o per iscritto, non espressamente richiamato in tali documenti. Gli ordini rilasciati ai ns. Agenti, anche se sottoscritti dagli stessi, sono per noi impegnativi solo dopo la ns. eventuale approvazione scritta.

2. Prezzi - Pagamento I prezzi possono subire modiche in qualsiasi momento. I pagamenti dovranno essere effettuati, franchi di ogni spesa, al domicilio del venditore nei tempi e con le modalità stabilite nel presente contratto. Non saranno riconosciuti i pagamenti effettuati a persone non direttamente autorizzate per iscritto dal Venditore. Per ritardato pagamento decorrono gli interessi al tasso B.C.E. aumentato di 7 punti percentuali, (ex Art. 5 D.LGS. 231/02). Il Venditore si riserva la facoltà di sospendere la fornitura qualora l’Acquirente non rispetti i termini di pagamento convenuti nel contratto.

3. Passaggio dei rischi – Consegna – Spedizione Se non diversamente concordato, la consegna dei Prodotti si intende pattuita EXW (Incoterms 2000) stabilimento del Venditore. L’Acquirente provvede al mezzo di trasporto ed è responsabile per la sua disponibilità entro il termine pattuito. Il Venditore deve essere immediatamente informato di ogni ritardo. Qualsiasi costo da ciò derivante è a carico dell’Acquirente. Salvo accordo contrario formalizzato per iscritto, tutti i rischi relativi ai Prodotti si trasferiscono in carico all’Acquirente presso lo stabilimento del Venditore, dopo le operazioni di carico. Salvo espresso accordo contrario, i termini di consegna non sono tassativi ed eventuali ritardi nella consegna non comportano alcun diritto al risarcimento del danno per l’Acquirente.

4. Garanzia e relativa clausola compromissoria Eventuali contestazioni per vizi qualsiasi sia palesi sia occulti dei Prodotti oggetto della fornitura devono essere inoltrate alla ns. sede a mezzo raccomandata con avviso di ricevimento entro 8 (otto) giorni dal ricevimento dei Prodotti. Comunque, non si accettano reclami che dovessero riguardare materiale già in opera. È espressamente esclusa la garanzia per i Prodotti classificati di seconda o terza scelta, blocchi o partite occasionali. Le differenze di tonalità non possono essere denunciate come vizio del materiale. In ogni caso la nostra garanzia comprende unicamente la sostituzione del materiale riscontrato difettoso con esclusione di ogni ulteriore e diversa obbligazione. Offerte, transazioni, accrediti concessi dai ns. Agenti o intermediari non sono validi se non confermati per iscritto dalla ns. sede. I nostri campioni sono soltanto indicativi e vengono da noi presentati al solo scopo di fornire al cliente indicazioni di massima del prodotto. In ogni caso, l’Acquirente non può ritardare il pagamento delle fatture emesse.

5. Forza maggiore Il Venditore è esente da qualsiasi tipo di responsabilità nel caso in cui cause di forza maggiore compromettano o ritardino, totalmente o parzialmente, la fabbricazione, spedizione e consegna, da parte del Venditore, dei Prodotti; si considerano cause di forza maggiore eventi quali la guerra (dichiarata o meno), gli scioperi, i conflitti sociali, gli incidenti, gli incendi, le inondazioni, il caso fortuito, i ritardi dovuti al sistema di trasporto, le difficoltà di approvvigionamento, i guasti dei macchinari, impedimenti imputabili a norme legislative, ordini o provvedimenti emessi da qualsiasi organismo o ente amministrativo, ovvero qualsiasi altra causa che non dipenda ragionevolmente dal controllo del Venditore o che impedisca il puntuale adempimento, da parte del Venditore, delle obbligazioni contrattuali. Nei suddetti casi, il Venditore ha diritto ad un congruo periodo di tempo aggiuntivo per adempiere alle proprie obbligazioni e può programmare la produzione ai diversi clienti nel m od o e nel tempo che ritiene opportuni.

6. Riservato dominio La vendita dei Prodotti viene effettuata con la clausola del riservato dominio, sicché la proprietà della stessa passerà all’acquirente solo con l’integrale ed effettivo pagamento del prezzo. Il mancato pagamento anche di una sola rata produrrà Io scioglimento del contratto con la facoltà di esigere l’immediato pagamento di tutte le rate anche non scadute ovvero l’immediata restituzione dei Prodotti. In tal caso le somme versate resteranno acquisite al venditore a titolo di indennità.

7. Solve et repete Nessuna eccezione, salvo quelle di nullità, annullabilità e rescissione del contratto, può essere opposta dall’acquirente, al fine di ritardare od evitare il pagamento.

8. Foro competente e legge applicabile Per ogni controversia relativa alla stipulazione, validità, interpretazione, esecuzione e cessazione del presente contratto, la legge regolatrice sarà unicamente quella italiana, con giurisdizione esclusiva del giudice italiano e competenza esclusiva del Foro di Modena, con espressa esclusione di ogni altro e diverso Foro alternativo.

9. Lingua applicabile Il presente contratto è redatto in lingua italiana. In caso di contrasti o di dubbi nell’interpretazione del contratto, le Parti convengono che faccia, in ogni caso, fede la versione redatta in lingua italiana.

10. Clausole nulle L’eventuale nullità di una o più disposizioni del presente contratto non incide, per espressa e concorde volontà delle Parti, sulla validità del contratto nel suo complesso.

These general conditions of sale (hereinafter referred to as “GCS”) shall apply to all products (“Goods”) that are sold by the seller (“Seller”) to the customer (“Customer”). GCS, together with Seller’s specific conditions contained in its attached order confirmation or contract of sale and only such other documents, as are specifically incorporated herein by reference, constitute the entire agreement between Customer and Seller, and supersede, in their entirety, any other conflicting terms and conditions proposed by Customer and any oral or written communications that are not expressly incorporated herein. Agreements entered into between Seller or their agents and third parties shall only become valid upon Seller’s express written confirmation.

2. Prices - Payment Prices are subject to change at any time. Payments shall be made, free of any costs, to the head-office of Seller, within the terms and conditions agreed upon. Any payments made to people that are not directly authorized in writing by Seller will not be accepted. In case of delayed payment on the due date, the Customer shall have to pay interest at the current legal E.B.C. rate (plus 7 percentage points) (ex Art. 5 LGS D. 231/02). The Seller reserves the right to suspend the supply whenever the Customer does not respect the terms of payment agreed upon.

3. Transfer of risk – Delivery – Shipment Unless otherwise agreed, the delivery of the Goods shall be EXW (Incoterms 2000) from the Seller plant. The Customer shall provides the means of transport and shall be responsible for its availability on time. The Seller shall immediately be informed of any delays. Any costs arising thereof shall be at the expense of the Customer. Except as may be otherwise specified in writing, the transfer of risk shall take place at Seller’s plant after loading. In any event, Seller remains entitled, without any special notice, to resell them and to claim applicable dam ages. Unless otherwise expressly agreed, delivery times shall not be regarded as binding and delays in delivery shall not entitle Customer to claim any damages resulting there from.

4. Guarantee and relevant arbitration clause Any disputes due to any defects whatsoever whether evident or latent, in the Goods under this agreement must be forwarded to our premises by registered post with return receipt within 8 (eight) days of receipt of the Goods. However, claims involving material already laid shall not be accepted. The warranty is excluded for Goods classified as being second or third choice, or occasional lots or consignments. Any differences in colour shades cannot be considered as material defects. In any case, our guarantee only includes the replacement of material found to be defective with the exclusion of any further or different obligation. Offers, transactions and credits conceded by our Agents or intermediaries are not valid unless confirmed in writing by our head office. Our samples are only indicative and are presented by ourselves for the sole purpose of providing the customer with general guidelines for the product. In any event, Customer is not entitled to delay the payment of any outstanding invoices.

5. Force Majeure Seller’s manufacture, shipment and delivery of Goods hereunder shall be subject to, and Seller shall not be liable for, any delay in or impairment or performance resulting in whole or in part from any war (whether or not declared), strike, labour conflict, accident, fire, flood, Acts of God, delay in transportation, shortage of materials, equipment breakdowns, m ill conditions, laws, regulations, orders or acts of any governmental agency or body, or any cause beyond the reasonable control of Seller, or rendering performance by Seller impracticable due to the occurrence of a contingency the non-occurrence of which was a basic assumption on which this Order Confirmation was issued. In any such event, Seller shall be entitled to such additional time to perform as may be reasonably necessary, and shall have the right to apportion its production among its customers in such manner as it m ay deem equitable.

6. Reserved title The Goods are sold with the reserved title clause, as ownership of the Goods is only transferred to the Customer upon full and effective payment of the price. Failure to pay even a single instalment shall lead to termination of the agreement with the right to demand immediate payment of all instalments, even those not yet due or immediate return of the Goods. In such a case the sums paid shall remain the property of the seller by way of indemnity.

7. Solve et repete No exception, save that of nullity, possibility of annulment, or rescission of the contract, can be posed by the Customer with the purpose of delaying or avoiding payment.

8. Jurisdiction and Applicable law Any dispute concerning the stipulation, validity, interpretation, execution and termination of this agreement shall be governed by Italian Law and the court of Modena shall have sole jurisdiction, with the exclusive jurisdiction of the Italian judge, with the explicit exclusion of any other court.

9. Applicable version This agreement has been drawn up in English. In the event of conflicts or doubts with regard to the interpretation of the agreement, the Parties hereby declare that the Italian version shall prevail.

10. Invalid clauses The Parties hereby explicitly agree that the invalidity of one or more provisions of this agreement shall not effect the validity of the agreement as a whole.

1. Objet - Éléments constitutionnels de l’accord contractuel Les présentes conditions générales de vente (ci-après «CGV») s’appliquent à toutes les ventes de produits (ci-dessous “Produits”) effectuées par le vendeur (le “Vendeur”) à l’acquéreur («Acquéreur» ). Les CGV, ainsi que les conditions particulières contenues dans la confirmation de commande ou dans le contrat de vente et dans les documents qui s’y rattachent, constituent la discipline intégrale du contrat entre l’Acquéreur et le Vendeur et remplacent, en les abrogeant complètement, tous les autres termes ou conditions contraires proposés verbalement ou par écrit par l’Acquéreur et qui ne sont pas expressément mentionnés dans ces documents. Les commandes remises à nos agents, même s’ils les ont signées, n’obtiennent un caractère obligatoire pour nous, uniquement après notre éventuel accord écrit.

2. Tarifs - Paiement Les tarifs peuvent subir des modifications à tout moment. Les paiements devront être effectués, franco de tout frais, au domicile du Vendeur dans les délais et selon les modalités établis dans le présent contrat. Les paiements effectués à des personnes non autorisées directement par écrit par le Vendeur ne seront pas reconnus. En cas de retard de paiement, les intérêts sont payables au taux B.C.E majoré de 7 % (ex article 5 du Décret Législatif 231/02). Le Vendeur se réserve la faculté d’interrompre la fourniture si l’Acquéreur ne respecte pas les délais de paiement convenus dans le contrat.

3.Passage des risques - Livraison - Expédition Sauf accord contraire, la livraison des Produits est convenue EXW (Incoterms 2000) à l’établissement du Vendeur. L’Acquéreur fournit le moyen de transport et il est responsable de sa disponibilité dans les délais convenus. Le Vendeur doit être immédiatement informé de tout retard. Tous les frais liés aux retards éventuels sont à la charge de l’Acquéreur. Sauf accord contraire formalisé par écrit, tous les risques relatifs aux Produits passent sous la responsabilité de l’Acquéreur à l’usine du Vendeur, après le chargement. Sauf accord contraire exprès, les délais de livraison n’ont pas de caractère obligatoire et les éventuels retards de livraison ne comportent aucun droit de dédommagement pour l’Acquéreur.

4. Garantie et sa clause d’arbitrage à partir de la réception des Produits. Cependant, nous n’acceptons pas les réclamations si elles concernent les produits déjà posés. La garantie pour les Produits classés de second ou de troisième choix, les blocs ou les jeux occasionnels est expressément exclue. Les différences de teintes ne peuvent être dénoncées comme vice du matériau. Dans tous les cas, notre garantie comprend uniquement le remplacement du matériel reconnu défectueux avec l’exclusion de toute autre obligation différente. Les offres, transactions, crédits accordés par nos Agents ou intermédiaires ne sont pas valables s’ils ne sont pas confirmés par écrit par notre siège. Nous présentons nos échantillons uniquement à titre indicatif dans le seul but de fournir des indications générales du produit aux clients. Dans tous les cas, l’Acquéreur ne peut retarder le paiement des factures émises.

5. Cas de force majeure Le Vendeur est exempt de toute responsabilité dans le cas où des causes de force majeure compromettent ou retardent entièrement ou partiellement, la fabrication, l’expédition et la livraison, par le Vendeur, des produits: sont considérés causes de force majeure les événements tels que la guerre (déclarée ou pas), les grèves, les conflits sociaux, les accidents, les incendies, les inondations, le hasard fortuit, les retards dus au système de transport, les difficultés d’approvisionnement, les pannes de machines, les empêchements attribuables à des normes légales, les commandes ou mesures émises par tout organisme ou organisme administratif, ou toute autre cause qui ne dépend pas raisonnablement du contrôle du Vendeur ou qui empêche la mise en œuvre ponctuelle, de la part du Vendeur, des obligations contractuelles. Dans ces cas, le Vendeur a droit à un délai supplémentaire raisonnable pour s’acquitter de ses obligations et il peut programmer la production à ses différents clients de la façon et avec les délais qu’il juge appropriés.

6. Réserve de propriété La vente des Produits s’effectue avec la clause de réserve, de sorte que la propriété de celle-ci passera à l’Acquéreur uniquement avec le paiement intégral et effectif du prix. Le défaut de paiement, même d’une seule échéance, produira la dissolution du contrat avec le droit d’exiger le paiement immédiat de toutes les échéances non échues ou le retour immédiat des Produits. Dans ce cas, les sommes versées restent la propriété du Vendeur à titre d’indemnité.

7. Solve et repete Aucune exception, sauf celle de la nullité, de l’annulation ou de la résiliation du contrat, ne peut être invoquée par l’acheteur, dans le but de retarder ou d’éviter le paiement.

8. Tribunal compétent et loi applicable Pour toute controverse relative à la stipulation, validité, interprétation, exécution et résiliation du présent contrat, la loi applicable sera uniquement la loi italienne, avec la compétence exclusive du juge italien et la juridiction exclusive du Tribunal de Modène, à l’exclusion expresse de tout autre tribunal en alternative.

9. Langue applicable Le présent contrat est rédigé en français. En cas de contrastes ou de doutes d’interprétation du contrat, les parties conviennent que dans tous les cas, c’est la version rédigée en italien qui fait foi.

10. Clauses nulles L’éventuelle nullité d’une ou plusieurs dispositions du présent contrat n’a pas d’incidence, comme le stipule expressément la volonté des parties, sur la validité du contrat dans son ensemble.

Die vorliegenden allgemeinen Geschäftsbedingungen (fortan als „AGB” bezeichnet) werden auf alle Verkäufe von Produkten (in der Folge „Produkte”) angewendet, die vom Verkäufer (in der Folge „Verkäufer”) an den Käufer (in der Folge „Verkäufer”) erfolgen. Die ABG bilden gemeinsam mit den besonderen Bedingungen, die in der Auftragsbestätigung oder im Kaufvertrag oder in den ihr beiliegenden Dokumenten formuliert werden, die Gesamtregelung des Vertrags zwischen Käufer und Verkäufer und ersetzen durch deren Außerkraftsetzung sämtliche anderen Termini oder Konditionen, die mit ihnen in Konflikt stehen und vom Käufer in verbaler oder schriftlicher Form kommuniziert wurden und auf die nicht ausdrücklich in eben diesen Dokumenten hingewiesen wurde. Bestellungen, die unseren Vertretern übergeben werden, haben für uns, selbst wenn sie von denselben unterzeichnet wurden, erst bindenden Charakter, nachdem unsere eventuelle schriftliche Bestätigung erfolgt ist.

2. Preise - Bezahlung Die Preise können zu jedem Zeitpunkt Änderungen unterliegen. Die Zahlungen müssen spesenfrei an den Verkäufer entsprechend der im vorliegenden Vertrag festgelegten Fristen und Modalitäten erfolgen. Zahlungen an Personen, die nicht direkt auf schriftlichem Wege vom Verkäufer ermächtigt wurden, werden nicht als solche anerkannt. Im Falle von Zahlungsverzögerungen kommt der um 7 Prozentpunkte erhöhte Zinssatz der EZB zur Anwendung (ex Art. 5 Gesetzesvertretende Rechtsverordnung 231/02). Der Verkäufer behält sich die Möglichkeit vor, die Lieferung zu unterbrechen, sollte der Käufer die vertraglich festgelegten Zahlungsbedingungen nicht einhalten.

3. Gefahrenübergang - Lieferung - Versand Wenn nicht anders vereinbart, kommt für die Lieferung der Produkte die Klausel EXW (Incoterms 2000) Werk des Verkäufers zur Anwendung. Die Bereitstellung des Transportmittels liegt im Verantwortungsbereich des Käufers, der dafür Sorge zu tragen hat, dass es im vertraglich vereinbarten Rahmen zur Verfügung steht. Der Verkäufer ist umgehend über jede Verzögerung zu informieren. Sämtliche auf diese Tatsache zurückzuführende Kosten gehen zu Lasten des Käufers. Wenn nicht gegenteilig schriftlich vereinbart, gehen alle mit den Produkten verbundenen Risiken im Werk des Verkäufers nach den Aufladetätigkeiten auf den Käufer über. Außer im Falle einer ausdrücklichen, gegenteiligen Vereinbarung sind die Lieferbedingungen nicht bindend und eventuelle Verzögerungen implizieren kein Anrecht des Käufers auf Schadenersatz.

4. Garantie und entsprechende Schiedsklausel Eventuelle Beanstandungen aufgrund sowohl augenscheinlicher wie versteckter Mängel der Produkte, die den Gegenstand der Lieferung bilden, sind unserem Firmensitz mittels Einschreiben mit Rückschein innerhalb von 8 (acht) Tagen ab Erhalt der Produkte mitzuteilen. In jedem Fall werden keine Reklamationen akzeptiert, die sich auf Material beziehen, das bereits auf der Baustelle ist. Produkte, die als Produkte zweiter oder dritter Wahl klassifiziert sind, Blöcke oder Restposten sind ausdrücklich von der Garantie ausgeschlossen. Unterschiede im Farbton können nicht als Materialfehler beanstandet werden. In jedem Fall umfasst unsere Garantie einzig das Ersetzen des als defekt beurteilten Materials, alle weiteren oder anderen Verpflichtungen werden ausgeschlossen. Angebote, Kompromisse, Gutschriften, die von unseren Vertretern oder Vermittlern zugestanden werden, haben ohne Bestätigung durch unseren Firmensitz keinerlei Gültigkeit. Unsere Warenmuster dienen nur der Veranschaulichung und werden von uns einzig zu dem Zweck präsentiert, dem Kunden Richtangaben zum Produkt zur Verfügung zu stellen. In jedem Fall ist die verzögerte Bezahlung der ausgestellten Rechnungen durch den Käufer nicht zulässig.

5. Höhere Gewalt Der Verkäufer ist frei von jeglicher Verantwortung für den Fall, dass aufgrund von höherer Gewalt die Herstellung, der Versand und die Lieferung der Produkte durch den Verkäufer in irgendeiner Weise, teilweise oder vollkommen, beeinträchtigt oder verzögert wird. Unter Ursachen höherer Gewalt werden Ereignisse wie Krieg (erklärter oder nicht erklärter), Streiks, Gesellschaftskonflikte, Unfälle, Brände, Überflutungen, unvorhersehbare Ereignisse, Verzögerungen aufgrund des Transportsystems, Versorgungsschwierigkeiten, Maschinenschäden, auf gesetzliche Bestimmungen zurückzuführende Behinderungen, von einem Organ oder einer Verwaltungsbehörde erteilte Anordnungen und Verfügungen bzw. jede andere nicht vernünftigerweise von der Kontrolle des Verkäufers abhängende oder die pünktliche Erfüllung der vertraglichen Verpflichtungen des Verkäufers behindernde Ursache. In den oben genannten Fällen hat der Verkäufer das Recht auf einen ebenso langen zusätzlichen Zeitraum, um seine eigenen Verpflichtungen zu erfüllen und kann die Produktion für die verschiedenen Kunden auf der Welt in der als sachdienlich erachteten Zeit planen.

Eigentumsvorbehalt Der Verkauf der Produkte erfolgt unter der Anwendung der Eigentumsklausel, sodass das Eigentum, das den Gegenstand des Verkaufs darstellt, erst nach vollkommener und tatsächlicher Bezahlung des Preises an den Käufer übergeht. Die ausgebliebene Bezahlung auch nur einer einzigen Rate zieht die Auflösung des Vertrags mit der Möglichkeit nach sich, die unverzügliche Bezahlung aller noch offenen Raten oder die sofortige Rückgabe der Produkte einzufordern. In diesem Fall bleiben die eingezahlten Summen als Entschädigung beim Verkäufer.

7. Solve et repete Zum Zwecke der Verzögerung oder Vermeidung der Zahlung darf vom Käufer kein Einwand entgegengebracht werden, außer die der Nichtigkeit, der Anfechtbarkeit und des Rücktritts vom Vertrag.

8. Gerichtsstand und anzuwendendes Recht Im Falle eines Rechtsstreits bezüglich des Abschlusses, der Gültigkeit, der Auslegung, der Umsetzung und der Auflösung des vorliegenden Vertrags kommen einzig die italienischen Gesetzesregelungen zur Anwendung, mit ausschließlicher Rechtsprechung durch den italienischen Richter und den ausschließlichen Gerichtsstand von Modena, mit ausdrücklichem Ausschluss aller anderen alternativen Gerichtsstände.

9. Anwendbare Sprache Der vorliegende Vertrag ist in deutscher Sprache verfasst. Im Falle von Gegensätzen oder Zweifeln im Zuge der Auslegung des Vertrages stimmen die Parteien überein, dass in jedem Fall die in italienischer Sprache verfasste Version Gültigkeit findet.

10. Nichtige Klauseln Die eventuelle Nichtigkeit einer oder mehrerer Verfügungen des vorliegenden Vertrags wirkt sich, wie ausdrücklich und übereinstimmend von den Parteien gewünscht, nicht auf die Gültigkeit des Vertrages in seiner Gesamtheit aus.

1. Elementos constitutivos del acuerdo contractual Las presentes condiciones generales de venta (en adelante, “CGV”) se aplican a todas las ventas de productos (en adelante, “Productos”) efectuadas por el vendedor (en adelante, “Vendedor”) al comprador (en adelante, “Comprador”). Las CGV, junto con las condiciones particulares incluidas en la confirmación del pedido o en el contrato de venta y en los documentos adjuntados a la misma, componen la disciplina integral del contrato entre el Comprador y el Vendedor y sustituyen, anulándolos completamente, cualquier otro término o condición que entre en conflicto con las mismas propuesto por el Comprador verbalmente o por escrito, no expresamente contenido en dichos documentos. Los pedidos entregados a nuestros Agentes, aunque estén suscritos por éstos, solo nos comprometen tras nuestra aprobación escrita.

2. Precios - Pago Los precios pueden sufrir modificaciones en cualquier momento. Los pagos deberán efectuarse, exentos de cualquier gasto, en el domicilio del Vendedor en los plazos y según las modalidades establecidas en el presente contrato. No se reconocerán los pagos efectuados a personas que no estén autorizadas directamente por escrito por parte del Vendedor. Cuando se verifiquen retrasos en los pagos, se computarán los intereses de acuerdo con el tipo establecido por el B.C.E. incrementado 7 puntos porcentuales (ex Art. 5 D. Ley 231/02). El vendedor se reserva el derecho de suspender el suministro si el Comprador no respeta los plazos de pago acordados en el contrato.

3. Transferencia de los riesgos - Entrega - Envío Si no se específica lo contrario, la entrega de los Productos se considera acordada franco (Incoterms 2000) establecimiento del Vendedor. El Comprador se encarga del medio de transporte y es responsable de su disponibilidad dentro del plazo acordado. El Vendedor deberá ser informado de inmediato sobre cualquier posible retraso. Los costes que puedan derivar de esta situación correrán a cargo del Comprador. Salvo un pacto contrario formalizado por escrito, todos los riesgos correspondientes a los Productos se transfieren al Comprador en la planta del Vendedor, tras las operaciones de carga. Salvo un acuerdo contrario expreso, los plazos de entrega no son taxativos y los posibles retrasos en la entrega no comportan ningún derecho a la indemnización por daños del Comprador.

4. Garantías y correspondiente cláusula compromisoria Las posibles reclamaciones por vicios tanto evidentes como ocultos de los Productos objeto del suministro deben enviarse a nuestra sede por medio de carta certificada con acuse de recibo en el plazo máximo de 8 (ocho) días desde la recepción de los Productos. No se aceptan, de cualquier forma, reclamaciones relacionadas con material ya utilizado. Se excluye la garantía de los Productos clasificados de segunda o tercera calidad, bloques o partidas en stock. Las diferencias de tono no pueden considerarse un defecto del material. Nuestra garantía comprende únicamente la sustitución del material detectado defectuoso tras un control, y excluye cualquier otra obligación diferente. Las ofertas, las transacciones y los abonos concedidos por nuestros Agentes o intermediarios no son válidos si no han sido confirmados por escrito por nuestra sede. Nuestras muestras son solo indicativas y las presentamos con el único objetivo de proporcionar al cliente indicaciones generales del producto. En cualquier caso, el Comprador no puede demorarse en el pago de las facturas emitidas.

5. Fuerza mayor El Vendedor está exento de toda responsabilidad en caso de que causas de fuerza mayor comprometan o retrasen, total o parcialmente, la fabricación, el envío o la entrega, de los Productos; se consideran causas de fuerza mayor acontecimientos como las guerras (declaradas o no), las huelgas, los conflictos sociales, los accidentes, los incendios, las inundaciones, los casos fortuitos, los retrasos debidos al sistema de transporte, las dificultades de abastecimiento, las averías de maquinarias, los impedimentos imputables a normas legislativas, las órdenes o medidas emitidas por cualquier organismo o ente administrativo, o bien cualquier otra causa que no dependa razonablemente del control del Vendedor o que impida el cumplimiento puntual, por parte del Vendedor, de las obligaciones contractuales. En dichos casos, el Vendedor tiene derecho a un periodo de tiempo extra apropiado para cumplir sus obligaciones y poder programar la producción para los diferentes clientes en la forma y el tiempo que considere oportunos.

6. Derecho de retención La venta de los Productos se efectúa con la cláusula del derecho de retención, por lo que la propiedad de la misma solo pasará al comprador tras el pago total del precio efectivo. La falta de pago, incluso de un único plazo, comportará la anulación del contrato, así como el derecho a exigir el pago de todos los plazos incluso los no vencidos, o bien la devolución de los Productos. En dicho caso, el vendedor se quedará con las sumas ingresadas a título de indemnización.

7. Solve et repete El comprador no puede objetar ninguna excepción, salvo las de nulidad, anulabilidad y rescisión, con el objetivo de retrasar o evitar el pago.

8. Tribunal competente y ley aplicable Para todas las incidencias correspondientes a la estipulación, validez, interpretación, ejecución y rescisión del presente contrato que pudieran surgir, la ley reguladora será única y exclusivamente la italiana, la jurisdicción exclusiva, la del juez italiano y la competencia exclusiva, la del Tribunal de Módena, quedando expresamente excluido cualquier otro Tribunal alternativo.

9. Idioma aplicable El presente contrato está redactado en los idiomas español. En caso de conflicto o de duda en la interpretación del contrato, las Partes acuerdan que dé fe la versión redactada en idioma italiano.

10. Cláusulas nulas La eventual nulidad de una o varias disposiciones del presente contrato no incide, por voluntad expresa y acordada entre las Partes, en la validez del contrato en su conjunto.
