Boeing, Embraer looking at merger

For three generations, the Kent family has been a part of the legal community – and also for a while, the movie industry.

or Jacksonville’s Kent family, the practice of law is a three-generation tradition. Frederick H. Kent III, president of Jacksonville’s Marks Gray law firm, has kept the family’s archives and oral history. At the beginning of the 20th century, the Kents lived in Fitzgerald, Georgia, where the family was in the cotton business. Kent’s grandfather, Frederick Heber Kent, enrolled at the University of Georgia and graduated from law school there. He moved to Jacksonville after getting into some mischief during a weekend outing to Atlanta. Kent said his grandfather’s father, somewhat embarrassed over the notoriety following the youthful transgression that included being arrested, told his progeny that it would be a good idea to leave the state. “My grandfather was exiled to Jacksonville. He called it ‘Siberia,’” Kent said. “But he met my grandmother and they fell in love.” The move also was the beginning of a law career that spanned nearly 60 years. It was a time of great change in Florida. Kent said his grandfather left his mark on the state, including Kent

Two global companies that are significant players in Jacksonville’s aerospace industry are talking merger, but the deal is facing a snag that may derail an agreement. The Boeing Co. and Brazilbased Embraer S.A. confirmed last month in a joint statement they “are engaged in discussions regarding a potential combination,” adding that they won’t discuss further details. However, other parties are weighing in, including the Brazilian government, which says it won’t approve a deal in which Boeing acquires control of Embraer. This isn’t a regulatory matter in Brazil. The country has an ownership stake in Embraer. Embraer is a publicly traded company with about 740 million shares outstanding, but one of those shares is a “golden share” held by the Brazilian government. That one share gives the government veto power over any potential deal involving Embraer. Brazil’s defense minister told the Financial Times two weeks ago that the government would allow a “partnership or joint ven-

Florida Coastal students excel on professionalism exam 97 percent pass rate on the November MPRE required by The Florida Bar is No. 1 in the state.

By Max Marbut Associate Editor Students of Florida Coastal School of Law turned in a nearly perfect performance when 97 percent of them passed the November Multistate Professional Responsibility Examination, one of the requirements for admission to The Florida Bar.

The pass percentage was the highest among the 11 law schools in the state, as well as graduates of law DeVito schools outside Florida and attorneys who previously were admitted to the practice of law

in other states, according to the Florida Board of Bar Examiners. Florida Coastal Dean Scott DeVito attributes the level of success on the most recent exam to a combination of raising the minimum Law School Admission Test score required to enroll at the school and improving the ethics and professionalism curriculum. DeVito said when he was

appointed dean of the school in June 2015, the faculty and administration were “concerned about the MPRE.” Florida Coastal graduates were at the time consistently grading out on the test in the bottom two or three among the state’s 11 law schools. Florida Coastal continued on Page 4

Bowman: Amazon may pare HQ list by March City Council vice president says online giant asked city to make bid. City Council Vice President Aaron Bowman told the Southside Business Men’s Club on Wednesday that cities vying for Amazon.com’s second headquarters might learn more by the end of March. He said later that was his guess, but the timing was that Amazon announced in September it would take proposals for the project and March is the six-month mark. “We expect sometime before the end of the first quarter, maybe, that Amazon will come out and say, ‘OK, we’ve done all our research and we’ve narrowed it down to X number of cities.’ We don’t know how many those will be,” Bowman told the business group, which focuses on the economic and civic climate of South Jacksonville. Sea t t l e - b a s e d Amazon received 238 submissions for its Oct. 19 deadline from cities interested in competing for what it calls HQ2. The e-commerce retailer said that second corporate base would create 50,000 jobs making an average of $100,000, occupy 8 million square feet of office space and invest $5 billion over 15-17 years. square feet of office space. “We’re working on that one,” said Bowman, who also is senior vice president of business development for JAXUSA Partnership, the economic d eve l o p m e n t division of JAX Chamber. In 2017, Amazon opened two fulfillment centers, a sortation center Bowman and a delivery station in North and West Jacksonville. They employ more than 3,000 people and are projected to reach 5,000 jobs this year. Because of that and the company’s familiarity with Jacksonville, Bowman said Amazon asked the city to submit a proposal. The city submitted a proposal through Enterprise Florida, the state public-private agency that recruits economic development. The Miami Herald reported Enterprise Florida submitted four proposals — from the Miami area, Orlando, Tampa Bay and Jacksonville — as a package. Media reports said other counties also

made proposals. The city and Enterprise Florida decline to say the level of taxpayer incentives it offered Amazon for the project, citing economic development confidentiality laws. Amazon says it doesn’t prevent cities or states from reporting their offers but does require them to keep the company’s information private. Amazon said it was up to the competing cities to go public with their individual bids and that cities are free to decide the level of public disclosure about their proposals. Few cities released such details. On Dec. 14, JAXUSA released the video created to accompany its offer to Amazon. It showed that Jacksonville is offering the riverfront Shipyards site Downtown at no cost. Jacksonville’s 3-minute 36-second video promoted 200 acres along the Northbank riverfront for a live-work-play environment for Amazon. It touted property between the established office district and the Daily’s Place amphitheater and EverBank Field for the campus, including some

Amazon said it will choose the site for HQ2 this year. One report hinted at a big Amazon decision. The Boston Globe reported last week that Amazon was in talks to lease 500,000 square feet of office space in Boston with an option to double the amount. It said the search started before Amazon publicly disclosed its HQ2 search. Amazon employs more than 1,000 people in Boston and Cambridge, primarily software engineers and developers, the Globe reported. Amazon said it would start its first phase of HQ2 with 500,000 square feet in 2019. Boston bid for the project. Proposals came from cities and counties in the U.S., Canada and Mexico. Media reports speculate the leading contenders include Atlanta; Austin, Texas; Boston; and Toronto. The Forbes.com news site reported Thursday that it asked the Forbes Agency Council which locations in the U.S. made the most sense for HQ2. The headline was “14 Thriving Cities Amazon Should Consider for HQ2” and the list did not include Jacksonville. In order, the list comprised Detroit; Atlanta; Boston; Austin; Pittsburgh; Washington, D.C.; Chicago; Herndon, Virginia; Newark; Salt Lake City; Winston-Salem, North Carolina; the greater Los Angeles area; Phoenix; and Orlando. “I think it’s going to be extremely competitive,” Bowman said. Bowman said the North Jacksonville fulfillment center near Jacksonville International Airport uses robotics to pick products off the shelves. That center fills Amazon orders for small consumer items. “The robots will pick up the product off the shelf and deliver it to somebody. They check the inventory, they pack it and they ship it out. And those boxes go to a sorting center,” he said. The Westside Cecil Commerce Center fulfillment facility handles big products, he said, such as chairs, kayaks and televisions. He said that center experimented with robotics but depends on “guys and gals going to the shelves, picking up the products and shipping them out.” A sortation center operates in Westside Industrial Park and a delivery station operates at Alta Lakes Commerce Center in North Jacksonville. “It’s been a great relationship with them,” Bowman said. “Their experience here in Jacksonville was so positive that they asked us to participate” in submitting a proposal for HQ2. “I’m sure they did that to multiple cities, but it’s kind of nice when they come knocking on your door, going ‘We expect to see your application on that.’” Amazon declined comment Friday. After his presentation, Bowman said during an interview that the first quarter was a guess about when he might expect news about Amazon’s first decisions.

Just about everyone sent an email and then had an autoreply bounce back explaining that the recipient is traveling and will have limited access to communication. It’s not every day that you learn the recipient is in Antarctica. That’s what happened for more than two weeks in December to those who tried to contact Scott Cairns, a partner at McGuireWoods. “Some friends I have traveled a lot with wanted to go,” he said of the reason behind the expedition. Cairns and his fellow adventurers, including his youngest daughter, Allison, spent 13 days near and on the planet’s southernmost continent, mostly on a Russian oceanographic research vessel, although the group did spend one night camping on the ice. Along the way they retraced the steps of the some of the continent’s first explorers and observed wildlife in the Southern Ocean including several varieties of penguins and seals, humpback whales and “lots of birds,” Cairns said. One of the most fascinating experiences didn’t involve the native fauna. It was the ice. “It was spectacular — an iridescent blue,” said Cairns. “I’ve seen glaciers in Alaska, but that was nothing like Antarctica.” A common goal among world travelers is to visit in their lifetime all seven continents. Cairns said for many, Antarctica is the final destination on the list, but for him, it was No. 5, leaving Asia and Australia. “And I’m planning a trip to China this fall,” he added.

Bill would restore rights for felons Attorney and state Rep. Cord Byrd, R-Jacksonville Beach, filed a bill that would restore civil rights to felons who have served their sentence and paid their debt to society. Byrd’s “Economic Redemption

and Restoration of Constitutional Rights Act” (HB 903) would offer opportunity to lift what is essentially a lifetime ban on voting, holding office or qualifying for an occupational license in Florida, one of only 10 states with such a ban. State Rep. Kimberly Daniels, D-Jacksonville, also is sponsoring the bill. If enacted, the bill would require an ex-felon to petition a circuit court and prove to a judge that all conditions of a sentence have been completed. A prosecutor would have the right to object to the petition if he or she felt restoration of rights was inappropriate. A similar proposal is being considered by the Constitution Revision Commission, which could put the matter up for a referendum on the November general election ballot.

in the areas of business, education and even entertainment. After he helped get Fred Cone elected governor in 1937, “my grandfather could do no wrong,” Kent said. He was appointed attorney for the state Road Department and served as chair of the Board of Control, now the Board of Regents that oversees the state university system. The focus on education became local after Kent’s grandfather was appointed to lead the group that established the statewide junior college system in the early 1960s. That included Florida Junior College at Jacksonville — now Florida State College at Jacksonville. The first campus was built along Roosevelt Boulevard on land donated by the U.S. Navy at the request of his grandfather, Kent said. In 1977, the advocacy was per-

manently recognized when the site was named “Kent Campus.” One of Kent’s grandfather’s clients was Edward Ball, the prominent financier who controlled the Alfred I. duPont estate, Florida East Coast Railroad and Florida National Bank. “My grandfather didn’t always agree with Mr. Ball, but he admired how he did business,” Kent said. The movie business also got into the family’s blood. Established about 1930, Kent Theaters was a chain from Vero Beach to Tallahassee. In Jacksonville, it included the Blanding, Main Street and Southside drive-ins and enclosed theaters at the Beaches. “My grandfather always enjoyed the theaters, but I don’t think he made any money,” Kent said. Kent’s father maintained the family legal tradition, graduating

from law school at the University of Florida and being admitted to The Florida Bar in 1960. In addition to his professional practice, he was a trustee of The Bolles School and a director of Riverside Hospital. Kent III became the third in the line of lawyers when he graduated in 1981 from Florida State University College of Law. Florida board-certified in real estate law, he also practices in the areas of commercial litigation, estate and probate matters Kent, 61, said he plans to maintain the family tradition for the foreseeable future. “I don’t expect to retire anytime soon. Judge Roberto Arias offers advice, tips to potential candidates at JWLA meeting By Max Marbut Associate Editor Campaigning for public office has become over the past several years an exercise lacking civility in which ethics sometimes aren’t a priority. For one group of candidates, however, name-calling, negative advertising and other such tactics aren’t allowed. In fact, that style of campaigning is against the law when seeking election to the bench. Duval County Judge Roberto Arias offered advice about becoming a candidate for a judgeship to members and guests of the Jacksonville Women Lawyers Association on Thursday at the group’s meeting at The River Club. He serves on the 12-member Florida Judicial Ethics Advisory Committee. It comprises appellate, circuit and county judges and attorneys who formally are recognized by the state Supreme Court to render written advisory opinions to inquiring judges concerning the propriety of contemplated judicial and nonjudicial conduct. Arias said the rules governing judge candidates and incumbent judges seeking retention are clearly defined in Canon 7 of the court’s Code of Judicial Conduct. For example: n A judge or candidate may not publicly endorse or publicly oppose another candidate for office. n A judge may not make pledges or promises of conduct in office other than the faithful and impartial performance of judicial duties. n Candidates, including incumbent judges, for a position filled by a public election may not personally solicit campaign funds, nor may they accept unsolicited funds, even if planning to turn the contribution over to their campaign treasurers. n Candidates may not solicit attorneys for publicly stated sup-

port. However, candidates may establish a committee for that purpose. n Candidates must avoid any conduct suggesting support of or opposition to a political party, political issue or a candidate. Those are just a few of the restrictions outlined in the fivepage Canon 7. Arias said many of the questions posed to the advisory committee are related to the finer points of the rules and how far someone who is on the ballot as an incumbent or is considering running for judicial office can go before violating the ethics rules. “I tell judges and judicial candidates to stop being lawyers. You’ll get yourself in trouble,” he said. He also offered to potential judge candidates in the room — they have to have been a member of The Florida Bar for at least five years to seek judicial office in Florida — the opportunity for advice less formal than petitioning the advisory committee for a written opinion. “Pick up the phone and call me. I’ll give you the unvarnished opinion in confidence,” Arias said. In addition, the committee’s advisory opinions dating back to 1972 may be viewed in a searchable database by visiting jud6.org and clicking on “Opinions” or at mobile.flcourts.org/jeac/ on a smartphone. The association’s next program will explain the judicial nomination process that can lead to appointment to the bench, said JWLA President Jennifer Shoaf Richardson. After the curriculum change, “that got us into the middle of the state,” DeVito said. Florida Coastal’s MPRE pass percentage has been fifth out of 11 schools or better in the seven tests administered beginning with the August 2015 exam. Its students also had the highest pass percentage on the August 2016 exam and ranked No. 2 among Florida law schools in November 2016. The professional responsibility examination is administered by the National Conference of Bar Examiners. Passing the exam is required for admission to the Bar in all 50 states. The test is based on regulations governing conduct and discipline of attorneys and judges accepted as standards by the American Bar Association in its Model Rules of Professional Conduct and Model Code of Judicial Conduct.

The 60-question exam is administered each March, August and November.

It covers topics such as the client-lawyer relationship, client confidentiality, legal malpractice and civil liability, safekeeping funds and other property and lawyers’ duties to the public and to the profession, and others. “It’s based on the national rules and what it means to be an ethical lawyer,” DeVito said. Florida Coastal students are encouraged to wait until at least their fourth semester to take the class that prepares them for the MBRE, said Florida Coastal Associate Dean of Academic Programs Jennifer Reiber. That same report, citing unnamed sources, said Boeing isn’t interested in a joint venture and would only agree to a deal that gives the U.S. company control of the combined operations. Boeing and Embraer have been down this road before, according to a Seattle Times story last week. It said Boeing has pursued Embraer several times since 1999, including a potential 2005 deal that was rejected by the Brazilian government. Boeing has been operating its repair and modification facility at Cecil Commerce Center since 1999 on the Westside, where it employs 370 people, according to JAXUSA Partnership data. Embraer opened its facility at Jacksonville International Airport, where it builds military aircraft, in 2013. The company employs 100 people locally, according to JAXUSA.

CSX hires operations executive Edmond Harris CSX Corp. last week brought in Edmond Harris as executive vice president of operations, a railroad industry veteran who – like new CEO James Foote – had worked with previous CEO Hunter Harrison. But there’s a twist in Harris’ relationship with Harrison – they had a public feud a few years back. CSX’s news release said Harris has more than 40 years of industry experience, including nearly two decades with Harrison at the Illinois Central and Canadian National railroads. The release also noted Harris served as chief operations officer at Canadian Pacific, but it doesn’t mention the connection between Harris and Harrison at that railroad. During a 2012 proxy fight in which Harrison was pursuing the CEO job, Harris, serving on Canadian Pacific’s board, “publicly quesHarris tioned Mr. Harrison’s ability to lead Canadian Pacific,” according to a story in the Toronto Globe and Mail. In that December 2012 story after Harrison had taken over as CEO, Harrison indicated he remained bitter about that. “Ed Harris used to work for me. He was a good friend, but if he walked into the door there … I would go and attack him,” Harrison told the newspaper. Last week’s release from CSX did say Harris helped Harrison implement his operating plan, called precision scheduled railroading, during his tenures at Illinois Central and Canadian National. Foote became chief executive of CSX last month after Harrison’s death. Analysts have a favorable impression of Foote but one note of caution has been his experience mostly in the sales and marketing side of railroads. So, it is not surprising that CSX brought in an executive with more experience in operations. Harrison only served at Jacksonvillebased CSX for nine months and his implementation of the operating plan was bumpy, with freight customers complaining about service disruptions. CSX officials said they have addressed the problems, and Harris expressed confidence in last week’s news release. “The pace of transformation that CSX has accomplished in such a short period of time has been remarkable and I am excited to get to work,” he said. “Similar to Jim, I have spent many years implementing the scheduled railroading operating plan and I am confident that I can make an immediate contribution to CSX’s commitment to delivering value to all stakeholders.” CSX will release its year-end financial results and hold a conference call with analysts Tuesday. The Jacksonville-based company also scheduled an investor and analyst conference in New York on March 1. Given everything that has happened over the past year, there certainly will be a lot to talk about.

Green Energy operates a flight training school at Herlong Airport on Jacksonville’s Westside and was previously known as Quasar Aerospace Industries Inc., but it changed its name in 2015 to reflect its transition into the marijuana business. Green Energy files its financial reports with the OTC Markets but hasn’t filed a quarterly report since the first quarter ended March 31. That report showed revenue of $67,776 and a net loss of $7.4 million.

Jacksonville technology startup files for IPO U.S. Army opposes Foley’s hockey team trademark Bill Foley apparently had no issues when he came up with the name “Black Knight” for the mortgage technology company that was spun off from Fidelity National Financial Inc. However, the Fidelity chairman is running into opposition with the name of his National Hockey League team, the Vegas Golden Knights. The U.S. Army last week filed a notice of opposition with the U.S. Trademark and Patent Office, saying the name of the hockey team conflicts with the name of its parachute team, which is also called Golden Knights. Foley is a graduate of the U.S. Military Academy at West Point, which calls its sports teams the Black Knights. He originally wanted to use that name for the hockey team. The Army’s complaint does not say if the hockey team’s name should be changed, but does ask that the team’s trademark request for the name be refused.

Regency Centers projects increase in earnings Regency Centers Corp. last week projected a slight increase in earnings for 2018 at an investor day presentation in New York. The Jacksonville-based developer of grocery-anchored shopping centers expects core funds from operations to be $3.76 to $3.83 a share this year, up from $3.68 to $3.70 in 2017. Funds from operations basically are earnings excluding noncash charges such as depreciation and amortization expenses, and are a key indicator of a real estate investment trust’s performance.

Analyst upgrades Landstar to ‘positive’ Susquehanna Financial analyst Bascome Majors last week upgraded Jacksonvillebased Landstar System Inc. from “neutral” to “positive” as part of an overall favorable outlook for the trucking industry. “Our recent conversations around truckload and intermodal demand and pricing expectations remain our most constructive since we began covering transports in 2008, and we enter 2018 with a favorable cyclical view toward the sector broadly,” Majors said in his report. “We’re materially raising our logistics and trucking forecasts for persistent strength in volumes/pricing and our first cut at the EPS and cash flow impacts of tax reform.” Majors sees a potential “9 percent upside to Street EPS estimates” for Landstar. He set a $124 price target for Landstar, with the stock trading at $104.70 at the time.

A second marijuana public company in town Jacksonville is now home to two public companies seeking to capitalize on the movement to legalize marijuana use in the U.S. A company called mCig Inc. moved its headquarters from Las Vegas to Jacksonville, according to its quarterly report filed with the Securities and Exchange Commission. Its address is 4720 Salisbury Road, a

Regus office-suite business center. The report said mCig is “involved in the marijuana, cannabinoid (CBD), and electronic cigarette industries. It currently markets, sales, services, and distributes cannabis wholesale supplies, CBD products, software, and electronic cigarettes, vaporizers, and accessories internationally and in the United States.” The company reported revenue of $5.2 million and net income of $957,910 for the six months ended Oct. 31. Another Jacksonville-based company called Green Energy Enterprises Inc. has been looking for opportunities in the legal and medical marijuana business.

A Jacksonville technology start-up company filed with the SEC for an initial public offering through a direct offering, in which the company will not use underwriters but will try to sell shares directly to investors. Webstar Technology Group Inc. intends to sell between 3 million and 20 million shares at $1 each. The company licenses software including a retail mobile application and a business-to-business software solution for video streams. He has tried more than 1,500 civil jury trials and inspires me to live my clients’ cases and work hard, especially when nobody is watching.

The systems used by lawyers are more sophisticated and aim to guard against a variety of viruses and data breaches. Years ago, lawyers could go home at a certain time and expect that they would likely not be communicating with a client or opposing counsel. Now, those communications extend into the night and on weekends.

He was president of The Florida Bar Young Lawyers Division in 2013-14 and was president of The Jacksonville Bar Association Young Lawyers Section board in 2011-12. He currently serves on the JBA board of governors. Who or what inspired you to become a lawyer? My older sister, who faced numerous challenges growing up with special needs and a rare syndrome, inspired me to help people and recognize that everyone faces unique challenges. My parents likewise faced challenges through their work and raising my sister (along with my wild siblings and me). I grew up believing I could always do more, and that becoming a lawyer was the best way I could help people.

What community service have you pursued and why that? I have volunteered for several community service organizations, but Special Olympics is very close to my heart. I started working with Duval County Special Olympics over 13 years ago and have assisted in funding and volunteerism over the years. I also served the Family Nurturing Center of Florida and the Clara White Mission. All of these programs are designed for helping people, families and the less fortunate, which remind me of the reason I became a lawyer. What’s your advice for new lawyers? Get involved. Find a mentor. Work hard. If you make a mistake, own it and get better. Pursue what you enjoy as soon as possible. You have to be happy. Along those lines, you need to disconnect from the practice and the rest of the world. Find an outlet to enjoy your life. We all internalize the stresses of our clients, but we must first address our own stress.
