Foote sees support despite job cuts CSX eliminated 4,700 positions in 2017 with another 2,000 expected this year. More job cuts are coming at CSX Corp. this year, but new CEO James Foote says employees are supporting management’s efforts to reform the Jacksonville-based railroad. CSX reduced staff by about 3,000 last year and during last week’s quarterly conference call, Foote said when paid consultants are added in, the total number Foote of job cuts was about 4,700. Foote projected an additional 2,000 jobs will be lost this year through attrition and the elimination of contractor positions. However, in response to an analyst’s question about morale among the rank-and-file employees, Foote said it’s good. “The feedback that I’ve gotten from the unsolicited emails from some employees all over the network is that they wanted to let me know they support me and they’re welcoming me to the

By Max Marbut Associate Editor When children are dismissed from Circuit Judge Suzanne Bass’s courtroom, they leave with adjudication and often, with a book in their hands. About a year ago, Bass began adding an assignment to read a book and deliver an oral or written report for some children she sentenced to community service and probation.

Completing the assignment takes five hours off the 15- to 25-hour community service obligation. She was inspired to begin the practice by a 12-year-old girl appearing in her court. It was at the time when Harriet Tubman, an abolitionist during the Civil War, was being considered to replace Andrew Jackson on the $20 bill. “I asked her if she knew who Harriet Bass

PGA Tour unveils plans for its new headquarters Facility will consolidate golf tour’s 800 employees inside one building. By Mark Basch Contributing Writer It started in Ponte Vedra Beach in 1979 with three people working out of a house in the Sawgrass community.

Today the PGA Tour has about 800 employees working in 17 buildings in and around the TPC Sawgrass golf club. But the golf tour officially announced Friday that it will consolidate all of its employees — and eventually add 300 more jobs — into one 187,000 squarefoot headquarters building on property it owns along County Road 210 near TPC Sawgrass. Cantina Louie growing to 6 locations Jacksonville chain is adding Nocatee, Tinseltown and Regency restaurants. Owners of the Jacksonvillebased Mexican restaurant Cantina Louie intend to double the number of locations as they add a presence in Nocatee, Tinseltown and the Monument Road area. The Nocatee and Tinseltown restaurants are build-outs or remodels, while the Monument Road location, north of Regency Square Mall, will be new construction. Ben Porter and business partner Luis Cuevas are investing even more in that because they bought 1.76 acres next to Ruby Tuesday along Monument Road at Interstate 295 to build a shopping center to include the Cantina Louie. ZT Holdings #06 LLC, led by Porter and Cuevas, bought the 1.76 acres from Gate Petroleum Co. Gate operates a gas station and convenience store nearby and is building a Gate Express Carwash off of Monument Road. “Monument is extremely busy,” Porter said. Porter said his team likes the Monument and I-295 area. “Growth down Fort Caroline is tremendous so we felt that was a good spot,” he said.

Partner Ben Porter said the new Cantina Louie restaurants will resemble the Fernandina Beach location.

He intends to develop a 10,000-square-foot shopping center with no more than three tenants. The 165-seat Cantina Louie would occupy half of the center and the other one or two tenants would need to be retail or office tenants that don’t need a lot of parking. Porter expects it to open in the first quarter 2019. He estimates the investment at $2.5 million. Styles Construction Inc. will be the contractor and is Cantina Louie’s usual contractor. Cantina Louie Mexican Street Food describes itself as a “fun, affordable Mexican Cantina serving authentic Mexican street food,” such as tacos, sope, tostadas and tortas. It serves lunch and dinner. The menu includes appetizers, nachos, salads, quesadillas, enchiladas, tacos, burritos, faji-

tas, entrees, desserts, a children’s menu, wine, beer and specialty drinks. For more information, visit cantinalouie.com. The partners opened the first Cantina Louie in 2014 in St. Augustine, then Atlantic Beach, whose location is expanding, and then Fernandina Beach. The Tinseltown location at 9726 Touchton Road, No. 105, is the site of several former restaurants. Plans show a 4,771-squarefoot build-out, along with exterior seating. It will be Cantina Louie’s fourth location. Porter said his team downsized the previous restaurant’s space, giving space back to the landlord, and will renovate it substantially. He expects a build-out of $300,000 to $350,000 and to open in April.

“We are gutting it and giving it a fresh new look and a different feel,” he said. “We are shrinking it down to where it makes sense.” He expects Cantina Louie to be successful where others closed. “Our brand works. We have a phenomenal following,” he said. The Tinseltown location is off Touchton Road and not in the main Southside Boulevard area. “People find you. In this day and age of social media, they find you,” he said. The Nocatee location, Cantina Louie’s fifth, is in development in The Shoppes of St. Johns along U.S. 1 near County Road 210 and Race Track Road in St. Johns County and should open in July or August, he said. “We’ve got a busy year coming up,” Porter said. The Jacksonville Lawyers Chapter of the Federalist Society welcomed to its meeting last week attorney Edward Whelan, president of the Washington, D.C.based Ethics and Public Policy Center and co-editor of “Scalia Speaks: Reflections on Law, Faith and Life Well Lived.” It’s a collection of speeches made by the late U.S. Supreme Court Justice Antonin Scalia. Whelan, a former Scalia law clerk, said he and Scalia’s son, Christopher, spent months selecting the speeches on topics of law, faith and pastimes, most of which have not previously been published. “It’s his wisdom and wit. It’s Justice Scalia coming alive again,” Whelan said. “We hope it can be part of his legacy.” Attorney Alan Dershowitz, writing for the New York Book Review, said the book “brought Nino back for me.” It’s a “magnificent volume that should be on the bookshelf of every educated American,” The Washington Post said. Florida Coastal to appear before ABA Accreditation Committee Florida Coastal School of Law will appear before the American Bar Association Accreditation Committee in March in Williamsburg, Virginia, for a private hearing concerning the law school’s admission standards and performance. The ABA notified Florida Coastal in October that the school was found out of compliance with performance standards after only 25 percent of the school’s students passed the February 2017 Florida Bar exam on their first sitting. Previous CEO Hunter Harrison said at a November investor conference that “I got my feelings hurt a little bit” because there was “no red carpet” to welcome him when he joined CSX. Foote said CSX’s workforce, spread through much of the eastern U.S., consists of “great railroaders” and “hard workers” who are looking for guidance. “Everybody in life wants to be a success and this model, the scheduled railroad model, is the way to turn CSX around and make it, as I keep telling everyone, the best-run railroad in North America,” he said. “I have a high degree of confidence that the people here are bought in to what it is we’re trying to accomplish.” Precision scheduled railroading is an operating model implemented by Harrison, who joined CSX as chief executive officer in March 2017 but died in December. Foote, who Harrison brought in as chief operating officer in late October, succeeded Harrison as CEO and pledged to continue his operating plan. Although he wasn’t around at the beginning of Harrison’s tenure, Foote understands that his predecessor ruffled feathers with his rapid changes to operations. “It wasn’t that long ago there was a lot of chaos going on around here,” Foote said. “I can only imagine the pace of change and how chaotic that was for the team here. Since that point in time, everybody has been focused on what it is that needs to be accomplished.”

CSX says wait until March on forecasts Foote said the expected 2,000 job cuts this year may include about 1,400 employees, largely through attrition. But he told analysts to wait until CSX’s upcoming investor conference March 1 for more details of the mix of employee and contractor cuts this year. That was a recurring theme

of Foote’s first conference call as CEO. He said the company is waiting for the investor meeting in New York before providing more financial details on the company’s outlook. That left analysts and investors guessing. “Tonight’s call offered something for both bulls (margin upside, capex downside) and bears (less detailed disclosures, no hard guidance for 2018 margins or EPS), and we don’t foresee a shift in sentiment before CSX reveals their mid-term plan at the March 1 investor day,” Susquehanna Financial analyst Bascome Majors said in a research note. The only forecast Foote made about revenue was that it will be “up slightly” in 2018. “CSX got some pushback during the call as slight top line growth along with what is generally viewed by the market as an upward trend in core price, and perhaps a point of growth from fuel surcharges, could imply 2018 volumes that are down,” Credit Suisse analyst Allison Landry said in her research note. Foote indicated service disruptions at CSX as it implemented its new operating plan last year has driven some freight customers away, Landry said. “CSX is already starting to see some business trickle back and as the service product continues to improve, the company expects to be successful in growing both its intermodal and merchandise franchises — although this may

take until the second half of 2018 to really begin to materialize,” she said. Analysts continue to look at trends in CSX’s operating ratio, which is operating expenses divided by revenue. The ratio, which fell from 67 percent in 2016 to 64.8 percent last year, is an indicator of the company’s efficiency as it cuts costs. Foote said he expects the ratio to continue falling for the next three years, but he again did not get more specific. “We sense that CSX started 2018 with significant momentum on the operating improvement side,” BMO Capital Markets analyst Fadi Chamoun said in his research note. “Management is expected to unveil medium-term financial targets on March 1, which we expect will target a low 60 percent operating ratio or better and potential EPS in excess of $4/ share (versus $2.30 in 2017) by 2020,” he said.

Another Fidelityrelated spinoff The wheels keep spinning at Fidelity National Financial Inc. and companies affiliated with it. Or, we should say, the spinoffs keep spinning. Cannae Holdings Inc. last week announced a planned initial public offering of Ceridian HCM Holding Inc. This came two months after title insurance company Fidelity spun off investment subsidiary Cannae as an indepen-

dent public company. Ceridian is a human resources technology company headquartered in Minneapolis. Fidelity was the lead investor of a group that acquired Ceridian in 2007, and Cannae now owns 33 percent of the company. Cannae continues to be run by top executives of Jacksonvillebased Fidelity, but the investment company’s headquarters is in Las Vegas, home of Fidelity Chairman Bill Foley. Cannae said Ceridian filed a registration statement for the IPO confidentially with the Securities and Exchange Commission. The filing was not available in the SEC database last week.

Another Fidelityconnected IPO Speaking of Fidelity-connected spinoffs, an Atlanta-based company called Cardlytics Inc. also filed for an IPO. Cardlytics is an analytics company that collects data from financial institutions on consumer spending. The connection to Fidelity National Financial is that Fidelity National Information Services Inc., or FIS, owns more than 5 percent of Cardlytics stock before the IPO. The SEC filing does not specify FIS’ exact stake. Jacksonville-based bank technology company FIS was spun off from Fidelity National Financial in 2006.

SPAR Group Inc. buys majority stake in Resource Plus

SPAR Group Inc. last week said it acquired a majority stake in Resource Plus Inc., a Jacksonville-based supplier of professional fixture installation and product merchandising services. Resource Plus will operate as a subsidiary of SPAR, with CEO Richard Justus continuing to run the business. SPAR is a publicly traded company based in White Plains, New York, which provides merchandising and marketing services. The company reported revenue of $131 million in the first nine

months of last year. “The skills, expertise and services added by Resource Plus align well with the evolving needs of the retail landscape, particularly those retailers that are adding new concepts and formats to revitalize the overall shopper experience,” SPAR Chief Executive Chris Oliver said in a news release. SPAR said in an SEC filing it acquired 51 percent of the company by paying $3 million to Resource Plus founder Joseph Paulk and $150,000 to Justus.

Analyst upgrades Web.com to ‘buy’ Web.com Group Inc.’s stock rose just 3 percent last year, lagging well behind other internet stocks. But SunTrust Robinson Humphrey analyst Naved Khan expects better things in 2018. He upgraded the Jacksonville-based provider of website services for businesses from “hold” to “buy.” In a research report, Khan said Web.com should benefit from new value-added services (VAS) offered to clients. “We believe that over the past year Web.com has made good progress on improving/extending its VAS offering while optimizing the legacy domains and do-it-yourself businesses for profitability,” he said. “Given the trend in the underlying metrics (average revenue per user, retention), we believe that business is on track to return to modest organic growth in revenue/EBITDA in 2018, with a healthy growth in VAS more than offsetting a modest decline in the legacy business.” Khan set a $28 price target for the stock, which was trading at $22.90 at the time of his report. “While we risk being early with upgrade (with 2018 potentially turning into another transition year), we find the trends in underlying fundamentals favorable to our thesis and the stock’s risk/reward attractive at about 12 times 2018 free cash flow,” he said. mbasch@jaxdailyrecord.com

Monahan said the new facility, scheduled for completion in 2020, will make it easier for employees to communicate and

work together. Spreading out the workforce in 17 buildings can be difficult. “Yes, it’s been a challenge. It’s been inconvenient,” he said. The new building was designed by London-based architecture firm Foster and Partners, which Monahan said has designed buildings for major corporations such as Apple Inc. and Comcast Corp. Monahan called it “a treasure and a piece of art.” Monahan said the new building and the additional jobs are needed because of the international growth of golf. The PGA Tour has employees in eight countries. “We have grown mightily.

We’re now a global organization,” he said. The nonprofit organization provides benefits to the communities where it holds tournaments, generating $180 million for charities last year, he said. That includes $8.7 million generated by the annual Players Championship tournament at TPC Sawgrass. Although the PGA Tour is in St. Johns County, Jacksonville Mayor Lenny Curry said Duval County and the region benefit from having the headquarters there. “This is part of our city. We’re grateful,” Curry said.

A few months after the courtroom library was established, Bass gained another book donation partner, juvenile justice reform advocate Renata Hannans, who volunteers at the Duval Regional Juvenile Detention Center. Hannans is the author of “P.S. Never Give Up Hope,” a collection of stories about young people who are serving time in prison. When Hannans looked at the books in Bass’ library, she decided there needed to be an addition. Hannan started a campaign at GoFundMe.com to provide a bud-

get for books by and about prominent African-Americans, such as Civil War-era social reformer and statesman Frederick Douglass and A. Philip Randolph, a civil rights and labor reform leader who lived in Jacksonville. Bass sees handing down reading assignments as an integral part of the mission of the court — helping children who break the law to avoid more serious crimes. “I don’t always hit a home run, but if I can introduce one child to reading, or if I can introduce one child to a leader, the world is a better place. I hope maybe I can plant a seed,” she said.

Bass went to the Friends’ warehouse at the University Park Branch Library in Arlington and picked out books for children and young adults.

Jacksonville added 17,500 jobs in 2017 Unemployment rate drops from 4.5 percent to 3.4 percent over year. By Mark Basch Contributing Writer Jacksonville missed out on getting Amazon.com’s second headquarters and the 50,000 jobs it would have brought, but Northeast Florida continues to add jobs anyway. The unemployment rate in the Jacksonville metropolitan area – Duval, Baker, Clay, Nassau and St. Johns counties — dropped from 3.6 percent in November to 3.4 percent in December, and was down from 4.5 percent at the end of 2016, the Florida Department of Economic Opportunity said Friday. The number of jobs in the area on nonfarm business payrolls rose by 17,500 in 2017, a 2.6 percent growth rate. The data was released a day after Amazon announced its 20 finalists for the second headquarters, which did not include Jacksonville. Jacksonville was one of 238 cities to bid on the project, offering the online retailer riverfront property near the Downtown sports complex at no cost if it chose Jacksonville. “This was an aspirational proposal we put forth,” Mayor Lenny Curry said Friday while attending the PGA Tour’s announcement of its new headquarters project in Ponte Vedra Beach.

Despite missing out on Amazon, Curry remains optimistic about Jacksonville’s growth. “We are blocking and tackling every day on economic development,” he said. Florida Gov. Rick Scott said after the PGA Tour announcement that Jacksonville made a strong bid for Amazon. “They’ve really worked hard on trying to get more jobs here,” he said. Miami is the only Florida city to make Amazon’s list of 20 finalists. “I’m excited for Miami. I think Amazon should choose Miami,” Scott said. The PGA Tour plans to create 300 more jobs after it builds its new headquarters, but St. Johns County’s labor market already is strong. The county had the lowest unemployment rate in the state at 2.8 percent in December, the Department of Economic Opportunity said. Duval County’s unemployment rate fell from 3.8 percent in November to 3.6 percent in December. Florida’s statewide unemployment rate edged up by 0.1 percentage point to a seasonally adjusted 3.7 percent in December. How do you relate your undergraduate degree to your practice of law? My undergraduate studies focused on Greek and Roman civilization. I took quite a bit of Latin. From a language standpoint, there clearly has been applicability. My curriculum involved a lot of reading and writing that has also been beneficial in my professional life.

When I was in middle school, I became very interested in politics and I remember someone saying that I should go to law school. At that time, I certainly did not understand what being a lawyer would entail, but after that, I never considered anything else.

What community service have you pursued and why that? I am currently serving on the Downtown Investment Authority. I am very passionate about Jacksonville’s Downtown district. I have worked Downtown for over 20 years and witnessed many efforts to revitalize the area. As a Downtown business owner, I am excited about the ongoing developments in our core, both on the north and south banks. I previously served two terms on the Jacksonville Ethics Commission, including successive years as chair of the commission. In addition, I served four terms on the board of trustees of Riverside Presbyterian Day School and was ordained as an elder in Riverside Presbyterian Church. I am also a member of the Rotary Club of Jacksonville.

What’s your advice for new lawyers? Work hard at learning how to be a good lawyer. Find a mentor, whether a partner in the firm where you work or through the Bar. Some of the most important parts of the practice are not covered in the books you read in law school. From basic practice tips, to the expectations of various judges in your circuit, to the proper methods to communicate with opposing counsel, mentorship is critical.
