ADT’s IPO called ‘a flop’ as stock falls below initial price
Boca Raton-based company has more than 3,000 workers in Jacksonville.
ADT Inc.’s return to Wall Street could be described, at best, as a disappointment. Some viewed the security company’s initial public offering in harsher terms, such as The Wall Street Journal calling it a “flop” and CNBC pundit Jim Cramer calling it an “insult” to the market. ADT said on Jan. 5 that it was expecting to price its IPO between $17 and $19 a share.
But when the deal was brought to the market Jan. 18, the offering of 105 million shares was priced at $14. The price continued dropping when trading began Jan. 19, with the stock closing at $12.39 on its first day, and it traded as low as $11.12 last week. ADT first became a public company in October 2012, when it was spun off by Tyco International Ltd.
The company was taken private in May 2016 by funds affiliated with Apollo Global Management LLC, which bought it for $6.9 billion. Apollo retains control of the company after the IPO with 85.6 percent of the stock, according to a Securities and Exchange Commission filing. In an interview on CNBC (not with Cramer) when the stock began trading, ADT Chief Execu-
tive Officer Timothy Whall was asked why the company rushed back to the market after less than two years as a private company. Whall said the company had met Apollo’s five-year financial targets within two years, so there was no reason to wait. The Jacksonville Civic Council intends to re-engage with Downtown development and specifically with the power of the Downtown Investment Authority. The private group of influential business and civic leaders has re-activated its Downtown task force, which in 2011 called for development of a Downtown authority and a riverfront convention center. Immediate past Chair Ed Burr told the Meninak Club of Jacksonville last week that the group is looking at how the DIA’s power could be set up to implement a master plan without the stopsand-starts of changing mayoral and City Council leadership. “We’ve had plenty of master plans, but we turn over city leadership, arguably, every year. We have a new City Council president every year. We have a new Finance (Committee) chairman every year. Those are powerful people in the implementation of a master plan in a city of our size,” Burr said. “We have mayors every four or eight years. And it’s not the lack of planning. It’s the lack of consistent implementation because you can’t tell anybody today that this master plan is going to be the same thing that’s going to be here 10 years from now,” he said. “And that’s what we have to change.” Burr cited the Civic Council’s white paper that called for the authority. the tentatively named Downtown Improvement Authority that would handle Downtown development and split from the former Jacksonville Economic Development Commission. Mayor Alvin Brown stumped for the changes. In 2012, City Council, the Florida Legislature and Gov. Rick Scott approved a transformation of the former Jacksonville Economic Development Commission into the Office of Economic Development and the DIA. The mayor names five members to the DIA and the City Council president appoints four. The 19-member City Council confirms all the members. The Office of Economic Development within the mayor’s office
deals with countywide economic development. Burr said the Civic Council’s 2011 suggestion covered two angles. “We need an independent funding source and a keeper of a comprehensive master plan of Downtown. And neither one of those had been successfully put in place yet,” he said. He cited the DIA’s convention center intentions and public questions about the riverfront site: Is that the correct place? How does the site fit in with the other development plans for Downtown? Burr said any one idea on a piece of land might be good, but not if it doesn’t help the whole of Downtown. “We define core Downtown —

we think that’s where the focus should be — and then connect that to the entertainment sports district. That will be the continued effort through the process,” he said. Burr also noted that the DIA’s proposed convention center site at the former Duval County Courthouse and City Hall Annex is across Bay Street from the county Pre-Trial Detention Facility. “What’s going to happen to the jail? The jail’s obsolete. The sheriff told me that they can’t even find replacement parts for the lighting mechanisms anymore. They have to be custom-made every time they have a problem,” Burr said. “I don’t know about you, but I think a jail ought to be able to be locked up pretty well, right?” Burr, a developer and owner of GreenPointe Holdings LLC, formerly owned LandMar Group, which wanted to develop the Shipyards property more than a decade ago before the recession. He called the jail, at Bay and Liberty streets across the street from the riverfront development site, “Jacksonville’s first original all-gated community.” The DIA has been working on a plan. In February 2015, the authority released the Community Redevelopment Area plans for the Northbank Downtown and Southbank. so the pieces can fit together.” He sees DIA as the keeper of the plan. “I’d like to vest that power into an entity that isn’t subject to political changes every year, every four years or every eight years because these are decadeslong plans.” Burr said the plan could be changed through a public process, “but it can’t be changed because the City Council president decides they don’t like that there and therefore it’s not happening.” That, he said, “is what we have in our city. If a City Council president or finance chair doesn’t like what’s going on, it’s just not going to happen. And that’s what we have to transcend.” Burr said that private investors who need public funding for a Downtown project “will spend a year dealing with DIA” for approval. “Then they have to go across the street and get 10 votes from the City Council.” Private capital, he said, “looks at that process and decides it’s not one worth pursuing. As a result of that, they go elsewhere.” Burr said a developer can go to Fort Lauderdale “and you can do that in about 90 days, 120 days. When you’re done, you’re done. You can do it in Nashville with their downtown authority. When you’re done, you’re done. You can do it in San Diego. When you’re done, you’re done.” “We have a system that discourages private capital coming to invest Downtown and I’d like to see that changed,” he said.

UNF hosts Supreme Court justice Stephen Breyer says the biggest threat to the court is a lack of understanding. The University of North Florida and the World Affairs Council of Jacksonville last week welcomed U.S. Supreme Court Associate Justice Stephen Breyer to UNF’s Presidential Lecture Series. Breyer, 79, is a graduate of Stanford University, Magdalen College in Oxford and Harvard Law School, and was law clerk to U.S. Supreme Court Justice Arthur Goldberg in 1964. In 1973, he was assistant special prosecutor of the Watergate Special Prosecution Force. Breyer was nominated to the high court by President Bill Clinton and was sworn in Aug. 3, 1994. Breyer said about 80 cases are heard each year and about half of the court’s decisions are unanimous; about 20 percent are split 5-4. “They’re very open issues and it’s not always the same five and the same four,” he said. While they don’t always agree, Breyer commented on the process involved when the nine justices with the ultimate authority on the law consider their opinions. “Everybody looks at history. Everybody looks at tradition. Everybody looks at text. Everybody looks at the precedent, the purposes and the consequences,” he said. Asked what he considers the biggest current threat to the court, Breyer said he believes its the lack of civics education for young people. “The biggest threat is that high school students and college students my grandchildren’s age — the next generation and the
generation after that – does not understand our history, our documents and our government,” he said. Retired Gen. JWLA launching legal aid summer internship
The Jacksonville Women Lawyers Association is funding a summer internship at Jacksonville Area Legal Aid. “It’s an opportunity to give a law student some experience and hopefully encourage a lifelong commitment to pro bono service,” said JWLA President-elect Jamie Karpman. The application period won’t open for a few weeks, but the association is seeking donations to fund the 16 to 20-hour-a-week internship from mid-May to midAugust. Karpman said last week that the campaign is about 25 percent toward its goal of $3,000. “We’re asking people to donate $19.82 in honor of JWLA’s founding in 1982. That will fund about two hours of the internship,” said Karpman. Donations may be made at jaxlegalaid.org/jwla or at jwla.org and because 100 percent of the money donated goes directly to JALA, it’s tax-deductible, Karpman said. In November, the association opened a lounge for nursing mothers at the Duval County Courthouse.

Stocker honored for volunteer service Akerman associate attorney wins Young Lawyers Division Pro Bono Service Award. By Max Marbut Associate Editor The Florida Bar rules state that each member “should strive to satisfy their professional responsibility to provide pro bono legal service to the poor.” The annual aspirational goal is at least 20 hours of service at no charge or $350 in contributions to legal aid agencies. Allison Stocker, an associate attorney in Akerman’s Jacksonville office, went beyond that goal when she was on the team that sued the City of Jacksonville in federal court on behalf of Ability Housing of Northeast Florida Inc. Nonprofit Ability Housing was seeking to establish in Springfield permanent supportive housing for veterans with disabilities, but was blocked by the city’s special zoning overlay for the historic neighborhood. Fighting City Hall in federal court — and winning — took 14 months and more than 2,000 pro bono hours, about 600 of which were logged by Stocker. She accepted The Florida Bar
Young Lawyers Division Pro Bono Service Award for 2018 on Thursday at the state Supreme Court in Tallahassee. “It was great for me, experience-wise,” Stocker said. “It’s not typical for an associate to be that involved in a case in federal court.” Stocker, 33, worked alongside real estate attorney Thomas Ingram, the lead attorney on the case, and other Akerman lawyers. She was involved in the many aspects of the lawsuit, including drafting the complaint, discovery, depositions and planning the litigation strategy that led to settling the case in Ability Housing’s favor. In May 2017, City Council approved a settlement that included, in addition to amending the zoning prohibitions that blocked the project that led to the lawsuit, the city paying the nonprofit $400,000 and creating a $1.5 million grant for development of permanent supportive housing. “I checked off a lot of boxes, professionally,” Stocker said. “I handled a discovery dispute in federal court by myself.” Working on the Ability Housing case was far more involved than Stocker’s previous pro bono service, which was primarily participating as a legal adviser at pro bono clinics organized for seniors

The parent of Atlantic Coast Bank said the tax charge cost the company 11 cents a share in the quarter. Atlantic Coast Financial also incurred 3 cents a share in costs related to the Ameris merger.
Ayers has spent nearly 30 years with Convergys and became chief executive in October 2012. The board of directors has begun a search for a successor and Ayers will stay on “as long as necessary for transition purposes,” the company said in a news release. Cincinnati-based Convergys has a large customer care operation in Jacksonville. The company took in gross proceeds of $1.47 billion from the stock sale. Boca Raton-based ADT is one of Jacksonville’s largest employers with more than 3,000 workers. The company employs about 18,000 people overall. ADT says it is the largest security monitoring company in the U.S. and Canada with about $4 billion in annual revenue. While the IPO was disappointing, Whall expressed confidence to CNBC that investors will be happy with the company’s performance going forward. “If we put a few quarters under our belts I think the people will like what they see,” he said.
Proxy firms oppose J. Alexander’s deal As shareholders meet this week to vote on J. Alexander’s Holdings Inc.’s proposed acquisition of the 99 Restaurant & Pub chain, two well-known proxy advisory firms are recommending they reject the deal. Cannae Holdings Inc., the investment company recently spun off from Fidelity National Financial Inc., currently owns a majority stake in the 99 chain and would end up with a majority voting stake in J. Alexander’s as part of the complex deal. J. Alexander’s operates several restaurant chains and also was spun off from Fidelity in 2015. The Jacksonville-based title insurance company has invested in several restaurant businesses over the years. The historical ties between Fidelity, Cannae and the restaurant businesses are one reason the proxy firms are opposing the deal.
“The board does not appear to have thoroughly explored other alternatives, which is particularly concerning given the related party nature of the transaction and the tenuous strategic rationale for the proposed combination,” Institutional Shareholder Services said in its report. “Moreover, market reaction has been sharply negative, implying limited downside risk of non-approval. Voting to oppose the merger is shareholders’ last chance to avoid becoming minority shareholders of a controlled, small cap company,” it said. Glass, Lewis & Co. also expressed concerns that the board didn’t seek other alternatives and questioned the strategic fit between 99 and the more upscale J. Alexander’s restaurants. “While we recognize there appear to be strategic merits to the proposed transaction, namely diversification and potential synergies, the transaction would also dilute the company’s focus on the upscale dining industry and expose shareholders to significant challenges facing the casual dining segment in which 99 Restaurants operates,” the Glass, Lewis report said. J. Alexander’s last week disputed the reports by the two proxy advisors. “Both recommendations surprisingly ignore the actions by the J. Alexander’s board of directors to establish an equitable process for the transaction, including specific negotiations for the transaction to be approved by disinterested shareholders,” the company said in a news release. A second release by J. Alexander’s last week said two large shareholders controlling a combined 20 percent of the stock are supporting the deal. Hedge fund manager Mario Cibelli, whose funds control 6.3 percent of the stock, has publicly
Ameris Bancorp expands in Atlanta Ameris Bancorp announced Friday it is expanding in the Atlanta market by acquiring Hamilton State Bancshares Inc. Hamilton, based in Hoschton, Georgia, operates 28 bank offices, 24 of them in the Atlanta metropolitan area. Ameris officially is headquartered in Moultrie in south Georgia, but its executive offices are in Jacksonville. “Atlanta is the largest market in Georgia and one of the largest markets in the entire Southeast. While we have had a small presence in Atlanta for a number of years, we have been looking for an opportunity to expand our presence in this important market,” Ameris CEO Edwin Hortman said in a news release. Ameris agreed to buy Hamilton for a combination of stock and cash valued at $405.7 million. The company hopes to complete the deal in the third quarter this year. Also Friday, Ameris reported adjusted earnings of 63 cents a share for the fourth quarter of last year, the same as the fourth quarter of 2016. Because of the recent federal tax law, Ameris incurred a onetime $13.4 million expense in the fourth quarter related to the valuation of a deferred tax asset. That reduced final net income for the quarter to 24 cents a share.

Johnson & Johnson Vision Care Inc. reached $4 billion in sales in 2017, after the Jacksonville-based contact lens maker expanded with three acquisitions of other eye care businesses during the year. Revenue from the contact lens business grew 9 percent last year to $3.04 billion, parent company Johnson & Johnson reported last week. The medical products giant reported total sales for 2017 rose 6.3 percent to $76.5 billion, and it projects 2017 sales of $80.6 billion to $81.4 billion. Johnson & Johnson reported a fourth-quarter net loss of $10.7 billion, because of a $13.6 billion tax charge associated with the recent federal income tax reform legislation. Brightway written premiums jump 12 percent in 2017
Jacksonville-based Brightway Insurance said its annualized written premium rose 12 percent last year and passed $500 million. Its policies in force grew 12 percent to more than 334,000. That’s higher than most law schools,” Cardenas said. The spring class comprises Cardenas students from eight states, one international country and 18 colleges and universities. Cardenas said it takes about six months to recruit a student to Florida Coastal, a for-profit law school. Tuition is about $46,000 per year. That’s the current average for private, full-time law schools, according to the U.S. News 2018 Best Law Schools rankings. In comparison, tuition at the University of Florida Levin College of Law or Florida State University College of Law is about $22,000 per year. “Not everybody is a good fit for Florida Coastal,” said Cardenas. “It’s a substantial economic commitment to your career.”

Even more important, they must understand how it could affect their practice, said Lanterman, a former member of the U.S. Secret Service Electronic Crimes Task Force and a faculty member at the Federal Judicial Center in Washington, D.C. While many attorneys store their data in the internet “cloud” for ease of access, that doesn’t come without risk, he said. Lanterman said some cloud service providers assume ownership of data and that could lead to an ethics issues, particularly with information covered by attorney-client privilege. “You are attorneys. Read the terms and conditions,” he said. The latest trend among hackers is to target attorneys who practice in states where court documents are filed electronically — including Florida. Lanterman said an email is sent, purportedly by the clerk of court, notifying an attorney that their recent e-filing is incomplete and that if it is not completed by a certain time, the judge will dismiss the case with prejudice. The email instructs the recipient to “click here” to solve the problem, but what the link does is give the hacker access to the attorney’s data. “We are the weakest link,” Lanterman said. Look carefully at emails and “slow down before you click,” he added. Computer Forensic Services leased a small suite on the 25th floor at Bank of America Tower. Lanterman said he’s determining how much additional space the Jacksonville office will need for a staff of at least 10 and “we plan to hire local people.”

Law school’s class reflects strategy Florida Coastal’s incoming class has a median 150 LSAT, up 4 points from last year. By Max Marbut Associate Editor The 18 students beginning their legal education this week at Florida Coastal School of Law have a median Law School Admission Test score of 150, a 4-point increase from the 2017 spring term, and a 6-point increase compared to the fall 2016 incoming class. The new class also has a median undergraduate GPA of 3.01, up from 2.77 for last year’s spring term first-year class. Raising admission standards is part of a plan implemented by Florida Coastal to improve outcomes for post-graduate students who are seeking a career as an attorney. The minimum LSAT score that will be required for admission this fall is 151. The LSAT is a half-day standardized test designed to help law schools select qualified applicants by providing a standard measurement of reading and verbal reasoning skills needed for success in law school. The test is graded on a scale of 120 to 180; nearly 109,000 prospective law students who took

in Florida. The spring class is 67 percent female and 33 percent male, compared to the national average of 51 percent female for all law schools. “Women have outnumbered men for the past three years,” said Florida Coastal Dean of Admissions Tony Cardenas.

JAMIE KARPMAN By Max Marbut • Associate Editor Jamie Karpman is an attorney-adviser in the U.S. Department of Housing and Urban Development Office of General Counsel. She has executed more than 200 real estate closings, representing 40,000 units of housing and $2.5 billion in federal grants and federally insured loans. Karpman also is president-elect of the Jacksonville Women Lawyers Association. Who or what inspired you to become a lawyer? An undergraduate adjunct professor, Court of Appeals of Indiana Judge John G. Baker, saw something in me that I did not yet see in myself. While I had an interest in the law, without his mentorship, support and encouragement, I may not have considered a career as a lawyer. One person (other than your spouse or partner) who inspires you: I’m inspired to do better in my own life by the “everyday heroes” who go above and beyond for their families, communities and businesses to achieve personally and to improve the lives of others. How do you relate your undergraduate degree to your practice of law? My undergraduate degree is in public affairs with a concentration in legal studies. It provided me with a foundation in the law, problem-solving and policy matters that prepared me for my legal career and to be a public servant in a concrete way.
How did you decide your practice area? And why have you chosen that? My passion for public service developed as a law student volunteering at Jacksonville Area Legal Aid in the Fair Housing Unit. That pro bono work sparked my interest in housing. During my first year in practice, as a Legal Honors attorney, I was fortunate to be exposed to the varied and important work of the Department of Housing and Urban Development, including a monthlong rotation in the general counsel’s office in Washington, D.C. Housing and infrastructure have a tremendous impact on quality of life and available opportunity. I am fortunate to do challenging legal work and provide counsel that aids in the development of housing, programs and policies that improve the lives of Americans locally and nationally.

Leadership roles in The Florida Bar (vice chair, The Florida Bar Journal Editorial Board), Florida Association for Women Lawyers (chair, Awards Committee),
Jacksonville Bar Association (cochair, Transactional Law Section), and Jacksonville Women Lawyers Association (president-elect) allow me to dedicate my time and energy to and alongside other lawyers to help them develop and hone the skills, resources and network they need to be successful in their practice and in the pursuit of justice in our community. As a presenter for the “Lawyers in Libraries” program and the “Fair Judges, Informed Voters” project, I am able to share my knowledge with those in our community who need legal assistance. I also donate my time to community organizations that seek to empower those they support, K9s for Warriors and Girls on the Run. What’s your advice for new lawyers? Get out of your comfort zone. Ask questions and don’t make assumptions. By asking questions, you ensure you understand the context and elicit information crucial to resolution of the ultimate issue. Outside of the office, get involved in the community. Develop professional relationships and leadership skills through voluntary Bar participation and community service.
