Web.com forecast for 2018 hits stock Company downgraded and analyst calls outlook disappointing. Web.com Group Inc. reported fourth-quarter results basically in line with analysts’ forecasts. However, investors didn’t like the company’s projections for 2018. The company’s stock dropped as much as $4.40 to $17.20 on Feb. 9, its lowest level in 14 months, after the earnings report. B. Riley FBR analyst Sameet Sinha said in a research note after the report that Web.com’s forecast for 2018 was disappointing. “We are downgrading Web. com from Buy to Neutral as fiscal year ’18 outlook implies 0.5 percent year-to-year revenue growth while our thesis called for mid-single-digit growth as well as incremental investments,” wrote Sinha, the only analyst who changed his rating on the company after the report. Web.com doesn’t provide projections on net income. But Sinha said the company’s first-quarter guidance of $185.5 million in revenue and $41.5 million in adjusted earnings before interest, taxes, depreciation and amortization (EBITDA) was lower than his estimate of $188.2 million in revenue and $49.3 million in EBITDA.

The American Bar Association House of Delegates recently held its midyear meeting in Vancouver, British Columbia. The House approved nearly three dozen resolutions on topics ranging from criminal sentencing, civil rights, discrimination, access to courts and lawyer wellness. Here are summaries of sig-
nificant positions on which the House voted that should be of interest to the Jacksonville legal community: LAWYER WELL-BEING
The ABA has been engaged in research examining aspects of well-being regarding law students and lawyers. According to an ABA report published in August, “The research has quantified an alarming rate of alco-
hol and other substance use and mental health concerns, coupled with deficient help-seeking behaviors.” House Resolution 105 urges all courts, Bar associations and other stakeholders to be guided by the report. Findings include: n We are at a crossroads. To maintain public confidence in the profession, to meet the need for innovation in how we deliver legal services, to increase access
to justice and to reduce the level of toxicity that has allowed mental health and substance use disorders to fester among our colleagues, we have to act now. Change will require a wide-eyed and candid assessment of our members’ state of being, accompanied by courageous commitment to re-envisioning what it means to live the life of a lawyer. Freed

Project Cart would bring 40 jobs to town Wholesale food and goods distributor seeking $40,000 grant. Project Cart, an unidentified wholesale food and goods distributor, proposes to add about 40 positions in Northwest Jacksonville that it would relocate from another corporate location. It proposes investing about $200,000 in equipment and $200,000 in renovations to its building to accommodate the new jobs. The Northwest Jacksonville Economic Development Fund Advisory Board staff recommends using the Economically Distressed Area Targeted Industry Program Grant for up to $40,000 to assist the company. That sum represents a grant of $1,000 per new employee that would be disbursed over four years. The city will require that at least 20 percent of the new employees – eight – be residents of Northwest Jacksonville and that the average wage be at least $30,100 to qualify for the grant. The advisory board has not voted. Project Cart is described as a wholesale distributor of food and grocery store items with a presence in Northwest Jacksonville and numerous other states. Distribution companies, such as Cart, qualify as a targeted business by the state and the city.

The expansion involves the relocation of about 40 jobs from one of Cart’s other locations. The warehouse positions include item selectors and related support personnel, such as unloaders and batchers. “Batch picking” is filling more than one order at a time. The project description matches Sysco Food Services Jacksonville Inc. at 1501 Lewis Industrial Drive. Sysco has another facility at 3100 Hilton St. in Northwest Jacksonville. Houston-based Sysco calls itself a global leader in selling, marketing and distributing food products to restaurants, health care and educational facilities, hotels and other customers who prepare meals away from home. Its products include equipment and supplies for the foodservice and hospitality industries. Sysco’s corporate spokeswoman did not return a call or email for
comment. Sysco employs more than 65,000 people and operates about 300 distribution facilities worldwide and serves more than 500,000 customer locations. It generated sales more than $55 billion for fiscal 2017, which ended July 1.

Summer Classics Home applied for a Certificate of Use for 6,000 square feet at 1104 W. Adams St. in LaVilla. The city issued a permit in December for McDaniel Contractors Inc. to modify the exterior of the LaVilla building it sold to Summer Classics, a national manufacturer and retailer of high-end outdoor furniture. The Birmingham, Alabama based-company bought the 12,000-square-foot building for $1.2 million to set up a retail showroom and warehouse. It wants to open this spring.
The St. Johns River Water Management District is reviewing an application for construction of a four-story Comfort Inn & Suites on 1.61 acres along Parramore Road near the new Costco in Southwest Jacksonville. The development area is called Collins Town Center on plans. CR 3 Hospitality is the developer. It is based at the Country Inn & Suites at Interstate 295 and Youngerman Circle. JBA gets inside look at Constitution Revision Commission “It’s about to be crunch time,” says Hank Coxe, a presenter at the group’s luncheon Wednesday. The Florida Constitution Revision Commission is nearing the end of its yearlong process that will lead to proposed amendments to the state’s governing document being placed on the November ballot. The commission is scheduled to begin its final phase of deliberation on about 40 proposals in mid-March and must submit its recommended amendments by May 10 to the secretary of state. “It’s about to be crunch time,” said Hank Coxe, partner at The Bedell Firm and chair of the commission’s Ethics & Elections Committee. He’ll be a presenter when The Jacksonville Bar Association meets at noon Wednesday at the Hyatt Regency Jacksonville Riverfront. Coxe said the discussion will include an inside look at how the commission has gathered and Coxe then considered suggestions from the public as well as its members and a preview of some of the proposed amendments likely to make it on the ballot. Joining Coxe for the presentation will be Martha Walters Barnett, retired senior partner at Holland & Knight. She’s a past president of the American Bar Association (2000-01) and served on the Florida Constitution Revision Commission when it convened in 1997-98. Coxe said Barnett will provide insight as to how the current deliberations have differed from 20 years ago, when the commission last met. Also on the panel will be Mary Adkins, a professor at the University of Florida Levin College of Law. She researched the history of the 1968 Florida Constitution and is the author of “Making Modern Florida: How the Spirit of Reform Shaped a New Constitution.” Coxe said she’ll explain how the 37 members of the commission were selected by the governor, Senate president, speaker of the House and chief justice of the state Supreme Court. Appointment is one possible path to the bench Candidates should be prepared to complete a 25-page application, an interview – and likely rejection on first attempt. By Max Marbut Associate Editor There are two ways to become a judge in Florida: Mount a successful campaign and be elected by popular vote, or be appointed by the governor. The Jacksonville Women Lawyers Association learned the finer points of the second method Feb. 8 from attorney Michelle Bedoya Barnett, former vice chair of the 4th Judicial Circuit Judicial Nominating Commission, and Meredith Sasso, deputy general counsel in the Executive Office of the Governor. They were joined via telephone by Daniel Nordby, Gov. Rick Scott’s general counsel and a former member of the state Supreme Court Nominating Commission. “Judicial appointments are one of the most consequential authorities of a governor,” Nordby said, because judges serve for many years after a governor leaves office, deciding issues and shaping state law. He also said that since Scott took office in 2011, he has appointed 330 judges for circuit and county courts, courts of appeal and judges of compensation claims, about 40 percent of whom are women. vacancies are selected by judicial nominating commissions. There are 27 commissions: One for the state Supreme Court, one for each of the five district courts of appeal, one for each of the 20 circuit courts and the county courts within the circuit, and one statewide commission for judges of compensation claims. Vacancies occur when a judge retires or resigns, dies, is elevated to a higher court or there is a newly created judgeship. The commissions comprise nine members appointed by the
governor. Four are certified by the board of governors of The Florida Bar, the other five are direct gubernatorial appointments. Barnett said the process begins when an attorney fills out a comprehensive application for consideration by the commission. Questions are related to education, experience, personal and business finances and family. Writing samples and case summaries also are included. The application amounts to “this is my life, everything I’ve
done, wrong or right,” said Barnett. “It’s 25 pages, but you know attorneys, some people turn it into 100 pages.” Attention to detail must be paid when filling out the application, and in particular, avoid typographical errors. “Have 10 people look at your application with lawyers’ eyes,” Barnett said. After the applications are vetted, candidates are interviewed by the commissioners. The tone shifts from formal to casual, to allow the applicant to be evalu-

Suggestions include clarifying that the policies apply to all work-related functions irrespective of where offending conduct occurs; provision for alternative methods for reporting violations, including anonymous reporting, such as a hotline, and alternative methods when the accused party would otherwise be involved in the reporting process; issuance of post-investigation reports to bring closure to the process; and communication regarding claims, investigations and outcomes to the highest levels of the company, such as the board of directors or executive committee.

Commissioners then deliberate and send no fewer than three and no more than six candidates to the governor, who has 60 days to appoint a judge from the pool of nominees. Sasso, who coordinates the judicial nomination process for the governor’s office, said when the applications arrive in Tallahassee, there’s a similar procedure, including staff extensively reviewing the applications, contacting each applicant’s references and conducting personal interviews before turning over the decision to the state’s chief executive. “A lot of it is duplicative,” she said. It’s practically unheard of for a candidate to be appointed on the first attempt. Some sitting judges weren’t appointed until they had applied 10 or more times, Sasso said. And don’t let experience or age hold you back from applying, she added. Scott’s appointments have ranged in age from 29 to 57 years. The House passed Resolution 302 urging all employers to create, and more importantly to enforce, effective sexual harassment policies. To make this resolution practical – and helpful for employment law practitioners – the resolution sets forth suggestions for
Youth experiencing homelessness often are referred to as a “hidden population” given the challenges in collecting relevant data. Some reports estimate that 1.7 million youth leave home or are forced out annually, and that approximately 550,000 of those experience homelessness. These young people are likely to have encounters with the justice system and have increased risks of experiencing physical and sexual violence. In response, Resolution 113 was approved, calling for “integrated, systemic approaches within administrative, civil and criminal court contexts to address the special needs of youth and young adults experiencing homeless-
ness.” The House also passed Resolution 301, endorsing United Nations General Comment No. 21, which provides guidelines to address the international plight of so-called “street children.” The overarching premise is that street children are rights-bearing individuals. At a time when retail chains are closing stores nationwide, Jacksonville-based shopping center developer Regency Centers Corp. reported continued strong occupancy at its properties. The company’s same-property portfolio (properties owned and operated for more than one year) was 96.3 percent leased at yearend, and those properties grew net operating income by 3.6 percent last year. “This places Regency at the top of the shopping center sector for both of these metrics,” CEO Hap Stein said in the company’s conference call with analysts. “Even though store closures accelerated and expansions of some retailers were more Stein deliberate, we are continuing to experience healthy demand from successful operators,” he said. Regency operated 426 properties as of Dec. 31, mostly shopping centers anchored by supermarkets. Regency reported fourth-quarter core funds from operations of 92 cents a share, 6 cents higher than the previous year. Funds from operations basically are earnings excluding noncash charges such as depreciation and amortization expenses, and are a key indicator of a real estate investment trust’s performance. Separately last week, Regency said the company’s largest shareholder will no longer be represented on its board of directors.
Chaim Katzman, who became vice chairman of Regency’s board last year, resigned because of the time commitment needed for his new role as CEO of Gazit-Globe Ltd. Gazit-Globe is an Israeli-based shopping center developer that was the largest stockholder of Equity One Inc., and it became the largest Regency shareholder after Regency acquired Equity One last year. Katzman is the founder and controlling shareholder of GazitGlobe and had been serving as its chairman. He took over as CEO on Jan. 31 when the previous chief executive resigned. Gazit-Globe controls 10.4 percent of Regency’s stock, according to its most recent Securities and Exchange Commission filing. The merger agreement with Equity One required Regency to nominate Katzman to its board and to allow Gazit-Globe to appoint a replacement if Katzman left the board. But Regency said in another SEC filing that Gazit-Globe is not designating a replacement to fill Katzman’s seat at this time.
CSX raises dividend to 22 cents a share CSX Corp. last week announced it is raising its quarterly cash dividend by 2 cents to 22 cents per share, and also increasing its share repurchase program from $1.5 billion to $5 billion. In a news release, CEO James Foote said the moves demonstrate the Jacksonville-based railroad company’s board’s “confidence in the quality of our franchise and our long-term prospects.” Moody’s Investors Service said in a report that the increase in the share repurchase program “signals a more aggressive financial policy” for CSX. “Moody’s considers this level of financial leverage very elevated, in particular given the company’s still sizeable exposure to domestic and export coal of approximately 18.5 percent of revenues, and the concerns of the Surface Transportation Board about lingering service issues that emanated from the implementation of CSX’s new operating plan,” the ratings agency said in a news release. “In addition, the company will have limited room to contend with any adverse developments in freight demand, freight rates, operational issues or any other challenges. THL reduces stake in Black Knight Black Knight Inc.’s largest shareholder, Thomas H. Lee Partners L.P., last week sold 8 million shares of the stock at $46.70 each. This was Thomas H. Lee’s second stock sale since Fidelity National Financial Inc. spun off its majority stake in Black Knight in October. The investment firm sold 7 million shares in November. The latest sale leaves Thomas H. Lee with about 20 million shares of Jacksonville-based Black Knight, or about 13 percent of the stock. Its stake was 23 percent before the first sale in November.
Nebraska company buying travel nurse staffing service PPR
Omaha-based Medical Solutions announced an agreement to buy PPR, a Jacksonville Beachbased provider of travel nurse staffing services. Terms of the deal were not disclosed. PPR, which was founded in 1996, will continue operating under its own brand and will keep its offices in Jacksonville and Tampa, Medical Solutions said. Medical Solutions says it is one of the largest travel nurse staffing

BAE Systems bringing more work to Jacksonville
BAE Systems last week said it received a contract of at least $9.6 million from the U.S. Navy to modernize the guided-missile cruiser USS Philippine Sea. The contract includes options that could bring the total value to $72 million. Work on the initial contract will begin in April and be completed in February 2019 at BAE’s two Jacksonville shipyards on Heckscher Drive and at Mayport Naval Station. The company employs about 540 people in Jacksonville.
Drone Aviation completes Army contract
Jacksonville-based Drone Aviation Holding Corp. last week said it delivered an aerostat system to the U.S. Army under a contract that exceeds $800,000. Drone Aviation reported total revenue of $474,634 in the first nine months of 2017. The system is called the Winch Aerostat Small Platform, or WASP, which Drone Aviation says “delivers multi-mission capability on the edge of the battlefield featuring the simultaneous use of secure communications and advanced ISR (Intelligence, Surveillance and Reconnaissance)

Acquisition doubles GEE Group revenue GEE Group Inc. reported revenue more than doubled in the first quarter ended Dec. 31 because of an acquisition last year. However, amortization and interest expenses related to its acquisitions resulted in a net loss for the quarter. First-quarter revenue for the Naperville, Illinois-based staffing company reached $45.2 million, up from $21 million the previous year. Operating income tripled in the quarter to $1.48 million but after interest and amortization expenses, GEE Group had a net loss of $1.8 million, or 18 cents a share, in the quarter. “The company continues to benefit from a tight labor market with a continued low unemployment rate for IT, accounting, finance, engineering and other highly skilled professional workers. Also, the trend toward increased use of the flexible on-demand work force in corporate America coupled with the anticipated accelerated growth in U.S. GDP creates a favorable backdrop and macro environment for our business and the staffing industry,” CEO Derek Dewan said in a news release. She is chair of the Jacksonville Women Lawyers Association Awards Committee and is a member of the Junior League of Jacksonville and The Jacksonville Bar Association Young Lawyers Section. Who or what inspired you to become a lawyer? My father and grandfather inspired me to pursue being a lawyer. I am a third-generation Florida Bar attorney and I grew up helping in the family firm and seeing firsthand how important it is to have objective advice in difficult and often emotional situations. How do you relate your undergraduate degree to your practice of law? I have a bachelor’s in international affairs, which really helps me understand the history and evolution of the practice of law. I also have a master’s in sport and culture, which is a specialty in sociology that helps me understand why people act a certain way and what factors likely influence their decisions.

Over the past several years, we’ve seen family law becoming more gender neutral and doing away with “traditional gender roles.” Also, with the passage of marriage equality in the last few years, we have seen a different set of issues present in same-sex divorces. In most cases, the parties have been together for years without the opportunity to marry, but we have had to figure out how to dissolve those long-term relationships with a shorter term marriage. What do you think will be the next biggest change in your area of law? I think our next big change will be in seeing how Dreamers and DACA legislation affects families and divorces. Divorces are governed by statutes that can be slow to respond to societal changes and hot-button issues, such as the secondary impact of immigration legislation.
How did you decide your practice area? And why have you chosen that? I decided to focus my practice on family law after spending the first few years of my practice on various areas of real estate and contract law. Family law allows me to help solve problems that affect everyone in society. Expand on the “problem-solving courts,” such as Veterans Court, Mental Health Court and Drug Court. I think they serve such a vital need in so many communities and are almost always underfunded and underutilized. What community service have you pursued and why that? Through various organizations, including the Junior League of Jacksonville and Jacksonville Women Lawyers Association, I try to find activities that have a local impact and have deep ties to the Jacksonville community.
Recently, I have helped plant fruits and vegetables at the Clara White Mission’s White Harvest Farms. I love their message of trying to introduce healthier choices to food deserts in our area. What’s your advice for new lawyers? I would encourage them to stay true to who they are, to get involved in their local community and to surround themselves with people who both challenge and inspire them to become successful. Also, never underestimate the value of your local voluntary Bar associations.
