Agreement prevents Marcato proxy fight. With an activist hedge fund apparently taking aim at Rayonier Advanced Materials Inc., the Jacksonville-based cellulose specialty products maker gave the fund a seat on its board of directors. Rayonier AM last week announced the appointment of Matthew Hepler, partner at Marcato Capital Management L.P., as a director, increasing the size of its board to 10 members. As the company appointed Hepler, it also reached a s ta n d s til l Hepler agreement with Marcato that prohibits the firm from soliciting any proxies regarding Rayonier AM. That’s significant because Marcato has been engaged in proxy fights with several companies. For example, in the past year it has nominated its own directors for board seats at Buffalo Wild Wings Inc. and Deckers Outdoor Corp. It successfully elected three directors at Buffalo Wild Wings but its slate was defeated at Deckers. According to quarterly Securities and Exchange Commission filings, Marcato began buying shares of Rayonier AM last summer and had 792,000 shares as of

How required unanimity changed the death penalty 4th Judicial Circuit relies on concise procedure. By Max Marbut Associate Editor In January 2016, a ruling from the U.S. Supreme Court changed a key requirement for a judge in Florida to hand down a death sentence to a person convicted of a capital crime. The court ruled that Florida’s sentencing procedure was unconstitutional under the 6th Amendment, which guarantees the right to a trial by jury. Effective after the Hurst v. Florida decision and a similar order by the state Supreme Court in October 2016, juries must be unanimous in recommending the death penalty before a judge can send a convicted defendant to death row. Before the ruling, only a supermajority vote (at least 10

of 12 jurors) was required for that sentence. In response to the requirement for a unanimous death recommendation, the 4th Judicial Circuit developed a concise written procedure to determine whether the state attorney will ask for the death penalty or a sentence of life in prison without parole when a defendant is charged with a capital crime. “Our process is modeled loosely on the way the Department of Justice handles death penalty decisions,” said Mac Heavener, chief assistant state attorney and direct supervisor of the Special Prosecution, Special Assault and Homicide divisions. Law clerks share behind-the-scenes look at role helping judges “It’s a privilege to work on the intellectually challenging problems you bring us every day.” By Max Marbut Associate Editor The U.S. District Court Middle District of Florida is one of the most active federal courts in the nation, ranking 10th out of 94

districts in the number of civil filings annually. Its 26 district and 20 magistrate judges average about 350 cases on each of their dockets. They accomplish their work with the help of their law clerks

who manage thousands of court documents, maintain filing reports, verify compliance with court rules, research case law and write briefs. During trials, clerks research the law and prepare jury instructions and verdict forms. Four clerks for federal judges joined the Jacksonville Chapter of the Federal Bar Association on

Thursday for lunch and a discussion of what clerks do and best practices for attorneys when filing and appearing in federal court. “We help the judge be a judge,” said Peggy Miller, U.S. District Judge Marcia Morales Howard’s law clerk. The responsibilities are similar in the federal appellate court, said Darby Robinson, law clerk for

Lamping drops hint: ‘JU’ and ‘law school’ University president says a legal program “would be premier.” Jacksonville Jaguars President Mark Lamping was telling real estate brokers Jan. 25 about the master plan designs to lure Amazon.com’s second headquarters when more Downtown possibilities emerged. “We focused on a lot of things other than just office space and the hotel rooms, which came with their specs,” Lamping said of the design, shown in a video released Dec. 14 by the JAXUSA Partnership economic d eve l o p m e n t division of JAX Lamping Chamber. “Where do you put a major health care, wellness center? Where do you put those things that the workforce that they’re bringing in are going to want to do as it relates to continued personal development?” he asked. “So things like moving the engineering school of the University of North Florida from its current campus (to) Downtown. Working with JU if they have a law school, moving that Downtown,” he said. First, UNF. UNF said a decision to move the

engineering school Downtown would be up to the new president. The board of trustees last week chose David Szymanski, a University of Cincinnati dean, as president-elect. Szymanski said he had no immediate information about a Downtown plan of action. Second, a Jacksonville University law school? That would be a new — and big — deal. “It’s a natural conversation,” JU President Tim Cost said during an interview Feb. 7, but it’s not one that has risen to the level of action. He considers it a natural conversation because JU, a private liberal arts and science university, has been asked by community and industry leaders whether it would consider a medical or dental or veterinary school, considering its concentration in health sciences. A law school is part of that line of thinking. The law school consideration comes from two sources, Cost said. One, the private, for-profit, 22-year-old Florida Coastal School of Law is facing pressures because of its students’ Bar exam passage rate compared with other law schools. The American Bar Association notified Florida Coastal in October that it is not in compliance with admission standards, specifically that a law school shall not admit applicants who do not appear capable of satisfactorily completing its program of legal education and being admitted to the Bar. The ABA asked Florida Coastal to submit a report about its compliance with the standards and to

We would be premier,” he said. Cost acknowledged that moving or creating more JU programs Downtown would fit within its mission to bring more students and vitality into the core city. JU leased the 18th floor of SunTrust Tower last year and opened a Downtown campus for students in the Davis College of Business, Brooks Rehabilitation College of Healthcare Sciences and the Nathan M. Bisk Center for Professional Studies. This year, the school’s executive MBA program will begin holding classes at the Downtown campus. “This has a similar quality,” Cost said. JU is completing its $120 million Aspire capital campaign. Cost expects to provide a “Snapshot of the Future” later this year. Magistrate Judge James Klindt, said about 11,000 motions were filed in the Jacksonville division of the district court in 2017. Attorneys should ensure that their motions are filed properly since even a small percentage of error can represent many documents that cannot move through the system. She also said attorneys should be aware of a particular local rule that requires them to “confer in good faith” with the attorney on

the other side of a case before a motion is filed. Some judges favor personal communication and therefore do not consider email communication sufficient to meet the “good faith” requirement. “Pick up the phone or go to lunch and talk about it,” Wood said. Also on the subject of communication, Robinson said when attorneys present written arguments, avoid unsuitable writing

styles. “Snarkiness does not play well in legal writing,” she said. Communication between attorneys and law clerks is critical, said Susanne Weisman, U.S. District Judge Timothy Corrigan’s law clerk. “If you need an extension, file the motion early and tell us how much time you need. Otherwise, we have to guess,” she said. Weisman advises attorneys to avoid calling a judge’s chambers

to ask when she or he plans to rule on a motion. “It’s ‘under advisement’ is our standard answer,” she said. That doesn’t mean there’s no urgency, however. Weisman said that twice each year, in March and in September, federal judges are required to disclose how many motions before them have been pending for more than six months and how many cases have been pending for more than three years.

“We like that report to be clean,” she said. After 38 years, Lanny Russell is trying to slow down He says that remains “a work in progress.” By Max Marbut Associate Editor Lanny Russell said last week he wasn’t intending to start any rumors. He was just looking for a way to take it a little easier. After practicing law at Smith Hulsey & Busey for 38 years, he moved about four months ago to Tanner & Bishop. “I feel like Mark Twain. The rumors of my retirement are greatly exaggerated,” said Russell, 63.

“I just want to slow down and do some things I want to do.” After graduating from law school at the University of Florida, he was admitted to the Bar in 1980 and went to work at Smith Hulsey, where he’d been a clerk for two years during law school. It became Smith Hulsey & Busey in 1991. “My 38 years at Smith Hulsey & Busey were very good years. I worked with some of the best people and best lawyers in the country and made strong relationships,” Russell said. Russell started his plan to slow the pace of his practice in Janu-

ary 2017, when he decided to take a leave of absence to adjust his pace, but that didn’t work. “In April, I Russell went back – of counsel – but by June I was back to nearly full time. The provisions of Marcato’s standstill agreement include a clause that prevents it from acquirDill ing more than 7.5 percent of Rayonier AM’s stock, and another clause that it will support any directors nominated by Rayonier AM’s board. In addition to Hepler’s appointment, Rayonier AM also said its board is nominating Julie Dill for election to fill the board seat of retiring director Ronald Townsend. Dill most recently was chief communications officer for Spectra Energy Corp.

Rayonier AM beats earnings forecasts Along with announcing new directors, Rayonier AM reported fourth-quarter earnings well above analysts’ forecasts, helped by its November acquisition of Tembec Inc. Rayonier AM reported fourthquarter adjusted earnings of 50 cents a share, up from 18 cents the previous year, after the acquisition that more than doubles its revenue. “The actions we’ve taken over the past three years to reduce costs and increase our financial flexibility positioned us well for the acquisition of Tembec. The skills that we learned in the process gives us great confidence in our team’s ability to drive additional value across a large organization,” CEO

Paul Boynton said in the company’s conference call with analysts. Vertical Research Partners analyst Chip Dillon said in a report that Tembec’s contribution to the company’s fourth-quarter earnings was 21 cents higher than he had forecast. However, earnings from Rayonier AM’s pre-merger operations were 10 cents below Boynton his forecast. Dillon expects that trend to continue, as Rayonier AM deals with price declines in its cellulose specialties products business. “Basically, we are taking down our expectations for the legacy Rayonier AM business given the magnitude of the average-price decline expected by management for 2018 — with some offset from higher expectations for the Tembec business — though we note that the rising Canadian dollar could impact the Tembec contribution more than we are anticipating,” he said. Tembec was based in Montreal and the acquisition gives Rayonier AM facilities in 12 Canadian cities. Dillon maintained his “hold” rating on the stock but D.A. Davidson analyst Steven Chercover is more optimistic, maintaining a “buy” rating. “Rayonier AM looks poised to generate significantly improved profitability and free cash flow in fiscal 2018,” Chercover said in his report. “In addition to being highly accretive, we believe the Tembec acquisition ‘de-risks’ Rayonier AM,” he said, as the deal expands its product base and geographic reach. Rayonier AM’s stock jumped as much as $2.81 to $20.99 Tuesday after the earnings report, equaling a three-year high.

Atlantic Coast Financial Corp. scheduled a special shareholders meeting for March 21 to vote on its proposed buyout by Ameris Bancorp. The buyout of Atlantic Coast Financial will leave Jacksonville with no remaining publicly traded banking company headquarters. Ameris has its executive offices in Jacksonville but is officially headquartered in Moultrie, Georgia. Two other publicly traded banking companies based in Jacksonville, EverBank Financial Corp. and FirstAtlantic Holdings Inc., have been bought out in the past year. According to Atlantic Coast Financial’s proxy statement for the shareholders meeting, the company had begun considering merger opportunities in October 2016 and was seeking a “merger of equals” transaction, but no potential partners were interested. The company began looking at the possibility of a buyout in December 2016. CEO John Stephens talked to representatives of several institutions at a Florida Bankers Association conference in June 2017, including Ameris. A month later, Ameris indicated it was interested in an acquisition and negotiations began. According to the agreement signed in November, Ameris will buy Atlantic Coast Financial for a combination of cash and stock valued at $161 million.

CBC has two branches in Nassau County, three in Marion County and one in Sumter County. It also has three branches in South Carolina. First Federal has 17 Florida branches, including two in Nassau County and one in Baker County. The $83.2 million buyout is expected to be completed in the second quarter.

Vanguard now largest Regency shareholder According to a recent SEC filing, mutual fund company Vanguard Group is now Regency Centers Corp.’s largest stockholder with 26.88 million shares, or 15.8 percent of the stock. Israel-based Gazit-Globe Ltd., which like Regency develops shopping centers anchored by supermarkets, had been the largest stockholder, but it has been reducing its stake. Gazit-Globe was the largest stockholder of Equity One Inc. and became Regency’s largest shareholder last year after Jacksonville-based Regency bought Equity One. Gazit-Globe announced last week that it sold an additional 1.7 million shares of Regency and now has about 16 million shares, or 9.3 percent of the stock. Earlier this month, GazitGlobe CEO Chaim Katzman resigned as vice chairman of Regency’s board of directors to spend more time focusing on his company.

Shareholders of Coastal Banking Company Inc., parent of CBC National Bank, approved its buyout agreement last week with Lake City-based First Federal Bancorp Inc. Coastal is headquartered in South Carolina but its CBC bank subsidiary is based in Fernandina Beach.

It involves more people in a thoughtful, methodical process,” said Heavener. “We want to make the right

decision, using the right process, for the right reasons.” Of the 347 people currently on Death Row in Florida, 53 were sentenced in the 4th Circuit: 47 in Duval County, six in Clay County and none in Nassau County.

Premier is a publicly traded company headquartered in Atlanta, but it filed for Chapter 11 reorganization in June 2016 in Jacksonville because the company and some of its subsidiaries are incorporated in Florida. According to a news release by the equity committee in the case, Premier’s exclusive right to file a reorganization plan expired Feb. 14. “Rather than file competing plans, the parties have agreed to seek a consensual path to conclude this Chapter 11 case. The equity committee believes that mediation will help avoid a prolonged and expensive confirmation battle and currently presents the best opportunity to reach consensus among the parties for a path for Premier to exit Chapter 11 expeditiously while also maximizing recovery for equity holders,” it said. Premier produces exhibitions of Titanic artifacts and other historical items, such as King Tut’s tomb. The company’s stock continues to trade on the OTCQB Venture Market as it goes through Chapter 11. The mediation is scheduled for this week in Atlanta.

Medtronic ENT revenue rises Medtronic plc last week said its Jacksonville division, which produces surgical instruments for ear, nose and throat physicians, grew revenue by a high singledigit percentage in the third quarter ended Jan. 26. JALA expands family law, immigration services Freedom Shrine dedicated

“Low bono” counsel for clients who don’t qualify for legal aid. Jacksonville Area Legal Aid is establishing a new practice for family law and immigration services for people whose income is not low enough to qualify for free legal aid, but also can’t afford to hire a private attorney. Eligible clients will be placed with attorneys who will provide services at a reduced fee to provide an alternative to self-representation. The effort is termed “low bono” because the services will be offered to families whose income is below 400 percent of federal poverty guidelines. That would be a maximum of $48,560 for an individual or $100,400 for a family of four to qualify for low bono. To qualify for legal aid, an individual must have income below 125 percent of the guidelines — $15,175 — for a family of four, it must be below $31,375. Marquita Green, formerly with the Office of the State Courts Administrator, is director of the project. A graduate of the Florida State University School of Law, she will work with Mariana Munoz, chief of JALA’s Immigration Division. They are recruiting a panel of attorneys willing to serve lowto moderate-income clients at

From small town to big city Edwards writes in 1941 that “theatres jammed” Downtown. By Marvin R. Edwards Special to the Daily Record With all the talk these days of boomtowns, it is no more than right that Jacksonville gets its share of the limelight. When I first came down here from New York, I expected to see a large town with the people going about their daily routine in a monotonous fashion. No one was ever more disillusioned, and I’ll tell you why. A town of but 17,000 inhabitants in 1890, Jacksonville has grown to become the 47th largest city in the United States with a population in April 1940 of 175,000. It is interesting to note that half of the 46 larger cities are in seven states. Since the last census, Jacksonville has been given another large injection of prosperity to increase its population by the thousands, and its wealth by the millions. It is the national defense program that has done so much to make it, and the surrounding territory, the most rapidly growing section in America. Estimates of the number of people living in Jacksonville at present (April 1941) have been placed as high as 250,000. Situated in Northeast Florida on the navigable St. Johns River, a short distance from the Atlantic

Ocean, Jacksonville is the largest port city on the coast between Baltimore and New Orleans. Because of its importance, ships that transverse between the northern cities, Latin America, the Pacific Coast ports and the Far East make Jacksonville a regular port of call. It has 62 wharves and terminals providing more than 8 miles of vessel berthing space, and depths alongside most of them are at 30 feet or more at mean low water. Aside from being a good port for vessels, Jacksonville has excellent facilities for air, rail and highway transportation to all sections of the country. By rail it is served by four large lines, each of which has direct connections with other railroad systems throughout the nation. It has the largest and busiest railroad terminal south of Washington, D.C. Jacksonville’s municipal airport is served by an average of 34 commercial airliners each day. New York is six hours and Chicago less than eight hours away by air. Southbound planes connect with Pan-American Lines at Miami, providing rapid transportation to Latin American countries. The nation’s largest railway express terminal is located in Jacksonville. It has 131,000 square feet of floor space of recent construction, with a capacity for 25 70-foot express cars. It handles more than 20,000 shipments per day all the year round. Retail sales in the city during 1939 totaled $58,153,000 and wholesale dollar volume was

Marvin Edwards, an investment adviser, community watchdog and writer, died Feb. 10 at age 96. He was 20 when he wrote “From small town to big city” to summarize the state of Jacksonville almost 77 years ago. Dated Sept. 13, 1941, Edwards submitted this column as “Special to the Management Review.” He provided a copy to the Daily Record in recent years.

$153,606,000. The figures for 1940 are expected to be many millions more. From a financial point of view, Jacksonville is the banking stronghold of Florida. It has three large national banks and a Federal Reserve Bank branch. Each bank has strong correspondent banks in all important cities of the country. Two members of the New York Stock Exchange operate branch offices and boards here with direct wires to the trading centers of the nation. The principal manufacturing and processing in Jacksonville are lumber and millwork, pulp and paperboard, naval stores, pine tar products, cigars, chemical products, glass bottles, shipyards, gypsum products, meat packers, warehouse and refrigeration plants, and citrus fruit farms. The world’s largest factory under one roof is here. Jacksonville is best known today for the great part it now is playing and will play in the

defense program. Thirty miles to the south is the $27.5 milion Camp Blanding, one of the nation’s largest training camps. When finished it is expected to house 65,000 men. The monthly payroll for both civilians and soldiers now numbers $3 million, most of which finds its way into the large metropolis of Jacksonville. The workers and soldiers have achieved an excellent reputation for keeping the greenbacks in circulation. Not to be outdone, the Navy is completing on the outskirts of the city the largest airbase and training station under the Stars and Stripes. More than $25 million has already been spent in the construction of this magnificent air fortress. The civilian and service payroll at this base will soon amount to $1 million a month. When finished, it will have facilities for 20,000 men. Weekday mornings and evenings, the traffic congestion is

terrific in Jacksonville. The city has not been able to keep up with the large influx of people, for many of the streets are too narrow for the number of cars using them. The housing and hotel facilities have also fallen behind the city’s rapid population growth. Over weekends there is not a room to be had in the hotels or rooming houses. Saturday nights, the downtown area reminds one very much of Times Square. All the theatres are jammed, and it’s almost impossible to find a place to park. The future outlook for Jacksonville is very impressive. The fact that industries are migrating toward the South is well exemplified by the great increase in the number of factories and business firms located here. Plans are now being completed by which a group of northern bankers will invest many millions of dollars for a large shipbuilding program in Jacksonville. This city is to play an important part in the “bridge of ships” across the Atlantic, especially since the Red Sea has been reopened. As one now gazes in the distance, he can see the sun in a beautiful array of colors setting against Jacksonville’s skyline, which brings us to the end of our journey to this magnificent Southern city. That ringing sound you hear is a Southern belle calling me. Au revoir you-all. The memorial service for Marvin Edwards was Feb. 16.
