Southeastern Grocers will close 94 stores, including four in Northeast Florida. By Mark Basch Contributing Writer Jacksonville-based Southeastern Grocers, parent of Winn-Dixie and three other supermarket chains, said Thursday it has an agreement with creditors to restructure its debt through a prepackaged Chapter 11 bankruptcy filing.
The agreement will give unsecured note holders ownership of the company by canceling the notes and exchanging them for equity in the company. The company currently is controlled by private equity firm Lone Star Funds. A company news release said the “holder” of its existing equity would receive a “five-year warrant and certain global
settlement consideration,” without giving more details or naming Lone Star. Under the plan, Southeastern will continue operating 582 stores, but close 94. Southeast operates stores under the Winn-Dixie, Harveys Supermarkets, Fresco Y Mas and Bi-Lo banners. Spokesman Joe Caldwell said the stores will close on or before April 30.

The city issued permits Wednesday for RLH Construction LLC of Oviedo to take down the former Belk and its
surrounding parking as well as retail space on the western end of the property. The job cost is $300,000. The addresses are 4397 and 4529 Roosevelt Blvd., east of Roosevelt Boulevard and south of San Juan Avenue. In January, a representative of shopping center owner Dewberry Capital Corp. said Roosevelt Square will undergo a third phase of redevelopment under its ownership. Belk

The representative called it “a total renovation” of the 29-acre West Jacksonville shopping center and said plans would be released when ready. Atlanta-based Dewberry Capital, through Roosevelt Square LLLP, applied to the city to demolish the closed Belk department store at a cost of $250,000 and a former pharmacy at a cost of $50,000. Plans do not indicate any
development on the site after it is cleared. Dewberry Capital also applied to the city for a façade renovation and addition to the retail building anchored by Stein Mart. That is the building where the pharmacy will be demolished. No contractor is listed for the $1.2 million façade and addition project. The permit and plans show the address as 4397 and 4399 Roosevelt Blvd.
Building B, the focus on the permit, is along San Juan Avenue at the northern end of Roosevelt Square. Other tenants shown in Building B include Panera Bread, Okinawa Japanese Grillhouse & Sushi Bar and Moe’s Southwest Grill. Plans show Dewberry Capital will open a 12,000-square-foot Ulta Beauty store adjacent to the north side of Stein Mart and add a 5,350-square-foot building behind Ulta for more shops.
Dewberry Capital bought the former enclosed Roosevelt Mall in 1997 and completed two redevelopment phases in 1999 and 2003. It transformed the center, built in 1961, into an open-air shopping plaza. The third phase was signaled by permitting, plans and a $68.5 million mortgage issued in May by Protective Life Insurance Co. to Roosevelt Square LLLP. The loan matures in five years.

Blvd. is closing. The company did not say how many jobs would be cut. ”Any decision that impacts our associates is made only after careful consideration. We are incredibly sensitive to the impact being felt by our associates and we will continue to support them through this transition,” Caldwell said. “The total number of affected associates is still being worked through as we make best efforts to transition associates from closing stores to open positions at nearby stores,” he said. Southeastern said it will file its Chapter 11 petitions in U.S. Bankruptcy Court for the District of Delaware by the end of March. It expects to emerge out of bankruptcy within 90 days. The firm of Weil, Gotshal & Manges LLP is serving as Southeastern’s legal counsel, while Morrison & Foerster LLP is counsel for the noteholders.
Southeastern did not say how much debt is involved but ratings agency Moody’s Investors Service said in November the company had $900 million in debt coming due in the next two years. Southeastern did say the restructuring will reduce its overall debt by more than $500 million. The company said it expects to pay general unsecured claims in full. Southeastern said it has secured $525 million in exit financing. Speculation about a bankruptcy filing has been ongoing for several months since Moody’s and several news reports highlighted the company’s debt issues. “Southeastern Grocers is faced with a critical milestone in its transformation and we have made choices for our future and long-term growth potential,” CEO Anthony Hucker said in a news release Thursday. “We conducted a thorough
review of our strategic options and determined that this financial restructuring is in the best interests of our associates, customers, supplier partners and the communities in which we serve.” The company will close 30 Winn-Dixie stores, four Harveys and one Fresco Y Mas in Florida. The closings also include a number of Bi-Lo stores, mainly in North and South Carolina, and other stores under the four banners in Georgia, Louisiana and Mississippi. “We expect our financial health and free cash flow to improve in the newly reorganized company, and although the restructuring contemplates certain store closings, SEG is committed to ensuring that all associates continue to be treated with the utmost dignity, respect and compassion,” Hucker said. mbasch@jaxdailyrecord.com

Renaissance Marriott coming to St. Augustine Construction of 89-room downtown hotel is planned to begin in April. By Scott Sailer Editorial Research Director An 89-room hotel is coming to the San Marco area of downtown St. Augustine. Hotel operator Kanti Patel plans to open the Renaissance Marriott Hotel at 28 San Marco Ave. between West Castillo Drive and Grove Avenue in fall 2019. He anticipates that construction will start in April. San Marco Hotel Inc., led by
Patel, paid about $7.43 million for five parcels to assemble the 1.73-acre site, according to the St. Johns County Property Appraiser. The five parcels contain the St. Augustine Information Center, the Best Western Spanish Quarter Inn, Barnacle Bill’s restaurant and a gravel parking lot. Patel said those structures will be demolished. He said he started working toward the project in 2006, twice seeking approval from the St.
Augustine Planning and Zoning Board as a planned unit development and the St. Augustine Historical Architectural Review Board for a certificate of appropriateness. The first time took eight months and the second time to change the parking area took six months. Initially most of the parking was underground, which he changed to partially underground with the remainder on the surface. Patel said he delayed the project because of the recession. The proposed hotel will be a three-story, 79,000-square-foot building with 159 parking spaces
— 72 below the hotel and 87 on the surface. The hotel will include a restaurant and bar with 50 to 60 seats. Patel anticipates between 40 and 50 employees. Greenwood Hospitality Group will manage the property. The architect for the Victorianstyle building is Gerald Dixon of Dixon and Associates Architects LC. Patel estimated the design boosted the construction cost by about half. He declined to provide the estimated investment cost. The civil engineer is Matthews Design Group Inc. and the con-
tractor will be Omega Construction Inc. Patel’s group, Jalaram Hotels Inc., owns several St. Augustinearea hotels including Hampton Inn St. Augustine-Historic District, Holiday Inn Hotel and Suites, Best Western Seaside Inn St. Augustine Beach, Best Western Bayfront Inn and the Hilton St. Augustine Historic Bayfront and four hotels in Jacksonville. Patel also plans to build Hilton Garden Inn and Marriott SpringHill & Suites in St. Augustine.
No tenants are identified on the plans and John Dodson would not comment on the name of the 48,848-square-foot grocery tenant. There will be 30, 612 square feet of shops. The unidentified grocery store is similar in size to a Publix Super Market, although spokesman Dwaine Stevens said the company does not have a signed lease at the location. Along with the retail space,
Eastland Partners proposes 10 outparcels of 0.88 to 2.04 acres for development, indicating fastfood, sit-down restaurant, gas station and retail uses. The architect is Cuhaci & Peterson of Orlando and the engineer is England-Thims & Miller Inc. Dodson said in October that Eastland was completing leases and he expected to sign restaurants, a gas station and other commercial retailers. Eastland is master developer of
Bartram Park, a more than 3,900acre mixed-used development permitted for 9,700 residential units, 1.3 million square feet of commercial space, 1.7 million square feet of offices and 300 hotel rooms. Bartram Park Boulevard runs parallel to the west of Interstate 95 from Old St. Augustine Road to Race Track Road. Plans show that Bartram Market primarily is in St. Johns County, with two outparcels along
Bartram Park Boulevard in Duval County. Nocatee ranks No. 7 in the John Burns Real Estate Consulting Top 50 Master-Planned Communities of 2017 and Bartram Park was No. 17. “You have two communities around this project that are tops in the country,” Dodson said.
