Fidelity expands title industry dominance The $1.2M acquisition of Houston company could take nine months. Fidelity National Financial Inc. last week announced an acquisition that will expand its dominance of the title insurance industry, but also face intense regulatory scrutiny. The $1.2 billion agreement to buy Houston-based Stewart Information Services Corp. includes provisions that could reduce the price based on divestitures needed to gain antitrust approval. Piper Jaffray analyst Jason Deleeuw said in a research note that Jacksonville-based Foley Fidelity had about 32 percent of U.S. title insurance premiums in 2017, and Stewart accounted for another 10 percent. Fidelity reported total revenue of $7.7 billion last year, while Stewart had nearly $2 billion. In a conference call with analysts to discuss the merger, Fidelity Chairman Bill Foley said he expects the regulatory approval process to take nine months to a year before the merger can be completed. Parekh, 32, joined the team in 2013 as vice president and general counsel and three years later was promoted to senior vice president and chief legal officer. As keynote speaker, she told members and guests of The Jacksonville Bar Association on Wednesday how she joined the league. She said she had been around sports most of her life, including tutoring athletes at her public high school “to keep them on the team” and working for the
Boston Red Sox while at Harvard Law School. One of the coaches encouraged her to apply to Harvard, where she received an undergraduate degree and then attended the university’s law school, where she graduated in 2009. City suing defendants who would rather stay out of court More than $1.2B in settlements reached since 2007. By Max Marbut Associate Editor The defendants named in the City of Jacksonville’s opioid lawsuit are well-versed in the litigation process, particularly when it comes to settling matters instead
of appearing in court. Jacksonville sued opioid manufacturers, pharmaceutical distribution and sales companies and former executives of the companies. Since 2007, the defendants have agreed to plea agreements for similar opioid-related damage claims and criminal charges brought by numerous jurisdictions totaling more than $1.2 billion. Those figures are included in
the 144-page complaint for damages and injunctive relief filed in the 4th Judicial Circuit by the city against Perdue Pharma LLP and 24 other defendants. The complaint alleges that the defendants engaged in a systematic plan to deceive doctors and patients about the products’ efficacy in the management of chronic pain and the addictive nature of their products. Perdue leads the list with the earliest – and largest – settlement
cited in the complaint. In 2007, the company and three of its top executives were indicted in federal court in Virginia and pled guilty to fraud in promoting OxyContin as an appropriate and nonaddictive treatment for chronic pain that was less subject to abuse than other pain medications. Under the plea agreement, Perdue agreed to pay $600 million in criminal and civil penalties. In addition, the company’s chief
executive officer, general counsel and chief medical officer pled guilty and agreed to pay a total of $34.5 million in penalties. Defendant Cephalon was charged by the U.S. Attorney in the Eastern District of Pennsylvania with selling its product, Actiq, for uses other than those approved by the Food and Drug Administration. JAX Cooking Studio setting up at Palmetto Point Lawyer Terri Davlantes wants to teach healthy food preparation. Terri Davlantes is preparing to build-out her JAX Cooking Studio in Palmetto Point at 14035 Beach Blvd. and hopes for a June 18 grand opening. Plans show the 2,080-squarefoot space will comprise a chef’s kitchen and four open kitchens for students. “The focus is to help them understand how food affects their body,” Davlantes said. The studio’s tagline is “enriching lives through food.” Emerald C’s Development Inc. is the contractor for the almost $248,000 construction project. Davlantes, a nurse, attorney and former Jacksonville University program director, wants to teach people how to Davlantes cook healthy foods and also help those with chronic illnesses learn how food can help manage their conditions. The JAX Cooking Studio Facebook page said the studio will feature a chef’s demonstration kitchen and four instructional kitchens. “Our chefs and dietitians will entertain and educate you as they teach you to prepare delicious
meals that are oh so tasty, yet easy and fast. Really, who has time to spend hours in the kitchen each day?” it says. Davlantes is a board member of the Jacksonville Aviation Authority. She previously was executive director of The Epic Program (Entrepreneurism, Policy, Innovation and Commerce) at Jacksonville University; a professor, executive and vice dean at Florida Coastal School of Law; an associate attorney at the Rogers Towers firm; and worked as a registered nurse. Davlantes said she intends to offer summer camps for youth starting June 18 and adult classes during evenings and weekends. In the fall, she hopes to start a cooking series for those diagnosed with breast cancer or those hoping to prevent it. It will be developed by an oncology dietitian and a chef, she said.

Hughes denies Brosche’s claims he exerted pressure Chief of staff and council president disagree on JEA meeting. By David Cawton Staff Writer Mayor Lenny Curry’s Chief of Staff Brian Hughes denies claims made last week by City Council President Anna Lopez Brosche that he pressured her into hosting a joint meeting of council and the JEA board of directors. He also denies that he directed her to approve emergency legislation dealing with a potenHughes tial sale of the public utility. Brosche told a group of former council presidents, city employees and others March 19 that Hughes and the mayor’s council liaison, Ali Korman Shelton, pressured her into holding the meeting with JEA so that Public Financial Management Inc. could present a financial audit it completed Feb. 14. According to Brosche, the meeting between the three took place Feb. 5 – two days before JEA released a draft of the Public Financial Management report. Hughes said the council president agreed at first to hold the joint meeting. He said instead of Public Financial Management presenting its report only to the JEA
board Hughes suggested that “in an effort to make the report contents available to everyone at the same time, she could hold a meeting and invite them.” “She agreed that was appropriate,” he said. Hughes, who joined the mayor’s staff in December, said he did not tell her to adopt or allow emergency legislation “about a sale or any other privatization outcome.” He said among the many ideas they discussed, “perhaps there would be a need to tell JEA what council felt were appropriate next steps.” “She informed me that it shouldn’t be done as an emergency,” he said. Hughes said he did not pressure the council president in any way. “There was an agreement to hold the meeting,” said Hughes. “Later she reversed course. Period.” Brosche ultimately declined to host the meeting. Curry called his own meeting hours later on Feb. 12, which is allowed under council rules. Public Financial Management presented its report Feb. 14, and no one introduced legislation. Brosche said March 19 that Hughes told her Feb. 5 the Public Financial Management report would be available soon, which she said gave her pause. “I’m scratching my head already because I wasn’t sure how the mayor’s chief of staff would know that,” she said. Hughes said he speaks to board members of the city’s independent authorities as part

Brosche referred to that event as “Petway did his mic drop.” Since then, Brosche and other council members, including Garrett Dennis, implied the mayor’s office has had and continues to have an active role in pushing for a sale. Curry has denied that. He said previously he has no position on a potential sale and that he would need more information to make a decision. JEA Chief Executive Paul McElroy said Thursday the mayor’s administration has had no role in the utility’s decisionmaking. Unemployment drops, job count increases Jacksonville’s jobless rate falls to 3.5 percent; area adds 18,600 positions. By Mark Basch Contributing Writer Jacksonville’s unemployment rate fell in February, with area businesses continuing to add jobs. The unemployment rate in the Jacksonville metropolitan area (Duval, Baker, Clay, Nassau and St. Johns counties) fell from 3.9 percent in January to 3.5 percent in February, the Florida Department of Economic Opportunity said Friday. The agency said Jacksonville nonfarm businesses added 18,600 jobs from February 2017 through February 2018, a 2.7 percent growth rate. That beat Florida’s statewide growth rate of 1.9 percent and was the second-best of any major metropolitan area in Florida, behind the 3.5 percent growth rate for the OrlandoKissimmee-Sanford area. A surge in construction jobs led growth in the Jacksonville area with 3,800 jobs added in the 12-month period, a 9.2 per-
cent gain. Other high-growth sectors included a 4.1 percent gain in financial activities jobs, a 3.8 percent increase in retail and a 3.6 percent rise in leisure and hospitality. No major sector reported job losses in the 12-month period. Even with big cuts at Jacksonville-based railroad company CSX Corp. in the past year, net employment in the transportation, warehousing and utilities sector rose 3.1 percent. The five counties in the Jacksonville metropolitan area all reported drops in unemployment in February. The Department of Economic Opportunity does not adjust the local data for seasonal factors. Duval County’s jobless rate fell from 4 percent in January to 3.7 percent last month. St. Johns County continued to have the lowest unemployment rate of any county in Florida, falling by 0.4 percentage points to 3 percent in February. member legal department and works on business matters. “Player contracts, coaches contracts and sponsor agreements take up most of my time,” Parekh said, but she’s also been a key player in Khan’s acquisition of Fulham FC, his soccer team in London, and public-private improvements at EverBank Field, such as the Daily’s Place amphi-
theater. The combination of sports and entertainment is a good fit for her, Parekh said. Her parents immigrated to the U.S. from India in the 1970s and as a child, she sometimes felt like an outsider. “I wanted to be like the other kids. Through sports and music, I was able to connect with people,” she said.

Gunster partner lacing up for ‘Freed to Run 2.0’ LEGAL NOTES
Michael Freed sets $1 million goal for legal aid. By running last year from the steps of the state Supreme Court in Tallahassee to the Duval County Courthouse, Gunster partner Michael Freed raised $70,000 in donations for Jacksonville Area Legal Aid. Based on that success, he’s begun planning the second annual six-day marathon relay – “Freed to Run 2.0.” The goal is to raise $1 million over the next four years to provide civil legal services for people in JALA’s area who can’t afford a lawyer. Publicity generated by Freed’s 157.2-mile solo fundraiser drew the attention of Baptist Health Foundation, which established a matching grant of up to $1.125 million. “That means every dollar donated is worth more than double,” Freed said. Another change for this year is the timing of the run. Freed will leave Tallahassee on Dec. 2 and finish in Jacksonville on Dec. 7. “No one else was game to run in the summer like I did last year,” Freed said. The route includes overnight stops in Monticello, Madison, Live Oak, Lake City and Macclenny – each 26.2 miles apart. He’s recruiting 10-member teams of runners who will raise additional funds and accompany him on each of the six legs of the marathon. Elite Parking has signed on as transportation sponsor of Freed to Run 2.0 and will provide round-trip transportation from Jacksonville to the starting and finishing points of each leg. Supreme Court Justice Thomas to join May program U.S. Supreme Court Justice Clarence Thomas is scheduled to speak May 5 at the 11th Circuit Judicial Conference at the Sawgrass Marriott Golf Resort & Spa in Ponte Vedra Beach. Young lawyers who practice in the U.S. District Court Middle District of Florida are invited to the event, which will include district, magistrate and bankruptcy judges participating in roundtable discussions devoted to topics
of interest to young lawyers. The cost to attend the program is $110, but the Bench Bar Fund of the Middle District will provide scholarships for the first 45 young lawyers who apply. Young lawyers are those with less than five years of practice experience or who are under 36 years of age. The deadline to apply is April 13, or sooner if filled. However, the price will be reduced if the merged company is required to divest businesses producing $75 million or more in annual revenue. Based on the amount of revenue lost, the value of the deal can drop as low as $45.50 per Stewart share. “There is some revenue we will lose and we recognize that,” Foley said. He also said working out those details made for “an intense negotiation” with Stewart. Regulators will not be looking at the company’s national market share, which would exceed 40 percent, Deleeuw said in his report. “Historically, regulatory focus has been on access to title plant data and information concentration by county,” he said. “Fidelity has analyzed its title plant share by county relative to Stewart and believes it could be required to divest certain businesses depending on regulatory guidelines.” Wall Street seems to expect the purchase price to be lowered. Stewart’s stock was listed at $40.72 before last Monday’s merger announcement and rose to a high of only $45.07 last week. Stewart has been looking for a buyer, announcing last fall that its board of directors was considering possible strategic alternatives. The previous year, the company came under pressure from activist hedge fund Starboard Value LP, which resulted in the appointment of four new directors to Stewart’s board. “Last year, our board initiated a review of strategic alternatives for the company, and after an extensive process, we determined that capitalizing on the Fidelity platform will best enable us to support the Stewart brand and continue providing the service our customers have come to expect,” Stewart Chairman Thomas Apel said in a news release. “At the end of the day, we were the best acquirer for them,” Foley said. “We could probably have paid a bit more than some other acquirers because of the synergy potential and our knowledge of the industry and business,” he said. Fidelity expects the merged company to achieve at least $135 million in annual cost savings and increase its annual earnings per share by at least 15 percent. “We note that there are still a lot of risks to the closure of the acquisition given the likely required divestitures for regulatory approval,” Barclays analyst Mark DeVries said in a research note.
“But on balance, it is a positive announcement for Fidelity given the accretion, even with the premium paid, from the operating leverage the company should be able to generate,” he said. “Based on previous acquisitions, we point out that management tends to be conservative around their cost synergy targets and has historically delivered above their initial target, so there is potential upside.”
FRP selling properties for $359 million FRP Holdings Inc. announced an agreement Thursday to sell a portfolio of 41 industrial warehouses and two adjacent lots for $358.9 million to an affiliate of Blackstone Real Estate Partners. Most of the properties are in Maryland, with others in Virginia and Delaware. “The reduction in corporate income tax rates in a low cap rate environment created too good an opportunity to forgo,” FRP Chief Executive John Baker said in a news release. Jacksonville-based Baker FRP had been considering a conversion to a real estate investment trust before the new federal tax law made a conversion less desirable. Baker said FRP will redeploy the proceeds from the sale into other businesses that are producing more favorable returns, including a mixed-use riverfront development project ongoing in Washington, D.C. The sale to Blackstone will require approval of FRP shareholders, the company said.
Shareholders approve Atlantic Coast Financial buyout by Ameris Shareholders of Atlantic Coast Financial Corp. last week overwhelmingly approved the Jacksonville-based banking company’s proposed acquisition by Ameris Bancorp. At a special shareholders meeting Wednesday, 12.1 million shares were voted for the $147 million merger and just 29,613 against, according to a Securities and Exchange Commission filing. Under the merger agreement signed in November, Atlantic Coast Financial stockholders will get $1.39 in cash and 0.17 shares of Ameris stock for each of their shares. The companies expect to close the deal in the second quarter. Ameris officially is headquartered in Moultrie, Georgia, but its executive offices are in Jacksonville.

Cephalon was charged with promoting and selling the drug to doctors who were not oncologists but instead treated noncancer patients with conditions such as anticipation of changing wound dressings, injuries and migraines. In 2008, the company agreed to pay $50 million to settle the off-label marketing charges. In a separate civil agreement, Cephalon also agreed to pay more than $375 million to resolve charges that it violated the federal Controlled Substances Act related to the off-label selling. Endo Health Solutions Inc. and Endo Pharmaceuticals Inc. entered into a settlement in 2016 with the New York Attorney General over how the companies marketed and sold the opioid Opana ER. The complaint alleged that the companies provided training materials to its sales representatives stating that addiction to opioids was not common and that “symptoms of withdrawal do not indicate addiction,” As part of the settlement, Endo paid a $200,000 penalty and agreed to stop making such claims about its product and about opioids in general. McKesson Corp., Cardinal Health Inc. and Amerisource Bergen Drug Corp., distributors of opioids, were investigated by
the Drug Enforcement Administration. The companies were found to have failed to operate in good faith mandatory internal oversight programs; failed to report suspicious orders to the DEA; and failed to halt shipment of “suspicious orders” for controlled substances. McKesson agreed to pay a $150 million fine to the U.S. Department of Justice. Cardinal agreed to pay a $34 million fine related to the DEA investigation as well as $20 million to settle a lawsuit based on similar charges brought by the State of West Virginia. Amerisource Bergen also agreed to pay West Virginia $16 million for settlement of the same litigation. The city’s complaint was filed Feb. 27 by Assistant General Counsels Jon Phillips and Tiffany Douglas Safi. Retained as outside counsel for the litigation is New York City-based Scott + Scott Attorneys at Law LLP, which is representing numerous other municipalities that have filed similar complaints against the same defendants. Community First Credit Union grows portfolio Community First Credit Union of Florida reported its loan portfolio passed $1 billion, reaching $1.026 billion at the end of 2017, with deposits rising 8 percent to $1.3 billion. Membership in the credit union, which serves the Jacksonville area, rose 5 percent to 126,000. Net income for 2017 was $13.3 million, down from $15.8 million in 2016.
TapImmune gets analyst’s attention From an investing standpoint, it is difficult for most of us to evaluate a company like TapImmune Inc., a pharmaceutical research company developing immunotherapies to treat cancers, including ovarian and breast cancer. The Jacksonville-based company has several clinical trials underway but could be years away from actually having products on the market producing revenue. The company recently announced results from a Phase 1 trial of a vaccine called TPIV200 to treat ovarian and breast cancer, and a study of the results was enough to attract the attention of one analyst. Steve Brozak of WBB Securities initiated coverage of TapImmune with a “speculative buy” rating. “We are initiating coverage of TapImmune based on the successful execution of the company’s strategy as apparent by this most recent data readout, recognition by the clinical community, its future revenue drivers, and its continued clinical development path progress,” Brozak said in his report. “We have gained interest in TapImmune due to the position it is establishing in the grim field of ovarian cancer,” he said. “While not a primary endpoint, the company attained the attention of clinicians and researchers at such an early stage. We believe this clinical data is a promising
foundation and will continue to monitor its progress, especially since we are now anticipating similar efficacy data in the ongoing Phase 2 trial of TPIV200.” Brozak set a 12-month price target of $5.50 for TapImmune’s stock, which was trading at $3.67 at the time of his report.
ADT drops again
ADT Inc.’s initial public offering in January was a dud, and the security company’s stock fell even further after its first financial report since the IPO. ADT reported an adjusted net loss of $37 million, or 6 cents a share, for the fourth quarter, surprising investors who were expecting a profit. For all of 2017, ADT’s revenue rose 4 percent to $4.3 billion, while the company had an adjusted net loss of $222 million, or 35 cents a share. The company is projecting 2018 revenue to increase to a range of $4.45 billion to $4.55 billion. It didn’t give a forecast for net income but projected adjusted earnings before interest, taxes, depreciation and amortization to be between $2.415 billion and $2.435 billion, up from $2.353 billion in 2017. ADT went public in January for the second time in about five years, after a private equity buyout in 2016. The company was hoping to sell its shares at $17 to $19 each but when the IPO hit the market in midJanuary, the offering price was lowered to $14. The stock dropped even lower on its first day of trading, closing at $12.39, and the stock continued to fall over the next two months. It was trading at $10.21 before the March 15 financial report, which sent the stock tumbling again. It dropped to a low of $8.02 Friday. Boca Raton-based ADT is one of Jacksonville’s largest employers with more than 3,000 workers. The company employs about 18,000 people overall. mbasch@jaxdailyrecord.com

A second-generation attorney, he’s part of Deutsche Bank’s in-house counsel team and has a background in financial crimes compliance that he built while working as an analyst at Ernst & Young. What inspired you to become a lawyer? My dad was an attorney for years before being appointed to the bench for the 18th Circuit in Brevard County. Growing up, I remember hearing my parents talking about this “depo” or that “mediation,” so the law has been a part of my life since well before I knew what those words meant. I always enjoyed school, and did well, and I was fortunate to be able to follow in his footsteps.

Beyond the sales aspect, business school in general gave me a greater perspective of how the business world works and an appreciation for how integral attorneys can be in helping companies build and protect their brands and their businesses. Florida Free Legal Answers is an online portal (florida.freelegalanswers.org) where clients can request brief advice and counsel about a specific civil legal issue from a volunteer lawyer. Lawyers
provide information and basic legal advice without any expectation of long-term representation. The clients select a category that describes their question, making it easy to answer questions that match a particular practice area or topic. I got started with the program answering landlord/tenant questions following Hurricane Irma. The clients are often just looking for a little information and don’t know where else to turn. Even if it is not necessarily good news, they are generally very appreciative of the guidance.
