A day is not enough

Chapter 11 hearing for SEG is May 14 Winn-Dixie parent will issue stock to repay debt in reorganization. It hasn’t even been two weeks since Southeastern Grocers LLC filed its Chapter 11 bankruptcy petitions, but the company already has a confirmation hearing scheduled. U.S. Bankruptcy Judge Mary Walrath will hold the confirmation hearing for Southeastern’s prepackaged reorganization plan May 14 in her Wilmington, Delaware, courtroom. Southeastern, Jacksonvillebased operator of Winn-Dixie and three other supermarket chains, will issue stock to pay off $522 million in notes in the reorganization. The plan was approved by holders of 80 percent of the notes before the March 27 filing. In fact, Southeastern began soliciting votes from creditors March 15 to approve the plan, according to a notice filed for the confirmation hearing. The notice also says the usual creditors meeting in a bankruptcy case, under Section 341 of the Bankruptcy Code, will not be held before May 28, and if the plan is confirmed before that date, there will be no creditors meeting at all. Southeastern expects to continue operating about 580 stores in seven states under the WinnDixie, Bi-Lo, Harveys and Fresco y Más banners when it emerges

Members of the Jacksonville Bar Association will select from eight candidates to elect by May 2 a presidentelect and members for five seats on the organization’s board of governors. Page 4.

In 1958, President Dwight Eisenhower established Law Day as a day of national dedication to the principles of government under law. Three years later, Congress designated May 1 as the annual date of observance. The American Bar Association selects a theme each year. For 2018 it’s “Separation of Powers: Framework for Freedom.”

The Jacksonville Bar Association’s tradition expands on the idea with a schedule of events that begins almost a month before Law Day to allow its members to connect with students and prospective U.S. Citizens, as well as each other. The culmination of the local observance is the association’s annual Law Day luncheon, this year on May 2. Members and guests will gather to contemplate how the separation of powers among the LAW WEEK

Foley & Lardner joins forces with Gerdere Wynne Sewell Combined law firm has nearly 1,200 attorneys in 24 offices. By Max Marbut Associate Editor The Foley & Lardner law firm, based in Milwaukee and with an office in Jacksonville, has joined forces with the Texas-based law

firm Gardere Wynne Sewell. The arrangement creates a firm with 1,170 attorneys in 24 offices and combined revenue of $830 million. “The effect in the Jacksonville office is that we will be better able to serve our clients who also have Texas operations,” said Kevin Hyde, Foley partner in Jacksonville. The combined firm will be

called Foley Gardere in Austin, Dallas, Houston and Denver and Foley Gardere Arena in Mexico City. All other offices will operate as Foley & Lardner LLP. Foley will expand geographically in service areas including corporate, intellectual property, government relations, financial restructing and litigation. The firm’s energy practice also will expand in oil, gas and renew-

ables as well as infrastructure and project finance. Foley now has a presence in Texas, Colorado and Mexico City, while Gardere has entered markets in the Midwest, East and West Coasts and Florida, as well as Belgium and Tokyo. The firms combined have 480 corporate attorneys, 385 litigators, 190 attorneys who practice primarily in intellectual property

Venus Fashion turns to sun

Solar power will fuel swimwear maker’s daytime power needs. Swimwear-maker and women’s fashion brand Venus Fashion Inc. will be basking in the sun. The Jacksonville-based women’s apparel manufacturer intends to install 2,187 rooftop solar panels. The panels will provide the majority of the power Venus needs for its operations at the main building during the day, said President Jim Brewster. Currently, Venus buys its power from JEA, which will continue to supply power. Brewster said the panels will be sourced through Advanced Roofing Inc. of Fort Lauderdale and likely will come from North America. Advanced Roofing is the contractor for the $1.25 million project. KAMM Consulting of Deerfield Beach is the electrical consultant. Plans show the solar photovoltaic project is approved for connection to JEA’s grid. Venus sells bathing suits and clothing online and by catalog. It is based on 6.1 acres at 11711 Marco Beach Drive in the EastPark business center in Southside. The 128,000-square-foot building, built in 1995, contains administration, customer service, call center, swim manufacturing, returns processing,

offices and other functions. Venus Fashion is a company within Germany-based Otto Group, which bought Venus in 2009. Brewster said former Otto Group Chairman Michael Otto was a pioneer in driving social and environmental responsibility for businesses, focusing on minimizing environmental impact and promoting positive practices. “For more than 30 years, the Otto group, and Venus for the last nine years following the purchase by Otto Group, have successfully combined business goals with social and environmental responsibility toward people and nature,” Brewster said in an email. Brewster said while the return on investment is a little longer for a solar panel project than some other investments, “the project supports our corporate culture to be socially and environmentally responsible.” The Otto Group is a global retail and services group with about 52,300 employees. It owns 123 companies in more than 30 countries in Europe, North and South America and Asia. Venus Fashion grew from less than $30 million in annual sales

at the time of its purchase by Otto Group to more than $300 million today. Last year, it added about 250,000 square feet of space at One Imeson in North Jacksonville to the 100,000 square feet it leased there since early 2015. Venus Fashion relocated into the larger space, more than doubling in size in order to maintain its service levels for its growing business, Brewster said. He said Venus has almost 1,000 employees, split about evenly between Imeson and EastPark. Brewster said Venus still makes a little less than 50 percent of its swimwear in Jacksonville; the rest is made in the U.S. and internationally. He said Venus employs about 100 seamstresses and will hire more, but they are hard to find in Jacksonville. The company also sells fashion products in addition to swimsuits. At the luncheon, the association will announce its annual “Liberty Bell Award,” which honors a nonlawyer who has made an exemplary contribution to the legal community. Also on the agenda is presentation of the annual Daily Record Lawyer of the Year award, and the document signed by Mayor Lenny Curry, proclaiming the week beginning May 1 as Law Week, will be read. The schedule of events began Saturday, when nearly 100 immigrants attended “Citizenship Day” at Florida Coastal School of Law. Sponsored by the American Immigration Law Association, Jacksonville Area Legal Aid and the National Association of Latino Elected and Appointed Officials, it’s a legal clinic where prospective citizens consulted with an attorney, free of charge, to ensure they are on the right path to citizenship. The Law Week naturalization ceremony is April 26 at the Bryan Simpson U.S. Courthouse, when people from countries all over the world will be sworn in as U.S. citizens. Also April 26, the JBA hosts “Rendezvous on the Rooftop” at Intuition Ale Works, a happy hour for association members and their guests. Committee members a few weeks ago visited four art classes at West Riverside Elementary School and explained to students what is meant by “separation of powers” in preparation for the young artists creating posters

The new office space is schedued to be ready for move-in by the end of July.

Students from LaVilla School of the Arts visited the Bryan Simpson U.S. Courthouse last week to present a collection of their work to the federal court. The paintings, 25 created and donated by the students, have the theme “iconic landmarks in America.” The collection was accepted on behalf of the court by U.S. District Judges Marcia Morales Howad and Timothy Corrigan. Each student received a certificate of appreciation and several spoke to their peers, parents and court staff to explain the inspiration behind their paintings. The paintings will be permanently displayed in public areas throughout the courthouse.

Edwards & Ragatz building-out offices

The city issued a permit for the $480,500 build-out of new offices for the Edwards & Ragatz law firm. In September, E&R Salisbury Properties LLC partners Thomas Edwards Jr. and Eric Ragatz bought a three-story, 43,000-squarefoot office building at 4401 Salisbury Road for $2.3 million. The second floor is being renovated for the firm. Crabtree Construction Co. is the contractor. GOALS FOR THE JBA For more than a decade, I have been heavily involved in the local and statewide Bar associations. More than ever, I believe our Bar association needs to be relevant to more lawyers. It’s a difficult task because what one lawyer finds helpful or interesting, another may not. I think we can accomplish our goal of relevance by analyzing data and conferring with more lawyers. We should sharpen our focus on: (1) membership value; (2) health & wellness; (3) technology; (4) mentorship; (5) implicit bias; (6) and professionalism, in addition to the many projects already underway. Some projects, such as an effort to develop better tracking and programming for lawyer referral services between the JBA and Jacksonville Area Legal Aid, are ones that I hope to see become successful by remaining on the board. We have worked very hard toward becoming more relevant in recent years and I will push for that to continue. I promise to be diligent and to collaborate with other Bar associations around Florida about ways to improve our organization. The 4th Circuit has a strong, collegial and dedicated Bar association. I will further that reputation and work with board members and Bar staff to explore all opportunities for our profession.

FRP building sale changes business FRP Holdings Inc.’s agreement last month to sell a large group of industrial properties for $358.9 million will have a drastic impact on its operations. The portfolio of 41 industrial warehouses accounted for about 69 percent of its 2017 revenue and 42 percent of its net assets at the end of the year, according to a proxy statement filed by Jacksonville-based FRP. Pro forma financial statements in the proxy show if the transaction already had been completed, it would have reduced FRP’s operating profit from $13.6 million last year to about a break-even level. However, the company believes the sale to an affiliate of Blackstone Real Estate Partners will make it more profitable in the long run. “The FRP Board believes that divesting the properties will result in a significant overhead reduction and allow the sale proceeds to be reinvested in its other business segments to generate higher returns,” it said in the proxy, which was filed for the company’s annual meeting. The industrial properties are mostly in Maryland, with some also in Virginia and Delaware. After the sale, FRP’s main assets will be several development properties, including a high-profile riverfront apartment building

with retail space in Washington, D.C. It also owns properties leased for construction materials mining mainly in Florida and Georgia. FRP, along with trucking company Patriot Transportation Holding Inc., was spun off from Jacksonville-based construction materials company Florida Rock Industries Inc. in 1986. According to the proxy, FRP’s remaining assets produced $15.6 million in revenue last year, almost evenly split between rental revenue from developed properties and mining royalties. Because the building sale is such a significant part of its business, FRP will need shareholder approval for the deal at its annual meeting. The date for the meeting has not been set. The proxy says the Baker family of Jacksonville, which controls about 32 percent of the stock, agreed to support the sale.

Landstar System Inc. last week raised its earnings forecasts for the first quarter. After previously forecasting revenue of $925 million to $975 million and earnings of $1.22 to $1.27 per share, the Jacksonvillebased trucking company said in a Securities and Exchange Commission filing it now projects revenue of $1.03 billion to $1.05 billion and earnings of $1.35 to $1.40 per share. The company said it announced the new forecast to a group of analysts during a meeting for Landstar’s independent sales agents. “The momentum we experienced closing out 2017 has carried over into 2018. We continue to drive strong year over year volume growth and are currently experiencing an

So, Stein Mart last week said in an SEC filing it was back in Nasdaq compliance because the stock stayed above $1 for 10 consecutive business days.

ParkerVision could lose Nasdaq listing ParkerVision Inc. also is in danger of losing its Nasdaq listing,

with its stock trading below $1 for the past two months. The Jacksonville-based technology company last week said in an SEC filing it needs to raise its market value to $35 million or its level of stockholders’ equity to $2.5 million to regain compliance with Nasdaq requirements. ParkerVision’s stock was trading at about 80 cents for most of last week, giving it a market value of about $19 million, based on its most recent report of 23.8 million shares outstanding. The company had negative stockholders’ equity on its balance sheet at the end of 2017.

Deutsche Bank’s Cryan fired After weeks of rumors, Deutsche Bank on Sunday ousted CEO John Cryan and promoted President Christian Sewing to replace him. The German bank last month reported a 2017 net loss of 735 million euros (nearly $900 million), its third straight year of losses since Cryan became CEO in mid-2015. Deutsche Bank has been cutting operations globally but during a visit to its Jacksonville in 2016, Cryan promised to continue growing that office. Deutsche Bank had about 1,800 Jacksonville employees at the time and Cryan said he envisioned it growing to 2,800. In a message to employees two weeks ago, Cryan said he wasn’t leaving despite rumors of his ouster. “I just wanted to reaffirm that I am absolutely committed to serving our bank and to continuing down the path on which we started some three years ago,” the message said. “There is a lot of talk about our performance in and outside the

bank. We all know that we have a lot of work to do: our programs are ambitious, but the financial results have so far not been what all of us would want them to be,” he said. “We need to demonstrate more visibly the excellent progress we are making in so many areas, so that doubts about our bank fade away over time. We have strong momentum right now, so let’s not allow ourselves to be thrown off course.”

Dick’s Wings owner reports profit ARC Group Inc., operator of the Dick’s Wings & Grill restaurant chain, reported 2017 earnings of $344,740, or 5 cents a share, reversing a loss in 2016. Revenue more than tripled from $1.28 million in 2016 to $4.45 million in 2017, due to the acquisition of two restaurants by the Jacksonville-based company that were formerly owned by franchisees. Dick’s Wings has 17 restaurants in Florida and five in Georgia.

Duos Technologies reports $5.2M loss Duos Technologies Inc. recorded a net loss of $5.2 million in 2017, with revenue dropping 36 percent to $3.9 million, according to its annual report filed with the SEC. The company said in the report the decreased revenue was caused by a delay of an $11 million capital raise that was supposed to close by midyear but did not actually close until six months later.
