Abel, Bean take leap together

Martire retiring as FIS chairman CEO Gary Norcross will take over role.

Fidelity National Information Services Inc. disclosed last week in a Securities and Exchange Commission filing that Frank Martire is retiring as a director and chairman of the board. Martire is a former CEO of the Jacksonville-based banking technology company known Martire as FIS. He had been CEO of Metavante Technologies Inc. and joined FIS as its chief executive when it acquired Metavante in October 2009. Martire retired as CEO on Jan. 1, 2015, and was succeeded by Gary Norcross. Norcross will take over Martire’s role as chairman, in addition to serving as president and CEO. In the SEC filing, FIS said the 70-year-old Martire’s retirement was based on a desire to pursue other interests. The retirement takes effect after FIS’ upcoming annual

AMC Regency 24 working to add Dolby Cinema experience Tech offers sharper visuals, extensive sound effects and rumbling – but not moving – chairs. AMC Regency 24 wants to provide customers a heightened movie experience with the conversion of an auditorium into a Dolby Cinema. The city approved a permit for Rowe Buck Inc. to convert Auditorium 24 at the Arlington movie complex for the Dolby Cinema experience, described in media reports as offering sharper visuals, extensive sound effects and rumbling – but not moving – chairs. AMC’s application for the project explains it will provide mechanical and electrical equipment for a new projection system in the booth and new speakers in the auditorium. It includes a new projector and viewport windows, new row seating risers, stairs and knee walls for new recliner seating and new finishes in the auditorium. Three organizations land donations after class-action lawsuit settlement money goes unclaimed. Liggio Law partner Jeff Liggio, a West Palm Beach-based trial attorney, visited Jacksonville Area Legal Aid last week to deliver donations to three local pro bono legal service providers. He presented checks for $69,274.54 to JALA, $57,806.27 to Three Rivers Legal Services and $15,807.61 to Clay County Legal Services. The donations were derived from damage awards that were unclaimed after Liggio settled a class action lawsuit. Liggio said the litigation against a propane gas company went on for 12 years on behalf of about 65,000 plaintiffs. After $7.7 million was distributed to the plaintiffs, nearly $4 million remained. The court ordered that it be distributed to charitable organizations, including $2.2 million to help legal aid agencies provide representation for Florida residents who can’t afford to hire an attorney. In addition, The Florida Bar Foundation received $500,000 earmarked for legal aid at its discretion, “so get get your money,” Liggio said to the legal aid executives.

Baird analyst David Koning said he expects the results to be “okay,” with revenue and earnings in line with forecasts. “We view FIS as a good risk/ reward over the course of 2018, though don’t view the first quarter as a big catalyst,” Koning said.

Ceridian reveals terms of its IPO In the continuing series of spinoffs from Fidelity National Financial Inc. (including FIS), Ceridian HCM Holding Inc. last week revealed details of its initial public offering. Ceridian said in an SEC filing it plans to sell 21 million shares of stock at $19 to $21 each. Ceridian, a Minneapolisbased human resources technology company with $751 million in revenue last year, was acquired in 2007 by a partnership of Fidelity and investment firm Thomas H. Lee Partners. The Ceridian stake became part of Fidelity’s investment subsidiary, which was spun off last year as a separate company called Cannae Holdings Inc. Cannae owns 33.1 percent of Ceridian and THL owns 62.1 percent. After the IPO, THL’s stake will be reduced to 51.3 percent and Cannae will own 27.3 percent, according to last week’s filing. Cannae is headquartered in Las Vegas but continues to be run by executives of Jacksonville-based Fidelity. Cannae announced in January that Ceridian was planning an IPO. Ceridian’s IPO is expected to hit the market next week. The company’s stock will be listed on the New York Stock Exchange under the ticker symbol “CDAY.” Ceridian will become one of a number of public companies that have been spun out of Fidelity over the past dozen years. FIS was spun off in 2006.

Analyst sees more Landstar gains Landstar System Inc.’s stock has moved little over the past two weeks, despite the Jacksonvillebased trucking company’s report that first-quarter earnings will be better than it originally forecast. But at least one analyst expects the stock to rise. Goldman Sachs analyst Matt

Two financial analysts see the potential for Landstar Systems Inc.’s stock to rise, while a third is less optimistic.

Reustle last week initiated coverage of Landstar with a “buy” rating, citing its “superior business model.” Landstar’s “asset light” business model involves contracting with drivers who own their own trucks through a series of agents across the country to haul freight. “Within our coverage universe, asset-light operators are positioned to show the highest returns while taking on the least risk over the longer term,” Reustle said in his report on the transportation industry. “With a track record of opportunistic shareholder returns, we view Landstar as an attractive business to own for the longer term,” he said. Reustle’s 12-month price target of $130 represents a potential 23 percent gain from Landstar’s stock price at the time of his report. Cowen analyst Jason Seidl raised his price target for Landstar last week from $115 to $118, but maintained a “market perform” rating on the stock. Seidl saw a positive atmosphere at Landstar’s annual meeting of sales agents two weeks ago, when the company issued its updated earnings forecast. “The Landstar convention was filled with bullish salespeople coming off what was likely the best year many of them have ever had. The tone was very positive on the 2018 outlook as well, consistent with what management said in its first-quarter preannouncement,” Seidl said in his research note on Landstar. “The company consistently

generates a notably high return on invested capital and high return on equity, rendering its shares attractive for long-term investors, but due to current valuation we would remain on the sidelines,” he said. Morgan Stanley analyst Ravi Shanker is less optimistic about Landstar’s stock, with an “underweight” rating and a $96 price target. “We believe the upside is more than priced in at Landstar given higher relative valuation vs peers, which keeps us underweight,” Shanker said in an earnings preview on the transportation industry.

CSX kicks off earnings season Shanker also has an “underweight” rating on CSX Corp., before the railroad company kicks off earnings season for Jacksonville companies with its firstquarter report Tuesday. “We believe the current backdrop for CSX’s turnaround is difficult as several key end markets face cyclical and secular threats (auto, coal, intermodal), pricing gains are decelerating, lowhanging cost opportunities may have already been taken and shipper scrutiny and investor expectations are high,” Shanker said in his report. He anticipates “an uncharacteristically quiet quarter at CSX” while he expects to “keep an eye on real estate gains” in the company’s report. In a follow-up note, Shanker said CSX during the first quarter

sold its stake in a Savannah hotel property for $77 million and also filed plans to sell 175 miles of rail lines in Georgia and Alabama for an undisclosed price. He said investors should take note of those gains in evaluating CSX’s earnings. “We continue to believe that gains from real estate/rail line sales and ancillary opportunities are less ‘core’ to railroading than carload/pricing growth and operational cost reduction,” he said.

Sun Tire reportedly sold to Mavis A New York-based chain of tire stores has acquired Jacksonville-based Sun Tire, according to reports by several tire industry news outlets. Mavis Tire Supply Corp. acquired the nine Sun Tire outlets in Jacksonville and two in Tallahassee. The company has not decided if it will change the name of the Sun Tire stores, the reports said. A Mavis spokesman did not respond to phone and email messages last week. Mavis, based in Millwood, New York, operates 430 tire and service centers in New York, New Jersey, Pennsylvania, Connecticut, Massachusetts, Georgia and Florida.

Times-Union owner makes more deals After acquiring The Florida Times-Union and 10 other daily newspapers from Morris Publishing Group last fall, New Media

Investment Group Inc. is selling two Alaska newspapers it bought from Morris. New Media, which has been buying up newspapers all over the country, announced last week it is purchasing the Akron Beacon Journal from Black Press Ltd. At the same time in a separate transaction, it is selling the former Morris papers in Juneau and Kenai, Alaska, to Black Press. The deals with Black Press follow New Media’s agreement three weeks ago to expand its Florida network by acquiring The Palm Beach Post & Palm Beach Daily News for $49.25 million. In addition to the Times-Union, New Media acquired The St. Augustine Record from Morris. New Media’s cluster of 11 Florida newspapers (before the Palm Beach deal) also includes daily newspapers in Gainesville, Daytona Beach and Ocala.

Jacksonville loan company grows earnings

Shepherd’s Finance LLC, a Jacksonville-based commercial lending company, reported 2017 earnings rose 51 percent to $782,000. The company said it had 168 construction loans to 52 borrowers in 16 states at year’s end, totaling about $30 million.

Atlanta firm buying Local Pet RX According to an SEC filing, an Atlanta-based developmentstage company called True Nature Holding Inc. agreed to buy Local Pet RX, a Jacksonville-based company that provides software and services to help pharmacies enter the veterinary marketplace. True Nature Holding also said in the filing it appointed Local Pet RX founder Jay Morton as its president and interim CEO. In its last financial report filed with the SEC, True Nature Holding reported no revenue for the first nine months of 2017 and said it intends to acquire businesses specializing in “compounding pharmacy activities, largely direct to consumers, and to doctors and veterinary professionals.” True Nature Holding agreed to issue 500,000 restricted shares of its stock to buy Local Pet RX. The new partnership has less than a month under its belt and there’s no immediate plan for expansion, or even a staff. Abel and Bean plan to practice in their small offices at Bank of America Tower a few floors below their former address. “But we’ll offer the big law values in a small office,” Bean said.

CST is a mixture of a- and ß- pinene (approximately 30 and 60% respectively), other monoterpenes of the general chemical formula C10H16, and various impurities including inorganics and unpleasant-smelling sulphurous compounds (e.g. methyl mercaptan and dimethyl sulphide). The facility products include pinenes, polymer additives, flavorings, fragrances, pine oil, and oil of turpentine. The facility operates three steam boilers. The No. 1 boiler has a 51 MMBtu/hr rating and is subject to NSPS Subpart Dc. The Nos. 2 and 3 boilers are each 77.5 million BTU per hour units constructed in 1974 and 1978, respectively, and not NSPS regulated. Vapors from process equipment are collected and incinerated in the Nos. 2 and 3 boilers. Fuels fired include natural gas, No. 2 fuel oil, Distilled Process Derived Fuel (DPDF), Residue Process Derived Fuel (RPDF) and on-specification used oil (OSUO). Emergency diesel engines 1, 2, and 3 are regulated units and the 2 and 3 engines are subject to NESHAP Subpart ZZZZ. The facility operates a wet scrubber as a control device after Boiler No. 1. The facility is a Title V and PSD major source with Potential To Emit (PTE) sulfur dioxide (SO2) emissions capped at 1549 tpy. The facility is an area source of Hazardous Air Pollutants (HAPs). Who or what inspired you to become a lawyer? When I was in kindergarten, our teacher asked us what we wanted to be when we grew up. Everyone else picked teacher, firefighter, doctor, etc., but I said a lawyer, which was funny, because I did not know any. So, I am not sure if I can credit the inspiration to everyone telling me I should be a lawyer because I argued so much, or my mom’s tireless dedication to “L.A. Law,” “Hill Street Blues” and “Cagney & Lacey.” How do you relate your undergraduate degree to your practice of law? As an English major, I learned how to do a lot of reading in a short amount of time and how to write a 20-page paper at 1 a.m. without much preparation. Most importantly, after a semester of student teaching, I knew for sure that others were better suited to teaching Greek mythology to high school students than I was. How did you decide your practice area? Both my dad and my brother are engineers, so I grew up being around construction. During my first year of law school I was lucky enough to work as a legal assistant for a construction lawyer. Since I had been around building plans, I felt comfortable with the documents and terminology. I enjoyed that with each case I was able to learn about different types of construction. I also liked that site inspections gave me more excuses to wear jeans to work.

What has been the biggest change in your practice area since you passed the Bar? This is going to make me sound old, but the speed of the practice. When I started practicing in 2002, email was used, but not consistently. Now it is almost the sole form of communication. Exchanges with opposing counsel that used to take two weeks are now done in minutes.

What do you think will be the next biggest change in your area of law? I think in all areas of the law, alternative fee arrangements will continue to take a bigger role in our relationships with our clients. As technology continues to grow, we will face greater competition from online legal entities such as LegalZoom, Rocket Lawyer and Avvo.

Someone who inspires me: Joanna Gaines

If I could change anything in the legal system, I would: Remind attorneys that there is a difference between being a zealous advocate and taking a case personally. Being a lawyer is hard enough without attorneys being unprofessional to one another.

Elizabeth B. Ferguson grew up in a family of engineers and worked as a legal assistant for a construction lawyer in her first year of law school.

What community service have you pursued and why? When I moved to Florida in 2002, I did not know many people. Getting involved has helped me to make lifelong friends while also giving back. I was elected to the JBA Young Lawyers Section in 2006 and worked my way up to president of that organization in 2011. In 2012, I was elected to the JBA board of governors and now serve as the treasurer. The JBA is an excellent organization that gives back to the legal community and the Jacksonville community as a whole in so many ways, and I am lucky to be a part of it. I have volunteered with the ACE Mentor Program of Northeast Florida, which helps introduce high school students to careers in construction. I have also volunteered with the American Foundation for Suicide Prevention, which holds a special place

I have been very lucky to have several great mentors and would not be where I am in my career without their patience and guidance. Lawyers tend to think we know everything, but we don’t. As a young lawyer, you need someone you can turn to for advice and constructive criticism. Even now, I have several close friends who are attorneys and we look to each other for advice and input on not only the practice of law, but the business aspect of it as well.
