By Max Marbut Associate Editor When the justice system determines a child is abandoned, abused or neglected and cannot live at home in a healthy, safe environment, parental rights may be terminated and a court case begins. As of April 16, the most recent data available, there were 24,289 Florida
children in that situation, and 1,172 were in the 4th Judicial Circuit comprising Clay, Duval and Nassau counties. One of the first steps after a case is opened is for the presiding judge to appoint a Guardian ad Litem to advocate for the child’s best interests as the case progresses. He or she is a volunteer who gets to know the child and their family and
follows the case until its conclusion, advocating only for the child’s best interests. Circuit Judge David Gooding, who has presided in dependency court for the past 14 years, said the volunteers play a key role in due process. They appear in his court daily on behalf of clients and are “another set of eyes and ears.” Guardian

Foley steps back at Cannae as hockey team advances
As his hockey team advances in the National Hockey League playoffs, Bill Foley is stepping back from some of his other business activities. In a Securities and Exchange Commission filing last week, Cannae Holdings Inc. said Foley
no longer will serve as an executive officer. Foley had been executive chairman of the investment company, which was spun off from Jacksonville-based Fidelity National Financial Inc. last year. He will now serve as nonexecutive chairman of the board. Cannae is headquartered in Las Vegas, where Foley relocated after he was granted an NHL expansion franchise that began play this season. Larry McCallum, senior communications manager, said the company requested an easement to plan for an expansion to the production line in its manufacturing facility. He said the need was in line with demand for its Acuvue brand contact lenses. He said the expansion will require about 15 manufacturing technicians who work with robotics, lasers and programmable logic controllers and perform complex analysis. “Wages for those roles vary depending on skill and experience, but we are highly competitive in the Jacksonville market,” McCallum said.

Johnson & Johnson Vision is seeking to expand its campus at 7500 Centurion Parkway and hire more technicians because of increased demand for its Acuvue contact lenses.
McCallum said Johnson & Johnson Vision has about 1,800 employees in Jacksonville. Johnson & Johnson Vision, known well by its former name, Vistakon, developed the manufacturing, distribution and research and development campus on about 69 acres. The written description states that Flad Architects “will be expanding the existing Johnson & Johnson Vision (Vistakon) building in Jacksonville” at southeast Southside and Deerwood Park boulevards. “The Vistakon building expansion, in particular, will allow for an increase in square footage and thus an increase in high wage jobs
at its location,” says the written description. The plan shows it as Phase 8 of the approved plan. It states there is no increase in the amount of nonresidential floor area approved in the PUD. Johnson & Johnson’s Phase 7 expansion in 2015 was assisted by city and state incentives. A city spokewoman said she had no information about incentives for another expansion. Johnson & Johnson Vision also operates a plant in Limerick, Ireland. As reported April 23, New Jersey-based Johnson & Johnson said the previous week that firstquarter sales at its Jacksonville-
based vision care business grew 9 percent, excluding acquisitions, to $1.1 billion. Johnson & Johnson Vision primarily was a contact lens maker, but expanded last year with acquisitions of several companies that provide other eye-care services. The medical products company said contact lens sales grew 11 percent worldwide in the first quarter. It said total first-quarter sales, excluding acquisitions and divestitures, rose 4.3 percent to $20 billion. The business traces its roots to Jacksonville-based Frontier Contact Lens Co., which began in the 1950s and was acquired by John-

Clay County legal access project going statewide New attorneys at Holland & Knight
Florida Legal Access Gateway provides online help for pro se litigants. The Florida Legal Access Gateway, a service designed to help the public navigate the legal and court system in certain civil matters has been cleared for statewide launch. The program began on a limited, experimental basis in October 2016 at the Clay County Clerk of the Circuit Court’s office, offering pro se litigants online selfhelp forms and instructions for landlord-tenant issues and simplified dissolution of marriage. In some cases, people were referred to legal aid or other pro bono services. Seven months later, after Clay County Clerk Tara Green recruited a panel of attorneys, “low bono” legal services were added, allowing people to seek counsel from an attorney for $30 for a 30-minute session. Last week, the state Supreme Court’s Commission on Access to Civil Justice approved making the system available in all 67 counties while adding more types of civil case self-assistance. The expansion will be overseen by the Florida Bar Foundation and the Florida Justice Technology Center, developers of the pilot program.

Advising future judges on ethics, conduct Duval County Judge Roberto Arias, left, and 5th District Court of Appeals Judge James Edwards conducted a seminar Thursday for candidates seeking the office of judge in the August primary election. Edwards is vice chair of the state Supreme Court’s Judicial Ethics Advisory Committee; Arias is a past chair. Participation is mandatory for candidates, who learned some of the finer points of Canon 7 of The Florida Bar Rules that govern judicial ethics and professionalism. “You are starting to be a judge while you’re out on the campaign trail,” Edwards said.
According to the commission, more than 5,700 people visited the gateway site during the pilot program. Of customers who completed a survey, 100 percent said it was easy to use and 70 percent said they were satisfied with the service from the program. The online gateway was launched with a $500,000 budget derived from a bank settlement related to mortgage issues. The pilot program cost about $150,000 to design and implement. The commission anticipates the expansion can be accomplished within the $350,000 balance, with about $25,000 in recurring
annual expense to maintain the statewide program.

The movement to establish independent advocates for children in dependency courts began in 1977 in Seattle with the first “Court Appointed Special Advocates.” Two years later, the Jacksonville Chapter of the National Council of Jewish Women established the Jacksonville Child Abuse Task Force. The Junior League of Jacksonville became involved and was awarded one of three national grants to create a pilot program to recruit and train child advocates who did not have a background in law to serve as Guardians ad Litem. When the grant funding expired, and based on the early success of the program, the Legislature appropriated funds to expand the program statewide.
A SAFETY NET FOR A CHILD
“We make sure the child’s voice is heard in court because they can’t represent themselves. We are the safety net,” said 4th Judicial Circuit Guardian ad Litem Program supervising attorney Christine Meyer. She’s one of 41 people who work in the Jacksonville office, including nine lawyers, 23 child advocate case managers and nine administrative personnel. Their salaries, as well as contract services and certain other expenses, are funded by state revenue funds allocated by the Legislature, much like state attorneys and public defenders. The budget for the Jacksonville office is about $2.1 million this year. The city provides office space Downtown in the Ed Ball Building, along with informational technology and other infrastructure. THE ROLE OF VOLUNTEERS
However, the largest segment of the Guardian ad Litem team isn’t paid by the state and they don’t have offices in a city building. They are volunteers, 438 of them as of last week, who are representing about 700 of the children who either are in a foster home or have been placed with a selected relative. Of the nearly 300 adoptions he conducts each year, 99 percent involve contributions to the case made by a volunteer from the Guardian ad Litem Program. “They help Duval County double the annual goal set by the state Department of Children and Families for number of adoptions,” he said. “It’s a privilege to preside over an adoption. The best foster home in the world isn’t as good as a permanent family.”

That’s followed by 8 hours of classroom sessions and more hours of field training that covers all aspects of the program before the volunteer is assigned to a staff supervisor and then a case. Another part of pre-service training is observing court proceedings and learning courtroom etiquette, said Circuit Director Vanessa Byerly. “It takes about 30 hours to be fully certified,” she said. ‘I START OFF NEUTRAL’
Lauri Dieterle volunteered after her children were grown and has been a Guardian ad Litem for nearly 10 years. A former social services professional, she has worked with children in dependency court from infants to teens. After Dieterle is assigned a case, the first steps are to visit the child where she or he lives and also investigate the biological parent or parents’ circumstances. She said she has personal con-
tact with the parent “even if they are in jail” with the goal to “reunify” the family if at all possible. “I start off neutral, but sometimes my opinion can change,” Dieterle said. She visits each of her clients at least once a month and works to build a bond of trust with the child. She is an active participant in the case, including testifying in court during hearings, until the final adjudication, which takes months or longer. “It’s not a type of special privilege. “It’s broad experience and independent perspective. Any good judge listens to all witnesses,” Gooding said. THE PROGRAM FOUNDATION
Another group of Guardian ad Litem volunteers usually don’t have contact with the children, parents or foster caregivers. The Guardian ad Litem Foundation of Florida’s First Coast is a nonprofit that solicits donations
that are used to help recruit and train volunteers and support children in the program. That support can range from providing sandwiches and soft drinks for volunteers participating in the daylong training session at the Ed Ball Building to providing items for clients whose caregivers cannot provide them, such as clothing and school supplies, said Heather Solanka, a civil attorney at Camerlengo & Anderson and chair of the foundation’s 16-member board of directors. In some cases, the need is for a necessity of life, like a mattress or a basic home appliance. “Last summer, some children were placed with a family member who didn’t have a working refrigerator. They were using coolers, so we bought them a refrigerator,” she said. The foundation’s signature event, “There’s No Place Like Home,” is a gala at the Duval County Courthouse. It debuted in 2016 when
attendees and sponsors from the legal and business communities donated about $60,000. That helped the foundation raise a total of nearly $128,000 that year. The second gala was April 13. Solanka said donations and pledges still are coming in, but it’s expected that the event will net more than $100,000. Even with the volunteers and fundraising, the group still can’t meet the demand for its help. Byerly said only 62 percent of the need is being met and there are about 400 children waiting for a Guardian ad Litem. “This field is not for everybody, but we welcome anyone who is over 21 years old to apply and go through the background check and orientation,” she said. Black Knight reported adjusted first-quarter earnings of 43 cents a share, 13 cents higher than last year and above analysts’ forecasts, which ranged from 38 cents to 42 cents, according to Yahoo Finance. “We’re off to a solid start to the year and are on target with our operational and sales initiatives,” said Jabbour, who took over at the beginning of the second quarter.
Main Street America announces merger The Main Street America Group, a Jacksonville-based property and casualty insurer, announced a merger agreement with American Family Insurance Group. Main Street America will become a subsidiary of Madison, Wisconsin-based American Family Insurance, but the companies said they don’t expect “major employee or operational changes” after the merger. Main Street America employs about 900 while American Family Insurance has about 11,300 workers. American Family Insurance ranks 315th on the Fortune 500 list of the largest U.S. companies with $8.8 billion in revenue last year. Main Street America had more than $1 billion in premiums in 2017. Both companies are mutual holding companies, meaning they are owned by their policyholders. The merger will require approval
of policyholders and state insurance regulators, and is expected to be completed by the end of this year. “With a heavy concentration on the East Coast, Main Street America will help extend the reach of the American Family group. American Family, in turn, will help bring new products and technology to Main Street America and its policyholders,” American Family CEO Jack Salzwedel said in a news release.
ACFC-Ameris merger approved Atlantic Coast Financial Corp. reported slightly lower earnings during what was likely its last full quarter before it merges into Ameris Bancorp. The Jacksonville-based parent company of Atlantic Coast Bank said it has received regulatory approvals for the merger. Ameris officially is headquartered in Moultrie, Georgia, but its executive offices are in Jacksonville. Atlantic Coast Financial reported first-quarter earnings of 9 cents a share for the quarter, a penny lower than last year. The company said noninterest income was lower than the first quarter of 2017, mainly because of lower gains on the sale of loans.
Proxy advisory firm opposes CSX pay Shareholders of CSX Corp. last year overwhelmingly approved a big pay package for new CEO Hunter Harrison, who died in December. Pay packages for Harrison’s successor, James Foote, and other current CSX officers are less controversial, but proxy advisory firm Institutional Shareholder
Services recommends shareholders vote against their compensation at this week’s annual meeting. The advisory vote at the meeting is nonbinding and is unlikely to impact anyone’s pay, even if shareholders disapprove. ISS said in its report that it is concerned about “pay-for-performance” clauses. “Short-term incentives were paid above-target despite setting the operating income target below 2016 performance. Shareholders generally expect payouts to be lowered when goals are set lower than the prior year’s performance,” it said. Harrison’s estate forfeited stock options potentially worth $116 million when he died. But ISS saw his option package as excessive because it “represented an outsized pay opportunity that was not in line with market, even when annualized over the fouryear agreement term. The lack of performance criteria on half of that award is concerning in light of its sheer size.” ISS also expressed concerns about “problematic severance arrangements” for executives who left CSX during the management upheaval last year. CSX issued a response in an SEC filing last week saying its increase in earnings and its stock price last year justified the pay packages. It also said its pay policy going forward is fair. “We have established annual incentives for 2018 and longterm incentives for 2018-20 that include challenging targets to support our pursuit of exceptional returns for our shareholders,” the company said. CSX also said another prominent proxy advisory firm, Glass Lewis & Co., recommends shareholders vote for the executive pay
proposal. CSX will hold its annual shareholders meeting Friday at the Prime Osborn Convention Center.
Rayonier AM earnings below forecast Rayonier Advanced Materials Inc. last week reported firstquarter earnings of 38 cents a share, well above last year’s earnings of 15 cents, after the company’s late 2017 acquisition of Tembec Inc. “Our first quarter results demonstrate the benefit scale and diversification resulting from our acquisition of Tembec,” CEO Paul Boynton said in Rayonier AM’s conference call. While earnings rose, they came in below analysts’ forecasts which ranged from 39 cents to 51 cents, according to Yahoo. Rayonier AM’s stock fell $1.80 to $18.49 Tuesday after the earnings report. On the bright side, Vertical Research Partners analyst Chip Dillon said the sell-off created an “attractive entry point” and upgraded his rating on the cellulose specialty products company from “hold” to “buy” on Wednesday. “We admit that we were disappointed by Rayonier Advanced Materials’ first-quarter soft showing. However, we exit the quarter with an increased confidence in the company’s earnings outlook following a more comprehensive review of its operations post-Tembec,” Dillon said in a research report.
FRP property sale vote is Monday FRP Holdings Inc. last week reported first-quarter earnings of 15 cents a share, a penny higher than last year. The Jacksonville-based real
estate developer’s operations will change drastically during the second quarter after FRP agreed to sell a portfolio of 41 industrial properties to an affiliate of Blackstone Real Estate Partners for $358.9 million. Shareholders are scheduled to vote on that deal at FRP’s annual meeting Monday and if approved as expected, the deal could close within a week. FRP has said it expects to invest the proceeds from the sale in other projects. “Cash is a wonderful asset and we will treat it dearly. We will look for opportunities to develop properties or buy aggregate assets,” CEO John Baker said in the company’s conference call Tuesday. “If unsuccessful we may buy stock back or we many return the cash to our investors as dividends,” he said.
Blackstone buying Gramercy for $7.6B Blackstone announced a bigger real estate deal week, agreeing to buy Gramercy Property Trust for $7.6 billion. New York-based Gramercy’s large industrial real estate portfolio includes several Jacksonville properties. According to Gramercy’s firstquarter report, it owns three fully leased warehouses in Jacksonville totaling 1.84 million square feet of space occupied by Dr Pepper/ Seven Up Inc., Conopco Inc. and Haier U.S. Appliance Solutions. It also owns five office properties totaling 420,127 square feet that are 78.3 percent leased, including three buildings at the Gramercy Woods office park on the Southside. mbasch@jaxdailyrecord.com

Attorney Sarah Mannion soon will be president-elect of the Jacksonville Women Lawyers Association. She worked her way through law school as a legal assistant at the firm where she’s now the senior associate and is active in organizations that promote the interests and welfare of women. What inspired you to become a lawyer? Through being a Girl Scout, I became drawn to leadership positions. As I progressed through high school and college, I became more involved with different leadership programs and civic organizations. Through that involvement, I realized the majority of decision-makers and leaders are lawyers. I’ve heard many times that “decisions are made by those who show up” and I firmly believe that in any crisis, the first ones who show up are lawyers. How did you decide your practice area? And why have you chosen that? When I graduated from the University of North Florida I was drawn to a career as a lawyer, but wanted to immerse myself in the field before making the threeyear commitment to law school. I started working at my firm as a legal assistant in 2007 and the primary area of law practiced was consumer bankruptcy. While it can be a challenging area of law, you experience firsthand how the law affects individuals, their families, and how important it is to be knowledgeable and a compassionate advocate. After
two years, I was still with the firm, but was confident I was ready for law school. What has been the biggest change in your practice area since you passed the Bar? As the economy has recovered, the rate of filing consumer bankruptcy has drastically decreased. As a result, I shifted my practice areas to include real estate, probate and estate planning. As the economy continues to change and the needs of our community along with it, it is imperative to have a diverse wheelhouse so that my primary practice area can adapt and change as needed. What do you think will be the next biggest change in your area of law? Within the area of real estate, I believe we will see technology playing a far greater role. It will be interesting to see how the real estate and banking institutions adapt to a more “paperless” environment in the next few years. Within the next 5-10 years, I believe we will see major changes in the treatment of student loans in consumer bankruptcy. The economy cannot support the

Sarah Mannion pursued a career in law because she was drawn toward leadership positions. ever-increasing student loan debt and I believe Congress will have to act to ease the burden. If I could change anything in the legal system, I would: Ensure that justice is truly accessible to all. Too often, those without means have no recourse because they cannot afford counsel. While I am thankful for the good work and dedication of legal aid in our community, the resources only go so far. As attorneys, I believe we have an obligation to fill in the gaps. What community service have you pursued and why that? Women’s issues are incredibly important to me and this is reflected in my volunteer work. Within the legal community, I joined the Jacksonville Women Lawyers Association when I was
admitted to the Bar in 2013. Within JWLA, I assisted on the Judicial Reception Committee during my first year and then was asked to join the board in 2014. I have continued to serve on the board since and will become president-elect in July. Being a part of this organization has introduced me to so many incredible women in our legal community. I am so proud of the work we have done over the past couple of years to bring attention to the issue of gender equality within the legal profession. I also serve as the first vice president of the board for the Women’s Center of Jacksonville. In October, I will have the privilege of becoming president of the board. The Women’s Center is the only gender-responsive and trauma-informed nonprofit in our area that focuses exclusively on women’s needs. It offers rape recovery, counseling on a sliding scale fee basis and community education. This month, we are opening the new state-of-the-art S.A.F.E. Center, which will be a center for sexual assault victims, survivors and their families.

What’s your advice for new lawyers? Do your best to find balance. It is easy to let this profession overwhelm you. Remember to take time for yourself, your family and your friends. If you feel overwhelmed or too stressed, speak up and ask for help.
