Shareholders agree to deal that transforms FRP Holdings Company agrees to $358.9 million warehouse sale, leaving it “a very different company.”

At FRP Holdings Inc.’s annual shareholders meeting Monday, stockholders approved a deal that will transform the Jacksonvillebased real estate developer. “It’s a very different company than you saw two years ago when you came to the annual meeting,” CEO John Baker said at The River Club Downtown. Shareholders approved a deal Monday that was announced in March to sell FRP’s portfolio of 41 industrial warehouses, mainly in the Baltimore-Washington, D.C., area, to an affiliate of Blackstone Real Estate Partners for $358.9 million. When the deal closes next week, FRP’s remaining assets will include a mixed-use development project in Washington, D.C., called RiverFront on the Anacostia, three office buildings and 14 quarry sites leased for mining construction materials. The company expects net proceeds of about $250 million from the Blackstone deal, FRP President David deVilliers said. FRP is looking at options for spending that cash, which will be its largest asset after the sale and could determine the company’s future direction. “Obviously, $250 million is a lot of money,” deVilliers said. A U.S. Bankruptcy judge in Delaware on Monday confirmed Southeastern Grocers LLC’s prepackaged Chapter 11 reorganization plan. Jacksonville-based Southeastern, parent of Winn-Dixie and three other supermarket chains, expects to emerge from Chapter 11 “in the coming weeks,” the company said in a news release. Southeastern filed its plan with the U.S. Bankruptcy Court for the District of Delaware on March 27. With most of its creditors approving the plan in advance, the company was able to move quickly through the court process. U.S. Bankruptcy Judge Mary Walrath confirmed the plan after a hearing in her Wilmington courtroom Monday morning. Southeastern said it will operate more than 575 stores under the Winn-Dixie, Bi-Lo, Fresco y Más and Harveys banners as it emerges. The company operated 704 stores when it filed its Chapter 11 petitions and said at the time it planned to close 94 stores and sell others, leaving it with about 580. The confirmation order does not give details about additional store closings or sales. The order also doesn’t specify who will own the company when it emerges. Profit also plans to lease 2,159 square feet on the street level for additional retail space. Peterbrooke Chocolatier is the current tenant and is expected to return after construction is completed. Plans submitted to the DDRB show a second-level fitness center at 556 square feet, with two one-bedroom apartments ranging from 791 square feet to 851 square feet, and another 1,014-squarefoot two-bedroom apartment. The plans show floors three through seven with a mix of onebedroom apartments ranging from 671 square feet to 851 square feet. The rooftop deck features seating options and a fire pit. The Western Union Building was constructed in 1915 as a parking garage and converted to office space around 1950. Plans show 9,600 square feet split between two restaurant spaces and an office tenant. ACE JAX seeks three deviations to address reduced required parking, building transparency, and to exceed building height standards for that area of Downtown. The project includes the redevelopment of the Barnett Bank and Laura Street Trio buildings. The parking garage is proposed for what is now a city-owned, street-level parking lot along Forsyth Street between Main and Laura streets. Dasher Hurst Architects and Danis Construction are overseeing the project. development opportunities in the Baltimore-Washington market. It can avoid taxes on the building sale by using the proceeds to buy other properties, but the company has only 45 days to identify properties to take advantage of that tax benefit, Baker said. “It’s hard to do in a short period of time,” he said. If FRP can’t find good development opportunities, it may use the proceeds to pay a large dividend to shareholders. “We will look for good deals that make sense,” Baker said after the meeting. “If we can’t find anything that’s good, we’ll give the money back to our shareholders.” One fund manager is confident of Baker’s ability to find the right deals. Third Avenue Management disclosed in a quarterly shareholder letter that its small-cap value fund bought an unspecified number of FRP shares. Portfolio manager Victor Cunningham said in the letter he

bought the shares before the Blackstone sale was announced, and he saw the deal as good news. “It gives the Bakers excess capital to build out their development assets or acquire other properties. Given their distinguished track record, we are confident they will create wealth with the excess capital,” he said. The track record includes running Jacksonville-based construction materials company Florida Rock Industries Inc., which was sold to Vulcan Materials Co. for $4.2 billion in 2007. FRP was formed in 1986 as a spinoff company of properties owned by Florida Rock. The properties included a concrete plant site in Washington, D.C., which now is being transformed into the RiverFront project. FRP, through a joint venture, completed Phase I of that project last year and has begun building Phase II alongside it. The company will use $20.25 million of the proceeds from the

Blackstone sale on Phase II, deVilliers said. The building sale will be the second big deal completed recently by companies run by Baker’s family. Two weeks ago, Martin Marietta Materials Inc. completed its $1.625 billion acquisition of Bluegrass Materials Co., another Jacksonville-based construction materials company. Baker said his family owned 15 percent of Bluegrass and wanted to keep the business but private equity firm Lindsay Goldberg, which owned 70 percent, wanted to cash out. “We didn’t want to sell but we had to,” he said. Cunningham cited the Florida Rock and Bluegrass sales as examples of Baker’s success. “The family has a long history of creating value for shareholders,” his letter said. mbasch@jaxdailyrecord.com

SHOR Tavern will be built in the hotel’s existing lounge area. The SHOR is coming in at the Hyatt Jacksonville Regency Riverfront. The city is reviewing a permit application for a $900,000 renovation on the first floor of the hotel for the SHOR Tavern at the site of its existing lounge. Hotel management said it had no information to share. The permit application shows a 5,000-square-foot project, and plans outline the bar at 2,915 square feet. Jonathan Nehmer & Associates Inc. of Rockville, Maryland, is the architect. Hotel General Manager Luis Aloma said in March that three new restaurant concepts were coming to the Hyatt that could open this summer. The three are the SHOR Seafood Grill, the Tavern and The Market, although he said those names are subject to change. The hotel lobby, at 225 Coastline Drive E., was renovated after Hurricane Irma flooded the property in September. The Market, a grab-and-go concept, will operate 24 hours. The SHOR Seafood Grill will serve as the hotel’s three-meal restaurant and can accommodate from 60 to 150 diners, with adjustable space. The SHOR Tavern formerly was Currents Lounge. After renovations, the Hyatt lobby re-opened Feb. 14. During renovations, food service was moved to some con-

verted meeting rooms. When the lobby opened, the restaurant service was moved to the Currents space and part of the former dining space. The 19-floor, 951-room hotel was built in 2001.

Critical Alert Systems approved for remodeling Critical Alert Systems Inc. is a step closer to relocating to Liberty Business Park. The city approved a permit Friday for Tenant Contractors Inc. to remodel 15,758 square feet of office space for the Jacksonville-based company at 4901 Belfort Road, No. 130, at a job cost of $157,399. Critical Alert Systems provides nurse-call systems for hospitals and health care centers. It will relocate from 5343 Bowden Road, which is about 3 miles north of Liberty Business Park. Spokesman Joshua Troop said in April the company needed a more up-to-date layout with open floor plans, meeting space, staging areas and other uses. Plans show offices, a conference room, training, an open office area, production, warehouse space, shipping and more. Critical Alert, which has been based in Jacksonville for 30 years, employs almost 100 people, with about 25 working remotely across the country. The 75 Jacksonville staff members will be relocating to the new offices, Troop said. The stockholder agreement filed with the confirmation order has language indicating investment firms Fidelity Management & Research Co. and Osterweis Capital Management may own more than 15 percent of the stock, but gives no more details. Southeastern currently is owned by funds affiliated with

investment firm Lone Star Funds. Under the plan, Lone Star’s equity will be wiped out but it will get a five-year warrant entitling the funds to buy 5 percent of the stock. Wolfson Children’s Hospital Women’s Board tops funding goal: The Women’s Board of Wolfson Children’s Hospital donated more than $825,000 to Wolfson Children’s Hospital, exceeding its goal by $25,000. The 2017-18 fundraising season marked the final year of a five-year, $4 million pledge for the Pediatric Surgery Center Miller of Distinction at Wolfson. The group next will raise money for a new Neonatal Intensive Care Unit. The Women’s Board named Katherine Forrester its 2019-20 president and Susie Arbizzani Miller winner of the Abbie Award for more than 30 years of volunteering as a Women’s Board member.

YMCA expansion: The James Weldon Johnson Family YMCA at 5700 Cleveland Road is beginning a $3.5 million, 4,000-square-foot expansion and renovation. The project will include a teen center and swimming pool. Wolfson Children’s Hospital expands partnership with Tallahassee Memorial Children’s Emergency Center: The 2½-year-old partnership now includes telemedicine, the use of telecommunication and IT to provide health care from the medical team in Jacksonville to Tallahassee. Cathedral Arts Project receives $100,000 grant: The National Endowment for the Arts awarded CAP $100,000 to perform a survey, analysis and report on art education in the region.

Salt de Terre launches community enrichment initiative: CrossFit Salt de Terre, a new gym in the Rail Yard District at 2385-2 Corbett St., launched a “Be Better, Do More Challenge” to encourage members to participate in nonprofit events.
