CSX pledges focus on safety

By Mark Basch Contributing Writer While much attention has been focused on the efficiency of CSX Corp.’s railroad since new management came in last year, CEO James Foote now is putting more resources into safety. Foote told shareholders at the c o m p a n y ’s annual meeting Friday that CSX will be announcing a new chief safety officer this week and also is bringing in an Foote outside consulting firm to help with safety issues. “Because of the incidents earlier in the year, I thought we needed additional help,” he said. After the meeting, Foote said the incidents included the deaths of two Amtrak employees in a collision with a CSX train in February in South Carolina. Foote said his No. 1 concern in running CSX is fear that “someone’s going to get killed,” so he’s taking steps to prevent it. “Maybe we should have some fresh eyes” looking at safety, he said.

By Max Marbut Associate Editor When situations change, sometimes the best business strategy is to go back to what worked in the beginning. That’s what led attorney A. Russell Smith to, after 35 years at 519 N. Newnan St., move his criminal defense, family law
and mediation practice into an office at Executive Suite Professionals on the 14th floor at TIAA Bank Center. He began his private practice in a small office near the Duval County Courthouse and that’s how he plans to retire from his practice. “It has simplified my life tremendously,” Smith said. “I’ve gone from writing
40 checks a month and being a landlord to writing six checks a month.” After being admitted to The Florida Bar in 1980, Smith joined the Public Defender’s Office. Three years later, he rented a small office in the Blackstone Building and hung out his shingle across SMITH

‘There’s No Place Like Home’ gala raises $130,000 for Guardian ad Litem It’s more than twice the amount raised at event last year. By Max Marbut Associate Editor The second edition of “There’s No Place Like Home,” the gala presented by Coker Law on April 13 to benefit the 4th Judicial Circuit Guardian ad Litem Program, raised about $130,000 that will be used to help abandoned, abused
and neglected children that have entered the dependency court system in Clay, Duval and Nassau counties. That’s more than twice the amount donated at the inaugural event in November 2016. “It will allow us to send more of the kids to camp this summer and let them have more activities,” said Heather Solanka, president of the Guardian ad Litem Foundation of Florida’s First Coast and an attorney at Camerlengo & Anderson. The gala proceeds more than triple the foundation’s ability to
help children compared to last year. That will allow the foundation to more quickly meet the basic needs of more children, such as when a child breaks their eyeglasses and needs a replacement, she added. “In the past, we would go to the agencies that work with us to pay for the glasses. We appreciate the help from Daniel, Family Support Services, Neighbor to Neighbor and Children’s Home Society, but GALA

Kamiya 86 taking Ovinte space at Town Center Fourth area location for the sushi bar and restaurant expected to open in August. Ovinte restaurant in St. Johns Town Center appears slated to become the Kamiya 86 sushi bar and restaurant, the fourth location for the group. Property owner Jacques Klempf, a partner in the closed Ovinte wine bar, confirmed Friday that the structure at 10208 Buckhead Branch Drive will be leased. He declined to identify the tenant, but construction plans filed Thursday with the city show that Kamiya 86 will renovate the 5,300-square-foot space along with outside patio seating. Kamiya 86 Royal Group, led by Wen Hui Chen, registered its name with the state in October at the Buckhead Branch address. Paul Somers with Watson Commercial Realty Inc. represented Kamiya 86’s owners in the lease negotiations. He said Alex Chen is the owner along with his wife, Michelle Chen, and Danny Chen. Somers said they signed a 10-year lease in March and anticipate opening the restaurant in August. Plans show the kitchen area will remain, while the bar and equipment will be removed. The dining area will be remodeled,

adding a new fruit bar and sushi bar. Plans indicate indoor and outdoor seating. Somers said the restaurant will sell beer, wine and cocktails. Contractor Jamil Zarazel with Nialvi LLC said preparation work will start soon and he hopes to be completed in about three months. Somers said Kamiya 86 operates in Neptune Beach, Jacksonville Beach and Ponte Vedra Beach. The Ponte Vedra restaurant’s website says it sells Japanese, Chinese and Thai cuisine. Ovinte closed in July. Klempf said then he would sell or lease the
building. Somers said Drew Margol, managing member of Margol Commercial Realty Services, represents the landlord. Through Buckhead Equities LLC, Klempf owns the building, which he leased to Ovinte. He owned Ovinte with business partner Fraser Burns. They closed Ovinte after almost five years, calling it a business decision not to renew the lease. Ovinte was part of Forking Amazing Restaurants LLC. They said in a statement after closing Ovinte that it was one of the first locally owned and operated restaurants at St. Johns

Klempf and Burns opened Ovinte in late 2012 and served Spanish and Italian-influenced cuisine, wine and cocktails. Ovinte was part of the Forking Amazing Restaurants portfolio that included Cowford Chophouse Downtown, Bistro Aix in San Marco and the closed Il Desco in Riverside. Il Desco, which opened in 2015 at 2665 Park St., closed in January. Klempf said in a release the
group looked forward to “new opportunities” at the location. Bistro Aix at 1440 San Marco Blvd. reopened in February after renovations to recover from Hurricane Irma’s damage in early September. Cowford Chophouse opened in October after Klempf bought the former Bostwick Building at 101 E. TapImmune announces merger, relocation The companies expect to complete the merger in the second half of this year.
Company with small Jacksonville presence moving HQ to Houston. Jacksonville-based pharmaceutical research company TapImmune Inc. last week announced a merger that will result in a name change and a relocation of its corporate office. TapImmune agreed to a merger of equals with Marker Therapeutics Inc. in which stockholders of publicly traded TapImmune and privately owned Marker will each end up with 50 percent of the combined company. Marker is headquartered in Minnesota but has a relationship with the Baylor College of Medicine in Houston. As TapImmune establishes an alliance with Baylor, it will move its headq u a r te rs to Houston, the company said. TapImmune, Hoang which has been developing immunotherapy treatments for cancer, moved its headquarters from Seattle to Jacksonville in 2015 when it began trials of a breast cancer treatment at the Mayo Clinic. The company has maintained a small office in Downtown Jacksonville and has seven employees, according to its annual report. TapImmune CEO Peter Hoang will continue as chief executive of the merged company, which will have a new name that has not yet been announced. Marker, like TapImmune, is developing cancer therapies. “I believe that the new therapies we are acquiring with Marker in this transaction represent the next major leap forward in cell therapy for cancer,” Hoang said in a news release. TapImmune, which currently has 10.7 million outstanding shares of stock and 7 million warrants and options to buy stock, will issue an equal number of shares and warrants to Marker stockholders to complete the 50-50 merger. TapImmune’s shares have been trading near $3 recently.
ParkerVision reported a drop in sales of its Wi-Fi product, Milo.
Convergys said in merger talks TapImmune has never been a major employer in Jacksonville, but another company that has been a significant local job provider could be headed for a merger. The Wall Street Journal reported that Convergys Corp. “is in talks with several parties” about a potential buyout of the Cincinnati-based provider of customer service functions. Convergys has a Jacksonville customer service center that originally was formed in 1983 as a subsidiary of AT&T to handle shareholder services for the court-ordered breakup of AT&T. That business, called American Transtech, employed more than 4,000 people in Jacksonville at its peak. Under Convergys’ ownership, employment at the business has fluctuated widely as contracts have been won and lost, but has been closer to 1,000 in recent years. JAXUSA Partnership reported its Jacksonville employment at 700 in late 2017. The Journal, citing “people familiar with the matter,” said Convergys is looking at potential buyers because of the pending retirement of CEO Andrea Ayers. The company also could decide to remain independent and hire a new CEO, the newspaper said. That report sent Convergys’ stock up as much as $3.28 to $25.74 on May 11, but merger rumors seemed to be cooling off in the middle of last week. “We haven’t had calls recently from private equity firms, and aren’t sure who a logical strategic buyer could be,” Robert W. Baird analyst David Koning said in a research note Wednesday. Koning also said a report on website Dealreporter “indicated limited interest from potential buyers.”
Dick’s Wings parent revenue up, store count down
ARC Group Inc., operator of the Dick’s Wings & Grill restaurant chain, reported higher revenue in the first quarter, but also indicated the size of the chain was reduced. The company said it now has 15 Dick’s restaurants in Florida and five in Georgia, down from 17 in Florida at the end of 2017. It did not provide any information

GEE Group reports $2.9 million loss about closed restaurants. ARC Group said revenue in the first quarter rose 14 percent to $1.25 million. However, adjusted earnings fell 66 percent to $76,364, or 1 cent a share. The company’s quarterly report filed with the Securities and Exchange Commission said the lower earnings resulted from higher restaurant operating costs, employee compensation and other expenses.
ParkerVision sales drop after launch of new product
ParkerVision Inc. has been promising increasing sales for its in-home Wi-Fi product Milo, which launched last fall. However, the Jacksonvillebased company last week reported first-quarter sales were lower than the fourth quarter. Total revenue for ParkerVision, which had no revenue before introducing Milo, was $77,000 in the first quarter, down from $100,000 in the Parker fourth quarter. The company had an adjusted net loss of $3.5 million, or 15 cents a share, in the first quarter. During the company’s quarterly conference call last week, CEO Jeff Parker said the company will be ramping up marketing spending for Milo. The plans include partnering with a direct sales and marketing firm and a national media campaign in the third quarter. “Until now, our marketing dollars have really been like throwing a pebble into an ocean,” Parker said. “We are now quickly moving towards throwing a boulder into a

Most of that revenue came from a delivery of its tethered aerostat product called the Winch Aerostat Small Platform to the U.S. Army, valued at more than $800,000. Duos Technologies sees revenue jump Duos Technologies Group Inc. last week reported first-quarter revenue rose 11 percent to $1.1 million, but because of contracts in backlog, it is projecting total revenue of at least $9.3 million for all of 2018. “With recent multimilliondollar awards in two of our target market segments, we now not only have validation for our entries into those industries, but we have also created the foundation to achieve sustainability over the long-term.” CEO Gianni Arcaini said in a news release. Jacksonville-based Duos provides intelligent security and analytical technology solutions. The company recorded a net loss of $743,000, or 4 cents a share, in the first quarter.
Army contract helps Drone Aviation Drone Aviation Holding Corp. reported a big increase in firstquarter revenue because of a sale to the U.S. Army.
GEE Group Inc. reported revenue rose 85 percent in the second quarter ended March 31 to $39.9 million, helped by an acquisition last year. However, the staffing company recorded a net loss of $2.9 million, or 28 cents a share. “We are encouraged about the increased use of contingent labor in the ‘gig economy.’ Secular changes in the workforce coupled with a very tight domestic job market are driving the demand for all of our services,” CEO Derek Dewan said in a news release. GEE Group is headquartered in Naperville, Illinois, but Dewan works from an office in Jacksonville.
Creative Learning turns profitable Creative Learning Corp. last week reported a net profit of $39,000 for the second quarter ended March 31, reversing a loss the previous year. Revenue rose 4.5 percent to $608,000, due to an increase in initial franchise sales. St. Augustine-based Creative Learning offers educational and enrichment programs for children through franchisees. Besides the higher revenue, the company also said its results were helped by lower legal expenses. Creative Learning went through a proxy fight with its former CEO last year and also dealt with a lawsuit filed by the SEC alleging securities violations. The company settled the lawsuit with the regulatory agency. “We believe we are beginning to see the results of the changes we have made in various segments of the business. Bay Street from the courthouse. Then he relocated to Newnan Street and rented an office on the second floor of the wood-frame structure that was built in 1904. When the owner of the building decided in 1985 to move to Washington state, Smith bought the building. It was renovated shortly before the purchase and Smith made substantial improvements in 2002. That was in addition to the usual ongoing air-conditioning, roofing, plumbing and electrical maintenance involved with a century-old building. Several months ago, while contemplating the need for another major renovation, Smith, 64, decided there would be inadequate return on the investment. “It didn’t make good sense to renovate it again when I’m not
planning to be practicing for another 20 years,” he said. He said selling the building and downsizing has proved to be a good decision. Going from being a landlord to a tenant has simplified his business and being able to walk to the county and federal courthouses has advantages over having to drive several blocks and then look for a parking place whenever he was appearing in court. “It’s more convenient for me and for my clients. And I’m still going through that pile of quarters on my dresser,” Smith said. Working in Class A shared space in a Downtown office tower has its advantages, he added. “It is beautifully appointed and well-maintained.” He has access to the full range of business services, including having his telephone answered,
his clients and guests greeted in the reception area and all sizes of conference rooms are available for client meetings, including a boardroom with a view of the Downtown skyline and the St. Johns River. “It has simplified my criminal defense and family law practice and I plan to ramp up my family mediation practice,” said Smith. Possibly the greatest difference between being a building owner and a solo practitioner who’s renting space monthly is the freedom Smith will have when he eventually decides it’s time to retire. “I can drop the keys on the desk and walk out the door,” he said.

CSX reported 1.11 personal injuries per 200,000 man-hours in the first quarter, ranking thirdbest among the seven large North American railroads, Foote said during the meeting. But that index rose from 0.97 in the first quarter of 2017. “That is unacceptable and we will get better,” he said. Improving safety is one of Foote’s goals in trying to make CSX the best-run North American railroad. “To be the best, you need to be the best in three critical areas,” he said. Besides safety, the other two areas are service and efficiency. CSX’s customer service was highly criticized last year when implementation of its new operating plan caused major disruptions in freight service. Foote said the company is improving and wants customers to expect deliveries on schedule. “Our goal is to deliver freight to the hour exactly when we said we would do it,” he said. While some metrics are improving, Foote said train velocity (average speed from origin to destination) is still 8 percent behind the rest of the industry. “We have a lot more work to do in velocity,” he said. The company’s main index of efficiency is its operating ratio, a metric closely watched by analysts which measures operating expenses divided by revenue. CSX’s first-quarter operating ratio of 63.7 percent was the best among the seven major railroads, Foote said, and the company is targeting a 60 percent ratio by 2020.

PATRICK KILBANE By Max Marbut • Associate Editor Patrick Kilbane is general counsel and director of the Divorce Advisory Group at Ullmann Brown Wealth Advisors in Jacksonville Beach. He’s also chair of the 4th Judicial Circuit Judicial Nominating Commission that will begin this week evaluating applicants for a vacancy on the circuit bench in Nassau County. The commission will conduct final interviews June 11 and by June 22 will submit a list of its recommended candidates for appointment to Gov. Rick Scott, who will select the circuit’s new judge.
One person (other than my spouse or partner) who inspires me: The Rev. Theodore M. Hesburgh, C.S.C. Father Hesburgh played an active and influential role in national and international affairs during and after his 35year presidency of the University of Notre Dame. He held 16 presidential appointments over the years that involved him in virtually all major social issues: civil rights, peaceful uses of atomic energy, campus unrest, treatment of Vietnam draft evaders, Third World development and immigration reform, to name only a few. Knowledge of finance, accounting, taxes, etc., was essential. How did you decide your practice area? And why have you chosen that? I didn’t. My father-in-law suggested interviewing with Rogers Towers. He had a close personal and professional relationship with the late Charlie Towers Jr. When I interviewed with Rogers Towers, I was lucky enough to be interviewed by David Garfinkel, Adrian Rust, Ellsworth Summers, Bob Pinder and a few others. I instantly clicked with all of them, and knew it would be a good fit. At the conclusion of my interview, Adrian told me Rogers Towers liked me, but while I spent the previous summer working for the NCAA’s Office of Government Relations in Washington, D.C., they filled all of their hiring needs with their summer associ-

My service to the community has been with organizations like the Young Lawyers Section of the Jacksonville Bar Association and the Notre Dame Club of Greater Jacksonville that tend to get involved in various service projects to help several different causes each year. I have enjoyed pitching in and helping wherever there is a need. Last year, I was asked to join the St. Vincent’s Foundation board of directors. Helping raise funds and awareness as to the tremendous work St. Vincent’s does in our community to treat those in need is an emerging passion of mine. Gov. Scott appointed me to the Jacksonville Aviation Authority board of directors and the Judicial Nominating Commission for the 4th Judicial Circuit. While these are different types of community service, these roles are essential to ensuring our economic growth in Northeast Florida, and recommending the highest quality judicial candidates to the governor for appointment.

Who or what inspired you to become a lawyer? When I was extremely young, I told my Dad I wanted to be a congressman. He told me in order to serve in the legislature, I should go to law school. Since that young age, becoming a lawyer was my goal so I could position myself to have the chance of serving in the legislature.
