New rule boosts pool of legal aid volunteers “Emeritus Rule” change frees more than 3,500 retired attorneys, judges and law professors to help clients. By Max Marbut Associate Editor The Florida Bar rule that governs who can volunteer to help clients at legal aid organizations changed Nov. 20 — and the change added more than 3,500 retired attorneys, judges and law professors from accredited law schools to the list of eligible candidates. Based on a recommendation from the Florida Commission on Access to Civil Justice, the state Supreme Court approved amending the “Emeritus Rule” and it could create a positive trend for the nonprofits that provide legal services to people who can’t afford to hire an attorney for a civil matter. “It’s designed to make it easier to connect lawyers who can help with clients who need help,” said Jim Kowalski, president and CEO of Jacksonville Area Rules

Ameris still waiting for all-clear on compliance issues Bank can’t finalize deal for Atlantic Coast until it gets FDIC go-ahead. Nearly a year ago, federal banking regulators told Ameris Bancorp it could not pursue any

merger and acquisition opportunities until it settled compliance issues with the Bank Secrecy Act. You might think it is all resolved because Ameris announced an agreement 10 days ago to buy Atlantic Coast Financial Corp. However, it turns out, the bank still hasn’t received the go-ahead from the Federal Deposit Insurance Corp. “We have a very high degree of confidence that the consent order is going to be lifted soon,

which would allow this deal to proceed through the approval channels and be consummated in the normal time periods without any delays,” Ameris CEO Edwin Hortman said during a conference call with analysts to discuss the $145 million acquisition agreement. Ameris hopes to close the deal in the second quarter of 2018. The Bank Secrecy Act is a federal law requiring financial institutions to help the government prevent money laundering.

Ameris has said software glitches caused the bank to be noncompliant, but that it has worked to fix the problem. During the bank’s quarterly earnings conference call last month, Hortman expressed confidence that the FDIC would soon lift the consent order, allowing Ameris to announce a merger deal before the end of this year. Ameris apparently couldn’t wait. During the call to discuss

Atlantic Coast Financial, Hortman said the bank had “a good exam” with the FDIC, which is why he expects to hear something positive from the regulators. “I firmly believe we’re in the final stretch of that effort,” he said. JU plans $3 million residence hall renovation Project scheduled for fall 2018 completion. Jacksonville University proposes to continue work at Williams Hall with the $3 million renovation to the attached McGehee residence hall. Jessica Ligator, JU director of capital projects, said based on the success of the first phase, JU is moving ahead with the second. It is scheduled for completion in fall 2018. She said the total project budget for construction, design and furniture, fixtures and equipment for the second phase is $3.2 million. Stellar Group Inc. is the contractor for the upgrades. A permit application shows that the four-story building contains 12

rooms on each floor. Ligator said it will encompass 88 rooms. The building will become one, called Williams Hall, with shared amenities, according to JU. In November 2016, the Arlington-based university at 2800 University Blvd. N. launched a $5.9 million renovation of Williams Hall, which was built for $1.5 million and opened in 1965. That project included new study rooms and recreation areas, a community kitchen and laundry facility and new finishes in the four-story, 132-room building. Stellar is the contractor and Cho Benn Holback & Associates of Baltimore is the architect for both phases. The 2016 project was the first major renovation since the residence hall was dedicated in the name of an early trustee of the university, Charles “Hickory” Williams. According to JU, Williams Hall opened in the fall of 1965, less than 10 years after Jacksonville

Junior College re-established itself as Jacksonville University on the riverfront. It said the addition of Williams along with the attached McGehee and Brest halls expanded oncampus housing to 600 students. Williams Hall closed in 2015 as construction of a new $12 million residence hall was completed on the north side of the campus. The re-opening of Williams Hall boosted capacity to about 1,300 students. Stellar says on its website that the Williams Hall renovation updated the residences and enclosed the breezeway with storefront glass to create a centralized common area tying to the adjacent McGehee Hall. It said the first-floor common areas included study areas, a reception area, offices and laptop charging stations. The building’s mechanical, plumbing and lighting systems were upgraded and all four floors involve a abatement of the flooring. The first floor was demolished

to expose the existing terrazzo and the second, third and fourth floors received vinyl plank flooring. Bathrooms were demolished and refinished to include two ADA-compliant bathrooms.

Busy year for young lawyers, Alexandria Hill Organization offers opportunities for networking, socializing, education and other activities. You probably won’t find a more active group of attorneys than members of The Jacksonville Bar Association’s Young Lawyers Section. Comprising lawyers either 35 years old or younger, or those who have been in practice for fewer than five years, YLS has a full calendar of events each year including philanthropic projects, educational opportunities, networking and socializing. “We have a lot of young energy and every year we add more events,” said Alexandria Hill, 2017-18 president and general counsel for Maple Street Biscuit Co. The most recent project was the annual “Afternoon at the Courthouse,” which gives new attorneys the opportunity to meet judges and judicial assistants and get a behind-thescenes look at the Duval County Courthouse — along with some CLE credit. One of the panel discussions involved three judges who explained mistakes new attorneys sometimes make in terms of courtroom procedure. “As a new attorney, it’s daunting stepping out. To hear judges explain the do’s and don’ts, I can hopefully avoid some of the pitfalls,” said Courtney Connor, who was sworn in to The Florida Bar in September. “It’s good to know there is help at the courthouse and they know what we are going through,” she added. Courtney Gaver, an associate in the Rogers TowGaver ers litigation department and chair of the event committee, said during the tour she saw areas of the courthouse that she doesn’t often visit. “You don’t realize how big the courthouse is and how many ser-

vices are available for attorneys and for the public. I don’t practice criminal law, so I hadn’t been to those courtrooms,” she said. Hill said the next YLS project is the annual “Holidays in January,” when children who are placed in foster care between Thanksgiving and Christmas are entertained for a day at the Jacksonville Zoo and Gardens. They go home with gifts donated by law firms that are delivered by Santa Claus. It’s a partnership with Family Support Services of North Florida and the Northeast Florida Paralegal Association. The annual charity cook-off at Riverside Arts Market will be scheduled in February when law firms will compete for several best chili awards, based the decision of a panel of judges. This year, a donation will be made to the nonprofit Rethreaded. In April, YLS will host its annual celebrity poker tournament, also to benefit a local nonprofit. The group also sponsors an

annual golf tournament, sports leagues for basketball, kickball and softball and a mentoring program for future lawyers at Raines High School. Hill said her final year with YLS will continue to be busy. “I’ll be sad to age out,” she said.

Applications sought for 2 vacancies on Judicial Nominating Commission There are two lawyer vacancies for each of the 26 Judicial Nominating Commissions. The Florida Bar has the opportunity to nominate six lawyers for each commission to Gov. Rick Scott for his appointment. Each appointee will serve a four-year term, commencing July 1. Applicants must be members of The Florida Bar engaged in the practice of law and a resident of the territorial jurisdiction served by the commission to which the member is applying. For the 4th Judicial Circuit, that’s Clay, Duval and Nassau counties. Commissioners are not eligible for state judicial office for vacancies filled by the JNC on which they sit for two years following completion of their term. ing on Ameris from “market perform” to “outperform” last Monday, saying the acquisition will be accretive to earnings. “We like the expanded market share of Ameris’ attractive Jacksonville market. We also believe this sends a good signal that Ameris expects to be released from its BSA-related consent order, another large positive,” Gailey said in his report. Ameris officially is headquartered in Moultrie, Georgia, but its executives moved to Jacksonville in 2016 after the company acquired The Jacksonville Bank, which had eight offices in the area. The addition of Atlantic Coast Bank brings eight more Jacksonville branches, as well as three in Waycross and one in Douglas,

Georgia. “We’re getting outstanding results in all three of those markets in our company right now and we’re excited about the leveraging this deal would provide in those markets,” Hortman said. “The deal is consistent with management’s desires to do inmarket transactions to increase scale and gain meaningful synergies,” Piper Jaffray analyst William Curtiss said in a research note. Curtiss maintained a “neutral” rating on Ameris’ stock.

Rayonier AM closes Tembec deal Rayonier Advanced Materials Inc. completed its acquisition

last week of Montreal-based Tembec Inc., a deal that more than doubles the size of the Jacksonville-based company and expands its geographic reach and product base. The deal originally was valued at $807 million when it was announced in May, but Rayonier AM had to increase the price to satisfy big Tembec stockholders who were ready to oppose it. Rayonier AM ended up paying 317 million Canadian dollars (about $247 million) in cash and exchanging 8.4 million shares of its stock to acquire Tembec’s shares. Based on Rayonier AM’s stock price when the closing was announced Monday morning and the assumption of debt, the value of the deal was about $874

million. Rayonier AM’s stock barely moved Monday after announcing completion of the deal, but it jumped as much as $2.05 to a 52-week high of $18.75 Tuesday. D.A. Davidson analyst Steven Chercover, who already had a “buy” rating on Rayonier AM’s stock, issued a positive report on the company Tuesday, saying the merged company will generate strong cash flow. “Despite shares being up almost 20 percent since the third quarter earnings release, we still believe Rayonier AM offers very compelling value, and that the combination with Tembec is underappreciated,” Chercover said in his research report.

Fidelity completes Cannae spinoff Cannae Holdings Inc. began trading as an independent public company last Monday after Fidelity National Financial Inc. completed the spinoff of its investment unit. Cannae consists of investments formerly held by Fidelity National Financial Ventures, including stakes in several restaurant chains, human resources technology company Ceridian HCM Inc. and health care documentation company T-System Holdings. Jacksonville-based Fidelity’s executives continue to serve as top officers of Cannae, including Executive Chairman Bill Foley. However, Cannae’s headquarters office is in Las Vegas, where Foley relocated after becoming owner of the city’s National Hockey League expansion franchise. Fidelity, which is mainly a title insurance company, still has a stake in Cannae. Fidelity invested $100 million in the the company for an 8 percent share of its stock. Fidelity said in a news release it will “dispose of such shares as soon as a disposition is warranted consistent with the business reasons for the ownership of such shares,” but no later than five years from now. Cannae trades on the New York Stock Exchange under the ticker symbol “CNNE.”

Fidelity sold off its majority stake in Jacksonville-based Black Knight Inc. at the end of September, leaving affiliates of investment firm Thomas H. Lee Partners as the largest shareholder of the mortgage technology firm. Last week, Black Knight said Thomas H. Lee is reducing its stake. The investment firm sold 2 million shares back to the company and 5 million of its Black Knight shares to the public. That reduces Thomas H. Lee’s stake from 23 percent to 20 percent, Black Knight said in a Securities and Exchange Commission filing.

Shoe Carnival jumps on earnings Shoe Carnival Inc.’s stock soared after reporting strong third-quarter earnings and also increasing its earnings forecast for the full year. The footwear chain controlled

by former Jacksonville Jaguars owner Wayne Weaver reported earnings of 66 cents a share for the third quarter ended Oct. 28, 12 cents higher than last year and 4 cents higher than the average analyst’s forecast, according to Nasdaq. Total sales rose 4.7 percent to $287.5 million and comparable store sales (sales at stores open for more than one year) rose 4.4 percent. Sales rose despite a decline in customer traffic during the quarter, due in part to hurricanes affecting stores in Florida, Texas and Puerto Rico. Because of the strong thirdquarter results, Shoe Carnival increased its earnings forecast for the full fiscal year from a range of $1.35 to $1.45 a share to a range of $1.42 to $1.49. The company previously had forecast comparable store sales for the full year to be flat to down by a low single-digit percentage. However, it now is forecasting those sales to be flat to up in the low single digits. Shoe Carnival’s strong earnings report coincided with positive reports from Foot Locker Inc. and Hibbett Sports Inc., sparking a rally in the stocks, according to a report by Reuters news service. Shoe Carnival’s stock jumped $6.12 to $26.75 on Nov. 17 after its earnings report the previous day. Weaver is chairman of Shoe Carnival and its largest shareholder. Together with his wife, Delores, Weaver controls about 5 million Shoe Carnival shares, or 28.6 percent of the stock.

Medtronic beats forecasts Medtronic PLC’s stock rose $3.76 to $82.66 Tuesday after reporting better-than-expected earnings. The medical-device maker reported adjusted earnings of $1.07 a share for the second quarter ended Oct. 27, 5 cents lower than last year but 8 cents above the average analyst’s forecast, according to Yahoo Finance. A previously reported temporary shutdown of Medtronic’s Puerto Rican operations after Hurricane Maria reduced earnings by about 3 cents a share, the company said. Medtronic’s Jacksonvillebased division, which produces surgical instruments for ear, nose and throat physicians, grew revenue by a “mid-single digit percentage,” the company said. But it did not give figures. The company’s specialty therapies division, which includes the ENT division, had a 1 percent decrease in revenue to $365 million.

Duos raises $11 million in capital Duos Technologies Group Inc. said last week it raised $11 million in capital through a private placement of stock and warrants to buy stock. The Jacksonville-based company reported a net loss of $124,868, or 7 cents a share, in the third quarter, with revenue falling 24 percent to $1.05 million. Previously, the rule required that to qualify under the Emeritus Rule, an attorney had to be in private practice at the end of their career — and that left out a group with arguably more legal experience than average, said Kathleen McLeroy, shareholder at Carlton Fields in Tampa and chair of the commission’s Resources Evaluation Committee. “It disqualified judges,” she said. McLeroy said another significant change in the rule allows emeritus attorneys to take on a smaller role when representing a client. Previously, their participation was limited to large cases. “Now, an emeritus attorney can work two or three days a week at legal aid and provide advice at clinics. I think it will mean more volunteers,” she said. Commission member Donny MacKenzie, a partner at Holland & Knight in Jacksonville and coauthor of the rule change, said making law professors eligible also will be a positive for not only legal aid providers, but also for the profession. Hopefully, he said, involving the educators with volunteering at legal aid will lead to involving their students as well. “The client gets some help and the law student gets experience with a real-life client and a reallife case early in their career. He also had gained a reputation for his advocacy of pro bono service, including receiving The Florida Bar President’s Pro Bono Award for the 4th Judicial Circuit in 1998, being named Holland & Knight’s Most Valuable Partner performing pro bono service in

2006 and in 2016, receiving the Robert J. Beckham Equal Justice Award from Jacksonville Area Legal Aid. MacKenzie was president of The Florida Bar Foundation in 201516 and is a member of the Florida Commission on Access to Civil Justice, which is reshaping how the state legal system serves people with low or moderate incomes who have limited or no access to representation by an attorney.

Who or what inspired you to become a lawyer? I wanted to be a lawyer when I was a very small child. Although I was unable to articulate the reasons then, I saw law (and still do) as an honorable profession, steeped in history and vital to a safe and stable society. Who (other than your spouse or partner) inspires you? Amazing teachers have inspired me throughout my life. There has been an effort to commoditize the practice of law on both sides of the equation, which contributes to increased litigation, slower resolutions and more congestion. What community service have you pursued and why that? Access to justice for everyone is vital to our system of justice and our way of life. Assisting in this cause not only helps individuals, but it contributes to the Rule of Law, helps with overburdened court dockets and is good for the economy.
