rivatizing JEA would lead to a $54 million shortfall in city revenue, according to the Duval County Property Appraiser’s Office, responding to a request for an economic projection.
The issue of selling the city’s public utility resurfaced Nov. 28 at the utility’s board meeting. JEA Board Chair Alan Howard asked CEO Paul McElroy in a letter Wednesday to determine the utility’s assets and the financial impact if JEA were put on the tax roll. The assets related to JEA are property — real property such as land and
buildings — and tangible property, which is defined as anything that can be touched other than real estate. That would include the equipment the utility uses to generate and deliver electricity, treat and deliver drinking water and collect and dispose of wastewater. It also includes assets such as vehicles, inventory of replacement utility
poles and wire, and office furnishings and equipment used by employees in JEA’s administrative and customer service offices. Keeping up with and placing value on all the real and tangible property in Jacksonville is what the property appraiser does each year to certify the JEA

ParkerVision foes fight each other in patent disputes Jacksonville company has claimed for years that tech giants have infringed on its patents.

Qualcomm Inc. and Apple Inc., two companies in the midst of patent disputes with ParkerVision, are going toe-to-toe with competing infringement lawsuits against each other. In response to a federal lawsuit filed by Qualcomm in July
alleging Apple was illegally using technology patented by Qualcomm, Apple filed a countersuit two weeks ago alleging Qualcomm was infringing on Apple patents. A day later, Qualcomm filed three new patent infringement suits against Apple in federal court in California. All this is going on while ParkerVision is continuing with
its patent infringement claims against both Qualcomm and Apple. ParkerVision has developed wireless technology that it says improves the performance of mobile communications devices and has been fighting with major electronics companies for years, alleging they have infringed on ParkerVision patents. ParkerVision first brought
suit against Qualcomm in 2011 and was awarded $173 million in damages after a jury trial in 2013. However, a federal judge in Orlando overturned the verdict, and ParkerVision’s subsequent appeals were rejected. Developers submitted plans for the second of two retail buildings at Gateway Village at Town Center. Cantrell & Morgan, through Jacksonville Gateway Village LLC, and architect Ervin Lovett & Miller filed plans for a 9,380-square-foot center on 1.47 acres at Gate Parkway and Deerwood Park Boulevard. Tenants include Sushi House, Bellezza Nails & Spa and CycleBar indoor cycling. There also are spaces remaining for other tenants. Cantrell & Morgan previ-
ously submitted plans for a 9,250-square-foot retail building on 1.77 acres immediately south of the larger center. Tenants there are Burrito Gallery and M Hospitality Restaurant & Catering Group by chef Matthew Medure. No tenant was identified in the remaining central 1,840-square-foot space. England-Thims & Miller Inc. is the consultant. Cantrell & Morgan said previously it intends to complete the first retail spaces for tenant build-out toward the end of 2018. The 18.5-acre Gateway Village will be a retail, commercial, hotel and apartment project. RaceTrac Petroleum intends to build a gas station and convenience store at the site and Davis Development wants to build 289 luxury apartments. Property remains available for other projects. Cantrell & Morgan executives bought the land in July from members of the Skinner family for $6.64 million.
Office, restaurant planned on Liberty Center outparcels Hakimian Holdings LLC submitted plans to the city to add a restaurant and an office building on two outparcels at Liberty Center in the Southpoint area. Jacksonville-based Hakimian Holdings owns the six-story, 118,734-square-foot Liberty Center office building at 7077 Bonneval Road. The 7.2-acre site is at Bonneval Road and Butler Boulevard. Hakimian Holdings wants to build a 100-seat, 5,625-squarefoot restaurant at 5101 Butler Blvd., on the western corner of the site and a 5,600-square-foot urgent care center at 5117 Butler Blvd. on the eastern corner. Hakimian Holdings, a retail and office investor, bought the property in February 2016 and moved its headquarters there. President Ben Hakimian said previously he was negotiating with a national publicly traded
upscale restaurant. He expects construction will be completed in mid 2018. EnVision Design + Engineering LLC is the civil engineer.
Domu restaurant joining The Strand at Town Center
Domu gained its build-out permit, which means another restaurant will be joining The Strand at Town Center. The city issued a permit Thursday for GDP Design & Construction Inc. of Winter Park to buildout the Domu restaurant at 4852 Town Center Parkway, No. 101, in The Strand at Town Center. The 2,726-square-foot spacewill be built-out at a cost of $300,000. Sonny Nguyen is the sole proprietor, chef and owner. He said previously he expects to open the ramen restaurant in the spring and will employ a staff of about 30. An Orlando Sentinel review described its “pan-Asian menu

Farah, Wilner respond to $9.16M sanction LEGAL BRIEFS
Volunteers needed for new state committee
Court found attorneys should be held to account for “immense waste.” The two Jacksonville attorneys who were sanctioned $9.16 million in October by the U.S. District Court have responded to the court’s opinion and order. Charlie Farah, of the Farah & Farah firm, filed with the court a motion for reconsideration; Norwood “Woody” Wilner, of The Wilner Firm, filed a motion to alter or amend the sanctions order. I n Oc to ber, the court Farah fo u nd that the attorneys should be held to account for “the immense waste of judicial resources and contempt shown for the judicial process” by maintaining more than 1,000 nonviable claims related to the federal “Engle” product liability actions that were brought by smokers against the tobacco companies and subsequently settled. The court also ordered the sanctioned funds be deposited into the registry of the court to compensate the court for its costs related to evaluating the damage claims in question and investigating the matter. Farah responded that various portions of the opinion overstated or mischaracterized his involvement. He said, in part, that his firm entered into an arrangement with Wilner, where Wilner would take responsibility for the court filings, hearings discovery and trials of the 163 Farah & Farah cases out of Wilner approximately 3,700 lawsuits related to the investigation and subsequent order. Farah said he never acted to deceive or impede the court’s progress in winnowing the cases and asks the court to enter an amended order that would withdraw the imposition of sanctions against him individually. Wilner responded, in part, that the court conceded that its Sanctions Order was issued without a prior order to show cause and prevented counsel from having notice of, or an opportunity to respond to certain issues presented in the Sanctions Order. He cited, in part, that he was not given the opportunity to object to compensating the court for the cost of the Special Master’s investigation, nor the opportunity to address the methodology the court used to calculate the amount of the sanction. In addition, Wilner cited the Eighth Amendment, which prohibits excessive fines, and asks the court to vacate the monetary penalty. The court requested the Special Master to respond to Farah’s

‘Hunter Envy’ concerns analyst After Hunter Harrison took steps to improve efficiency at two other major railroads, expectations were high that he would do the same at Jacksonville-based CSX Corp. when he became CEO in March. However, Stifel analyst John Larkin thinks “Hunter Envy” may be hurting some railroads. “Is the railroad industry ready to move to the era of customer focus and responsiveness? Or, is the implementation of Hunter Harrison’s precision railroading plan at CSX taking everyone’s eye off the ball (i.e., the customers)?” Larkin said in a report on the industry last week. While still CEO of Canadian Pacific Railway Ltd. in 2014, Harrison began pursuing possible mergers with the two major eastern U.S. railroads, CSX and Norfolk Southern Corp. “That lit a fire under railroaders’ back sides, as his acquisition plans included an aggressive
timetable for the implementation of his ‘patented’ precision railroading plan,” Larkin wrote. “Carriers outlined plans to cut costs to demonstrate to shareholders that Mr. Harrison wasn’t the only one possessing the ability to slash capital spending and operating expenses,” he wrote. “The result of these efforts has been to, in general, run longer, slower, heavier, less frequent trains. Not exactly a fit with Amazon’s redefining of customer expectations.” Larkin thinks railroads should look beyond efficiency gains. “We think there is a limit to how far a railroad can ride this ‘downsize your operation to prosperity’ strategy,” he wrote. “A shift to a customer focused approach doesn’t suggest that operating improvements are out of favor and shouldn’t be pursued. Instead, new operating strategies need to be pursued to provide faster, more time-definite services.”
Crowley Maritime restructures business lines
Jacksonville-based Crowley Maritime Corp. said last week it is restructuring its business lines, which will increase its focus on government-related business and better align vessel operations and fuel distribution services with customers. Crowley is creating three main divisions for its nonliner and logistics businesses. Crowley Shipping will encompass vessel ownership, operations and management services. Crowley Fuels will include liquefied natural gas and other fuel sales.

The company said it is continuing to consolidate its liner shipping and logistics units into a single division called Crowley Logistics. “This plan facilitates a pivot towards growing the company’s government portfolio of work, building upon recent successes such as our recent $2.3 billion Defense Freight Transportation Services contract award and our current work with FEMA to bring much-needed supplies to Puerto Rico and the Virgin Islands,” CEO Tom Crowley said in a news release. “The alignments within Crowley Shipping and Crowley Fuels better tie our markets, customers, processes and technology together to be more responsive, efficient and cost effective,” he said.
Foley firm completes deal An investment firm run by Fidelity National Financial Inc. Chairman Bill Foley completed its first acquisition of an operating company at the end of November. CF Corp. acquired Fidelity & Guaranty Life Insurance Co., which offers annuities and life insurance products, and changed its name to FGL Holdings. Fidelity & Guaranty is not related to Fidelity National Financial. CF w a s Foley founded by Foley and former Blackstone Group dealmaker Chinh Chu and had been searching for acquisition targets after an initial public offering by the blank check company last year. The company paid $1.835 billion in cash and assumed $405 million in debt to buy the insurance firm. “FGL Holdings is a highquality enterprise serving the retirement needs of an important market. We believe this transaction will enable us to generate meaningful returns for our shareholders and deliver best-in-class solutions for policyholders,” Foley said in a news release. Although it had no prior connection to the insurance company, as part of the deal Fidelity National Financial became an investor in FGL. Fidelity paid $135 million to buy 13.5 million shares of FGL

and with additional warrants to buy stock, it controls 18.2 million shares, or 7.8 percent of FGL’s stock, according to a Securities and Exchange Commission filing. FGL will be run by the insurance company’s previous management team, with Foley and Chu serving as co-chairmen of the board. FGL trades on the New York Stock Exchange under the ticker symbol “FG.”
Fidelity shrinking with spinoffs Fidelity National Financial is a Fortune 500 company, but it is shrinking in size after spinning off two companies in the last two months. Fidelity spun off its majority stake in Jacksonville-based mortgage technology company Black Knight Inc. at the end of the third quarter. In an SEC filing last week, Fidelity said the spinoff would have reduced its 2016 revenue from $9.55 billion to $8.59 billion if the deal had been completed at the beginning of the year. Fidelity also last month spun off its investment subsidiary into a separate company called Cannae Holdings Inc. It has not yet filed a pro forma statement to show its finances without the Cannae revenue. Fidelity ranked 293rd in this year’s Fortune 500 rankings, based on its 2016 revenue. The company will drop in the rankings next year after the two spinoffs, but it will still be big enough to remain on the magazine’s list of the 500 largest U.S. companies.
Advanced Disposal director leaves Advanced Disposal Services Inc. last week said a board member who was a designated director of Highstar Capital is resigning from the board as Highstar lowers its stake in the Ponte Vedra-based company. Highstar controlled Advanced Disposal before its October 2016 initial public offering, holding 63.7 percent of the stock. After the IPO and two secondary stock sales since, Highstar’s stake has been reduced to 24.8 percent. John Miller, a senior adviser to Highstar who had been the firm’s designated director, tendered his resignation from Advanced Disposal’s board last week, the company said. tax roll. Ad valorem taxes, about $18.56 for each $1,000 of assessed value, are levied to provide revenue for the city. Those property taxes account for nearly $596 million of the city’s $1.2 billion budget for 2017-18. JEA has about $471 million in real estate holdings among 1,515 parcels on the tax roll. It also has about $5 billion in tangible property, including its electric generation and distribution, water and sewer systems. But that $5.5 billion has no taxable value because JEA is owned by the public. To mitigate that, JEA’s board and the city agreed in March 2016 to a five-year deal for the utility to direct at least $115 million each year to the city budget. The $117 million contribution in 2017-18 will increase annually to $120 million in the 2020-21 fiscal year. That’s about 10 percent of the city’s general fund budget. Here’s how the Property Appraiser’s Office figured the shortfall. If privately owned and paying taxes on its property, the utility’s assessment for this year would be about $101 million. But those funds would not go solely to the city. The funds would be divided among the city and three entities that do not currently derive revenue from JEA: the St. John’s River Water Management District, the Florida Inland Navigation District and the public schools. In that scenario, the city’s portion this year would be about $63 million. That’s $54 million less than what it paid the city in
2017-18. Meanwhile, the inland navigation and water management districts would realize more funding — about $1.5 million for the water management district and $177,000 for the navigation district. Public education would receive the bulk of what the city wouldn’t get — about $36 million in tax revenue. “The only one that would benefit no matter what would be the school system,” said City Council member Tommy Hazouri, a former school board member. “This is something that Duval County Public Schools has Hazouri long sought to do. It would be a blessing for our school system,” he added. However, the $36 million wouldn’t go directly to Duval schools. The money would go to the state, which distributes it to schools based on a formula. Hazouri said the call to look at selling JEA is the latest of those put forth every few years for many years. All were resolved by the city retaining ownership of the utility. “This has been looked at since I’ve been in public office,” he said, referring to the 12 years he served in the state House of Representatives beginning in 1974 and his term as mayor from 1987-91. Howard’s letter to McElroy also asked whether JEA’s 458,000 electric customers and 350,000 water and sewer cus-

By Max Marbut Associate Editor Fourth Judicial Circuit Judge Virginia Baker Norton of Jacksonville is one of four potential nominees selected for three vacancies on the U.S. District Court Middle District of Florida bench. The state Federal Judicial Nominating Commission Middle District Conference interviewed 10 candidates lastMonday in Orlando. Its chair, Lt. Gov. Carlos Lopez-Cantera, then sent a letter to U.S. Sens. Bill Nelson and Marco Rubio recommending Norton, along with 2nd District Court of Appeal Judge John Badalamenti, 5th District Court of Appeal Judge Wendy Berger and 13th Judicial Circuit Judge Tom Barber of Tampa as finalists. Nelson, a Democrat, and Rubio, a Republican, will make recommendations to President Donald Trump for his consider-
ation regarding the vacancies. Norton was elected in 2008 and re-elected without opposition in 2014 Norton for a six-year term. A graduate of The Bolles School, she received a bachelor’s in rhetoric and communications from the University of Virginia in 1994 and in 1997, her J.D. from the University of Florida Levin College of Law. Norton began her career at the Jacksonville law firm Moseley, Warren, Prichard and Parrish. She was assistant city general counsel from 1999 until her election to circuit court. In January, she received the 2017 Chief Justice’s Distinguished Judicial Service Award from the state Supreme Court. Norton serves on The Florida Bar Pro Bono Legal Services Committee. I decided I would actually take the leap in college, after seeing my stepdad receive The Florida Bar President’s Pro Bono Award for the 1st Judicial Circuit at the Supreme Court of Florida for an environmental case he handled — and we got a behind-thescenes tour. One person (other than your spouse or partner) who inspires you: 1st District Court of Appeal Judge Stephanie Williams Ray. How do you relate your undergraduate degree to your practice of law? Aside from a focus on writing, I think being a good litigator is a lot like being a good historian. We dig in to find the best primary sources of information. We interview witnesses at all levels in every case. We test all available evidence for reliability. Finally, we weave it into a compelling story for our clients and the court.

However, the judicial branch would have to be better funded than it is currently.

My focus on employment law is a natural consequence of my work on gender equality in the legal profession and the community at large. I have the opportunity to work with employers and management on addressing discrimination in the workplace, preventing sexual harassment, achieving pay equity and instituting best practices for their employment relationships. What has been the biggest change in your practice area since you passed the Bar? Especially in this moment, it is more commonplace for the business community and consumers to genuinely care about diversity in the workplace. There is a recognition that diversity is good for the bottom line and leads to better decision making.

What community service have you pursued and why that? Through Bar service, I have had the opportunity to mentor students from Ribault High School and Girls Court. I also support Jacksonville Area Legal Aid every chance that I get and my firm is proud to do pro bono work for Wounded Warrior Project and the Girl Scouts. For me, community service has the most value when I use my legal skills. I have had the opportunity to work on highimpact pro bono appeals as well, which have had long-term impacts on the law and our community. One piece of advice for new lawyers? Working for excellent lawyers, who push you to perform at a high level and challenge you, is the best thing you can do for your career. It will not always be easy, but it will be worth it.
