CSX veteran: Board members must ‘do their job’ Past executive calls for global search to replace Hunter Harrison.

A former CSX Corp. executive, who spent more than a quarter century with the company and witnessed CEO E. Hunter Harrison’s successes, says it’s the corporate board’s responsibility – and challenge – to make sure the railroad company operates on the right track. Harrison, 73, died Saturday, nine months into the job. The company did not immediately announce a cause of death,

although Harrison was battling respiratory issues and using an oxygen tank. Jacksonville-based CSX said Harrison died “due to unexpectedly severe complications from a recent illness.” “Restoring market confidence and employee morale and customer satisfaction are key now,” said mergers-and-acquisitions adviser Asok Chaudhuri on Sunday.

TIAA to make announcement early next year By Karen Brune Mathis Editor The next name for EverBank Field, fan-shortened to “The Bank,” should be announced in early 2018. It might remain EverBank Field or it might take on a new name. Blake Wilson, president and CEO of TIAA, FSB in Jacksonville since June and former president and COO of EverBank, said Friday research is ongoing to rebrand the company and the stadium. EverBank Financial Corp. has had the naming rights to the stadium since 2010, when it signed a fiveyear, $16.6 million naming rights deal. The team agreed to a 10-year, $43 Wilson million extension in 2014 through the 2024 season. Wilson isn’t saying what the stadium will be named, but he is saying when it might be public. The announcement with the Jacksonville Jaguars is expected in the first quarter. That also means the bank’s name will be known by then. The names of the bank and the stadium have sparked questions since August 2016, when New

Each year, nearly 3,000 people are cited for DUI in Duval County. Under state law, that includes driving under the influence of alcoholic beverages, chemical substances or controlled substances, proved by impairment of normal faculties or an unlawful blood or breath alcohol level of .08 or above. Defending people charged with DUI is the specialty of the Epstein & Robbins law firm. Co-founder David Robbins said the focus started evolving after the firm opened in 1975. “When we started, we only did criminal law, but we were most successful doing DUI defense – and word got around,” he said. Chaudhuri is a 26-year veteran of CSX and a predecessor company. When he left in 2005, he had been senior vice president of corporate development with CSX Corp. and CSX World Terminals, the former global ports division. Since leaving CSX, Chaudhuri has been a principal at Jacksonville-based Heritage Capital Group, a mergers-and-acquisitions firm with global activities. Chaudhuri said the board knew about Harrison’s health before hiring him. Before he was hired, Harrison refused the CSX board’s request for an independent doctor’s examination or review of his medical records, reported the Financial Times. Chaudhuri also said the board had to address the “power dynamics” of the situation at the time. Canadian Pacific Railway Ltd announced Jan. 18 that Harrison, the architect of “precision scheduled railroading,” was leaving his CEO post early. Mantle Ridge, a hedge fund led by CEO Paul Hilal, was pushing for Harrison to take over as CSX’s chief executive to force improvements. CSX Chairman and CEO Michael Ward and President

Clarence Gooden soon retired after a combined 87 years with the company. CSX is Jacksonville’s largest locally based public company. Fortune magazine listed CSX as No. 257 on its 2017 list of the 500 largest companies based on its previous fiscal year revenue of $11 billion. That was down 6 percent from $11.8 billion, and 18 spots, from No. 239 in 2016. ‘GETTING A JOLT’

Harrison took over March 6, earning an $84 million payment to cover what he left at Canadian Pacific to take the CSX job on a four-year contract. Since the announcement that Harrison was taking over, the workforce dropped by at least 2,700 employees and 1,000 contractors and consultants also were cut. As of September, total employment fell to 22,313. At the same time, the stock price rose from $36.88 the day before Harrison’s move to CSX was announced to $52.93 on Friday, although it fell 7.68 percent on Friday after the announcement of his medical leave. “CSX is well-positioned,” Chaudhuri said. The board, he said, “needs to demonstrate that it is a thoughtful and capable board. It should do a national or international search for a permanent CEO and include Foote as a candidate.” Harrison had indicated Foote was his successor. Chaudhuri said Harrison was well-regarded for his operational skills, but it might have been wis-

er had the CSX board hired him as a consultant rather than CEO. He said some of Harrison’s changes were favorable from an operations standpoint, making CSX more efficient. Management in place for a long time can become complacent, he said. “Getting a jolt like we have seen since Hunter was hired can have a positive impact, but that could have been achieved in a less disruptive way and without the associated negative impacts,” Chaudhuri said. Chaudhuri said employees are “working much longer hours in a stressful environment with lower morale and a fear factor.” Still, the stock price is much higher than before his hiring was announced. The implementation of Harrison’s operating system has drawn well-publicized complaints from freight customers about service disruptions, Harrison said in late November that concerns with the network were overstated and there are groups of people “trying to portray a weakness of CSX.” Harrison said recent metrics showed operations improved. Chaudhuri said Foote, whose

appointment as COO was announced Oct. 25, is indoctrinated in Harrison’s precision scheduled railroading. “The market believes his way of operating is what will be instrumental in CSX’s performance,” Chaudhuri said. Foote, 63, took over the responsibilities of longtime CSX executives Cindy Sanborn, executive vice president and chief operating officer, and Fredrik Eliasson, executive vice president and chief sales and marketing officer, who resigned Nov. 15. They were among the last remaining top executives from previous leadership. Trains.com reported that Foote was Canadian National Railway Co.’s chief sales and marketing officer from 2000-09, while Harrison led the railroad from 2003-09. Before coming to CSX, Foote was president and CEO of Bright Rail Energy, a company seeking to transition railroads to locomotives powered by natural gas. BOARD’S TURN TO ACT

The board of directors, Chaudhuri said, “must take full responsibility for anything that is good or bad that happens to the company.” “They basically accepted Hunter’s coming and they accepted Hunter even when everybody knew he was sick. He declined a medical exam,” he said. While he said the board might have been “sort of forced into” hiring Harrison because of the activist investor, the board must take full responsibility for the

next step. Chaudhuri said if the board and the next CEO can continue with the positive movements instituted by Harrison and improve some of the negatives, such as low employee morale, the company can move ahead on a positive track. “I’m not too concerned about CSX’s operating performance. The previous management has groomed a capable workforce and systems,” he said. In a statement Saturday, CSX Chairman Edward Kelly III said on behalf of the board of directors: “With the passing of Hunter Harrison, CSX has suffered a major loss. Notwithstanding that loss, the Board is confident that Jim Foote, as acting Chief Executive Officer, and the rest of the CSX team will capitalize on the changes that Hunter has made. “The Board will continue to consider in a deliberative way how best to maximize CSX’s performance over the long term.” Chaudhuri said Harrison was passionate and knowledgeable about railroad operations. “Everything good that Hunter has done should continue to be done with tweaks,” he said. “Anything that could have been negative from a long-term perspective should be stopped.” It’s up to the board. “Now they have to do their job,” he said. kmathis@jaxdailyrecord.com @MathisKb (904) 356-2466

It completed the transaction June 12 and merged its bank subsidiary — St. Louis-based TIAA Direct — into EverBank and said Jacksonville would be the bank headquarters. While the new, combined bank’s legal entity name is TIAA,

FSB, the company said the bank will continue to use the TIAA Direct and EverBank brands. “The bank expects to maintain a strong presence and active role in the local community,” the bank said in the release announcing the completed acquisition. TIAA President and CEO Roger Ferguson Jr. told reporters after a JAXUSA Partnership meeting

in February that the combined bank’s name was being assessed by marketing professionals. “We want to make sure it’s thoughtfully done,” he said. He assured the 500 guests at the meeting that TIAA was committed “to continuing the positive relationship that EverBank and the Jacksonville Jaguars have had over the past few years.”

She’s the 2017 recipient of the Florida Association of Criminal Defense Lawyers’ “DUI Gladiator” award, which is presented each year to the group’s top DUI defense attorney. Cohen got to know Robbins when she was prosecuting people he was defending. When he was looking for an attorney to help expand his firm’s appellate practice, she made the switch from the state to the private sector. “Specializing in DUI defense is rewarding because it involves both criminal and administrative law,” she said. The initial charge and penalty is just the beginning for her clients, who after they pay their fine face the loss of their driver’s license and higher insurance rates. For some people, losing their driving privilege means losing their job, and for every client, there’s the stigma that comes with being convicted of DUI. “A big part of my job is helping people

in the long-term outcome. The long-term impact can be significant,” said Cohen. Penalties for a first conviction can be as much as a $2,000 fine and imprisonment for up to nine months, impoundment of the vehicle for 10 days and revocation of driving privilege for 180 days to one year. The penalties for DUI manslaughter and vehicular homicide are even greater, including fines of up to $10,000 and imprisonment up to 30 years. Unlike other illegal acts, such as robbery, DUI isn’t premeditated in most cases, Cohen said. “DUI usually is not intentional and it’s not illegal to drink and drive in this state until you’re at .08,” Cohen said. “If you’ve ever been to a party, chances are 90 percent of the people could have been apprehended for DUI,” she added. It also is a crime that crosses all ages, demographics and walks in life. “Young and old, black and white – it hits across the board. I’ve represented

doctors, nurses and teachers. In 17 years, I’ve seen everybody come through the door,” she said. “We’ve represented business people and lawyers and judges and their children,” said Robbins. He said that a list was published several years ago of the top 20 business people in Jacksonville and “we had represented four of them.” Cohen said it’s her experience that most of the firm’s clients are first-time offenders, and for many, a DUI is the first time they’ve experienced the criminal justice

More new homes are coming to Nassau County. Matovina & Company is planning to build 210 homes on 107 acres across Amelia Concourse from Amelia Walk. The neighborhood will be called Village Walk. The site originally was a planned Woodside Homes community, which was not built. GreenPointe Communities is the overall developer of the masterplanned community. Matovina “We have the Village Walk property under contract from GreenPointe and we are planning to close in the next week and break ground in January on phases one and two of the development,” said Greg Matovina, principal of Matovina & Company. Those first two phases will include 131 homes, he said. Matovina said he could not disclose the builder or builders for Village Walk, but expects homes to be priced from the

Village Walk is not part of the community development district, so it will have its own pool, amenity area and homeowners association. “We expect to break ground in January and finish site work on the first two phases in the third quarter of 2018,” Matovina said. He said the amenity center will be finished late this year or early next year, about the same time the first homes are completed. The engineer is Atkinson Engineering. The site work contractor for the first two phases is A.J. Johns Inc. Village Walk will be accessible from Amelia Concourse at Majestic Walk Boulevard as well as Spruce Run Drive from North Hampton Club Drive. Both roads are completed. JBA Senior Holiday Project sets record Leadership Academy application deadline is Jan. 16

More than 400 gifts delivered. The Jacksonville Bar Association’s Senior Holiday Project set a record this year when gifts were provided to more than 400 residents. Working with the nonprofit Aging True, the association collected wish lists from seniors. Members purchased and wrapped the gifts that were delivered last week by attorneys, judges and judicial assistants as well as sworn officers and community service officers from the Jacksonville Sheriff’s Office. “This is such a rewarding project,” said project Chair Kimberly Jones of Baumann, Gant & Keeley. She has participated in the project since 2011, her first year at Florida Coastal School of Law. Gifts such as cookies and snacks, blankets, pajamas and household necessities like can openers were delivered to 420 seniors, an increase of more than 50 percent from last year. “Most people just wanted basic things. Sometimes, we can forget that there are those who don’t have the luxuries,” Jones said. Also, a used typewriter donated by an association member was delivered to a senior veteran, who explained on his wish list that he could no longer use a pen or pencil because his hands tremble. “It’s nice to be able to give to

Nominations needed for state awards The Florida Bar Criminal Law Section is seeking nominations for the 2018 Selig I. St. Louis-based Ascension is discussing a merger with Providence St. Joseph Health, although it is uncertain if a deal will be reached, the newspaper said. Ascension operates 141 hospitals in 22 states, mostly in the eastern U.S., including the three St. Vincent’s medical centers in the Jacksonville area. Providence St. Joseph has 50 hospitals in seven western states. With 191 hospitals between the two, a merged company would be bigger than the current largest U.S. operator, HCA Healthcare Inc., which has 177 hospitals. Publicly traded HCA’s facilities include Memorial Hospital on Jacksonville’s Southside and the Orange Park Medical Center. Ascension and Providence St. Joseph are faith-based nonprofit organizations. Even without the merger, Ascension says it is the nation’s largest nonprofit health system and the world’s largest Catholic health system. Ascension’s three local hospitals, all named St. Vincent’s, are in Riverside, Southside and Middleburg. St. Vincent’s also has health centers in Mandarin and in St. Johns County, and a number of primary care/specialist offices in the area.

CVS deal unlikely to impact Aetna Jacksonville office The Ascension-Providence St. Joseph talks continue a wave of major health care deals and follow another merger announced the previous week that will affect Jacksonville. CVS Health Corp. agreed on Dec. 3 to buy Aetna Inc. for $69 billion. Aetna last summer moved about 800 employees from its office on the Southbank to Gramercy Woods on the Southside. Aetna’s media relations department did not respond to emails about how or if the merger would affect its Jacksonville operations, but the companies are indicating that Aetna’s operations will remain intact. The health insurance business will operate as a stand-alone subsidiary of CVS. During a meeting with CVS employees, CEO Larry Merlo mentioned the Jacksonville office. “Aetna has a distributed workforce. They have a big presence in Hartford, but they also have a big presence in Scottsdale, and Columbus, Ohio, and Jacksonville, Florida,” Merlo said, according to a transcript posted by CVS in a Securities and Exchange Commission filing. “So, obviously, one of the

questions is, ‘Well, what does this mean for me? Is there going to be a lot of job loss?’ and things of that nature,” he said. “The reality is the fact that we’re bringing new businesses to CVS Health (and) we need the folks that are running those businesses today to continue to run those businesses as part of CVS Health.”

FDIC lifts Ameris consent order Ameris Bancorp said Thursday the Federal Deposit Insurance Corp. terminated the consent order it issued to the banking company, nearly a year after it was imposed. The consent order prevented Ameris from pursuing acquisition opportunities. It was issued because of noncompliance with the Bank Secrecy Act, a federal law requiring banks to help the government prevent money laundering. Ameris blamed the problem on software issues, which it said it fixed, and it has been expecting the FDIC to lift the order. Ameris, which has its executive offices in Jacksonville, agreed last month to buy Jacksonville-based Atlantic Coast Financial Corp. in anticipation of the consent order being lifted. With the regulatory issue settled, Ameris expects to close that deal in the second quarter of 2018.

Landstar declares special dividend Landstar System Inc. last week declared a special one-time cash dividend of $1.50 per share, payable in January. The Jacksonville-based trucking company, which has been paying regular quarterly dividends of 10 cents a share, has a history of declaring special dividends at the end of a year. Landstar last did it in December 2014, announcing a $1 dividend. L a n d s ta r, wh i c h a l so announced a plan to repurchase additional shares of stock, said it had $295 million in cash and short-term investments and $217 million available for borrowing from a credit facility. “Landstar believes its financial strength enables us to continue to return value to our stockholders through a significant increase to our stock purchase program coupled with a special dividend,” CEO Jim Gattoni said in a news release.

Huang said he is more cautious overall on financial technology stocks, “given high growth and valuations for the group.” However, he rates another Jacksonville-based company, Black Knight Inc., as the only “overweight” stock in the sector. Black Knight, which provides mortgage technology for financial institutions, basically was created from operations that were once spun off from FIS, which provides a range of technology services for banks. “We believe timing is favorable for Black Knight to monetize its position as the scale leader in providing mission-critical tech services to the mortgage industry, which is in need of standardized compliant solutions on the back of the credit crisis,” Huang said. “Secular tailwinds mixed with industry utility economics put Black Knight’s organic growth

Another Advanced Disposal ‘buy’ When KeyBanc Capital Markets analyst Joe Box rated Advanced Disposal Services Inc. last month at “sector weight,” he said Wall Street may be too optimistic about the Ponte Vedrabased waste management company. That was because eight of nine other analysts rated it as a “buy.” Well, now it’s almost unanimous. Stifel analyst Michael Hoffman last week upgraded his rating on Advanced Disposal from “hold” to “buy,” meaning all analysts – except Box – following the company now have it as a buy. “The buy case for Advanced Disposal is about organic growth driving operating leverage that produces better cash conversion and leads to lower leverage,” Hoffman said in his research note. Hoffman had downgraded Advanced Disposal to “hold” in October as part of an overall downgrade of solid waste company stocks.

Gun maker reports sharp sales drop American Outdoor Brands Corp. dropped to a 52-week low after reporting a sharp drop in firearms sales. The parent company of gun maker Smith & Wesson and other outdoor products businesses said sales in the second quarter ended Oct. 31 fell 35.4 percent to $148.4 million, with firearms sales dropping 48 percent. Adjusted earnings dropped to 11 cents a share, down from 68 cents the previous year. “Total revenue for the quarter faced a challenging comparison to last year, when we believe strong consumer demand was driven by personal safety concerns and pre-election fears of increased firearm legislation,” CEO James Debney said in a news release. Those fears were erased last year when Donald Trump won the presidential election as the Republican Party controlled both houses of Congress. Meanwhile, sales of the company’s outdoor products and accessories rose 23 percent to $48.1 million, helped by the acquisition last year of a Jacksonville-based company called Ultimate Survival Technologies. American Outdoor Brands did not give sales data for the UST business, but it said the company was producing annual sales of $24 million when it announced the deal last year.
