EverBank shareholders OK buyout
$2.5B deal with TIAA needs approval from regulators By Mark Basch Contributing Writer EverBank Financial Corp. cleared one hurdle Wednesday in its path to completing its $2.5 billion buyout by financial services firm TIAA, as the Jacksonville-based bank’s shareholders approved the deal. But several issues remain before the deal can be completed, including deciding the name of the merged bank — and whether that will impact EverBank’s nam-
ing rights deal for Jacksonville’s football stadium. Shareholders approved the deal Wednesday morning at a special meeting at the Downtown EverBank Center. No shareholders showed up to vote in person at the brief meeting. The buyout plan calls for EverBank to merge with TIAA’s bank subsidiary, which is headquartered in St. Louis, while keeping the headquarters of the merged bank in Jacksonville. Although the stockholder vote
was a significant step, the companies are a long way from completing the deal. They are hoping to complete it in the first half of 2017. The merger still needs approval from bank regulators. When the deal was first announced in August, Bloomberg News reported regulators may be wary because TIAA is buying a bank that is much larger than its banking subsidiary. TIAA, a nearly century-old nonprofit, is a giant company
with $35 billion in revenue last year, ranking 82nd on the Fortune 500 list of the largest U.S. companies. However, its bank unit has only about $4 billion in assets, compared with EverBank’s $28.7 billion in total assets. EverBank CEO Robert Clements said after Wednesday’s meeting that talks with regulators about the merger have gone well. “We feel good about how the process is coming along at this point,” he said. On track to open in time for the 2017 holiday season, the Amazon.com fulfillment center is taking shape in Northwest Jacksonville off Interstate 295 at Pecan Park Road. The Conlan Co. is building the distribution facility at 12900 Pecan Park Road for the Seattle-based e-commerce retailer. Amazon.com will hire 1,500 full-time employees, along with seasonal workers, to pick, pack and ship smaller consumer items at the facility. More than 147 acres was approved for site clearing. The city issued a permit in August for the $87 million construction project. The entire project is $200 million, according to legislation for incentives to assist the deal. Hiring is expected to start about six months before opening. The building’s footprint is 855,000 square feet and will be four levels, taking it to 2.4 million square feet in capacity, plans show. USAA Real Estate Co. bought more than 170 acres for the project. Seefried Industrial Properties of Atlanta is the developer. The Conlan Co. is based in Marietta, Ga., and has offices in Jacksonville and Dallas. As part of the project, roads near the site are being realigned and widened. Amazon.com announced July 27 it would open the center to pick, pack and ship small items, such as books, toys, electronics and consumer items. To recruit the center, City Council and the state pledged $18.4 million in incentives, including $5.5 million for road improvements. Amazon.com also wants to open a 63,000-square-foot delivery station east of the center at Alta Lakes Commerce Center and is anticipated to announce soon whether it is the unidentified Project Velo that could open a 1 million-square-foot package center in AllianceFlorida at Cecil Commerce Center. kmathis@jaxdailyrecord.com, @MathisKb, (904) 356-2466

Makerspace will be what users make it By Max Marbut, Staff Writer It’s not certain exactly what it will be when it’s finished in about a year, but whatever it ends up being, it will be big. As in 25,000 square feet big. That’s the scale of the Jax Makerspace at the Main Library Downtown. It’s about half of the first floor of the building in the area near the Zimmerman Overlook, the Teen Library and the E-Classroom. It’s where thousands of CDs, DVDs and audiobooks were shelved until a few months ago. Those materials were moved to the second floor in an area formerly occupied by books and magazines, part of the evolution of the library at 303 N. Laura St. “This building opened in 2005 and the world has changed in the past 11 years. Our physical collection needs less space,” said Jennifer Giltrop, deputy library director for public services. With so many reference books and periodicals having transitioned to digital distribution, the floor plans were redesigned to create the open space on the first floor that will be devoted to exploration, collaboration and creation, she said. The Makerspace is in what Giltrop calls its “pilot user accessibility phase.” What it becomes will depend on what the community wants it to become. The first phase will be complete in about a year, she said, but Makerspace will constantly change to reflect the needs and interests of its users. A survey is being conducted to determine what guests would like to see in the space and what they’d like to do when they’re there. Classes and scheduled activities so far include computer coding skills, crafts, digital audio engineering, genealogy, guitar lessons, robotics, weekly workshops for people who want to write a novel and 3-D printing. Startup for the space was supported by a $15,000 grant from Friends of the Jacksonville Public Library and the library’s foundation is conducting a capital campaign to help sustain the program. Partners include the Jacksonville Community of Entrepreneurs, the Cultural Council of Greater Jacksonville and artists from all disciplines. “Engaging the entrepreneur, tech and arts communities has led to ideas about how the space can be used,” said Giltrop. Council OKs incentives for Project Mountain Shipyards receives more environmental funding The unidentified company in Project Mountain already employs 965 people. Project Mountain calls for $4.3 million of city funding through a Recapture Enhanced Value grant. The grant would provide a refund of 50 percent over five years of the increase in real and personal property taxes generated at the site from the expansion. According to city documents, the deal retains and supports the company, which is evaluating four other cities in the U.S. for this type of expansion. In other action Tuesday, council approved transferring $175,000 in additional funding for environmental cleanup at the Shipyards. Corcoran names leadership team as he begins transition By Jim Saunders The News Service of Florida Ready to formally take charge of the Florida House this month, incoming Speaker Richard Corcoran, R-Land O’ Lakes, on Wednesday named 11 lawmakers to his leadership team. The announcement came after Tuesday’s elections ensured all of Corcoran’s choices, including the chairmen of nine committees, would return to the House for the next two years. Corcoran named Rep. Carlos Trujillo, R-Miami, to lead the powerful appropriations committee. Trujillo, who fended off a challenge Tuesday from Democrat Patricio Moreno, was one of five Miami-Dade County Republicans named by Corcoran to leadership positions. Corcoran selected Rep. Jeanette Nunez, R-Miami, to serve as speaker pro tempore, one of his top lieutenants. Also, Rep. Jose Oliva, a Miami Lakes Republican who is slated to become speaker in 2018, will chair the Rules & Policy Committee. The House and Senate will hold an organization session Nov. 22 that will include installing new leaders and swearing in members. Corcoran has long been preparing to serve as speaker, replacing outgoing Speaker Steve Crisafulli, R-Merritt Island. Corcoran has made changes in the House’s committee structure and the 120 members are expected to receive their committee assignments in mid-December, according to a memo issued Wednesday. Trump election boosts Scott, Bondi Two of Florida’s top Republican leaders are immediate political beneficiaries of Donald Trump’s surprising but decisive presidential victory Tuesday. Gov. Rick Scott and Attorney General Pam Bondi never embraced the favorite-son presidential candidacies of former Gov. Jeb Bush and U.S. Sen Marco Rubio. That put Scott and Bondi at odds with the majority of Florida’s GOP establishment. But Trump’s victory, which included winning Florida, has vaulted Scott and Bondi to the front of an inner circle of supporters who may benefit in a host of ways from the coming Trump administration. Within hours of Trump’s earlymorning victory speech in New York City, Scott posted a message online, drawing parallels between his initial gubernatorial campaign in 2010 as a businessman and political novice with Trump’s victory. Scott led the Rebuilding America Now PAC for Trump, raising and spending $20 million on television advertisements in key battleground states that Trump carried, including Pennsylvania and Ohio. Scott, who has run two hardfought but successful gubernatorial campaigns based on an economic prosperity message, noted he had long predicted Trump would carry Florida based on a promise to create more jobs. Although speculation has started that Scott could join the

President-elect Donald Trump enjoyed early support for Florida Attorney General Pam Bondi and Gov. Rick Scott. Trump administration, Scott said Wednesday afternoon he plans to remain in his job as Florida’s governor, with a little more than two years left in his final term. Many believe Scott is positioning himself for a 2018 challenge of U.S. Sen. Bill Nelson, the only Democrat who holds a statewide office in the nation’s third-largest state. Brian Ballard, a Tallahassee lobbyist who was Trump’s finance chairman in Florida, said Scott will benefit from Trump’s unexpected win. As chairman of an independent super PAC promoting Trump, Scott had to keep his distance from Trump under federal election law, Ballard said. While Scott had to remain in the background, Bondi, who
endorsed Trump before Florida’s March 15 presidential primary, was the state’s most visible Trump supporter, appearing with him at key rallies in the final days of the election. Ballard said Trump and Bondi, who is in the middle of her second and final term as attorney general, are very close. Bondi’s support never wavered although she became embroiled in a campaign controversy about a $25,000 donation Trump made to her political committee and whether that influenced her office in 2013 to dismiss allegations that Floridians had been bilked by Trump University. Bondi adamantly denied any impropriety. Ballard said he expects Trump to consider Bondi, a former state prosecutor from Tampa, for a role
in his administration. While Scott and Bondi are likely to benefit from Trump’s ascension, the new president may present some challenges for Rubio, who was elected Tuesday to a second term as a U.S. senator. Trump’s presidency makes him the odds-on favorite to be the GOP’s nominee in 2020, boxing out any presidential bid by Rubio, who was a viable 2016 candidate until Trump trounced him in the Florida presidential primary. But in contrast to the animosity between Trump and Bush, Ballard described Rubio’s relationship with Trump as a “positive rivalry,” although Rubio kept his distance from Trump during the general election. In 2012, then-GOP presidential nominee Mitt Romney beat President Barack Obama in Duval County, a crucial area for Republicans running in Florida, by 14,878 votes. Romney lost Florida and the presidential election. Four years later, Republican Donald Trump defeated Democratic presidential nominee Hillary Clinton in Duval by just 6,434 votes — then went on to carry Florida while winning the White House. Trump’s win in Florida reshaped, at least for a night, many of the geographic notions of how presidential elections are won in the state. In MiamiDade, Orange and Broward counties, Clinton increased Democratic performance by tens of thousands of votes over Obama’s showing four years ago. She not only cut into Trump’s edge in Duval, but reduced his advantage in Seminole County by three-quarters. It wasn’t enough to hold back a tidal wave of votes in rural and blue-collar counties that decisively rejected Clinton. In Pasco County, voters who had given Romney a 6.6 percentage-point victory in 2012 backed Trump by nearly 21.6 points this year. In Volusia County, which Romney won by just over a percentage point four years ago, Trump cruised to a 13-point victory. Trump improved the Republican margin of vic-
tory or defeat in the presidential race by more than 10 percentage points in 22 counties. The equivalent number of counties for Clinton was zero. “White working-class areas, just like we saw in the rest of the nation, just rebelled against her,” said Matt Isbell, a Democratic analyst in Tallahassee. Isbell said white voters in more suburban areas, like Seminole County, were buffered from some of the economic forces that swept Trump to victory in working-class areas like Pasco County.
