The Downtown Investment Authority approved a retail enhancement grant in December for the project at 327 and 331 E. Bay St. The CEO of that project has applied for a certificate of use for the business and the city is reviewing a permit for contractor Nialvi LLC to renovate space there. Owner John Ferra said Monday the bar area would offer seafood, such as oysters and crab legs, and operate more as a sports lounge. He expects to open about 4 p.m. and close late. The bakery side focuses on his mother Maria’s specialty. “My mother has been in the bakery business and we’ve been doing this for 20-something years,” he said. Ferra Bakery Inc. is based at 5570 Florida Mining Blvd. S. Ferra said he hopes to open in two or three months, but that depends on approvals and construction. According to the DIA staff report, the project will redevelop about 4,600 square feet of the first floor of the two-story buildings. It said Live Bakery is an offshoot of Maria’s Bakery, a Greek-based bakery established in 1996 by the Ferra family. MATHIS

Tuesday night brought a first for Jim Bailey. When his youngest daughter shared the dates for an upcoming event at Penn State University, Bailey didn’t hesitate. There was no checking his calendar, no assuming his wife, Donna, would handle the arrangements. Instead, he immediately sent a text to his daughter saying, “We’ll be there.” It was a good feeling, said Bailey, publisher of the Daily Record since 1975. One he’s planning to experience more often. Wednesday morning, Bailey gathered his staff to announce he had sold the 104-year-old family newspaper to Matt Walsh, CEO and owner of Observer Media Group Inc. in Sarasota. Over four decades, the third-generation owner piloted the Daily Record from hot type to computers, through good and bad economic times and into the internet age. It required long hours, including many nights of sleeping on a light table early in his career. Coupled with his staunch dedication to the community, Bailey routinely piled up 60 to 70 hours a week. “I don’t recall any time he was asked to participate and he turned anybody down,” said City Council member Bill Gulliford. “He’s a great asset.” Fourth Judicial Circuit Chief Judge Mark Mahon called him “an icon in our community.” Bailey said he will remain active in the city, including continuing as chair of the Downtown Investment Authority. He’ll also pursue business consulting and investment opportunities. It took finding the right buyer that would protect his family’s legacy for Bailey to make the decision to move on.

After a challenging 2016 when CSX Corp. worked to cut costs as freight volumes declined, Chairman and CEO Michael Ward is looking forward to the new year. “I’m feeling much more optimistic about what ‘17’s going to produce for us,” Ward said in an interview Wednesday after the Jacksonville-based railroad company’s fourth-quarter earnings report. His optimism includes the economic trends heading into 2017 and possible policy changes from the new presidential administration. CSX late Tuesday reported fourth-quarter earnings of 49 cents a share, a penny higher than the fourth quarter of 2015. However, the 2016 fourth quarter, which officially ended Dec. 30, was a week longer than the 2015 fourth quarter, and the extra week increased earnings by 3 cents a share. CONTINUED FROM FRONT PAGE six or seven years. “Everybody hates it,” he said. “But we try to be as transparent as we can.” CSX earned $1.81 a share for all of fiscal 2016, down from $2 in 2015 as revenue fell 6 percent to $11.1 billion. However, as freight demand fell, CSX worked to offset the lower volumes with nearly $430 million in cost savings last year. CSX’s employee head count dropped by about 3,000 from December 2015 to December 2016, with cutbacks throughout its operations in the Eastern U.S. Ward said there were no layoffs at its corporate offices in Jacksonville. “We did have some modest headcount reduction here but it was mostly attrition,” he said. Ward said the company did cut about $50 million to $60 million in costs at the headquarters operations through productivity gains. The $430 million in total cost savings also included a permanent annual savings of about $150 million from a conversion to longer trains and $100 million in cuts in operations in coal-producing regions as coal demand continued to drop. CSX lost about $470 million in coal revenue last year, but Ward

About the 85 percent of CSX’s business that is non-coal said domestic coal demand is expected to be flat this year. “After the last five years, flat seems like up to me,” he said. Ward said he is much more optimistic about the 85 percent of CSX’s business that is noncoal, particularly with U.S. industrial production turning slightly higher in the fourth quarter after declines earlier in 2016. “We think it’s turning to a more positive — not overly robust — but a more positive environment,” he said. The U.S. economy is projected to grow by 2 percent to 2.5 percent this year, which should translate into growth across CSX’s freight businesses, he said. While CSX maintains its own tracks, Ward is also hoping to see improvements in the nation’s infrastructure, which would help its intermodal business. “We need good highways. We need good ports,” he said. Ward has one area of concern about Trump’s policies — possible restrictions on foreign trade. “We’re a believer in free trade here at CSX,” he said. However, Ward thinks Trump’s policies in general bode well for the economy this year. “What happens to the economy in general is good for us,” Ward said.

The bakery will specialize in bread and dessert products. The menu will include bakery items, appetizers and entrees priced from $7.99 to $19.99, the report says. The report said the restaurant initially plans to offer lunch, dinner and entertainment starting at 10 a.m., although Ferra said the bakery might open earlier. The report says owner and CEO Klodian Ferra, who goes by John, expects 15 full-time employees. The facility will provide maximum seating for 200 clients. Plans filed with the DIA show 38 seats in the bakery and the remainder in the restaurant and bar. The report says the venture will be managed by two people with 34 years of combined experience in restaurant and bar management and executive office operating and administrative experience. Ferra sought the grant for improvements to include plumbing, electrical and mechanical, fire and safety, and to the walk-in cooler. He estimates the total investment at $330,805, including construction improvements of about $158,595. Ferra’s investment would be $251,508. The forgivable loan is subject to the project obtaining the permits and completing the work within six months of the executed DIA agreement, with a possible sixmonth extension. The loan will be secured by a personal guarantee by Ferra in the event of a default under the program or funding agreement. The next construction project Downtown took two steps forward Wednesday when the Downtown Investment Authority approved allocation of development rights and a Recapture Enhanced Value grant for the midrise project. Ventures Development Group, based in Baton Rouge, La., proposes building up to 300 units of market-rate apartments on a 2.9acre site along the St. Johns River next to the Aetna Building. The REV grant is for 75 percent of the ad valorem taxes generated by the project for 15 years. The grant is capped at a cumulative amount of $7.88 million. According to the staff report submitted to DIA’s board of directors, the project will generate $15.2 million in ad valorem taxes in the first 20 years of its occupancy. Authority CEO Aundra Wallace said with the grant, the developer’s construction cost per apartment will be $21,000, which he described as “right at the limit” for the project to be

financially viable. As per the Business Improvement District for Downtown approved by City Council, the board’s approval commits the grant with no action required from council. A design workshop for the project was conducted in November by the Downtown Development Review Board, which will consider today approving the conceptual design of the building and streetscape. The DIA board deferred action on a request for a Business Attraction Incentive agreement from IP Capital Partners, the landlord, and One Call Medical Inc. for One Call to lease about 83,000 square feet in the Aetna Building. The lease would represent about half the space Aetna will vacate this year as the insurance company moves its operations to a suburban office park. One Call currently leases space in the Aetna Building, but would move about 550 employees to Downtown from Baymeadows and create 107 new jobs in customer service and information technology. The incentive would be capped
at $1 million and paid in annual $100,000 installments over 10 years. The company would be required each year to document it has at least 600 employees at the site and maintain a lease of at least 80,000 square feet. Board member Oliver Barakat, senior vice president with the CBRE commercial real estate firm, supported the incentive agreement. “Any time you can lease 80,000 square feet Downtown, it’s a good day,” he said. But board member and attorney Brenna Durden questioned the language of the resolution for the incentive. She said the way the agreement was written, the authority is not adequately protected in the event One Call fails to fulfill the requirements of the grant. “I think this was brought to us too early,” she said. Attorney General Pam Bondi on Wednesday asked a Palm Beach County circuit court to resolve a dispute about whether two tobacco companies have improperly avoided paying tens of millions of dollars to the state under a landmark 1997 settlement with the tobacco industry. Bondi’s office filed a motion to enforce the settlement in a dispute that stems from R.J. Reynolds Tobacco Co. selling the Winston, Kool and Salem cigarette brands to the tobacco company ITG Brands. The dispute also includes Maverick cigarettes, which were transferred to ITG amid a merger between R.J. Reynolds and Lorillard Tobacco Co. The 1997 settlement required certain major tobacco companies, including R.J. Reynolds, to make annual payments to the state in exchange for legal protections. In the motion filed Wednesday, Bondi’s office contends payments based on Winston, Salem, Kool and Maverick cigarettes improperly stopped after the brands became part of ITG. The motion said the state is owed more than
$45 million. “The sale of major, pre-existing tobacco brands to another company for billions of dollars does not cause the payment obligations to van- Bondi ish like a puff of smoke,” Bondi said in a statement. A spokesman for Reynolds American, the parent company of R.J. Reynolds, said the company will fight the state’s claims, but he couldn’t comment directly on the active litigation. “We believe we have strong legal and factual defenses to the motions filed today in this case and will vigorously defend against them,” Reynolds spokesman Bryan D. Hatchell said in an email. A representative for ITG didn’t immediately respond to a request for comment. The settlement resolved Florida’s 1995 lawsuit over the unlawful marketing and sales of cigarettes by R.J. Reynolds and other major tobacco companies. The settlement required the tobacco companies to annually pay several hundred million dollars to Florida — the state
received $378 million in 2014 — in exchange for a release from liability for past and future damages tied to the sale and marketing of cigarettes. After the transfers of the four cigarette brands, Bondi’s office contends Reynolds has refused to include money from sales of the four brands in its annual payment to Florida, while ITG has similarly refused despite having agreed to assume obligations regarding the cigarettes. “While the settling parties provided a mechanism for annual payment amounts to be decreased if the aggregate shipments fell, they necessarily intended that any such decrease would reflect lower consumer demand for these cigarettes — and thus lower public health care costs for the state,” the court document said. “The settling parties could not have intended and did not intend that the amounts paid to the state to cover the public health care costs from consumption of these cigarettes could be eliminated, wholly or partially, by a settling defendant’s transfer of iconic cigarette brands to another entity, a conveyance for which it received several billion dollars,” the document said.

Bailey Memories of his newspaper career
Over the years, Bailey has received many inquiries about selling the newspaper. He and Walsh even came close to a deal in October 2015. (They also talked when Bailey ran for mayor in 2010.) Bailey has six daughters, none of whom are involved in the business. Plus, he didn’t have a succession plan. “It was important to me that the business continued and thrived the way it has all these years,” Bailey said. “I don’t think there’s anybody better than Matt.” Walsh owns 10 weekly newspapers and has an editorial background in journalism, including at the Miami Herald and Florida Trend. He previously bought the Tampa Bay Review from Bailey in 2001. He said Bailey initiated another conversation about the Daily Record at the end of 2016. Walsh said he was impressed Bailey had built a niche with very few competitors. He said it showed Bailey and the staff had been satisfying customers, who found no reason to try to find someone else to do business with. Walsh said during the latest talks he detected a sense that Bailey “wanted to make it happen.” However, Walsh said he wasn’t completely sure the deal was going through until Tuesday — when the check cleared. Bailey said the two originally planned to tell employees today. “We got everything done and we looked at each other and said, ‘Do we really need to wait?’” he said Wednesday. There was a concern the news would get out early if they waited until today. And Bailey wanted it on the front page of the Daily Record before that could happen. Bailey said he wasn’t emotional about selling the business until the staff meeting. Before then, he had enjoyed the negotiating process. But, he said, “To get out there and see the faces, that’s probably when it hit me.”
Bailey later described the newspaper business as one of the most stressful there is. “You have to be perfect all the time because the cost is so high if you’re wrong about somebody’s life,” he said. And when a staff is totally accurate, he said, “You finish up and feel relief about 15 minutes and you’re starting over again.” Bailey has countless special memories, including writing about his father’s passing in 2010 and the 2012 murder of Dale Regan, head of The Episcopal School of Jacksonville, with whom Bailey was close. He said writing about them helped him through the ordeals. Bailey believes his father, James F. Bailey Sr., would be “very, very, very proud” of how he’s run the business and how the sale was handled.
Lasting impact in community
Hours after the announcement to the staff, Bailey was in the office he’ll retain in the building at 10 N. Newman St. A consistent stream of text message notifications came from his cellphone, evidence of how the community appreciated his contributions. Gulliford said in an interview that Bailey’s biggest impact was the fact he has always been there. He’s worked with Bailey on issues throughout the years, including trying to save the Seminole Club Downtown and addressing issues with Hemming Park. He said Bailey doesn’t have a reason now not to run for council. “I’m going to chastise him,” Gulliford joked. Mahon said Bailey has always been honest and straight-forward. “He’s a real asset and an incredible gem,” he said. Chris Hand, chief of staff to former Mayor Alvin Brown, said the community owes Bailey and his family a debt of gratitude. “For the last century, they have provided not only a must-read newspaper but also key support for Jacksonville’s legal, business and Downtown communities,”

Hand said Northeast Florida will continue to benefit from Bailey’s public service and civic involvement. “I look forward to seeing what new ventures and initiatives he and Donna pursue next,” Hand said. Bailey said that won’t include starting another business. He doesn’t want to create something that could tie him down.
Not having to rush back home
Bailey pointed out he hasn’t retired. He sold a business, one he said he couldn’t continue to provide the kind of energy it needed. He has other business interests, including cattle in Georgia, real estate investments and honeybees in Jacksonville. “I want to do some things and have some fun,” he said. “Yet, I’ll probably be in here (his office) every day.” But, he will definitely spend more time with his wife, daughters and three grandchildren, soon to be four. He’ll also spend time with his mother, who still
resides in the Jacksonville area. Bailey’s looking forward to taking a trip with Donna to visit one of his daughters and then her parents. “I’ve never gotten in a car and just drove for leisure,” he said. That includes a previous visit to see one of his daughters. “The last time I did that I went straight there as quick as I could,”
