After weeks of negotiations, Hunter Harrison became CEO of CSX Corp. Monday — but he could still walk away if shareholders don’t approve his full compensation package. Harrison, former CEO of Canadian Pacific Railway Ltd., took over immediately, the company said in its late Monday announcement. Former CSX CEO Michael Ward, who was planning to retire in May, will act as a consultant to

the company. CSX last month said Harrison was seeking a total compensation package worth more than $300 million and the Jacksonvillebased railroad company was planning a special meeting to let stockholders vote on it. In the Monday announcement, CSX said shareholders will still get an advisory vote on one part of Harrison’s package at the company’s regular annual meeting. He told CSX he will resign after the annual meeting if he doesn’t get that payment, the company said.

CSX also said it agreed with hedge fund Mantle Ridge, which was working with Harrison, to put Harrison, Mantle Ridge CEO Paul Hilal and three other new directors on the company’s board. Harrison has a reputation for cost-cutting and improving performance as CEO of major North American railroads Canadian Pacific and Canadian National Railway. Even before his appointment, CSX last month announced it was cutting about 1,000 managementlevel jobs, with a majority of those CSX CONTINUED ON PAGE 3

Holland & Knight partner not retiring, just relocating To paraphrase Mark Twain, the rumors of George Gabel’s retirement are greatly exaggerated. That’s what Gabel, a well-known maritime and First Amendment and public records law attorney, said Monday before being recognized by the Rotary Club of Jacksonville. The Holland & Knight partner is still representing clients and is general counsel for FHM Insurance Co. So he’ll continue to practice even though he and his wife, Judy, are moving next month to Davidson, N.C., near Charlotte and Davidson College, where Gabel earned his undergraduate degree in 1961. He graduated from the University of Florida Levin College of Law and was admitted to The Florida Bar in 1964. “Davidson is like a second home to us,” he said. It’s where their daughter, Meredith, her husband and two of the Gabels’ four grandchildren live. Gabel Attorney Hank Coxe said Gabel was nominated for membership in Rotary by Tommy Grimes and joined in 1977. Gabel was president of the club in 1987-88, when Rotary invited its first female and African-American members — Frances Bartlett Kinne and Willard Payne. Holland & Knight partner Tim Connor said Gabel’s maritime law practice has allowed him to travel the world, always touting Jacksonville to the international shipping community as a great place to do business. “George has always had an international vision,” said Connor, who has been a colleague of Gabel’s for 27 years. As beach season nears, a Jacksonville-based women’s swimwear company that has grown from less than $30 million in annual sales to more than $300 million in eight years is expanding to handle ongoing growth. Venus, a 35-year-old designer, maker and seller of bathing suits and women’s apparel, is expanding into 224,000 square feet at One Imeson in North Jacksonville. “This expansion is the result of our continued business growth and confidence that it will continue in the years ahead,” said Venus President Jim Brewster. Venus sells bathing suits and clothing online and by catalog. It remains based at 11711 Marco Beach Drive in the EastPark business center in Southside. Schwartz bringing El Jefe to Murray Hill this fall

By Karen Brune Mathis Managing Editor Chef Scott Schwartz announced more details Monday about El Jefe, a Tex-Mex restaurant he intends to open this fall in the West Jacksonville neighborhood of Murray Hill. Schwartz, owner of the 29 South Restaurant in Fernandina Beach, said in a news release he will set up El Jefe at 947 Edgewood Ave. S. Satilla Inc., owned by Schwartz’s partner Brad Walters, will lead the construction and Rob and Kassia Zinn of OAD, which is Office of Architecture and Design, will design the project. Schwartz described El Jefe as an affordable and casual Tex-Mex concept “dedicated to celebrating the diverse cuisines of America’s southwestern borderlands.” The menu will include classics like wood-grilled skirt steak fajitas, San Antonio puffy tacos, Texas-style chili con queso and traditional tamales, he said. El Jefe also will have a full bar with a focus on traditional margaritas, tequila and mescal. “Everything will be made from scratch, from the tortillas to the margaritas,” Schwartz said. He sees historic Murray Hill as a neighborhood where merchants and residents care about its future and have set it up for success. “It has sat in the shadows of Riverside and Avondale and is now ready to explode,” Schwartz said. Gabel, 77, said he and Judy are renting a house in Davidson, but plan to move to The Pines, a senior community near his alma mater. “We’re on the waiting list,” he said. Gabel is representing Tote Services Inc. and Tote Maritime Puerto Rico in litigation related to the sinking last year of Tote’s El Faro cargo ship during Hurricane Joaquin, among other clients. Gabel said he can maintain his practice while in North Carolina and he’ll be coming to Jacksonville on a regular basis as he begins the next chapter in life. “I may actually retire in a couple of years,” he said. Enterprise Florida leader resigns without warning By Jim Turner The News Service of Florida A proposal to abolish Enterprise Florida was readied Monday to go to the House floor, as the state’s business-recruitment agency suddenly found itself without a leader. Chris Hart caught state leaders off guard when he abruptly resigned as president and CEO of Enterprise Florida, claiming differences of opinion with Gov. Rick Scott on the future of the public-private agency, which House Speaker Richard Corcoran, R-Land O’ Lakes, wants to eliminate. “This difference of opinion is of such a critical nature that I no longer believe I can be effective in my position,” Hart wrote to Enterprise Florida Vice Chairman Stan Connally. Hart, a former two-term state lawmaker from Tampa who took over Enterprise Florida in November after a long tenure running CareerSource Florida, did not elaborate on the differences in the letter. However, Hart noted he had yet to sign a contract with the business-recruitment agency. Enterprise Florida representatives did not offer comment on Hart, nor did any official from the agency address the House Rules & Policy Committee on Monday. The committee approved a bill (HB 7005) to abolish Enterprise Florida and another bill (HB 9) to reform the tourism-marketer Visit Florida. The Enterprise Florida Executive Committee has scheduled a conference call Tuesday afternoon to discuss how to proceed. The governor’s office, which has been at odds with Corcoran over the proposals for both Enterprise Florida and Visit Florida, didn’t expect the resignation to alter the focus of Enterprise Florida. Scott wants lawmakers to pro-

Hart vide $85 million to the agency for business-recruitment incentives during the upcoming fiscal year. “It is odd that Chris Hart never shared any differences of opinion or vision with the governor until we first read that he had them in his resignation letter,” Scott spokeswoman Jackie Schutz said in a statement. “The future of EFI and its role in creating more jobs in Florida as we compete with other states is more important than one person’s sudden change of opinion or position, no matter how surprising,” she continued. Scott had praised Hart in November when Enterprise Florida made the hire. “Chris understands the incredible impact a job can have on a family and the need for EFI to make job creation the number one priority,” Scott said in a release. “As president and CEO, I know Chris will immediately get to work to return EFI back to its core mission of creating jobs for our families.” Hart’s decision came hours before the Rules & Policy Committee voted 15-3 to back the measure that would abolish Enterprise Florida and a number of other agencies. Corcoran has described such programs as “corporate welfare”

and has fought funding for them. The committee also voted 15-2 to approve the measure to overhaul Visit Florida. That measure would require Visit Florida to: • Post all contracts online • Freeze agency employees’ benefits at current levels and prohibit bonuses • Remove public-records exemptions from marketing and research projects • Require approval from the governor for all out-of-state and international travel • Require the Senate to confirm the governor’s appointment of the agency’s president • Allow the Joint Legislative Budget Commission, House speaker or Senate president to reject contracts worth more than $750,000. Scott has asked for $76 million for Visit Florida in the upcoming budget. In voting against the Visit Florida bill, Rep. David Richardson, D-Miami Beach, called the changes an “overreach” and “arbitrary.” He noted that Visit Florida has worked internally on measures to become more transparent, due in part to a controversial $1 million Visit Florida contract with Miami hip-hop artist Armando Christian Perez, better known as Pitbull, and ongoing sponsorship deals with London-based Fulham Football Club and an IMSA racing team. Both bills are ready to be voted on by the entire House during the annual legislative session that starts Tuesday. However, neither bill has a Senate version and senators have expressed support for both agencies. Hart was hired Nov. 30, replacing Bill Johnson who left in June following the Legislature’s rejection of a Scott request for $250 million in economic-incentive money for the public-private organization.

‘Gotcha’ public records law moves ahead By The News Service of Florida With lawmakers searching for answers in a long-running debate, a Senate committee Monday approved a bill aimed at what local-government officials argue are “gotcha” public records lawsuits. The bill (SB 80), sponsored by Sen. Greg Steube, R-Sarasota, deals with a law that requires judges to award attorney fees to people who successfully file lawsuits against government agencies that have improperly withheld public records. Local governments contend the law is being abused by people who bombard government agencies with records requests

as a strategy to file lawsuits and receive attorney fees or settlements. Steube’s bill called for changing the law to give judges discretion in awarding attorney fees, rather than making the fee awards mandatory. But the Senate Community Affairs Committee on Monday approved the bill after adopting changes that, in some cases, would continue requiring mandatory attorney fees. Such cases would involve plaintiffs showing by a “preponderance of evidence” that government agencies “intentionally or willfully refused” to provide public records. Despite the amended version

of the bill passing, some lawmakers said they think the measure continues to need revisions. Barbara Petersen, president of the First Amendment Foundation, also expressed concerns about the amendment. She acknowledged problems with “predatory requesters” who seek public records as a strategy to file lawsuits, but said mandatory attorney fees are the only leverage many people have to ensure government agencies will comply with public-records requests. Buddy Jacobs, general counsel for the Florida Prosecuting Attorneys Association, said his group just wants the problem with abusive public-records lawsuits fixed.

Painting the town

Miami-based artist and designer Andrew Reid Shed didn’t let a stiff breeze on West Bay Street deter him from starting work on the first of eight Skyway track columns he’s painting as part of the Downtown Investment Authority’s Urban Arts Project in partnership with the Cultural Council of Greater Jacksonville and the city’s Art in Public Places initiative. He’s one of six artists commissioned to paint murals and design, fabricate and install outdoor sculptures and sculptural street furniture at more than 30 locations along West Bay and Hogan streets. The projects will be complete in time for Public Art Week April 3-7. “Patterns and color,” he said Monday as he painted the outline for the first mural. “Everybody wants more color.”

find the hundreds of seamstresses it needs. He said Venus employs about 100 seamstresses and will hire more, but they are hard to find. The company also sells fashion products other than swimsuits. Those are made in United States, Europe and the Far East. The majority is imported. Scott remains active with the company. Brewster said Scott is the head of operations for two of its recent sister companies: the Creation L clothing for women, whose customers average the age of 60, and Lascana swimsuits and clothing, whose average customer age is 35. Venus customers range in age from 20-80, with most 35-50. The average age is 43, he said.

Brewster said the company is relocating from the original 100,000 square feet into larger separate space, more than doubling in size. The facility is at 1 Imeson Park Blvd. in the Imeson International Industrial Park. The city is reviewing a permit for contractor Rick Haskew to renovate the expansion space at a cost of $451,539. It should be completed in the second quarter. Venus began in founder Daryle Scott’s Stetson University dorm room when he started a mailorder business for competitive bodybuilding suits. Scott transformed the business into swimwear sales and, with other owners, built it into a significant company. They sold it in 2006 but after it faltered, Scott was enlisted to help sell it again. Brewster helped arrange that sale in 2009 to the bonprix European mail-order clothing company and came onboard as CEO and president. Brewster now is president and Sascha Peters, a former bonprix executive in Germany, is CEO. Brewster said the EastPark building, at 128,000 square feet, will retain the administration, customer service, call center, swim manufacturing, Brewster returns processing, offices and other functions. The Imeson move will free up the current distribution space in EastPark for expansion of those functions, which include merchandising, marketing, IT and creative operations. Imeson will accommodate most of its fulfillment operation, which is to pick, pack and ship orders. Brewster said Venus has almost 1,000 employees, with about 75 of those at Imeson. After the expansion, there will be about 500 each at EastPark and Imeson. “The business continues to grow, so the plan is to be in aggressive growth mode,” he said. Brewster said Venus still makes a little less than 50 percent of its swimwear in Jacksonville; the rest is made in the U.S. and internationally. “We have to be one of the last companies to manufacture swimsuits ourselves in the USA, and one of the main reasons we continue to do it is so we can guarantee a high quality swimsuit for our customers,” he said. Brewster said the company has been growing so quickly it cannot find enough employees to sew in Jacksonville. “Our preference is to do it here,” he said, but Venus can’t
