Lee & Cates Glass CEO Tommy Lee has guided his family business back from the depths of the Great Recession.

By Karen Brune Mathis Editor Tommy Lee wrestled with those deadof-night worries. It was, he recalls, “when everything went south.” The third-generation president and CEO of Jacksonville-based Lee & Cates Glass Inc. was guiding the company through the Great Recession and a 2009 state investigation into fraud charges of overbilling insurance claims. “Your prayer life increases dramatically. The problem is, it increases at 2 and 3 o’clock in the morning when you’re trying to figure everything out,” he said.

“It’s a lot of soul-searching.” The 2007-09 recession led to a 40 percent drop in revenue, necessitating cost-cutting, taking on debt, diversification and cutting 150 people from a staff of 300. The company worked through the legal issues and met the court’s conditions, including making full restitution. It cut five staff members and tightened controls and oversight. “You find out a lot of things about people and yourself, and that’s the difficult task, but that’s how you get through things, and so you have to tough it out,” Lee

A look at 2 months of CSX cuts under Harrison We don’t normally pay attention to this, but the major U.S. railroad companies, including Jacksonville-based CSX Corp., file monthly reports with the U.S. Surface Transportation Board on their total employment levels.

With new CEO Hunter Harrison taking over at CSX in March and expectations of cost-cutting, it probably will be interesting to keep up with the numbers in the next few monthly reports. Harrison officially started March 6 and CSX said the company already had cut 800 management-level jobs before he started. It's unclear when those jobs would be reflected in the monthly reports. CSX cut about 400 jobs in total between December and March, bringing companywide employHarrison ment to 24,061. After Harrison came in, total employment fell to 23,482 in mid-May, according to the most recent report filed with the STB. Although CSX announced

management-level layoffs, the biggest cuts between December and March came in maintenance jobs, which fell by 260. Office jobs were relatively stable in that period. But from March through May, the level of “executives, officials and staff assistants” fell by 336 to 883 and the number of “professional and administrative” jobs dropped by almost 500 to 2,009. Although he toyed with other ideas, such as radio sports announcing, Lee said he always knew he wanted to give the family business a try. “As I tell my wife, the next thing I knew, I was sitting in my station wagon driving to the beach to her parents’ house, and a wife, and two kids in the back seat. I said, ‘I better stick with what I got and what I know,’” he said. Trends and competition have reshaped the business. For example, when he took over as CEO in 1993, about 75 percent of its business was auto glass. Today it’s just 25 percent, with the majority being flat glass for houses and commercial buildings. In the housing market, Lee & Cates focuses on replacement and repair rather than new construction, although it does work for custom homes. The company wants to grow its auto glass business, considering it was created in that niche.

Lee knows that. “They say the third generation usually blows it or sells it, so we’ve probably come close to doing both, but haven’t done either of those, so it’s down in the single-digit percentages,” Lee said. To make it work, he said, the key is “being true to the business, and never taking too much out of the business.” Like other industries, though, there’s a challenge in finding a workforce, “getting people to come into the business and want to put in the hours and the time it takes to do what we do and to learn that trade.” “We’ve got to figure out a way to show them a path, show them how they can make a good living in a trade,” he said. Lee’s grandfather, Thomas D. Lee Sr., and Raymond H. Cates founded the company in 1926. They moved their families from Georgia to Florida and opened the original Lee & Cates store on Adams Street in Downtown Jacksonville. “At the time, the car was the big deal, so they started to think, ‘everybody’s going to want one of those.’ They saw that as an opportunity,” Lee said. They started with buying and installing flat glass for the early cars but adapted to curved glass as windshields evolved. They faced tough times — such as the Great Depression — but also opportunities. One story Lee heard was that just before World War II, the men agreed with another company to buy a truckload of flat glass. When it arrived, the other man pulled out of the deal. “They went out on a limb, paid for it all themselves, kept it all themselves,” he said. Then war broke out. “They were able to get through a time where they could take

advantage of the situation and had glass when others did not have as much,” he said. Lee & Cates Glass was founded Downtown and it retains a retail operation along Houston Street. Its headquarters office is at its Northwest Jacksonville manufacturing plant.

Lee describes his leadership style as one that expects people to perform their duties, and he isn’t a micro manager. “The best thing to do is have people that do everything better than you,” he said. “We have a lot of great people, and I try to let them do their job and not get in their way.” Of course, there are times he steps in to take care of situations, although he remains aware of the reality. “When you’ve got a family

Lee also talks about increasing their visibility. “I’m the one on TV, but it’s about time to get somebody younger and betterlooking on there, so we’ll see how that works.” JSA Advising in Minnesota reports that 30 percent of family-owned businesses survive into the second generation and only 12 percent make it into the third generation. That drops to 3 percent of all family businesses operating in the fourth generation and beyond. “Therefore, making it to the 4th generation is very rare,” it says.

Lee said Lee & Cates continues to persevere. “We are here for the long haul,” he said. He wasn’t so sure back in November 2009. “Things were really, really bad. I get a daily devotional and at the bottom of that, the title of the devotional was, ‘You’re Not Going Under.’ “At that time, I was not sure of that,” he said. Lee relied on his faith for strength. “I strongly believe in my God, so I had to turn it over to him and get through that. My father taught me that, his father taught him that, and so we live that,” he said. He and the company survived, going through what he calls “a funnel of perseverance.” “You’re changed, you’re transformed, and you’ve learned a lot, and you have to keep battling and be assured the next day is going to better in some form or fashion.” After that, he said, “you take your little victories and move on.”

Analyst upgrades Regency Centers Regency Centers Corp. and some of its competitors fell sharply 10 days ago after Amazon.com agreed to buy Whole Foods Market Inc. The deal creates uncertainty about the future for real estate investment trusts like Jacksonville-based Regency, which operates grocery-anchored shopping centers across the country. However, one analyst says concerns about Regency are overblown. “We think the recent selloff among the shopping center REITs has created an attractive entry point for shares of Regency, as the stock has undeservedly been caught in the broader retail headwinds,” Jefferies analyst George Hoglund said in a research note as he upgraded Regency from “hold” to “buy.” “We think the high quality, grocery anchored portfolio will outperform as retailers and grocers will focus on occupying the best shopping centers,” he said. Hoglund said Regency has the highest grocer sales per square foot in its peer group and has a strong tenant base in its centers. “Although Regency is not immune to the current retail storm, we think Regency will continue to be less impacted than its peers from tenant bankruptcies and store closures,” he said. Regency’s stock fell by $2.61 to $61.45 on June 16 after the Amazon-Whole Foods deal was

FIS upgraded Moody's Investors Service upgraded its rating on Fidelity National Information Services Inc., or FIS, saying it has done a good job reducing debt after acquiring SunGard Data Systems Inc. in 2015. “The upgrade reflects Moody's expectation that FIS will continue to generate substantial free cash flow (over $1 billion after dividends in 2018) while maintaining a conservative financial structure with disciplined capital allocation,” the rating agency said in a news release. “As publicly indicated at the time of the SunGard purchase, FIS has curtailed its share repurchase and M&A activity and will likely do so until the target leverage is achieved. The upgrade also reflects FIS' growing scale and profitability as well as the progress in integrating the SunGard acquisition,” it said. Moody's upgraded its senior unsecured rating on Jacksonville-based FIS from Baa3 to Baa2, saying the rating reflects the company's position as a leader in providing bank technology. It expects FIS to continue generating a “predictable” revenue stream. “With the acquisition of SunGard, FIS enhanced its size and diversity with an adjacent product offering focused on capital markets and wealth management. FIS benefits from significant barriers to entry because of its significant scale, the high switching costs of its core banking software and services, and longstanding relationships with the largest banks,” it said.

TapImmune raises additional cash TapImmune Inc. last week said it is raising about $6.82 million in additional capital through a private placement of stock and the exercise of warrants to buy stock by existing investors. The Jacksonville-based company, which is developing immunotherapies to treat cancer, said the additional funds will help it through several clinical milestones. TapImmune has no products on the market but has several clinical trials underway. TapImmune's announcement of a stock sale came on the same day The Wall Street Journal reported that biotech stocks are surging, with investors willing to take more risks in the sector. “Traders say biotech’s climb is likely best explained by news reports that the Trump administration will take only modest steps to address drug pricing. That has assuaged investor concerns that more fulsome efforts to rein in drug prices are in the works, and sent them piling into the sector,” the Journal said in its MoneyBeat column.

Advanced Disposal shuffles board Advanced Disposal Services Inc. shook up its board of directors after two of its major stockholders sold shares last month. The Ponte Vedra-based waste management services company's largest shareholder, affiliates of Highstar Capital, sold almost 14 million shares in the secondary offering, reducing its stake in the company from 47.6 percent to 31.7 percent.

Another large shareholder, BTG Pactual, sold about 3.8 million shares, reducing its stake in Advanced Disposal from 5.2 percent to 0.9 percent. Because of the sell-off of most of its stake, BTG's representative on the board, Sergio Pedreiro, will have to resign, Advanced Disposal said in a Securities and Exchange Commission filing. Pedreiro is an associate partner of BTG, a Brazilian investment bank. Meanwhile, Highstar was required to give up one of its four seats on Advanced Disposal's board as its stake was reduced. So one of its representatives, Matthew Rinklin, submitted his resignation. Rinklin had just been re-elected to the board at the company's annual meeting last month. Advanced Disposal did name one replacement. E. Renae Conley, CEO of energy consulting company ER Solutions, will join the board Aug. 1. The stock sale by BTG leaves Advanced Disposal with one other investor, besides Highstar, owning more than 5 percent of the stock. The Canadian Pension Plan Investment Board owns 18.8 percent of the shares, according to Advanced Disposal's proxy statement for its annual meeting.

THL largest Black Knight stockholder As Fidelity National Financial Inc. gives away its stake in Black Knight Financial Services Inc. to its shareholders, an investment firm that partnered with Fidelity to buy Black Knight will become its largest shareholder. Affiliates of Boston investment firm Thomas H. Lee Partners will continue to own 22.8 percent of Jacksonville-based Black Knight, according to an SEC filing last week. Thomas H. Lee was a minority partner when Fidelity bought the company, then known as Lender Processing Services Inc., in 2014. Fidelity currently owns 54 percent of Black Knight, but is distributing all of its shares in the mortgage technology company to its stockholders. That distribution will leave one other firm, besides Thomas H. Lee, with more than 5 percent of Black Knight's stock. T. Rowe Price Associates Inc. will control 9.8 percent, according to the SEC filing.

Shoe Carnival raises dividend Shoe Carnival Inc. last week announced it is increasing its quarterly dividend by a half-cent a share to 7.5 cents. The footwear chain is projecting earnings this fiscal year of $1.30 to $1.45 a share, little changed from fiscal 2016 adjusted earnings of $1.40. However, the company says it is in a strong financial position. The dividend increase “aligns with our ongoing goal of enhancing total return to our shareholders and reflects our expectation for continued generation of free cash-flow,” CEO Cliff Sifford said in a news release. Former Jacksonville Jaguars owner Wayne Weaver is chairman and the largest shareholder of Evansville, Ind.-based Shoe Carnival. 50 years ago this week

History often repeats, and there often are parallels between the news of today and 50 years ago. Here are some of the top news stories of this week in 1967 compiled from the Jacksonville Public Library’s periodical archives by Associate Editor Max Marbut.

Bill signed for vote on consolidated government In Tallahassee, Gov. Claude Kirk, witnessed by members of the Duval Legislative Delegation, signed the Duval County government consolidation bill that would put the proposal on the ballot for voters to decide Aug. 8. Kirk said he thought consolidation would be “a great thing for the county.” He also said he would be happy to campaign for the plan, if someone invited him to do so. “I don’t know, though — my support could be the kiss of death,” Kirk added. Even though he endorsed the plan, Kirk said he could not vote for it because he recently had moved his voter registration to Leon County after living in Duval for 10 years. “I couldn’t get over to vote in the Jacksonville city elections, so last week I shifted my registration to Tallahassee,” Kirk told state Sen. Tom Slade after Slade invited the governor to vote in favor of consolidation in the referendum. The day after the signing ceremony, civic leaders tied together the ends of a bright red ribbon to formally open the headquarters of Citizens for Better Government, a group formed to promote voter interest in approving the upcoming

referendum. Campaign workers already were busy in the office at 32 W. Duval St. James Lumpkins, campaign finance chairman and vice president for membership of the Jacksonville Area Chamber of Commerce, said consolidation would “give us a government where the total leadership of our community will be joined in a united effort; a government that will be responsive to citizens and their needs; and a government that will assure a dollar’s value for a dollar spent.” The tying of the ribbon, in contrast to the more traditional ribbon-cutting, symbolically emphasized bringing together many facets of local government into a compact, wellorganized and efficient structure, according to Citizens for Better Government officials. “We are indeed on the threshold of a bright, new future. The opening of this campaign headquarters is an example of democracy in action,” Lumpkins said. Claude Yates, the organization’s general chairman and a past president of the chamber, and D.J. Lanahan, chairman of the Publicity Committee, participated with Lumpkins in the ceremony.

City rededicates ‘Tablet of Commandments’ at Hemming

Artificial reef planned off Atlantic Beach to boost fishing A sandy stretch of the ocean floor about 12 miles east of Atlantic Beach was scheduled to become the graveyard for hundreds of tons of junk cars, concrete and metal in the interest of improved fishing. The U.S. Bureau of Sport Fisheries and Wildlife selected the area to construct an experimental artificial reef.

The site would be one of only five along the entire East Coast and the second under construction when the permit was expected to be approved in July. “We want to know how to improve fishing. It’s that simple,” said Dick Stone, an oceanographer at the Sandy Hook Marine Biology Laboratory in Highlands, New Jersey. “We think these reefs will provide protected areas for larvae and other fish foods that will prove attractive for migratory gamefish,” he added. In 1960, a group of fisherman banded together under the name Jacksonville Offshore Fishing Club. Their first project — done without a permit from the U.S. Army Corps of Engineers — was construction of an artificial reef that came to be known as Montgomery Reef. Club members were working with the Sandy Hook scientists to plan the new reef and gather local support for the project.

The purpose which inspired placement in Hemming Park of the “Tablet of Commandments” in 1957 was reaffirmed by civic and spiritual leaders in a rededication service. City Commissioner of Utilities Clyde Simpson unveiled the 6-foot-tall tablet, which had been provided with a new aluminum and glass encasement. “This is an occasion that underlines the principles underlined in the Constitution of the United States by our founding fathers which preserves the right of every man to worship freely. It is ample proof that Americans, no matter what congregation, faith or creed they belong to, can come together in freedom and join hands and hearts in observance of the great principles of the Ten Commandments,” he said. Kenneth Soud, a layman active in promoting establishing the tablets, reported he made a threeweek pilgrimage around the state, seeking support for the installation of similar displays in public parks in other cities. “More than 50 cities have requested blueprints for the construction of similar tablets, all of which have been provided, free of charge, by the City of Jacksonville,” he said. The ceremony was sponsored by the Greater Jacksonville Ministerial Alliance in cooperation with the Downtown Council of the Jacksonville Area Chamber of Commerce.
