Home giants Lennar, Building products manufacturer CalAtlantic to merge expanding its Jacksonville plant Combined company would create nation’s largest homebuilder. From Staff Two national homebuilders operating in more than 30 communities in Northeast Florida will join forces, creating the nation’s largest homebuilder, pending shareholder approval. This week, Lennar Homes announced it is acquiring CalAtlantic Homes in a move characterized by both companies as a cost-saving strategy. According to a news release issued by both companies, the transaction is valued about $9.3 billion, including $3.6 billion of net debt assumed. The transaction is expected to close in the first quarter of 2018. Combined, the two companies had more than $17 billion in equity market capitalization in the last 12 months. They will control about 240,000 homesites nationwide in about 1,300 active communities in 49 markets across 21 states where half of the U.S. population lives. In Northeast Florida, Lennar is building in 15 neighborhoods, including eight within the Rivertown development in northwestern St. Johns County. CalAtlantic is building in 16 neighborhoods, seven within Nocatee. According to the release, company officials estimate annual savings of $250 million, after a $75 million reduction in costs in fiscal year 2018. The savings are expected through reduced overhead and the elimination of duplicate public company expenses. Additional savings are expected through production efficiencies, technology initiatives and the introduction of Lennar’s digital marketing

and dynamic pricing programs. “This combination is first and foremost to enhance shareholder value,” said Stuart Miller, chief executive officer of Lennar, in the release. “The transaction is accretive before deal costs in fiscal year 2018 and significantly accretive in fiscal year 2019. The combined company will have a strong balance sheet and generate significant cash flow available to pay down debt and repurchase shares, which will improve returns on capital and equity, said the release. Under the terms of the agreement, each share of CalAtlantic stock will be converted into the right to receive 0.885 share of Lennar Class A common stock. Based on the Oct. 27 closing price of Lennar’s Class A common stock, the implied value of the stock consideration is $51.34 per share. That represents a 27 percent premium to CalAtlantic’s closing price that same day. CalAtlantic’s shareholders will have the option to exchange all or a portion of their shares for cash at $48.26 per share, subject to a maximum cash amount of $1.2 billion. CalAtlantic stockholders are expected to own about 26 percent of the combined company. The transaction is subject to approval by Lennar and CalAtlantic shareholders. Stuart Miller and the Miller Family Trusts have agreed to vote their 41.4 percent voting interest in Lennar in favor of the merger. MP CA Homes LLC, an affiliate of MatlinPatterson Global Opportunities Partners III L.P., has agreed to vote its 25.4 percent voting interest in CalAtlantic in favor of the merger. Upon completion of the transaction, CalAtlantic Executive Chairman Scott Stowell will join the Lennar board of directors.

USG Corp.’s multimillion-dollar project will create 20 jobs. By Karen Brune Mathis Editor USG Corp. announced Thursday it will expand and improve manufacturing capabilities at its Jacksonville plant. The Chicago-based company said construction and plant updates should be completed by the end of 2018. USG expects to create about 20 jobs. The plant has about 150 employees. “We have been a part of the Jacksonville community for 80 years and I look forward to this next phase of growth,” said Jennifer Scanlon, president and CEO of USG, in the news release. She said the investment reflects USG’s commitment “to making quality, innovative building products that solve customer challenges and create a safer, more sustainable future.” USG Corp. makes building products through its United States Gypsum Co. and USG Interiors LLC. It makes wall, ceiling, flooring, sheathing and roofing products. USG has 39 U.S. locations in 26 states, and 49 locations throughout North America. The city approved a permit Oct. 24 for Southland Processing Group to build a foundation at a cost of almost $558,000 on 1.26 acres. Pending permits show the entire project at $7.9 million. Since April, the city has approved permits for almost $1 million in construction projects for the Jacksonville property.

USG owns about 65 acres in the Panama Park area of Jacksonville where it operates a building-products factory.

That indicates a construction cost of at least $8.8 million, which doesn’t include other equipment. The Jacksonville plant makes wallboard and other gypsum and joint compound products, according to a Securities and Exchange Commission filing. Property records show U.S. Gypsum owns almost 65 acres at the Evergreen Avenue property in the Panama Park area along the St. Johns River north of Downtown. The Jacksonville update will include a new production line to make USG’s Securock ExoAir 430 panels. The announcement said that is the only integrated gypsum sheathing panel with a preapplied fluid air-barrier membrane. USG said that eliminates application challenges like weather, material waste and per-

formance variances and it speeds construction. It said the addition of the high-speed, automated production line in Jacksonville will allow the company to distribute the product to more customers in the United States and Canada. USG said it also will invest in the Jacksonville facility to improve overall plant efficiency, including upgrades to modernize process mill equipment. In a statement in the release, Mayor Lenny Curry said USG “is contributing to Jacksonville’s growing position as a leading destination for international business and demonstrates our commitment to fostering an environment that encourages economic development and job creation.”

start in early 2020. “The entitlements are very strong, but when you lay them out over the acreage, it would be really tight so by no means is it our intention to build to those numbers,” Hissam said. The principals of BHK Capital have a porftfolio of more than 100 projects in Northeast Florida. They include 25,000 singlefamily lots and 4 million square feet of industrial space in Jacksonville.

With the top city leadership out of country, he’s ready to seize opportunity. By David Cawton Staff Writer If you’re looking for City Council member Doyle Carter today, you won’t find him in the fourth floor council suite at City Hall. Instead, he’ll be a few doors down, behind the locked French doors, sitting behind Mayor Lenny Curry’s desk, ready to lead. “We’ve got a lot to do, and only one day to do it,” said Carter who is taking over mayoral duties for the day. Curry, along with council President Anna Lopez Brosche and Vice President Aaron Bowman, are out of the country attending JAX Chamber’s Leadership Trip to Toronto. That leaves Carter, serving in his last term representing District 12, in charge. As chair of the council Rules Committee, Carter is next in the line of succession, according to the city charter. He’s followed by Finance Chair Garrett Dennis. Carter said he’s already dialed up a workload for Chief Administrative Officer Sam Mousa and the rest of the mayor’s staff. “I’ll go there in the morning and meet with Mr. Mousa and see what he has on his plate,” he said. “Of course, he’ll have to scrap his list so we can get some roads built in my district and put up a few new buildings at Cecil (Commerce Center) for businesses to move into,” he quipped. As mayor, Carter said his top priority is expediting capital improvement projects for his West Jacksonville district and tearing down a pair of vacant city-owned buildings Downtown. “I think we can get those buildings on Bay Street torn down before the mayor gets back,” Carter joked about the former Duval County Courthouse and City Hall buildings

that are slated for demolition this fiscal year. “Then maybe if there’s time I’ll see what we can do for the other districts,” he said. Carter is in a familiar spot, having been called upon to fill a mayoral void during his first stint as a council member in the late 1990s. He was Rules chair then, too. “I had to take over for Mayor Delaney back then, so they know I like to get things done,” he said. Carter said most of the council joined the mayor on that year’s chamber leadership trip. He said he stayed behind because he’d already been to the destination. Carter said the mayor’s staff knows “the pressure’s on” to complete his priorities by 6 p.m. “This isn’t a vacation,” he remarked. Curry along with the rest of the 140-member chamber delegation are scheduled to fly back this afternoon. Carter joked that if Mousa couldn’t accomplish his lengthy to-do list by the end of the day, “I’ll have to think about his employment and probably let him go.” “In all seriousness, I think it’s kind of a fun thing since we’ve been tied down with so much heavy lifting recently,” Carter said. “I’m going to try to lift everyone’s spirits for the day, and I don’t think there’s any harm in that.” dcawton@jaxdailyrecord.com @DavidCawton (904) 356-2466

Town Center One is a fivefloor, 160,000-square-foot building that will be completed next summer and anchored by Jacksonville-based health care company Availity LLC. No tenant was identified for Town Center Two, although one project in the market is McKesson Corp., a global supplier of health care products and services. McKesson matches the description of Project Milan, a code-named project that was approved for tax incentives in August. City Council adopted a resolution for a $700,000 Recapture Enhanced Value grant for Milan, described as an expansion of an existing company. Milan proposes to lease and furnish a Class A office building that would be built in South Jacksonville. Milan needs 90,000 to 95,000 square feet of space. The capital investment in building-out and equipping the space is estimated at $28.5 million. John Carey, executive vice president of VanTrust Real Estate, said in August that his group presented the proposed Town Center Two project to McKesson, but he was not aware of a decision then. Carey said McKesson did not indicate it was Milan. He could not be reached for comment Thursday. Site plans also show a Town Center Three, although there is no size for that. Carey said previously that Town Center Two and Three would total up to 300,000 square feet and that VanTrust has flexibility with the size of each.

He said VanTrust could tailor the size of each building to meet the needs of a tenant. The investment in the three is estimated at $90 million upon build-out. A McKesson spokeswoman said previously the company regularly reviews its real estate footprint and that it was “evaluating our options in the Jacksonville area as a normal course of business. It would be premature to discuss any speculation.” San Francisco-based McKesson bought Jacksonville-based PSS World Medical Corp. in 2013. PSS World Medical distributed medical products and services. McKesson took over its leased headquarters offices in a Southpoint building with 104,358 square feet of rentable space. In 2015, the company employed about 500 office staff in leased space. The city legislation says Milan committed to retain 428 jobs and create at least 10 more full-time positions by Dec. 31, 2021. While it committed to the 10 jobs, it said it might create 50 by year-end 2022. A written description with the administrative deviation request says JO Town Center Two, a VanTrust-related entity, proposes to provide 1,223 parking spaces “to accommodate the number of likely employees.” The application requests relief from a Zoning Code requirement regarding off-street parking spaces.

Church of Eleven22 OK’d for Regency renovations With a permit approved,

The Church of Eleven22 can start building out the former HHGregg store in Regency for a new campus. The construction project is valued at nearly $2.7 million. The city approved a permit Wednesday for The Church of Eleven22 to renovate the 26,200-square-foot space for what will be its fourth location. Bradley Bowen Construction will renovate the former electronics and appliance store at 651 Commerce Center Drive, No. 100. A spokeswoman said previously the first service there is planned Christmas Eve, with regular services starting the first week in January. The location was chosen for the convenience of those who attend. The church said it has about 8,500 attendees at all of its locations. The Jacksonville-based church also intends to launch its second Hope’s Closet thrift store in the spring next door to the Regency campus. A site plan shows Hope’s Closet as the tenant in the 26,400-square-foot space. The Church of Eleven22 is based at 14286 Beach Blvd. and has opened satellite campuses in Mandarin at 4911 Losco Road and at 8133 Point Meadows Drive in Baymeadows.
