Debt issues at Winn-Dixie parent Reports say Southeastern Grocers could be headed for Chapter 11 bankruptcy.

reorganization filing. Moody’s Investors Service last week downgraded its ratings on Southeastern, saying the supermarket company’s operating performance is improving but it is having difficulty paying $900 million in debt coming due in the next two years. “The high refinancing risk due

to the company’s significant debt maturities in 2018 and 2019 is a cause for concern as the current capital structure is unsustainable and the weak liquidity primarily due to the significant debt maturities increases the probability of a distressed exchange, hence the downgrade,” Moody’s Vice President Mickey Chadha said in a news

release. “From an operating performance standpoint Bi-Lo has demonstrated improvement in EBITDA (earnings before interest, taxes, depreciation and amortization) and credit metrics and we expect this trend to continue,” he said. Debt

Jaffa plans a ‘unique’ car wash

It didn’t take long to cycle back into the business. Andrew Jaffa spent the interim developing CarwashU, a possible multisite project. “I took a breather and I’ve been traveling around the country researching the latest and greatest in car washing,” Jaffa said. The first CarwashU is designed on property the family owns at 6929 103rd St. in West Jacksonville. A pending building permit shows a construction cost of $1 million on the almost 1.3-acre site. Jaffa said Tuesday site work would start this week. “We are going to move quickly after that,” he said. He hopes to open by April. It will be a 3-minute tunnel car wash, like some of the other new ventures in town. It will be 106 feet long and can handle more than 1,000 cars a day “if we can ever get to those volumes.” Jaffa

Wal-Mart plans to remodel at Beach, Southside

Wal-Mart Stores Inc. wants to renovate its Supercenter at 8808 Beach Blvd. at a cost of $695,000. The store, at Beach and Southside boulevards, was built in 2004. The Bentonville, Arkansasbased retailer has been remodeling some area stores. For example, Wal-Mart opened its remodeled Supercenter on Friday at 2355 U.S. 1 in St. Augustine. Improvements there include an electronics department with interactive displays; a pharmacy with additional service lanes and a new consultation room; an improved produce department layout; updated self-checkout stations; a larger assortment of industrial and power tools; and wider aisles and lower fixtures to improve customers’ line of sight along with an improved store flow.

Southside Quarter progress for David Weekley Homes

David Weekley Homes applied to the city to modify its proposed housing community in Southside Quarter at southwest Butler Boulevard and Interstate 295. The plan, called Southside Quarters, showed the modification of some street names and a few changes to the infrastructure. The 11-acre site is designed for

89 townhomes and 46 singlefamily homes along with recreation and open space. David Weekley Homes announced in July it will introduce its “Central Living” brand in Jacksonville on the property it bought in June at Southside Quarter south of St. Johns Town Center. Through CND-Southside Quarter LLC, David Weekley Homes paid $6.05 million for the land. Developer Hines Holdings Inc., through S-15 Landing Holdings LLC, sold the property. David Weekley Homes and Hines are based in Houston. The housing is designed north of an apartment community that Hines is developing at the 105acre Southside Quarter mixeduse project that is masterplanned for retail, high-density single-family residential, commercial, hotel and office uses. David Weekley Homes announced in July it plans to develop 135 attached townhouses and detached single-family homes that include open designs, a low-maintenance lifestyle and private outdoor living areas. No name was announced for the community. The company said it will introduce its “Central Living” brand, its high-density division that offers luxury housing in prime locations. The company said the first home plans are expected to be released early next year, with availability in mid-2018. Jon Morris, David Weekley Homes division president for Jacksonville and Panama City, said previously the company has been building in the Jacksonville area since 1998. It is developing at least 14 area communities. Morris said the Southside Quarter location is “close to everything, including a variety of entertainment, shopping, dining, cultural landmarks and key area employers.” Hines is developing apartments next to the David Weekly Homes site and has released designs and preliminary site plans for the first two 125,000-square-foot office buildings.

Jacksonville-based Southeastern Grocers was formed after Winn-Dixie Stores Inc. merged with Bi-Lo LLC in 2012, with the headquarters put in Winn-Dixie’s Jacksonville offices. The $900 million in debt was issued by Bi-Lo Holding Finance and affiliated companies, Moody’s said. It lowered its rating on the companies from B3 to Caa1. “Obligations rated Caa are judged to be speculative of poor standing and are subject to very high credit risk,” according to Moody’s ratings definitions. Bloomberg News reported holders of those bonds are considering a debt-for-equity swap that would give them ownership stakes. The report said that swap could be done in a Chapter 11 bankruptcy process, but it could also be done out of court. Southeastern is controlled by private equity firm Lone Star Funds. Moody’s said in a report on the downgrade that Lone Star has contributed about $600 million in equity to the company but has taken $980 million in cash distributions since 2011. “The company’s whole capital

structure has to be refinanced in the very near term as it does not have enough liquidity to repay debt and run its business,” Moody’s said. “Although we believe the company will ultimately be able to refinance and realign its capital structure to be more sustainable for the longer term, the refinancing risk is high and in our view there is a potential for a distressed exchange.” Bloomberg said Lone Star is not willing to commit additional capital to the company. Southeastern Grocers spokesman Joe Caldwell said by email Tuesday that the company doesn’t comment on rumors or speculation. However, he added, “We are undertaking a strategic review as part of our refinancing efforts leading up to our unsecured bond maturity next year. In the meantime, our business operations are strong, and every day we continue to serve our customers with quality and commitment and work seamlessly with our vendors and partners.” Besides Winn-Dixie and BiLo, Southeastern operates stores under the Harveys and Fresco y

Mas banners. The company operates more than 700 supermarkets in seven Southeastern states, employing more than 50,000 people. As a privately owned company, Southeastern does not publicly report financial data. Moody’s said the company generated $10.1 billion in revenue in the 12 months ended July 12. Both Winn-Dixie and Bi-Lo went through Chapter 11 restructurings before their merger. Winn-Dixie filed for Chapter 11 in U.S. Bankruptcy Court in Jacksonville in February 2005 and emerged in November 2006. Winn-Dixie’s shareholders were wiped out in the bankruptcy but it remained a public company, with new stock issued to pay off claims in the restructuring. Lone Star acquired Bi-Lo in 2005 and then took the company into Chapter 11 in March 2009 to restructure debt that was coming due. Kitchen on San Marco closed Restaurant can’t rebound after being shut by hurricane. By David Cawton Staff Writer The damage from Hurricane Irma proved too much to overcome for Kitchen on San Marco, which announced through social media it would close permanently. In a Facebook post Tuesday, Kitchen on San Marco announced the storm caused extensive damage to its 1402 San Marco Blvd. location when floodwaters engulfed part of the building. It had closed days before Irma hit the Jacksonville area in the early hours of Sept. 11. “We will be providing extensive support to assist our employees in obtaining other employment in the culinary field,” the statement reads. The post said if an opportunity arises for a return to the market, “we would welcome it.” The restaurant opened in April 2015 and is owned by Education

Scott’s final budget also is his biggest Term-limited governor unveils $87.4 billion spending plan. By David Cawton Staff Writer Florida Gov. Rick Scott announced a proposed $87.4 billion budget Tuesday for 2018-19 that includes billions for transportation, education, business development and law enforcement. It’s the last budget for Scott, who leaves office in early 2019 because of term limits. Scott’s final budget, called “Securing Florida’s Future,” is the largest he has introduced since being elected in 2011. The Legislature approved his current $83 billion budget in June. Speaking to reporters Tuesday at Northern Tool + Equipment on Atlantic Boulevard in Arlington, Scott called the spending legislation historic, touting its increased funding for transportation, business development, law enforcement and education. “There’s three things people care about,” Scott said. “They want a good job, they want their kids and grandkids to get a great education and they want to live in a safe community.” Increased spending for state roads and infrastructure could dovetail with Mayor Lenny Curry’s request for $12.5 million in state funding for the removal of exit ramps linking the Hart Bridge to Downtown. The city also is seeking a $25 million federal transportation grant to help pay for the project. Scott’s plan would increase the Florida Department of Trans-

portation budget by roughly $7.7 billion next year. Scott said he proposes $10.8 billion in funding for transportation, “including significant investments right here in Northeast Florida, including funding for the deepening of JaxPort.” JaxPort has been working to dredge the St. Johns River to clear the path for larger cargo ships. Another area of concern for North Florida is funding for economic development and business recruitment. Scott’s budget includes $1.2 billion for the Department of

Economic Opportunity, a nearly $275 million increase. It includes $153.5 million for the Department of Business and Professional Regulation and $343.2 million for workforce development. CareerSource Florida, a statewide professional and employment services board, would have a $33.6 million budget, a $5 million increase. One difference in the DEO’s budget is the inclusion of line items for Visit Florida, Enterprise Florida Inc. and the Florida Job Growth Grant Fund. They appear as part of the

DEO’s $284 million Strategic Business Development budget, which was about $78 million last year. During the last legislative session, Scott and Republican lawmakers butted heads but eventually compromised on how the state determines and distributes incentives for economic development and tourism. Instead of financial incentives going directly to companies via Enterprise Florida, Scott created an $85 million Florida Job Growth Grant Fund, which uses incentives to pay for infrastructure and workforce training.

The Jaffas sold their four CarbuX car washes in December to the Zips Express Car Wash chain. The deal with Zips was that if it didn’t buy the 103rd Street property, the Jaffas could develop it. The company decided not to, so the Jaffas did. That led to the research. “The car wash landscape is different from when we sold,” Jaffa said. He said CarbuX had been the only multisite express car wash in Jacksonville but no longer. For example, Zips expanded to seven sites, Gate Petroleum Co. is launching Gate Express Car-

washes, Goo-Goo Car Wash will open at The Crossing at Town Center and plans more, and other companies are entering the area. Jaffa said there still are “a lot of holes in this market.” “We are going to try to find some of these areas of town that need a car wash,” he said. Jaffa said what happened with coffee is happening with car washes. “People weren’t going out and buying coffee 20 years ago,” he said. “Now look at Starbucks, Dunkin’ Donuts, convenience stores and other retailers selling java.” Jaffa said the car-wash market now is bigger; customer habits are changing and people are washing their cars more often; and the industry is making car washes more convenient. “The more car washes there are, the more freely people will wash their cars,” he said. The key is to be in their paths. Jaffa said his family has a lot of experience washing cars, and he doesn’t want to compete headto-head with another company. “Car washes don’t do well next to each other,” he said, if they are the same. However, there is a difference between a full-service and an exterior-only express car wash. While Jaffa didn’t provide details about the equipment at CarwashU, he did hint at the culture. At CarbuX, he allowed employees to wear caps from their favorite college sports

teams. “It always created a lot of good will and conversations,” he said. The “CarwashU” theme is efficient and allows flexibility in marketing, color section and other elements, he said. “I think it’s fun,” he said. He also wants to build more than one. “I don’t have a limit,” he said, but it will depend on locations. “It needs to be where people live, work and shop,” Jaffa said. He doesn’t look for bedroom communities or new development because there isn’t enough daytime traffic. He doesn’t want to be the initial car wash in an area, either. “You don’t want to be the first business on the block,” he said. Jaffa declined to estimate his investment in the first CarwashU. “We are using our knowledge of car washing to bring these in at a very favorable rate,” he said, calling the investment a trade secret. Building plans show a 3,162-square-foot car wash and vacuums along 103rd Street east of Interstate 295. Able Construction Inc. is the contractor. Scott was less forthcoming when asked why Enterprise Florida refuses to divulge information surrounding bids to secure Amazon.com’s second North American headquarters, despite the online retailer saying it had no problem with cities or states making certain information like incentives packages or site selections public. “You’d have to reach out to Enterprise Florida,” he said. Last week, Scott announced the budget would contain $180 million in tax cuts, which include additional sales tax holidays and reduced fees for drivers licenses. It’s considered one of the smallest tax cut proposals since he took office in 2011. Scott also said the budget will set aside $5 billion in reserves. State lawmakers will dissect Scott’s proposed budget during the legislative session beginning in January. In addition to buying that and the Jaffas’ four locations, Zips also bought car washes on Blanding Boulevard and Atlantic Boulevard. The Jaffas started the CarbuX express wash concept in 2005, opening first along San Jose Boulevard and then adding sites on Dunn Avenue, Beach Boulevard and Southside Boulevard. Andrew Jaffa, 48, will be the primary developer for the CarwashU concept and his father will serve as a consultant. “It’s a very entrepreneurial business, but it’s changing,” Andrew Jaffa said. Nationwide, the car-wash industry has “been gobbled up with private equity.” “It’s like a land grab between these companies to see who can buy these car washes,” he said.
