Franchising a Family Affair Twenty five year old Louis Tu loves the Cafe2U franchise model so much, he recommended his friends and family to join the team, and now has a brother and two friends that own their own franchises.

L

ouis Tu bought his first Cafe2U franchise, in Greenacre, at 22 years of age, after leasing the business from the owner for two years, allowing him to establish whether or not the business was right for him. Clearly the franchise model fit well with him, as he is now in the process of buying his third franchise. “I eventually enjoyed the business as a whole, from making coffee to how the franchise was set up and from there I agreed to buy it off the owner,” Louis says. “I bought my second van because I did so well with my first van and I wanted to expand and also get my younger brother into it. “He didn’t know what he wanted to study so I suggested he come out with me on the run I love so much – he instantly got why I enjoyed it.” Louis’s younger brother then started to do his Greenacre run

“He also got lucky with finding Cafe2U, Lidcombe, because it was so close to home and I could help guide him and support him to do well.” Louis’s family’s success with Cafe2U was soon followed by close friends, Joanne Valdes and Andrew Tee, who bought Cafe2U, Botany, earlier this year. “My friends and family are all really close to me, so when anyone sees or hears you are doing well in life, they want to get in with it too,” he says. “I referred them to Cafe2U and they are now doing well. They also want to get another van. “I sold Cafe2U, Greenacre, to a close friend and they are doing really well. “I think we have all been so successful because of our positive attitudes and we are driven to do better than others – there is a friendly competition in our small circle.” Louis says his company’s success can also be attributed to the franchisor’s support and he would recommend anyone looking for a franchise to consider Cafe2U. “The franchisors have helped with successful launches of the businesses and starting strong from the beginning is the key to success,” he says. “If you are sick of a 9 to 5 job and want to challenge yourself to do better, take your chance on Cafe2U. “It’s not a big investment but big results are to come if you stay focused and always try to do better. Acquisition Helps Deliver Outstanding Full Year Results for Domino’s Domino’s Pizza Enterprises Limited recently announced an Underlying1 Net Profit After Tax of $45.8m, an increase of 50.4% on the previous year, with the company’s expansion in Japan proving profitable. Domino’s has added a record number of new stores across the group including 44 new stores in ANZ, 27 to the European network and 61 new stores added in the full financial year for Japan. Domino’s Group CEO and Managing Director, Don Meij said the company has been busy opening new stores and enhancing their “Entice” store design with a range of new design palettes to suit any location. “The evolution of “Entice” is an authentic, raw and fresh design with stripped-back clean lines. This design is already being rolled out in the ANZ markets.” Mr Meij said. In addition to the focus on store design and organic store growth, the company has launched a number of exciting digital platforms including the Offers App, Pizza Chef and digital wallet options (commencing with PayPal) in Australia and New Zealand.

Bedding retailer Snooze has announced its top franchise performers during its annual award ceremony held recently in Cairns. Snooze franchise partners, Robert and Sally McLennan from Snooze Mile End (SA) took out the top award for ‘Retailer of the Year’ for the second year in a row. The couple’s commitment to the brand spans over 20 years in which they have continued to build and grow their business. “We were thrilled to be awarded Snooze ‘Retailer of the Year’ for the second year running. Having a good financial return on investment is only part of the reward of owning and running our own business; being recognised by our peers is truly the icing on the cake!’ said Sally. Stones Corner (QLD), Townsville (QLD), Midland (WA) and Traralgon (VIC) all followed closely and were recognised with Snooze’s ‘Excellence in Retailing’ award. A true testament to the business’ franchise support model, Snooze awarded ‘20 Years of Service’ pins to Danny Craven of Snooze Windsor (QLD), Michael Holmes of Snooze Kawana (QLD), and ‘Retailer of the Year’ award winners Robert and Sally McLennan. ‘10 Years of Service’ pins were also received by Matthew Lane of Snooze Gepps Cross (SA) and Zhong Zhu of Snooze Artarmon and Penrith (NSW).

Franchisees and support staff honoured VIC/TAS FCA Excellence in Franchising Awards The Franchise Council of Australia (FCA) recognised franchising’s best in Victoria and Tasmania recently at the final regional FCA Excellence in Franchising Awards for 2014. Winners at the event included Rajinder Uppal from OPSM Wendouree who took home the Franchisee of the Year, two or more staff award and Rowan Prendergast from OPSM Waurn Ponds who was awarded Franchisee of the Year, less than two staff. It was also a big night for Grill’d with Brent and Ann Howard who have stores in Elsternwick and Carnegie awarded Franchisee Community Responsibility and Contribution, and Matt and Brad Walker who have stores in Camberwell, Knox and Southland winning Multi-unit Franchisee of the Year for the fourth year running. David Lacosegliaz from The Cheesecake Shop was awarded Field Manager of the Year. David said the success of the brand had a lot to do

with the family atmosphere created by the franchisees. “We are a baked on premises product, and I think that generates a more family atmosphere. All the staff get involved and work together on site. I think that creates a really fun environment. It’s a product that’s made with love,” he said. Belinda Smith is franchisee of Domino’s Beerwah, North Caboolture, Moranbah and Strathpine. Here, we speak to Belinda about her time with Domino’s and her tips for those looking to franchise. How long have you been working for Domino’s? I’ve been working for Domino’s since I was 14 (I’m now 23). I’ve worked in many different stores and now I own Domino’s Beerwah, North Caboolture, Moranbah, Strathpine and I have plans to purchase more!

You’re only 23 and you own four stores – tell us your secrets! I wouldn’t say there is much of a secret to success just determination and education. I got my first store in Beerwah just before my 21st birthday. I thrive under pressure so the more responsibility I have the more focused I become. I lived on the Gold Coast when I was eighteen so I got plenty of partying done then and don’t feel the need to prove anything now. Fortunately most of my friends work in hospitality or at Domino’s too, so we are all night owls and catch up after close!

What do you see for your future? At the moment I see more Domino’s stores in my future. Don’t get me wrong it is a lot of hard work - but I wouldn’t change my life for anything. I would love to own a few city stores and buy an apartment in the city but I guess I will see what happens. I wouldn’t mind trying CEO one day but I don’t see Domino’s CEO, Don Meij retiring any time soon!

What are the most important factors in running a successful store? Training! Without a competent team you don’t have a store which runs smoothly and is stress free. Also communication - you need to communicate with managers and staff and be honest with them. I also attend plenty of education classes and seminars and I take my employees with me so they know why we do things and to help them with their futures.

What advice would you have for someone starting out at Dominos’? Make sure you have training and a mentor, because no one can do this alone. A Domino’s store can be heaps of fun, but set small goals, work on them and keep moving forward. But you definitely need someone to talk to about everything and bump ideas off. If you are hard-working, determined and love a challenge I would definitely recommend considering a career in franchising!

Who inspires you? I wouldn’t say any one person inspires me; it’s more Domino’s as a brand. To see how all these people have the same passion and drive to better themselves and our products is what makes me want to be a part of this company. Domino’s culture to me means ‘family’. When I was growing up with Domino’s, my managers would always make sure I was having a good day; they helped me with

Texan hospitality makes its way Down Under Good old Texan hospitality, flavours and atmosphere has been brought to Australia with the establishment of Lone Star Rib House, which was established two years ago by franchisor Graeme Diamond.

raeme is also franchisor of Outback Jacks and bought out Lone Star in New South Wales in 2012 before changing the concept and rebranding it as Lone Star Rib House. “We bought the old American Lone Star chain and have changed the concept to Lone Star Rib House,” Graeme says. “There was the potential to create a more modern theme that would be well received by the Australian public,” Graeme says. The restaurant prides itself on providing the flavours of Texas served with a smile, providing a dining experience you are sure to remember. “A Lone Star Rib House franchise offers many points of difference to diners,” Graeme says. “The restaurant promotes its ‘Whip Cracking’ specials throughout each evening’s service including a Texas Rattle Snake cocktail and beer specials as well as nightly kids drinks and desserts offers. “The offers are promoted through the in-store

Plenty of Room for New Franchises

The number of Australian businesses falling into decline continues to rise. It’s long been recognised that newer small business enterprises have a higher failure rate than many long-established companies. Brian Keen explains why.

E

ven larger businesses with a long-standing track record for success are sliding into decline. There are numerous factors that can contribute to the decline of a once successful business. Some businesses struggle to address changing consumer needs or advances in the marketplace. Others may become complacent in their success over time and fail to keep up with changes in the market, while others may fail to adequately harness the power of a positive online presence. By comparison, the franchise business model offers multiple advantages over other types of business. Franchisors have the opportunity to expand business into broader markets that they otherwise may have reached with the help of franchise partners. Franchisees benefit from a higher success rate than independent businesses, thanks to the ready-made branding and support offered by franchisors. Add the advantage of faster start-up times, reduced costs via group purchasing, as well as ready-to-go customer lead

generation making it easier to find new business. Franchisees also have easily-followed business operational systems already in place that reduce the likelihood of failure. So is a franchise business model really the key to success for Australian businesses? Or are there other factors to consider?

Don't Rely on Brand Alone The massively successful US coffee giant, Starbucks, opened its first store in Australia in July 2000 and promptly began expanding across the country. The Starbucks brand is easily recognised around the world, thanks to exposure in several popular films and TV shows, which should have led to instant popularity here at home. Yet, despite their popularity across North America, the franchise failed to capture the Australian market. The chain suffered financial losses that saw them close 60 stores across the country. As a result, Starbucks recently agreed to sell its remaining 24 stores to the Withers Group, ending its direct interest in Australia. The purchasers already own the 600 strong 7-11 franchise outlets across Australia. They understand that some franchises operate more effectively when the franchise business chooses to rely on a regional partner that understands the local market to assist with growth and expansion plans.

Franchise Sector in UK Reaches New Heights Franchise businesses across the UK have reported record highs according to the latest NatWest British Franchise Association Survey. This serves as a timely reminder to Australian business and government the benefits of encouraging franchise growth – increased employment, improved personal wealth and financial independence meaning less reliance on the overloaded welfare

Expert Advice through 2014 - almost 9 out of 10 stating they believe trading conditions will improve in the coming year with 92 per cent of franchisees reporting profitability and one in four running multiple outlets. Of those new to the industry (up to two years), 80 per cent are already turning a profit. This indicator of franchise success highlights again the strength of franchising and what it can contribute to an ailing economy. All this in a country which hit rock bottom after the GFC with mass redundancies and business closures coupled with double-digit unemployment - a success that has continued through hard economic times while other parts of the economy have struggled especially notable by the way even depressed regional areas have grown in the UK in defiance of business trends.

McDonald's is a prime example of successful franchising on a global scale. The big yellow arches are instantly recognizable anywhere you travel around the world, which is a great testament to franchise branding done well. The fast-food giant is run on a daily operational level by predominantly teenaged staff. Yet the widely recognised menu offers subtle changes in different countries to encourage local consumer engagement and to keep brand recognition strong. Another successful franchising story is the Jim's Group, which has grown to become the largest franchise in Australia. The simple franchise began as a branded lawn mowing service that has expanded to include a wide array of services and trades. The business model is kept simple, which allows franchisees the option of expanding to suit their own preferences and gives franchisors the opportunity to focus on increasing brand awareness with consumers. Despite the rising failure rate of Australian businesses, there is still plenty of room for new franchises. The key to creating a successful business could lie in building a franchise model that is kept simple with low establishment costs. Eight legal pitfalls to avoid when buying a franchise Buying a franchise is not for the faint hearted. In addition to all the steps required to be undertaken when buying any type of business, there is an additional layer that requires full understanding, which is franchising. By Jane Garber-Rosenzweig There are many pitfalls in buying a franchise business, but consolidating them, the main eight are as follows. 1.

Following the systems

One of the biggest misunderstandings in franchising is that although you are buying your own business, you must follows the franchisor’s system, policies and procedures. The franchisor is able to restrict what you sell, how you sell it, where you sell it and who you sell it to. The lack of independence within a franchise system often comes a surprise to new franchisees. If you cannot take orders from someone else and cannot follow a system, franchising is definitely not for you. 2. Not speaking with franchisees Many people who consider investing in a franchise business completely ignore one of the most valuable resources available to them. This resource is the ability to speak with current and, in most cases, former franchisees, of a particular franchise system. You should speak with as many franchisees as you can and their details would have to be listed within the disclosure document that the franchisor will provide you with. As for the former franchisees that are no longer within the franchise system, you should try to find out the reasons for their departure, whether voluntary or forced by the franchisor and any other feedback they can provide. The details of former franchisees should also

be included in the disclosure document, unless any of them have formally requested the franchisor not to disclose their details. 3.

Conducting thorough due diligence

The importance of thorough due diligence is often underestimated. Many potential franchisees will spend more than half a million dollars without undertaking extensive legal, accounting and financial due diligence. Other type of due diligence includes market and site analysis, review of competitors in the area and performing relevant searches, such as ASIC searches, PPSA searches, trade mark searches and many others. 4. Relying on estimated financials and projections A lawyer acting for the franchisor should advise them not to provide potential franchisees with any estimated earnings or projections. However, a number of franchisors will provide estimated earning, turnover projections, profit projections and other financial data. In this instance, the key is to verify all financials with a franchise accountant and other franchise consultants. You must do your own budgets and projections and not rely on anything provided by the franchisor. 5.

Hidden costs

In assessing a franchise opportunity, the total investment required is often undervalued. Potential future costs such as relocation, refurbishment and rebranding costs are just a few examples of costs that are not accounted for when a franchisee signs on to become a franchisee of a particular franchise system.

A disclosure document, which every franchisor in the country has to provide each of its potential franchisees, should contain an extensive list of estimates of all costs. However, you should ask further questions about such costs following your receipt of advice from a lawyer and from an accountant. 6. Personal guarantees If you chose to enter into a franchise agreement through a corporate entity, in 99% of cases the franchisor (and the landlord) will require personal guarantees from the directors and shareholders of such corporate entity. Signing a guarantee generally exposes all assets held in your name as it gives the franchisor the right to pursue you personally for any breach of the corporate franchisee, even if the franchisor has not pursued the franchisee company.

clauses unenforceable. However, you should ensure that if there is a restraint of trade clause in your franchise agreement, it is minimalised as much as possible. 8.

Entire agreement clause

Generally, a franchise agreement will contain an “entire agreement� clause, meaning that the agreement contains the total agreement between the parties and any side letters or other documents not forming part of the franchise agreement may be rendered as unenforceable. If you have been promised anything specific by the franchisor, including earnings, clause amendments or other assurances, these should be reflected within the franchise agreement. Special conditions are often used to include other conditions or concessions offered by the franchisor.

7. Restraint of trade Many franchise agreements contain restrictions on competing with the franchisor and the franchise business during and after the term of your franchise agreement. You need to consider and try to negotiate amendments to any restraint of trade clause as you may limit your future ability to operate in the same industry for a period of time. A number of recent cases have rendered restraint of trade

Tips for selling your business If a small business owner wants to sell their business but can’t find a buyer at the right price, what are their options? By Brad Callaughan Unfortunately this is happening a lot in the market place at present. Presently we are faced with a buyer's market and business owner trying to sell their business are experiencing low enquiries and hard negotiations. Bank clamping down on lending has also not helped this situation and buyers don’t have access to funds as they did pre GFC. If you really wish to sell your business the old adage of 'meet the market' will come into play.

Reduce your price expectations and asking price for the business. What you think might be the right price is not what the market thinks. Five years ago businesses might have been fetching 3.5 times earnings as a sale price, but now you may only get 2 times. You have to understand that times have changed and you need to change to fit in.

Vendor finance. You can offer vendor finance on the business. This will open up your business to a wider market of buyers. Yes it is risky, but it is still an option.

Sell to a competitor. Have you tried approaching your competitors to buy you out? Often the best person to buy your business is a competitor. Hang in there. It might take several years for you to find a buyer. If you are set on your terms and price, then hang in there. It only takes 1 person to buy your business and that 1 person may take some time to be found.

Sack your broker. Find a broker who is going to go out there and find you that buyer. This market needs someone who is proactive.

Sell your business to your employee. You could vendor finance the business over 5 years to an employee who has always shown strong interest in the business. I would personally stay working in the

Business equipped to save lives More people die from workplace accidents or disease in Australia than they do on the road – a little known fact throughout the country. More well known, however, is that workplace safety equipment company SafetyQuip is working to reduce the risk of workplace injury through its range of equipment, which spans from safety clothing to full workplace safety solutions.

Learn how to survive – understanding debt By Prof. Lorelle Frazer

D

ebt is a fantastic help for a business owner but, if poorly handled, can be a real problem for the business, too. Many business owners end up with their debt managing them - rather that the other way around. But what is debt? Debt is used to multiply the efforts of your own equity; owner’s equity is the money you put into the business; and if one adds their debt and equity together, they get an idea of their business’s assets. More assets allow the business owner to build a larger business operation and (hopefully) make more money. Small business owners typically use a few common sources of debt: - Family/friends - Banks - Other financial institutions.

Each aforementioned source has its own pros and cons, and different requirements, but to borrow money you need to be able to demonstrate that: - Your business is sound - Your cash flow can support interest and principal payments - The lender’s money will come back to them in due course. It sometimes helps to think that the lender is investing in you, the business owner, and in your business, as a temporary custodian of their money! Franchisees traditionally have been able to access more debt, more easily, and at a lower cost because the franchisor has established a proven business model, thus reducing the risk for the lender. The problem is that, as you take on more debt, there is a greater risk to the business because in addition to the operating costs, there is also an interest cost associated with the debt. Contingencies also need to be put in place for unexpected, and unavoidable, changes to the business. For example, what would happen if a downturn in the economy occurred and sales decreased? What if a key client walks away? What if there is a crippling legal case? (or an increase in interest rates, etc). Griffith University’s Asia-Pacific Centre for Franchising Excellence has identified understanding key concepts associated with debt as being crucial to business management; these concepts, (and more information) are explained in full as part of the Centre’s new “Survival of the Fittest” free-to-download e-Class series. The true cost of employee underpayments

Recently, Minter Ellison reported on La Porchetta’s underpayment claim of $335,000. Red Rooster also recently made headlines by rectifying the biggest underpayment to date - $645,000 – under a voluntary compliance scheme it entered into with the Fair Work Ombudsman. By Kerry Gibb Red Rooster is the most recent in a string of franchise systems who have been required to back-pay staff following either an Ombudsman or self-audit of their payment arrangements. Importantly, many employee underpayments are due to genuine errors or misunderstandings of employer obligations, rather than a deliberate attempt to underpay employees. Regardless of motive, the resulting reputational damage for both the employer and the franchise system’s brand can be far reaching.

Franchisor takes responsibility for franchisee compliance Interestingly, the compliance deeds implemented by the Ombudsman are imposed on the franchisor, who, in turn, takes responsibility for ensuring its franchisees’ compliance. While there is no argument that the franchisor has a role to play in protecting the franchise system’s reputation, that role needs to be tempered against the franchisees’ independence and autonomy. Franchisors should consider: • including employment training in initial and ongoing franchisee training; • conducting random audits of franchisee’s pay arrangements, or requiring franchisees to conduct selfaudits; and • whether there is a need to provide franchisees with specific advice on pay arrangements (eg applicable awards) and/or prescribe a form of employment

contract that franchisees must use. Ultimately, the effect of an underpayment claim may have far-reaching ramifications for a franchise system, including: • financial penalties including fines and orders to rectify underpayments; • loss of goodwill; • potential loss of value if the system is sold (RFG recently announced the purchase of La Porchetta); • loss of reputation as an employer of choice; and • ongoing costs of complying with compliance deeds. When is the right time to buy a franchise?

It can be a confusing, not to mention a daunting task making the decision to buy a franchise and to add to that, then the decision of which franchise to buy. By Tracey Leak

W

ith over 1,200 franchise systems in Australia, we are spoilt for choice. There is everything from services to food to retail based franchises to select from. Before selecting a franchise, you have to first decide if it is the right time for you to get into business. A franchise system will help you get started and to have a successful business. For a franchise to be still in operation it must have proven, with existing franchisee results, that it works. A franchisor knows their franchises work, but there is one major component that is always uncertain. That component is YOU! Any business, including a franchise, takes work. Lots of it. I see many people getting into business to get away from things. Get away from a demanding boss. Get away from long hours. Get away from no control on their time or life. To be honest, if you think your boss is tough, wait until you work for yourself ! The common reason I hear people say they are getting into business is for work/life balance. Let me hit that myth right now. When you begin a business, for the first year, perhaps even two, there is no such thing as work/life balance. Work/life balance is a result, not something you do. Not until your business has been built will you be able to gain this work/life balance. You really need to understand why you want a business and what you want it to achieve for you and your life. Are you feeling that it’s ‘your time’ to get started in business? Are you prepared to do the work required to build your business up? Do you have support at home? Even if your life partner is not going to be involved in the business day to day, they are involved with you, so they need to be on board with your decision to buy a franchise business. Basically, there is never a right time to buy a business, but . . . that means there is never a wrong time either. The main priority is that as you step into this new phase of your life, you remove the rose coloured glasses and you are ready to do the work required. Now selecting the right franchise for you will take a little more time and a little more consideration. When you do make this decision then the time to act is right 24

away, but the challenge is that many people are procrastinating on making that decision and generally it is because of fear of making the wrong decision or choice in franchise. To choose a franchise that will be right for you, instead of over analyzing things, take the time to analyse the things that really matter. The potential income and profit you could make within a franchise business is an important decision, but it is not a stand-alone item. There is no point joining a franchise just because it has a great profit margin or it looks like it will make you a lot of money. You will need to ‘like’ (perhaps even love) the business you are buying. Many people get into franchises, believing that they will be able to hire a manager from day one and the business will run without them, so what does it matter whether or not they like it. Well, sometimes Managers get sick or quit without much notice and guess who is going to have to step in? You got it in one – you! I think a really important factor of buying a franchise is speaking to and if possible, meeting the franchisor. The number of very successful franchisees that have told me that when they stood in front of the franchisor and shook their hand, that was when they made their decision to buy into that franchise group. Too many franchisees have told me this for it not to be of vital importance. When you are buying a franchise, really you are entering a type of a partnership. You wouldn’t go down the road and open up a business with a stranger you had never met, right? So why would you do that with a franchise? I truly believe that many people looking at buying a franchise use far too much logic. I know that is a crazy statement and I don’t suggest you don’t use any logic. Absolutely check out the financials, the system, the contracts, but remember that sometimes the thing you need to use to make a final decision is your gut instinct. Does it feel right? If it feels right and the logic seems to make sense, then don’t try and find faults, maybe it is time to get started. In the end you will always be required to take a leap of faith so there is never a perfect time, but there’s always a moment in time where it is the right time – for you – to take the leap.
