Noodle Box Opens Franchise Partner Training Centre Noodle Box recently opened their new Franchise Partner Training Centre, located within the Noodle Box Franchise Support Centre. The facility is a full-scale operational restaurant that will provide new and existing franchise partners, chefs and managers with a dedicated learning environment, free from the interruptions of a trading restaurant. “It’s really exciting to see strong foundations, such as our new Franchise Partner Training Centre being put in place that will facilitate the brand’s entry into its next phase of growth.”, said Ian Martin, CEO. The training centre also incorporates a classroom facility adjoining the restaurant. Following the Training Centre, new franchise partners put their skills into practice by progressing to Noodle Box’s training restaurant at Chirnside Park in Melbourne. Cafe2U eyes NZ expansion Mobile coffee franchise, Cafe2U, has revealed plans for a significant expansion in New Zealand, settings its sights on the North Island. Couple finds freedom in franchise SafetyQuip Nunawading franchisee, Mark Bartlett, is reaping the benefits of business ownership. Mark and his wife, Bev, are heading off on an 8-month campervan holiday around Europe, leaving the running of their franchise to their son, Mark. News Domino’s planning for record growth Domino’s Pizza has a very strong pipeline of new stores planned for the year ahead with the company hoping to achieve record organic new store growth. Domino’s has a forward pipeline of new store opportunities to discuss with potential franchisees, and the refurbishment of its stores also continues to gather pace, reporting that franchise owners are seeing the immediate benefit to their stores from refurbishing to the new Domino’s Entice image. Groutpro records 200 per cent growth. Groutpro recorded an almost 200 per cent growth in the 2013 calendar year. After starting the year with only 10 franchisees, the network now spans 29 franchisees throughout Australia. The Groutpro growth included nine new franchisees in city sites and 10 in regional areas and Groutpro Director Geoff Biddle says he hopes to see the company grow by another 20 franchises this year. “We anticipated good growth during 2013 and were very happy with the growth rate we achieved,” he says. “As our franchise model is now very well proven and successful in both city and regional locations, we expect to have exceptional growth in 2014 and we have set aggressive targets. “We will be offering deals if necessary to achieve those targets so interested people should make contact as early as possible to ensure they don’t miss out on their choice of territory, and maybe pick up a great deal at the same time.”
Snap announces 2014 sponsorship lineup. Snap Franchising Ltd has announced high profile sporting sponsorships with off-road racing tram, SMU Racing and Iron Man athlete Nathan Smith. The partnerships come as part of Snap’s ongoing PR strategy to support its Franchisee network, and will also see the brand participating in these sporting events throughout 2014. As the naming rights sponsor of SMU Racing, Snap will deliver brand messaging and promotional support to its Snap franchisees, with the team visiting Snap Centres located near the race venues. The SMU team will travel to a variety of remote locations during the 2014 Australian Off Road Championship, and provide a strong platform for local community engagement. SMU will also be competing in the USA during the 2014 season, adding an international layer to its relationship with Snap. Snap’s agreement with Nathan Smith will also see the brand positioned directly alongside him throughout 2014 as he competes in the toughest Surf Iron Man competitions across Australia, including The Australian Surf Titles, Kellogg’s Nutri-Grain Iron Man Series and more. McDonalds to switch to sustainable McDonald’s has announced it is aiming to start purchasing verified sustainable beef in 2016. In a release recently, McDonald’s stated it had formed a Global Roundtable for Sustainable Beef, which has drafted guiding principles and best practices for sustainable beef. McDonald’s already has environmentally-friendly practices in place, such as purchasing whitefish from Martin Stewardship Councilcertified fisheries, as well as coffee from Rainforest Alliance Certified farms and packaging certified by the Forest Stewardship Council. Pie Face to stock On The Run Australian pie franchise, Pie Face, will supply South Australian convenience chain, On The Run, with its products after signing a two-year deal. Eighty On The Run outlets will stock nine core Pie Face products, including meat pies, sausage rolls and a range of new products that have been made especially for On The Run outlets. Pie Face Commercial Manager Andrew Lyme told Inside Retail said the deal meant the company could reach its long-term goals sooner. “The company has been focused on the supply chain side of business in an effort to increase production efficiencies and allow the business to become a lower cost, premium bakery supplier to our national retail network,” Andrew says. “These types of value add licensing and supply deals should enable the company to reach these goals sooner.”

Cashflow Solution Takes Pressure out of Buying a Business After experiencing the stress of buying his first business, James Scurr is now on a mission to ease the pressure on new franchise owners. by EmmaWebb

aving been involved in the franchise industry for over 13 years, James Scurr understands the strains that can be placed on a new franchise owner in the early stages. One of the main problems franchisees face is heading into their business under-capitalised, adding pressure to meet unrealistic targets or start a business without the equipment needed to run it to its full potential. The Main Reasons Franchise Loans Get Rejected One of the most important aspects of buying a franchise is having your finances in order. You can have the best business plan, the right product and a huge customer base, but if you don’t have the money to fund it, it is dead in the water. Here, Greg Pithers gives his insight into why franchise loans get rejected.
W
hen assessing a credit request the bank will look at a few key areas to determine if the loan requested is suitable for the bank to fund. Here are some of those areas. Sufficient funds. A lot of the customers I see have not fully accounted for all the costs associated with buying a business and are unable to show sufficient funds to complete the deal. Common items that are overlooked are rental bonds/guarantees and startup/formation costs. The business that you are buying has to pay both the business and personal debts. Most people underestimate how much taxation needs to be paid prior to paying down debt and as a result, over estimate the business’s ability to repay debt. If you cannot not show sufficient funds to complete the deal or the ability for the business to pay back debt then this will lead to a decline. Business plan and projections. When assessing the applicant, one of the key parts of the application is the business plan. The bank wants to know who the applicant is, if they can run the business successfully and if the business can provide sufficient income to support the requested debt loan. A poorly prepared business plan and cash flow projections will lead to a decline. The credit officer assessing the deal has never met you and can only go on what you provide to decide whether to approve or decline the loan. You need to prove that not only do you have the ability to successfully run the business, but that you have done your homework well and that the business you are looking at offers a good opportunity and should perform to your expectations. A poorly prepared business plan and cash flows will not provide the credit officer with this and will lead to decline. When doing projections, these need to reflect your business plan and any sales peaks and troughs that may occur. As with a business

The bank will do a credit check on you and a poor credit history will lead to your application being declined. Buying a franchise is not a guarantee for financial success and you need to show that you have completed comprehensive due diligence when assessing the opportunity and that you have the ability to successfully run a profitable business if you want to succeed in your funding request.

Business More Than Just Mathematics When it comes to buying a franchise it is important to take other factors into account than purely the numbers. The lifestyle the franchise will provide you and your family is as, if not more, important than the money it will make you. By Steve Finn
T
o ensure you’re not wasting money when buying a franchise, one of the most important things to do is ensure you can make a comfortable income from that business, including the profit you make plus any wages you can get from it by paying yourself to work in the business. Once you are comfortable with that, it’s a personal choice on what you are comfortable to pay for your franchise. It may be a personal preference that if the business and wages add up to $150,000, you might want to spend no more than $300,000, but you will have limits on what you buy. On the other hand, you might be happy to spend $600,000 because it’s a brand that you really like, it’s close to home, you might be comfortable in the industry and see yourself being in the business for a long time. There’s a lot of other factors that come into it other than how much you pay for the franchise – when someone is buying a business the most important thing they’re buying is the lifestyle it gives them. It is much the same as going for a job. One might be able to earn $200,000 a year in mining but they have to go and live at the top of Western Australia away from their family three weeks out of four – so they make the decision to earn $100,000 a work close to home and have weekends with the kids.

For someone buying a franchise, my message is not to be blinded by the numbers, look at the lifestyle the business gives you as well because your business is not just an investment, it’s generally somewhere you will go every day as well. Skeletons In The Closet – How To Protect Yourself From Past Franchisee’s Indiscretions Buying an existing franchised business is a lot like buying a house. Buyers need to make sure that any problems caused by past owners are identified and are either rectified or the price adjusted accordingly. By Steve Latham
T
here are a number of ways that buyers of franchised businesses can minimise the risk of being caught out by the past indiscretions of previous owners. The main ways to minimise this risk are by:
1. Conducting a thorough due diligence 2. Drafting appropriate provisions in the sale contract. Due diligence: I have previously outlined the steps that a buyer of a franchised business should take before buying a franchised business (see my article ‘10 Steps to Buying an established Franchise Business’ in edition). Some specific steps that can be taken to identify problems associated with the conduct of the business by previous owners include: 1. Reviewing financial accounts for at least the 2 years prior to the current year (this will help to identify trends and any unexplained variances); 2. Cross-checking the seller’s Business Activity Statements and revenue reports provided to the franchisor against the seller’s own financial reports (this should identify any exaggeration of revenue); 3. Asking the franchisor if the seller has ever defaulted under the franchise agreement; 4. Asking the landlord if the seller has ever defaulted under the lease; 5. Having the condition of plant and equipment checked out by an independent expert; 6. Talking to employees to see if there have been any issues with non (or late) payment of tax or superannuation.
Terms to include in the sale contract: Even if a thorough due diligence has been done, it is always worthwhile to include a set of seller warranties (legally enforceable promises) in the sale contract. The sorts of warranties that should be considered include: 1. That the accounts and financial information provided is accurate and complete and represents a true and fair view of the financial position of the business; 2. That there has not been any breach or default under the lease or franchise agreement; 3. That the plant and equipment has been well maintained and is in good working and condition; and 4. That all payments of tax, GST and superannuation have been made. It is also vital to include a general warranty that the seller is not aware of any fact, matter or circumstance that may have a material adverse effect on the business. Most importantly, if the seller is a company, the warranties should also be given by the directors of the company. There is little point in getting comprehensive warranties from a seller company if, by the time a breach of warranty is discovered, the company has no assets or has been wound up. Conducting a thorough due diligence together with a well thought out contract of sale that includes a comprehensive set of warranties will go a long way to minimise the risk of finding any ‘skeletons in the closet’. Negotiating a Sale Price What most people looking to buy or sell a business don’t generally realise is that when it comes to negotiating the price for a business, the negotiation begins a long time prior to the actual discussion about the price. ellers, it is much more difficult for a buyer to negotiate a low purchase price for your business if your business is extremely well organised, neat and tidy. It is just hard to find fault with it and this is what buyers need to help them beat you down on price. Of course I’m assuming that your business is priced correctly for the market; but from a buyer’s perspective, if the business is neat, clean and well-organised, it is very hard for them to find faults to use in the negotiation process. From a buyer’s perspective, the more faults they can find, the better their negotiation position will be.
Find faults in the business and present these to the seller as the reason for the price offered for the purchase of the business.” So the tips here for sellers are make sure your business is neat, tidy, well organized and presented extremely well. The harder it is for buyers to find any faults with the business, the better your negotiation position is. On the other hand, the tips for buyers are to look for as many faults as you can find within the business, is it dirty, messy and not clean? Are the financials disorganised and hard to understand? If so, use these to your advantage to negotiate a better purchase price. This is really the foundation for setting up a purchase price negotiation if you are the buyer. Find faults in the business and present these to the seller as the reason for the price offered for the purchase of the business. Of course sellers, if you understand this technique you can and will be able to negotiate a better price for yourself. Buyers, when it comes to making your offer, always do this in writing, taking the time to highlight the faults that you have found
and presenting them to the seller in a logical step by step presentation. Don’t forget the most important part and always include a price. The seller at this point may come back to you with a counter offer and this is good news. This is when the negotiation really begins and the primary reason the faults were highlighted in the first place. Respond in writing again with your revised offer accepting that some of the faults can be lived with and some can’t. This will give the seller a few wins as well and help build goodwill in the transaction. Now all we need to do is get going backwards and forwards until you get a final agreement between the parties. Plan for profit The first step in business rigour is to clearly identify your financial targets. This is more than paying yourself a wage for the work you do. Your plan should include making enough profit to repay loans and the money you’ve invested, and to pay a dividend. The next stage is to identify how the business actually works and makes money: how you’ll attract and keep customers, deliver the product or service, and manage costs. How To Work With Your Accountant When you’re thinking of buying a franchise an accountant can help you assess the business opportunity and get you off to a good start. Talking to a franchise accountant at the start will put you in a stronger position to make the most of the opportunity and manage your risk. At this stage, the role of the accountant includes: • Testing the assumptions behind any financial projections and look at the downside of the business you are considering. This is important because you need to assess your risk in order to manage it. • Providing an independent assessment of the business opportunity. As they are not caught up in the emotion of the decision they are able to provide an objective view. This will help you make a more balanced decision. How to choose an accountant When choosing your accountant, it’s important to check on their experience. Clearly it’s better if they have experience in the franchise industry. This means they won’t be learning as they go and practicing on you. Franchise accountants are familiar with the special characteristics of franchising, which are not found in every business. These can affect business and tax planning, as well as the general operation of the business. Working with your accountant Two of the most important areas to get ‘right’ at the beginning for a franchise are your ‘start- up’ costs and the ongoing costs to operate the business day-to-day. Financial projections are one of the most important tasks for the accountant to help you with. Part of the role of the accountant is to
assist with these estimates and challenge them to ensure they are well founded. The accountant will need facts and figures to work with. So, that means you need to take them some well thought out numbers they can work with. If it is an existing business the most recent trading figures can be a guide to future performance. If it is a new business opportunity, they will need to work with you on realistic estimates of revenues and expenses. A good starting point is the Disclosure Document combined with your own research. Also, there may be specific franchise obligations, particularly in regard to the purchase of supplies and equipment, fitout and refurbishment. These need to be factored into any projections. Getting input from an accountant when you’re assessing a franchise will help you establish the costs of starting and operating it. They can also assist you to evaluate your risk so you can make a balanced decision about the business.

Managing Your Cash Flow
Wih the current economic conditions, here are five tips to help you manage your cash flow. By Brad Callaughan

Learn how to read your balance sheet. A lot of business owners focus on their profit and loss statement and do not look at their cash flow or balance sheet. It’s a potentially fatal mistake to focus on your profit and loss because healthy profits can mask an impending cash flow crisis. To prepare a cash flow projection you’re going to need a structured balance sheet. You need to look at all the influencing factors including debts, interest payments, inventory and your monthly commitments. These can be represented by an educated guess for the month.
Always focusing on sales and cash inflows will allow you to pay your creditors on time and keep them supplying you.”

Prepare you cash flow. You need to focus on forward planning to generate a “best guess” about likely future sales and expenses. This can be prepared in something as easy as Excel or your accountant can help you.

Review and update cash flow monthly. It is like driving along looking down or in the dark without your lights on - you are not going to get far before you crash. Preparing a cash flow is your best insurance against potential cash shortages. Reviewing your cash flow for the first two months weekly will allow you to make changes based on the current information at hand, making your forecast more accurate. Be careful of rapid growth, this tends to catch business owners out. A sudden spurt in sales can result in a sudden spike in debtors and can shift your cash inflow from 14 days to, in some cases, as far as 90 days. Always focusing on sales and cash inflows will allow you to pay your creditors on time and keep them supplying you. By monitoring the businesses cash status you can determine if you need an overdraft or extended trading terms from suppliers to cover the temporary shortfalls.
Stay in close touch with debtors as payment deadlines approach, do not wait until after your terms have expired before you start chasing your money. If you are struggling to get money in offer small discounts for fast payments or look to employ a debtor finance company, such as premium funding.

Pay your bills strategically. Negotiate terms that suit you right from the start with your creditors. Make sure you read the fine print regarding late payments. Once you have a list, prioritise your payments into the most important like follows:- accounting fees, wages, super, tax, GST and then suppliers. The suppliers should be paid on their terms, but also the most important to your business first. You do not want a major supplier to cut you off, then you won’t have stock to sell.

Set out terms and get payments in quickly. Set out strong trading terms that show your payment terms and time along with any interest that will be charged on late payments.

The team training environment that we create relies on our members to turn up which they’ll only do if they’re engaged.” And perhaps the most important feature of a successful gym – the results. “Because our members are being engaged and motivated in an inclusive team training environment, and their workouts are varied and innovative, they get results,” Luke says. “Because they get results, they know the system works and they stay on as clients. As a result, our attrition rates are very low by industry standards and we benefit from our members becoming ambassadors for the F45 brand, which has positive feedback effects as far as membership numbers are concerned.” But support within the gym is not the only focus for Luke and Rob, who have are also dedicated to each of their franchisees – a network they are hoping to expand. “Not only are licensees able to operate under the F45 banner, we supply the full suite of marketing and promotional collateral required to get a location established and grow member numbers quickly,” Luke says. “F45 provides licensees with the complete suite of preferred partners who can supply everything from the fit out and gym equipment to the accounting software and insurance. “We also pre-program all of our workouts and distribute these to licensees one month in advance. Five Factors for Franchise Success Below is a list of five factors for franchise success, based on research findings from Griffith University’s Asia-Pacific Centre for Franchising Excellence. by Professor Lorelle Frazer

Understand how franchising works (before signing a franchise agreement) The Franchise Agreement is legally binding. Once you’ve signed you’ve made a long-term and often significant financial commitment to the franchise, so it’s important to make sure you fully understand the commitment and industry you’re entering. Although franchising can provide an excellent framework for running your own business there are some common misconceptions and restrictions which come as part of the franchising package. As a franchisee you need to follow the systems and processes outlined by the franchisor, even if you don’t understand the reasons behind them. You’ll also be required to pay on-going franchise royalties to the franchisor which are often based on your sales (not profit), although how these are calculated vary from franchise to franchise. The majority of franchise systems also have a marketing fee you’re required to pay,
in addition to money you’ll need to invest into local area marketing. You may also be required to source all stock from the franchise suppliers, even if you can get a better price through an alternative supplier. Select the correct franchise for you Many people fall in love with a particular franchise brand and make an emotional (not business) decision to become a franchisee of a particular franchise.

You might like dogs however do you want to wash 60 – 80 dogs a week? You might like pizza, however are you prepared to give up your Friday and Saturday nights for the first few years while the business gets established? These are the kinds of issues which prospective franchisees don’t always consider until they’re actually operating the business. Prospective franchisees should always speak to existing and former franchisees of the franchise/s they’re considering as they can provide the greatest insights into what it’s like to work with in the business. (A list of questions to ask existing and former franchisees is included in the free online pre-entry franchise education program to help get you started).

Get the right advice from the start – and yes it is likely to involve paying for it Research reveals prospective franchisees generally don’t conduct much research before buying a franchise and are even less inclined to invest money into the due diligence process. However saving a few dollars in the short term, may mean losing everything in the long run. If you’re not prepared to invest in the right advice to make your business a success, perhaps you shouldn’t be investing in a business. Ideally franchisees should at least seek professional advice from a good franchise accountant, a good franchise lawyer and a franchise or business consultant.

Have the right business skills Although franchise training will generally cover the operational aspects of the franchise – such as how to wash a dog, make a coffee or mow a lawn – many franchise training programs don’t cover basic business skills. Skills, such as understanding the difference between cash flow and profit, business planning, managing staff and more, are all essential for franchisees and it’s highly recommended to invest in developing these skills prior to entering franchising. Support of family and friends Having support of family and friends is also important. Getting the business up and running is a big and time-consuming commitment, and you will need your family’s support. You may need their understanding as the business may take priority over some key family events, especially in the early days. People often don’t realise that when you first start a business you may need to work 60+ hours a week, which doesn’t leave too much time for other priorities. Ask existing franchisees to provide you with an idea of the time commitment you’ll be required to invest. It’s important your

Are Your Customers Crazy?
Do your salespeople sit back at drink o’clock on a Friday afternoon and share war stories of the ones that got away? By Trent Leyshan
T
o some, the question, ‘Are your customers crazy?’ may seem a little perplexing, perhaps even crazy itself at first glance. However, I’ve drawn the conclusion that for too many salespeople, customers can be and are experienced as crazy, mysterious creatures. Let’s explore these apparently strange happenings further. Most sales pipelines are full of crazy customers When I exclaim ‘crazy’, I mean those potential buyers that have no intention of ever buying your product or service from you or your company. They may buy something similar or even identical to your product or service offering, and they may even pay more for it somewhere else, but they will never ever buy it from you. Why? Because they’re bloody crazy of course! Or at least that’s what you lament. Think about it for a minute: What sort of lunatic would allow you to muscle your way in on them by cold-calling and following them up relentlessly until they agree to a meeting with you? What kind of madman would then allow you to manifest a perceived problem and then agree to you going away and preparing an elaborate proposal outlining key points, benefits, terms and investment — at your own or your company’s expense? And what maniac would agree to you coming back and presenting to the key stakeholders, only to leave you hanging for months on end with no intention of ever buying from you? This type of behaviour is just pure madness! Let’s not forget: it is rare for a prospect to ever give you a ‘no’. More common in sales is the insidious ‘maybe’, which transforms you into nothing short of a salivating car-park stalker, ringing, leaving messages, and emailing week in and week out with the hope of getting the order. Alas, until finally, but with a despondent exhale, your hope of making the sale slowly dissipates. You realise in your anxious state,
and after countless promises to your sales manager that it’s a ‘done deal’, that it’s been six months since the prospect returned even one phone call. ‘Hmmm … perhaps they’re not interested?’ you ponder. ‘But how could that be? Look at all the work they asked me to do. This doesn’t make sense! Why does this keep happening to me? I could have been putting my energy and resources towards real customers, not these lunatics that keep wasting my time!’ With a stiff drink and further discussion with your sales colleagues at Friday drink o’clock, you realise that the same thing is happening to the other salespeople as well. ‘Thank God!’ you proclaim. ‘It’s not me — it’s them! The customers are crazy!’ To the uninitiated, customers can often appear random and unpredictable. In old-school Traditional Selling it was once commonly suggested that ‘all buyers are liars’. This philosophy can at times resemble truth, but only when the salesperson fails to acknowledge whom the customer really is and what they need and really want. If the customer tells you one thing and then does another, this is usually to alert you that you have not identified the appropriate motivating factors and are not leading the customer through the right buying process. In the right engagement process, the buyer is a person who has a genuine problem you can solve or desire you can help fulfil, and feels very comfortable with you because your communication style aligns with theirs. We have all heard the saying a thousand times: People buy from friends, not salespeople. Customers buy friends first. This maxim underscores the absolute need for sales people to put their time and energy towards understanding their customers better and then demonstrating that they genuinely care enough to not waste their own and customer’s time. This is best achieved by leading customers through a well thought-out and structured engagement process that enhances efficiency and performance and eliminates the crazies along the way.
